1. INTRODUCTION:

Central Electronics Limited (CEL) is a public sector enterprise under the Ministry of Science & Technology, Government of India and has been a pioneer in the area of solar energy in the country. CEL has many firsts to its name: It has produced India’s first solar cell, first solar module, and set-up India’s first solar power plant. CEL has over four decades of experience in a wide range of solar installations including rural and remote area electrification projects, water pumping systems, primary health centres, community systems, roof top power plants and large capacity power plants. The Company has undertaken rural and remote area electrification projects in over thirty countries out of which 15 are in Africa including some of the remotest places in sub-Saharan Africa and also in South East-Asian Countries. It has been gathered that in the recent times, a number of techniques for providing innovative solutions to fulfil the needs for providing safe drinking water has been developed. One of the most admirable technologies is use of Atmospheric Water Generators. An Atmospheric Water Generator (AWG) is a device that extracts water from humid ambient air. Considering the potential market of AWGs in African & Asian countries, CEL is looking for manufacturers of AWGs who are willing to work with CEL for supplying, installation, Operation and maintenance of AWGs at various locations as per needs of possible clients in many African & Asian countries on back to back basis.

2. ELIGIBILITY CRITERIA:

a. The applicant should be an Indian Registered Company under Companies Act 1956/ Partnership

Company or a foreign company having facility for manufacturing AWG in India with a valid registration in India. Copy of Certificate of Incorporation/Registration/Partnership Deed and any other relevant document, as applicable, should be submitted along with a copy of address proof.

b. The applicant should not be insolvent, in receivership, bankrupt or under winding up proceedings, not have had their business activities suspended and not be the subject of legal proceedings for any of the foregoing case. An undertaking by the applicant should be submitted in this regard.

c. The applicant should be amanufacturer of atmospheric water generator with proven technology and

dedicated R&D/lab for monitoring of water quality. Copies of supporting documents should be submitted.

d. The applicant should be an industrial manufacturing entity registered with any state/central

government departmentin India with minimum 10 years of manufacturing experience. Copy of registration certificate/experience certificates from clients should be submitted.

e. Applicant should have in house capacity for manufacturing AWGs in India as per technical

specifications given below in article no. 6 (which shall be the minimum criteria for eligibility) catering to domestic and industrial segment. Applicant should provide supporting documents like orders/completion certificates from various clients, video and photo of their manufacturing plants and facilities.

f. Applicant should have an average annual turnover of Rs.2.5Crore during the last three financial years. (Please submit Annual Report/Balance Sheet and Profit & Loss Account) for the last three financial.

g. Bidder should have BG limit of Rs. 1 Cr only as on 01.01.2019 (Bankers Certificate should be

provided). Banker’s Solvency Certificate,through which regular business transactions are being done by the applicant, should be provided).

h. Applicant should not be blacklisted/ debarred by any government/ semi government department/

PSU/Financial institution/funding agency/any other agency in India or worldwide.(Please submit No black listing certificate‟ as per format given in Annexure-5).

i. The applicant should give an undertaking on the applicant’s letter head that all the documents/ certificates/ information submitted by them against the EOI are genuine. In case any of the documents/ certificates/ information submitted by the applicant is found to be false or forged, action as deemed fit may be initiated by CEL at its sole discretion.

j. The Applicant shall submit copy of Proof of income tax return for last three years k. The Applicant shall submit Copy of Company’s PAN No. (Permanent Account Number) /TIN

number (Tax Identification Number) l. The Net worth of the company should be positive during the last/preceding financial year. m. Power of attorney alongwith resolution of Board of Directors in case applicant is a company.

Note: Applicant must provide necessary supporting documents as proof in respect of the eligibility criteria mentioned above. 3. Final Decision Making Authority:

CEL reserves the right to accept or reject any application and to finalize the pre-qualification process or reject all applications at any time.

4. Other Information: I. Applicants who are successfully empanelled, shall sign a empanelment agreement with

CEL. CEL reserves the right to restrict the list of eligible parties/applicants to any number deemed suitable by it.

II. Specific work order shall be issued on a case to case basis at the stage of finalization of contract with the end customer/client.

5. SCOPE OF WORK OF AWG: The scope of work includes all required activities for proper completion of work i.e. design, manufacture, supplying, installing, testing, commissioning, operation & maintenance of Atmospheric Water Generators (AWG) for various clients at different locations in African & Asian Countries’. However, AWG shall be developed/set-up using solar panels of CEL and design of solar array provided by CEL. The scope of work includes all required activities for proper completion of work titled as above. All works shall be carried out as per the standard technical specifications, agreed BOQ and related details as mentioned in EOI/Project document and as per terms and conditions of various clients/ Owners as per instructions of Engineer-in charge of the end-user. The work under proposal is to be completed in all respects for the successful completion and handing over the completed works to owner/customer/End user. a. CEL’S SCOPE OF WORK:

CEL shall manufacture required number of solar panels & help the applicant in designing of solar array requirements for AWG. b. SCOPE OF WORK OF THE EMPANELLED COMPANY:

i. Identification of customer/user.

ii. Liasioning needed for the customer/user.

iii. Develop a project as per the need of the end customer& submit proposal to the customer on behalf and in consultation with CEL.

iv. Design, Manufacture, Supply, Installation, testing, commissioning of the water generator.

v. Delivering the material at site including solar panel provide by CEL.

vi. Operation & Maintenance of complete AWG during warranty period as well as post warranty period if desired by customer/user. It is clarified that the maintenance beyond the warranty period shall be under AMC.

Note: 1. The applicant should have capacity to manufacture AWGs with specification given in the all above sub-paras of Para 6. 2. Inverter and/or Variable Frequency Drive (VFD) matching with above specification(s) has to be identified and supplied by the empanelled company. 7. BILL OF QUANTITY:

• CEL shall decide the number of solar panels required for powering AWG based on the given design requirements

• The empanelled company shall prepare the detailed bill of quantity including Balance of Systems (BOS) required for the project and finalize the same in consultation with CEL.

8. PRICE:

• The empanelled company shall submit its proposal to CEL without solar modules but inclusive of design, manufacturing, Supply of all the material to site (including solar panels which will be provide by CEL on ex-work basis) and Installation & Commissioning of complete system.

• CEL will add the cost of solar modules & prepare a final proposal for onward submission to the client.

• The empanelled company shall submit final proposal to the client on behalf of CEL or as the case may be as per agreed terms.

• Payment term shall be on back to back basis upon actual receipt of money from the client.

9. DOCUMENTATION: The applicant shall submit duly filled following Annexures along with supporting documents s required in the Annexures as well as document required for eligibility criteria mentioned

above. The application shall be signed by the authorized signatory of the company duly authorized to act /represent the company with original Power of attorney with documentary evidence like board of resolution/other relevant document.

Participation in future tenders will be decided on case to case basis as per sole discretion of CEL and a separate agreement shall be entered into for the said purpose.

11. Jurisdiction and Applicable Law: All matter connected with the EOI, shall be governed by the laws of India (both substantive and procedural) for the time being in force and shall be subject to exclusive jurisdiction of the courts/Tribunals at Delhi, India.
