With^reference to the above, we are pleased to enter into a RUNNING CONTRACT (RC) withyou for.supply_ofCartridge Explosives & Accessories to all subsidiary companies ofCoal IndiaLimited and NEC, at the following prices, terms & conditions:

01. Duration of Contract

The RC shall be valid for two (2) years from date of its issue ro 3lsr May, 2019.

02. Item description, quantity, unit price & subsidiary allocation_ As per Annexure _ l.

The RC items, quantity, subsidiary-wise allocation and unit prices are mentioned in Annexure-'1'. The monthly allocation will be made by the respective subsidiary companies and NECindividually within their share of RC quanrity as indiiated in Annexure_I. Supplies would bestrictly govemed by the actual requirement ofthe collieries and as per the alloc;tion/order to beplaced by the subsidiary companies and NEC in every month ag;inst their specific approvedindents only.

03, Quantity variations

CILI subsidiaries reserve the right to increase/decrease the ordered/allocated quantity to theext€nt of (+/-) 40% (Forty percent) of rhe RC quantity keeping in view the actual need ofthesubsidiary.companies. ln exigencies, the quantity may be incriased even beyond 40o/o (Fortypercent), limited to rhe PESO License capacity, with the specific approval irom CIL. These,however, shall be subject ro limitation ofthe offered quantity in you;;ffer. RC holder shall berequired to accept the order for such higher/lower quantity at the same terms, conditions andprice during the validity ofthe running contracts.

04. Security Deposit

The RC holders shall be required to deposit Bank guarantee for l0oZ ofthe average value ofboth the years of contract (including ta\es and duries.), which shall be valid for 27 monthsfrom the date of issue of RC in the prescribed format as per Annexu.e _2. The BC amount isindicated in Annexure-1.

The average value ofcontract is arrived as follows :-

{(l" year quantity + 2 year quantity) * RC price onrhedate ofissue ofRC}/2

RC holders may submit either a single SDBC covering all subsidiaries of CIL and NEC orsubmit subsidiary-wise (includingNEC) SDBCs based on subsidiary_wise allocated value buttotaling average value of both the years of contmct will be as has been worked out andindicated in Annexure-1. All the SDBGS, if submitted subsidiary-wise, are to be submittedsimultaneously.

You shall subm it the Security Deposit (SD) within I 5 days from date of issue of RC.

In case yo! fail-to-deposit the security money within stipulated time, payment ofyour billsshall be released after deduction of l0% ofthe bill amount till you submit tie Security DepositBank Cuarantee (SDBC) and the same is accepted by CIL/ subsidiaries.

The Security Deposir Bank Cuarantee (SDBC) submitred by the RC Holder shall be reteasedwithin 30 days ofreceipt of .,No Claim Certificate'. ftom ill the subsidiary companies, ifasingle SDBG has been submitted. However. if subsidiary-wise SDBCs are submitted, theneach SDBG shall be released within 30 days of receipt of,,No Claim Cerrificate,, fiom tharsubsidiary company. For conhactual failurc, the security money shall be forfeited.

Security deposit will not fetch any interest.

The SDBC if submitted in the form of Bank Guarantee shall be issued by a scheduled Bankin paper form (stamp paper) as well as issued under ,.Structured Financial Messaging System,,.The message will be sent to the beneficiary bank rhrough SFMS. 4.8 The SDBG shall be irrevocable and unconditional and CIL shall have the powers to invoke itnotwithstanding any dispute or difference between supplier and CIL pending before the court,t bunal, arbitrator or any other authority.

05. Price and Price variation

5.1

The prices are on FOR destination basis inclusive ofpacking, forwarding, transit insuranceand freight upto destination at any place in CIL.

The RC price for canridge explosives i.e. LD and permitted explosives shall be revised onquarterly basis based on the price variation formula indicated below:

5.3 The bas€ price for any item shall be the RC price to be finalized against this tender and thebase date shall be date of the reverce aucrion, which is I 0.03.2017.

5.4 All indices shall be measured from the base date except the AICPI for industrial workers(Clr/Clo) which shall be measured from a date three (3) months prior to the base date

5.5 The first price revision for explosives shall take place on the lsrday ofa month followingcompletion of 3 months from the reverse auction date. Subsequent ievision shall take placlexactly after every 3 months.

5.6 The first price revision for accessories shall take place on the I ,r day of a month fo I lowingcompletion of l2 months from the reverse auction date. Subsequent r'wision shall take placiexactly after every 12 months.

5.7 The price revision for both explosives and accessories shall not have any ceiling.

5.8 The revised price/indiccs of each quarter shall b€ the base price/indices for next quanerlyrevision ofexplosives. For accessories, the revised price/indices ofeach year shall be the baseprice/indices for nert yearll rer ision.

5.9 RC prices w.e.f. start date ofRC till the first revision and also in between subsequen! revisionsshall remain firm.

06. Taxes and Duties

6.1 Excise Duty, Sales Tax / VAT and all other Govt. levies ifany, shall be paid extra at actual aslegally leviable.

The excise-duty will be paid at actual on submission ofdocumentary evidence. However, forpayment ofsales tax, necessary declamrion form will be issued by the consignee on receipt ofsupplies against bills for suppries as per admissibre rures. 7.1 Pric€ Fall clause: As per enclosed pre-Contract lntegrity pact Clause No. 7 which reads asunder :

07. Price Fall Clause

"The BIDDER undertakes that it has not supplied /is not supplying similar producrsystems orsubsystems at a price lower than that offered in the preient bid in respect of any otherMinistry/Department ofthe Govemment of India or pSiJ and if it is founa at any stage thatsimilar product/systems or sub systems was supplied by the BIDDER to any otherMinistry/Department of the Covemment of India oi a pSU it a lower price, then that veryprice, with due allowance for elapsed time, will be applicable to the iresent case and thedifference in the cost would be refunded by the BIDDEi to the BUyEii, ifthe conract hasalready been concluded.,,

7.2 ln case the price of a product is reduced for any supplier due to invocation of,price Fallclause' or any other reason, the same lower price shall also be applicable for the other supplierswho are iaving parallel RCs against this tender_ lf any supplier does not accept the iowerprice, CIL shall have the right to delete the item from thJscopi ofRC ofsuch finnand procureexplosives/ accessories from other existing supplier / Reserve RC holders.

08. Price Certificate

The RC holder must submit a price ce(ificate in all their invoices in the following format forall items :-

09. Payment Terms

10070 payment will be made within 21 days on receipt and acceptance ofthe materials at siteor submission ofbill, whichever is later.

11. Delivery

I 1.1 ltem wise, year wise and subsidiary wise RC quantity have been indicated in Annexure-l.Monthly allocation shall be issued by subsidiary companies and NEC every month. The RCholder.is liable ro supply any quantity of any irem to any subsidiary ol CiL & NEC as perallocationmade by subsidiary companies & NEC, according to delivery period specified bythe subsidiary companies.

11.2 The RC holder shall have to supply all items as offered by him on FOR destination basis toany place in any ofthe seven subsidiaries ofCoal India Limited and NEC.

11.3 The monthly allocation shall be issued by the consignee latest bythe last week ofprecedingmonth. The supply should be completed within the allocated month and schedule ofRE-t l,to be specified by the consignee, failing which liquidated damages shall be applicable asstipulated in the RC.

ll.4 It would be mandatory for the RC holder to maintain 90% delivery performance to beevaluated on halfyearly basis for allRC items at each ofthe consignee subsidiary companies.The quarterly delivery performance shall be evaluated by each consignee sub co. separatelyon the basis of RE-l I issued and actual quantity supplied against the same, duly agreed bythe vendors and shall be intimated to CIL.

I 1.5 In case the halfyearly delivery performance for any ofthe RC items falls below 9070 at anyofthe subsidiary co, as per report, duly signed by representative ofsubsidiary company andRC holder, for every percentag€ reduction / drop (including lractions rounded off to nearesttwo decimal points) in delivery performance, equal percentag€ ofthe supply value(without taxes and duties) ofthat item in that halfyear shall be deducted from the bills ofthe supplier by the concemed subsidiary company. For example, if the shonfall quantityworks out to 1.23o/o, fionetaty penalty to be imposed will be to the tune of 1.23o% ofsupplyvalue (without taxes and duties). This will be applicable for shortfall in deliveryperformance from 9070 upto 8070. The RC holder should, however, makeup the shortfall inthe next halfyear so as to achiev€r 90olo in one year period.

11.6 [n case the half yearly delivery performance for any of the RC item falls below 80%,maximum monetary penalty of l07o of supply value will be imposed apart from resewingCIL's right to rescind./short close the RC for the subsequent period for that particular item inthe relevant subsidiary where the shortfall occurs and the balance RC quantify thereof, maybe purchased from any ofthe existing RC holders or empaneled "Reserve RC holders".

I1.7 Item wise overall delivery performance of 90% minimum, in all subsidiaries of CIL andNEC puttogether for the period of l8 months from the date ofRunning Contracts shall betaken into consideration while determining bidder,s eligibility in subsequent tenders forconclusion ofRunning Contracts forthe period 2019-2021.

12. Consignee

General Manager ofthe respective subsidiary cos. who are in charge ofproduction/explosiverequirement or their authorized representatives at the projects, shali be the consignees againstthis RC.

13. Dispatch Instructions

l3.l The materials should be supplied duly secured & packed.

13.2 Each invoice should quote reference to this RC number and date and of subsequentamendments, ifany, for change in prices, extension ofdelivery dates etc.

13.3 tnvoice relating to this RC should not include supplies made against any other supply orderor orders.

13.4 Supply.ofexplosive accessories against this RC shall be accompanied by self-attested copyofvalid PESO license and valid DGMS certificate, wherever afrplicable.

13.5 The following certificate, whichever is applicable, should invariably be given on eachinvoice:

a) [n case ofdelivery by Coal India Ltd.'s vans:"Certified that the materials mentioned in this bill have been dispatched by Road in Van

number and on date as mentioned above to the consignee. The materials have beenacknowledged by the consignee/his representative and the acknowledgement memo datedas above is aftached. Other claims are as per your purchase order and schedule to thesame."

b) In case ofdeliverv by suopliers,s vans:"Ce(ified that the materials mentioned in this bill have been dispatched by Road in Van

number and on date as mentioned above to the consignee. The materials having beenacknowledged, memo dated, as above, is attached. Other claims are as per your p;chaseorder and schedule to the same."

The Vouchers and acknowledgement memos mentioned in the certificate should invariablybe attached with each invoice.

14. Supply of extra quantity

l4.l ln case offailure ofa particular RC holder to supply the cartridge explosives or accessories,the unsupplied/ balance order quantity may be cancelled/reduced from the contract of thedefaulting supplier after giving due notice to him and the cancelled order quantity of thedefaulting supplier shall be re-distributed amongst other suppliers, including Reserve RCholders, as the case may be, within that subsidiary co. Supply ofextra quantity shall have tobe preferably on ex-stock basis-

| 4.2 The opportunity to supply exfia quantity on ex-stock basis shall be given first to existing RCholders and ifthe requirement is not met, then to Reserve RC holders. The distribution ofextra quantity amongst the RC holders/ Reserve RC holders may be done preferably in anequitable manner but ensuring supplies not being delayed on this ground. Subsidiaries shallhave the liberty to obtain extra supplies first from any/all ofthe RC holders and then fromanylallthe Reserve RC holders.

14.3 In case requirement ofa subsidiary company exceeds the 40yo ofRC quantity and RegularRC holders are not willing to supply extra quantity, subsidiary company may allocateadditional quantity on Reserve RC holder,

15. Liquidated Damages

In the event of failure to deliver or dispatch the stores within the stipulated date/period inaccordance with the samples and/or specifications mentioned in the supply order and in the eventofbreach ofany ofthe terms and conditions mentioned in the supply order, Coal India Ltd. and itsSubsidiary Companies should have the right:

15.4 To extend the period ofdelivery with or without penalty as may be considered fit and proper;the penalty, ifimposed shall not be more than the agreed Liquidated Damages refered to inclause ( 1 5.1) above.

15.6 Whenever under this contract a sum of money is recoverable from any payable by thesupplier, Coal lndia Limited and its subsidiary companies shall be entitled to recover suchsum by appropriating, in part or in whole by deducting any sum from any other contmctshould this sum be not sufficient to cover the full amount recoverable. The successful RCholder shall pay Coal India Limited and its subsidiary companies on demand the remainingbalance. The supplier shall not be entitled to any gain on any such purchase.

16. Risk Purchase

l6.l In the event of failure ofthe supplier to deliver or dispatch the stores within the stipulateddate/period ofthe supply order or in the event ofbreach ofany ofthe terms and conditionsmentioned in the supply order, Coal lndia Ltd. or its Subsidiary Companies have the right topurchase the stores from elsewhere after due notice to the defaulting supplier at the risk andcost ofthe defaulting supplier. In the event offailure ofthe supplier as detailed above, thecost as per risk purchase exercise may be recovered from the bills against any other suppliespending in the same Subsidiary Co. and also in any other Subsidiary Companies/ClL.

16.2 Risk purchase action may be initiated by subsidiary companies under any ofthe followingconditions:

When the supplier lails to deliver the materials even after the delivery period is extended onseveral occasions, on request from the supplier.

When the supplier fails to respond to purchaser's request ior supply ofthe materials and failsto provide any reason which is considered to be genuine, lor the delay in supply.

When in the judgment of the purchaser the supplier is unable to execute the order due tovarious rcasons.

(e) When the supplier breaches any ofthe terms and conditions ofthe supply order and as aresult fails to execute the order satislactorily.

17. Technical parameters

Technical parameters for each product are given in Annexure-3. However, the technicalparameters ofthose products listed in Annexure-' l' only shall be .elevant against this RC.

lE. Special provisions for Detonators

The Manufacturer of all kinds of Detonators,4.,tron Electric Detonators shall follow a systemby which the Electrical Continuity, Resistance Testing & Other Tests should be ensured bythem & they shall give a Certificate accordingly, in addition to the conditions to be compliedwith in reference to the permission being accorded to them by DGMS/PESO.

19. Random test

l9.l The consignee subsidiary company shall conduct quarterly random test ofthe explosives &accessories supplied by the RC holder through CMPDI. Apart from quarterly random testsby CMPDI, CIL reserves the right to test explosives / accessories by consignee subsidiarycompany against the running contracts with an ultimate aim ofachieving baich wise testingof explosive/accessories.

19.2 The limits oftechnical parameters for random test / any other tests are given in Annexure_3.

19.3 The testing charges shall be bome by CIL/ Subsidiaries for carrying out the testing.

19.4 The random test shall be conducted every quarter in each subsidiary. The authorizedrepresentative from CMPDIL shail draw the required number ofsamples randomly in eachquarter from any magazine. The samples shall be drawn and tested on the same day at minein presence ofrepresentatives ofsubsidiary and the RC holder.

19.5 The Sample shall be treated as ,,FAIL,, in random test / any other tests if it does not meetany of the criterion specified under .'acceptable limit..in Annexure_3 and penaltyof lo%ofthe value (without taxes and duties) of explosives / accessories suppliei in that quarterlimiting

19.6 lfany supplier fails in random testing_thrice in a year in any specific Subsidiary oICIL, theyshall be debarred for next tender for that particular item.

19.7 ln case of failure in random tesvany other test, over and above the penalty of l%, theallocation

19.8 Sample quantity of random testing

d. Cast Booster: The number ofsamples to be tested should not be Iess than 2 samples per quarterfor a particular supplier for a subsidiary.

e. Nonel (Non Electric Initiation System / Detonator ): One (l) sample for every 1.0 lakh mtr.ofallocation is to be tested for a palticular supplier for a subsidiary. For example, ifa supplier,whose annual allocation ofNonel is l0 lakh mtr, a total of (10 / l): l0 nos. of sample isrequired to be tested for a subsidiary.

f. Cord Relay / MS Connector: One ( I ) sample for every 2.5 lakh nos. of allocation for aparticular supplier is to be tested. For example, ifa supplier, whose annual allocation ofCordRelay/MSConnectorisl0laklnos.,atotalof(j0/2.5)=4Nos.ofsamplearerequiredtobetested for a subsidiary.

g. Electronic Detonator: One (l) sample for every 2.0 Lakh numbers of allocation for asubsidiary irrespective of quarter.

19.9 lnespective of above norms, random testing of at least two samples of each item in eachsubsidiary is to be done on quarterly basis.

|9.I0CMPDIL has issued Standard Operating Procedure for random testing which will beuniformly applicable in all CIL subsidiaries and NEC. The same is available in CIL's websitewww.coalindia.in.

20. Essential Mandatory Testing Requirements

20.1 The RC holder shall ensure that essential equipments required for testing ofexplosives andaccessories are possessed and maintained by them for the required purpose.

21. Powder Factor

2l.l The mine wise bench mark powder factors, separately for Coal and OB in OC as well as forCoal in UG (Development/Depillaring district) mines for departmental as well asoutsourcing patches for following categories of operations has been indicated in NIT foracceptance by the bidder-

21.2 Benchmark powder factor for the first financial year (Annexure-4) shall be annual averageof the achieved powder factor for year 2015-16. Bench mark Powder factor for the 2nd

financial year shall be annual average ofthe achieved Powder factor for year 2016-17. PFfbr 2nd year of proposed RC shall be circulated by subsidiary companies directly to thesuppliers with the approval ofCMD ofsubsidiary company.

21.3 The mine wise achieved powder factors shall be declared by the subsidiaries every month.The method ofcalculating the achieved powder factor shall be by the same method by whichbenchmark powder factors are calculated.

21.4 Explosives supplied by you shallachieve the mine-wise benchmark powder factors indicatedin RC during the period of the contract. Failure to achieve the benchmark powder factorsshall attract penalty as detailed in 'Performance and Penalty' clause ofRC.

21.5 In case of new underground mines, new seam ofexisting underground mine or change inmethod ofwork i.e. developmenrdepillaring in the same mine and in case ofnew opencastmines i.e. new projectVpatches including outsourcing and hired HEMM patches, which maycome up during the tenure of the contract and for which benchmark powder factor is notmentioned in Annexure-4, the subsidiary shall formulate the powder factor as follows:a) Bench Mark PF shall be fixed in notional manner through a committee consisting of

representatives from Sub Co. and CMPDIL.b) For second year, the Average PF achieved in previous year shall be fixed as Bench Mark

PF.

22.5 The payment shall continue to be made as per RC terms and provisional deduction ifany,on account of hon-achievement of PF shall be made only on quarterly basis. However, thefinal assessment of Powder factor and reconciliation thereofshall be made on yearly basisincluding extension/shon closure, on average powder factorbasis. Bonus shall be paid in thesame way as that ofpenalty.

22.6 Deduction due to non-achievement of powder factor shall be made from the price ofexplosives onl) and not from accessories prices.

23. Techlical service

23.1 Whenever a manufacturer supplies any explosives/accessories item for the first time to asubsidiary, CMPDIL test and trial repo( ofthat item shall be presented to the GM (Prodn)ofthe subsidiary Co. before the explosives & accessories are used in any colliery and themanufacturer's representative shall be available for advice.

23.2 At least one technical representative shall be posted in each subsidiary. However, in case ofSECL and MCL, in view ofgeographical distances, two separate representatives [each forKorba & CIC ofSECL and Talcher & IB Valley ofMCL] shall be posted.

23.3 The technical representative of a supplier shall report to user within 48 hours of call(letter/fax/maiI/SMS) and failure to reach the callerwithin 48 hours shall aftract a penalty ofRs 15,000/-. Calls shall also be endorsed to GM in charge ofthe explosives at subsidiaryheadquarter level who will finally decide on imposition ofpenalty.

23.4 The manufacturer shall give technical expertise in designing the paftern of blasl holes toimprove the blasting efl'iciency depending upon the requisition by the subsidiary.

23.5 Whenever there is a special problem like vibration and noise near any structure or dwellingand deflagration of explosives, technical representative from the manufacturer shallimmediately aftend to them and solve the problem jointly with the mine representative.

23.6 Halfyearly workshop/training shall be conducted bythe suppliers to explain the technicaldetails oftheir item as well as to make the people understand and implement the uses oftheexplosives & its accessories for safe and ellcient operation and for improvement ofblastingefficiency.

Quarterly technical service report shall be submitted by the supplier to the concemedsubsidiary companies.

24. Statutory Obligations

24.1 The above items should be supplied only with the approval ofthe valid statutory authoritylike DGMS, CCOE (PESO) c1c. wherever it is mandatory.

Any DGMS / Statutory permission, ifnecessary, will be obtained by you.Necessary assistance will be provided by the projects. No supply should be efl.ected withouthaving valid permission from DCMS / license from CCOE (iESO) for rhe product even ilthere is an allocation for supply ofthe product from CIL or its Subsidiaries.

26. Force Majeure:

lf the execution of the contract/supply order is delayed beyond the period stipulated in thecontract/supply order as a result of outbreak of hostilities, declaration of an embargo orblockade, or fire, flood, acts ofnature or any other contingency beyond the supplier,s c;ntroldue to act of Cod then Coal India Limited or its subsidiaiy companies may allow suchadditional time by exrending rhe delivery period, as it considers to be justified by thecircumstances ofthe case and its decision shall be final. Ifand when additionaltime is grantedby the Coal India Limited and its subsidiary companies, the contract/supply order shallbe readand understood as if it had contained from its inception the delivery date as extended.

The above relaxation is also applicable to CIL for situation beyond CIL,s Control.

27. Other terms alld conditions

Any.terms and conditions of supply, not specified abov€, will be govemed by the NIT andalso by the General Terms and Conditions ofsupply of Stores ofCo-al lndia Limited enclosedas Annexure-s.

28. Pre- Contract Integrity Pact

GENERAL TERMS & CONDITIONS OF SUPPLY OF STORES

Delinitior

1. ln the interpretation ofthe contact and the generaland special conditions goveming it, i-rnless the

context otherwise requires :

(i) "Contract" means the invitation to tender, instructions to bidders, acceptance oftender, particulaN

and the general and special conditions specified in the acceptance oftender and includes a repeat

order which has been accepted and acted upon by the contractor.

(ii) The term "supplier" shall mean the Person, firm or company with whom the contract is placed

and shall be dierned to include the supplier in successors (approved by the purchaser),

representatives, heirs, executorc, administrators and permitted assignees as the case may be'

(iii) "Contract Price" shall mean the sum accepted or the sum calculated in accordance with the

price and/or terms accepted by or on behalfofthe purchaser.

(iv) The Chairman, means the Chairman of Coal India Limited. The Chairman-cum-Managing

i)irector means Chairman-cum-Managing Director of any of the Subsidiary Companies of Coal

India Limited, presently Central Coalfields Limited, Eastem Coalfields Limited, Westem

Coalfields Limit;d, Bhaiat Coking Coal Limited and Central Mine Planning & Design lnstitute

Limited, South Eastern Coalfieldi Limited, Nofihem Coalfields Limited, Mahanadi Coalfields

Limited and North Eastern Coalfields.

(v) The terms "Drawing" shalt mean the drawing the plans specified in or annexed the schedule or

specifications.

(vi) The terms "Purchase Executive" shall mean the purchaser or purchaser narned in the schedule to

Tender, his or their successors or assignees.

"lnspector" shall mean any person nominated by or on behalf ofthe purchaser to

Stores or work under the contract or his duly authorized agent'

(viii) The term "Progress Officer" shall mean any person nominated by or on behalfofthe purchaser

to visit supplier's works to ascertain the position ofdeliveries ofstores purchased'

(ix) The term "Materials" shall meao anlthing used in the manufacture or fabrication ofthe stores'

(x) The term "Particulars" shall mean the following :

7.(i) The price quoted shall be either FOR place or Railway Station ofdispatch, FOR Destination,

oiiivery fiee to ihe consignee, FOB or CIF as specified in the invitation To tender' All offers from

countries otherthan Purchaser's country shall quote on FOB and CIF basis.

(ii) In all cases the prices quoted must be net per unit shown in the enquiry and must include all

packing and delivery where applicable. Refunds on account of retumable packages(ifany) are to be

separately specified. The price should show separately the Foreign Exchange Element and the Rupee

Element for stores to be imported. Sales Tax shall be shown separately and whether it is State Sales

Tax or Central sales Tax. lfno mention is made about Sales Tax. it will be assumed to be included

in the price quoted.

The prices should be included ofexcise, or excise duty should be seParately mentioned. In case where

price is quoted inclusive of excise duty, the rate of quantum of the same should be separately

indicated. In case of contracts providing for free delivery to the consignee octroi charges shall be

included where leviable.

(iii) The price must be stated separately for each item on unit basis.

(iv) When quotations are made for units other than those specified in the enquiry, the relationships

should be stated.

(v) The prices quoted must be firm and the offers made must remain open for at least four months

from the date ofsubmitting quotations unless otherwise specified.

(vi) Tender must invariably be submitted alongwith illustrated literature giving complete and detailed

specification, particutars etc. ofthe main unit and ofthe standard accessories to be supplied with the

17. Inspection and Rejection

Generally the stores shall be ofthe best quality and workmanship and comply with the contract or

supply order in all respect. The stores supplied shall be in accotdance with specification unless any

deviaiion is authorized and specified in the contract or supply order or any amendment thereto'

(a) Facilities for Test and Examination

The supplier shall, at his own expenses, afford to the Inspector all reasonable facilities and such

*"or.odution u, .uy be necessary for satisfying itself, that the stores are being and/or have been

manufactured in accordance with particulars. The Inspector shall have full and free access at any time

during the execution of the contract to the suppliers work for the purpose aforesaid, and he may

require the supplier to make arrangements for inspection of the stores or any paft thereof or any

material at his premises or at any other places specified by the Inspector and ifthe supplier has been

permitted to employ the services of the sub-supplier, he shall in his contract with the sub-supplier

reserve to the lnspector a similar right.

(b) Cost of Test

The supplier shall provide without any extra charge, all materials, tools, labour and assistance ofevery kind which the inspector may demand from him for any test, and examination, other than

special or independent test, which he shalt require to be made on the supplier's premises and the

supplier shall bear and pay all costs attendant thereon. If the supplier fails to comply with the

conditions aforesaid, the lnspector shall in consultation with the purchaser, be entided to remove for

test and examinations all or any ofthe stores manufactured by the supplier to any premises other than

his(suppliers) and in all such cases the supplier bear the cost of transport and/or carying out such

tests;laewhere. A certificate in writing ofthe Inspector, that the supplier has failed to provide the

facilities and the means, for test and examination shall be final.

(c) Delivery of Stores for Test

The supplier shall also provide and deliverthe test free ofcharge, at such place other than his premises

(k) Nolificstion ofResult of Inspection

unless otherwise provided in the specification or schedule, the examination ofthe stores will be made

as soon as practicable after the iame have been submitted for inspection and the result of the

examination will be notified to the supplier.

(l) Marking ofStores

The supplier shall, if so required, at his own expense mark or permit the Inspector to mark all the

approved stores with a recognized Govemment or purchaser's mark. The stores which cannot be so

mirked shall, if so required by the Inspector, be packed in suitable package or cases each of which

shall be sealed and marked with such mark.

(m) Removal of Rejection

(i) Any stores submitted for inspection at a place other than the premises ofthe supplier and rejected shall

be removed by the suppliei subject as hereinafter provided within 14 days ofthe date ofreceipt ofintimation ofiuch rejection. lf it is proved that letter containing such intimation is addressed and

posted to him at the address mentioned in the schedule, it will be deemed io have been served on the

iupplier at the time when such letter would in the course ofordinary post reach the supplier. It shall

be-;ompetent forthe Inspector to callupon the supplier to remove what he considers to be dangerous,

infected or perishable stores with in 48 hours of the receipt of such int imation.

(ii) Such reject;d $ores shall under all circumstances lie at the risk ofthe supplier from the moment ofsuch rej;ction and if such stores are not removed by the supplier within the period aforementioned,

the Insiector/purchaser may either return the same to the supplier at his risk and cost a public tariffrate bysuch mode oftransport as the purchaser or Inspector may select, or dispose of such stores at

the supplier's risk on his account and retain in such portion ofthe proceeds as may be necessary to

cover;y expense incurred in connection with such disposal. The purchaser shall also be entitled to

appropriating, in part or in whole by deducting any sum or any other contract should this sum be

not sulficient to cover the full amount recoverable, the successful bidder shall pay Coal lndiaLimited and its subsidiary companies on demand the remaining balance. The supplier shall not be

entitled to any gain on any such purchase.

21. Ifthe execution ofthe contracrsupply order is delayed beyond the period stipulated in the

contmct/supply order as a result ofoutbreak ofhostilities, declaration ofan embargo or blockade'

or fire, flood, acts ofnature or any other contingency beyond the supplier's control due to act ofGod then Coal tndia Limited or its subsidiary companies any allow such additional time by

extending the d€livery period, as it considers to bejustified by the circumstances ofthe case and

its decision shall be final. tfand when additional time is granted by the Coal lndia Limited and its

subsidiary companies, the contract/supply order shall be read and understood as ifit had contained

from its inception the delivery date as extended.

22. The supplier shall allow reasonable facilities and free access to his wo.ks and records to the

lnspector, Progress Officer or such other Officer nominated for the purpose. Inspector of stores,

i.e. supplies made by the successful bidder against the supply order mentioned at (15) above, shall

be carried out by the Inspector/Consignee at the colliery site/stores or by the lnspecting Wing(inclusive of all its branch offices) of the DCS&D, New Delhi or any other agency as may be

specified in the supply order. Where necessary, inspection may be canied out at the supplier's

premises.

23. Coal India Ltd. and/or its subsidiary companies do not bind itselfto accept the lowest or any

lender and reserves to itselfthe right of accepting the whole or any part ofthe tender or portion ofthe quantity offered and the bidder shall supply the same at the .ate quoted.

30. Insolvency and Breach of Contract

(a) Coal lndia Limited and/or its subsidiary companies may at any time by notice in writing,

summarily determine the contract without compensation to the supplier in any of the followingevent, that is to say:

Ifthe supplier being an individual or if a firm any partner thereof, shall at any time be adjusted

insolvent or shall have a receiving order or order for administration ofhis estate made against him

or shall take any proceeding for composition under any lnsolvency Act for the time being in force

or make any conveyance or assignment ofhis effects or enter into any arrangements or composition

with his creditors or suspend payment or ifthe firm be dissolved under the Partnership Act.

(b) Ifthe supplier being a company is would up voluntarily by the order of a court or a Receiver,

Liquidator Manager on behalfofthe Debenture-Holders is appointed or circumstances shall have

arisen which entitles the court or Debenture-Holders to appoint a Receiver, Liquidatoror Manager.

(c) Ifthe supplier commits any breach ofthe contract not herein specifically provided

or,Provided always that such determination shall not prejudice any right ofaction or remedy which

shall have accrued or shall accrue thereafter to the purchaser and provided also the supplier shall

be liable to pay to the purchaser for any extra expenditure he is thereby put to and the supplier

shall under no circumstances be entitled to any gain on repurchase
