Dear Mr. Juadines:

Please be informed that your proposal for the above-cited project was favorably recommended by the Central Bids and Awards Committee (CBAC), endorsed by NHA Management and CONFIRMED by the Board of Directors in its Meeting No. 520 held on 2 June 2021 at a contract price of: FIFTY THREE MILLION TWO HUNDREP EIGHT THOUSAND FIVE HUNDRED EIGHTY FOUR AND 431100 ONLY (Php 53,208,584.43) pursuant to the 2016 Revised Implementing Rules and Requlations (RIRR) of Republic Act (RA) 9184, as amended, to be completed within Three (3) Years, renewable, subject to a "Very Satisfactory" overall performance rating during the term of the contract to be conducted semi-annually.

You are hereby required to submit within ten (10) calendar days from receipt of this Notice of Award, the documents indicated below pursuant to Section 37 .1.4.a of the 2016 RIRR of RA 9184, as amended before you formally enter into a contract with us:

1. Performance security, co-terminus with the final acceptance of the project, in accordance with anyone of the following schedule:

a. Five percent (5%) of the contract price - if in the form of Cash or Cashier's/ Manager's Check or Bank Draft/Guarantee or Irrevocable Letter of Credit issued by a Universal or Commercial bank.

b. Thirty percent (30%) of the contract price - if in the form of Surety Bond callable upon demand issued by a surety or insurance company duly certified by the Insurance Commission.

The original Official Receipt (OR) evidencing payment of bond premium shall be submitted to the NHA.

Failure to comply with the above requirements within the prescribed period, shall constitute sufficient ground for cancellation of the award and forfeiture of the bid security. This shall be construed as a waiver on your part to accept the award of the contract without further written notice, in accordance with provisions of Section 40 of the 2016 RIRR of RA 9184, as amended.

Further, submission of fraudulent or falsified documents and willful misrepresentation of any information provided shall be a ground for suspension or blacklisting in accordance with Sec. 69.4 of the 2016 RIRR of RA 9184 and the guidelines issued by the GPPB.

WHEREAS, the AGENCY is engaged in rendering private security services throughout the P ilippines and is duly licensed as such under Republic Act No. 5487, otherwise know~ as "The Private Security Law" and has offered to safeguard and protect the prop,rties, installations and other improvements of the AUTHORITY and to maintain and preserve peace and order in and around its premises at Package 2 - NCR North, WeJt, South and East 2 Regional/District Offices as may be identified by the AUTHORI~

WHEREAS, the AUTHORITY through the Central Bids and Awards Committee (CBAC), conduc ed bidding for the Procurement of Security Services, Package 2 - NCR North, we¥ South and East 2 Regional/District Offices and the award of the contract to the AGENCY was approved by the NHA Board of Directors per Board Resolution NO.6 64 dated June 2,2021 (Annex ''1'');

WHEREAS. in the Notice of Award dated June 2, 2021 (Annex "2") sent by the AUTHORITY to he AGENCY, the latter signed below the "Receipt Acknowledged and Conforms" ignifying that the contract shall be completed within the duration specified herein, and strictly in accordance with the AUTHORITY's approved Terms of Reference;

It i understood, however, that the AUTHORITY may increase or decrease the number of security guards at any time during the term of this contract in ca e of emergency or situations that would warrant immediate posting of guards in fl ase of imminent danger to life and property by sending a written Notice of Red etion or Addition, as the case maybe, to the AGENCY;

Preventing th entry, occupation of housing units and/or construction of illegal structureS/Sh~nties by squatters and/or project beneficiaries and any unauthorized extensions b project beneficiaries within the project area during the term of this contract The AGENCY shall report to the AUTHORITY within twenty-four (24) hours from i discovery any illegal entry, occupation of housing units and/or construction i the project area and evict or dismantle the same upon order of the AUTHORITY. and/or until the said structures/illegal construction/extension is dismantled by the AGENCY;

c. Maintaining a daily logbook to record the entry of vehicle and personnel including visitors/ bene iciaries while inside the NHA premises subject to official check by the NHA District anager concerned or its authorized representatives;

d. Issuance of 'roper and duly licensed firearms to all guards on duty and the provision of HF radios and/or cell phones and motor vehicles to ensure faster communicatio and mobility within the area secured.

e. The strict Obtrvance of a three (3) shift guarding system. The Shift Supervisor in the respectiv project shall closely coordinate all activities pertaining to secunty matters in onsultation with the District Manager concerned prior to imPlementatiT'

f. Imposing the riel observance and implementation of the NHA security measures;

g. In case of elergency situations like protest rallies at Package 2 projects and offices, or a ass entry of squatters or illegal entrants to the project site, the AGENCY sha I, upon written request of the AUTHORITY, provide such number of security guard required to augment the existing force who will be paid at the same rate as the re ular guards but on an hourly basis. Emergency situation shall be determined blthe Manager, BGMSD - GSD (NHA Main Office) or District Manager (Project Office&;

h. Submit a man' hly report on the security status of the area to the District Manager concerned an lor the Manager, BGMSD-GSD.

3. Contract Duratio

The term of this greement shall be for a period of three (3) years, commencing not later than the 7th day from receipt of the duly executed contract, provided, the AGENCY shall aintain a yearly "VERY SATISFACTORY" level of performance during the term of the contract to be conducted quarterly based on a set of performance crit ria prepared by the AUTHORITY or unless pre - terminated by either party for ause or causes provided under the law or for violation of any provision of this greement and the Terms of Reference (TOR).

4. Contract Cost an Mode of Payment

For the services bove mentioned, the AUTHORITY shall pay the AGENCY the sum of Fifty Three Mil ion Two Hundred Eight Thousand Five Hundred Eighty Four Pesos and 43/100 (~53, 08,584.43) per year. The AUTHORITY shall pay for each guard actually detailed as enumerated in "Annex 3" provision of this contract, the corresponding amount per month, provided, however, that the stipulated

compensation hall be reduced proportionately in the event the AGENCY fails to provide the req ired number of guards.

a. There shall e no employer-employee relationship between the AUTHORITY on one hand, and the guards the AGENCY may assign to perform the required services unde this Agreement, on the other hand. It is expressly understood and agreed that t e person to be assigned by the AGENCY to perform the services subject to thi Agreement shall remain the employees of the AGENCY only. As such, the AG ' NCY hereby warrants pertaining to the employment of labor laws now existing r which may hereafter be enacted including but not limited to the Minimum Wa e Law, the Social Security Act, the Workmen's Compensation Act, and the Labo Code, as amended. The AGENCY further warrants to hold the AUTHORITY ree from any claim for personal injury or damages including death caused by the guards of the AGENCY to any third person(s) where such injury or death arises i the course of the lawful performance of the duties of the said guard(s).

b. Discipline, su ervision and administration of the security guard to be assigned by the AGENCY under this Agreement shall conform to Republic Act 5487, otherwise known as "ThJ Private Security Law" and the implementing rules and regulations prescribed the e under by the Director General of the Philippine National Police as well as those of the AGENCY, All private security guards assigned in the project/field 0 Ices shall be under the direct supervision of the District Manager

It is hereby a. reed that upon commencement of its services, the AGENCY has received a co~y of the inventory of the properties, equipment, effects, building and facilities subje t of the security services which inventory is made an integral part of this Contract. Thereafter, there shall be an inventory of the above properties secured for th entire duration of this Contract and the turn-over of the same to the next shift in t e presence of the NHA authorized representative every twenty-four (24) hours. ere must be a submitted written official report of any untoward incident within the project/field offices to the District Manager concerned and/or the Manager, BG SD-GSD within twenty-four (24) hours from its occurrence. The AUTHORITY 1>hall report in writing to the AGENCY through its guard-in-charge assigned to the former, the existence or occurrence of such loss or damage of the AUTHORITY'~ properties for which the AGENCY is accountable, within seventy two (72) hour~ after its occurrence or discovery.

d. The AGENC~1 shall be solely liable and responsible for any loss, damage or injuries to per onnel, properties and equipment of the AUTHORITY arising from among other , theft, pilferage, destruction, or any other unlawful acts by any persons, stra gers, or third persons, attributed to the fault or negligence of its guards during the effectivity of this Agreement. The AGENCY further agrees and binds itself to ~demnify the AUTHORITY for any loss, injuries, or damages arising from or occasi ned by non-performance by the AGENCY and/or its employees or security guardl of their contractual obligations as herein stipulated. However, the AGENCY Shall assume no responsibility for the loss of any property belonging to the AUTHORITY not duly turned over to the AGENCY or where such loss is due to force majeure lor to fortuitous events. The payment for the value of the properties, equipment or "acilities lost shall, after joint investigation conducted for the purpose, be deducted f am the next billing of the AGENCY immediately preceding the loss or damage.

e. Upon termin tion of this Contract, there must be a formal turnover of accountabilitie of the outgoing security agency, to the incoming security agency.

For and in onsideration of the services rendered by the AGENCY, the AUTHORITY jSha" pay the AGENCY for each guard actually detailed as enumerated i Annex "3". Such service shall be rendered on 3-8 hour shifts per day including Saturdays, Sundays and Legal Holidays. Provided, however, that the stipulated compensation shall be reduced proportionately in the event the AGENCY fail to provide on detail the required number of security guards comprising the 24 hours security services or where any such guard fails to work

eight (8) hou daily. Before any actual payment shall be made, the AGENCY shall first submit a worn affidavit to the effect that the salaries of the security guards for the preGedin~month have been fully paid and shall attach a copy of the payroll for the salaries f the security guards corresponding to the period covered by its billing for pa ment. The AGENCY shall likewise attach proofs of remittance to SSS, PhilHe Ith and Pag-ibig Fund of the guards' contribution to the said government dgencies.

g. It is agreed t~at no security guard shall render more than eight - (8) hours work except durin!!! emergency cases and with the prior written consent of the AUTHORITY-L Security guards services rendered in excess of eight (8) hours shall be for thr account of the AGENCY.

h. In the event ~ the promulgation of a law providing the grant of other forms of emergency alowance and/or there be an amendment or change in the minimum wage of an e ployee, the AUTHORITY is bound by law to abide by the provisions of any Wage Act and Wage Orders issued by the respective Regional Wage Board. The A ENCY shall comply with all the AUTHORITY's instructions relative to the task.

i. This agreeme t shall commence on July 01, 2021 and shall continue to take full force and eft ct for a period of three (3) years; subject to a vel}' satisfactol}' performance based on an established set of criteria, to be conducted quarterly by he AUTHORITY, unless earlier terminated by either party for cause or causes pr vided under the law or for violation of any provision of this Agreement to take effect thirty (30) days from receipt of the written notice of termination.

a. The AGENCY shall at all times provide the required number of service personnel.

b. The Project anager or Supervisor, as the case may be, shall act and make decisio s in behalf and for the account of the AGENCY on matters arising from q estions or complaints raised by the AUTHORITY offices or by the service ersonnel themselves.

The AGENC through the District Manager or Supervisor shall provide the AUTHORITY' General Services Department (GSD) and/or concerned Project Offices with a list of employees to be assigned at the NHA Main Office and for concerned Pr ·ect Office and copies of their NBI clearance, medical certificate, drug tests, an bio-data with 1" x 1" picture.

e. The service p rsonnel must have been well screened, trained and found to be courteous, effilient. honest, reliable, trustworthy, cooperative, well - groomed, physically and mentally fit. For this purpose, the AGENCY shall furnish the AUTHORITY ith the corresponding copy of their Certificate of training for each service p rsonnel.

g. The AGENC and his service personnel deployed at the AUTHORITY shall agree to abidr. by the performance and security requirements of the AUTHORITY, in general anpin the office where they are assigned at all times; and comply promptly with the directives, instructions and existing rules and regulations of the AUTHORITY. For this purpose, all service personnel are required to attend an orientation se inar or briefing to be conducted by the AUTHORITY before they are allowed to work in the AUTHORITY.

h. The AGENCJ shall provide uniforms and nametags liD to its service personnel appropriate t1 their positions.

i. The AGENC~ shall see to it that its service personnel are physically and mentally fit and should not be under the influence of liquor or any prohibited drugs before they are alia Nid to report to their assigned post.

j. The AGENctmust have relievers available at any time to take over in case some regular service personnel are absent at no extra cost to the AUTHORITY. No trainees shall be allowed as a reliever even if they are allowed and identified as such.

k. The AGENC~' shall not assign or allow working in the premises service personnel who are not a ceptable to the AUTHORITY. The AGENCY shall give written notice to the AUTH RITY whenever any of these service personnel are to be replaced or removed.

I. The AUTHORITY shall monitor the performance of the AGENCY including the Supervisor a~ service personnel on detail in the respective AUTHORITY's offices and de ide not only on any and all questions which may arise as to the quality and a eptability of the service rendered. but also on their capability, competence nd readiness to perform their duties. In this regard, the AGENCY authorizes thiAUTHORITY to conduct a quarterly rating of all service personnel assigned to p rform the services subject of this Agreement.

m, The quarterly erformance rating of the service personnel shall be done by the respective A~HORITY Administrative Assistant/authorized personnel to be noted by the AUTH RITY Department Head of the area where they are assigned and shall be colla d and summarized by GSD. The said performance rating shall serve as basi of AUTHORITY for recommending the replacement of undesirable and incompetnt service personnel or a ground for the termination of this agreement bY,Ce AUTHORITY.

n. The AGENCY,shall require its service personnel to punch their Daily Time Record (DTR) and Si9~ in a daily attendance log sheet, to be handled by the GSD (at NHA Main) or auth rized representative in case of concerned Project Office. The DTR of relievers, if I ny, shall be identified as such in the same DTR.

o. The attendance log sheets, countersigned by the Supervisor or District Manager and noted by ISD authorized representative shall be submitted by the AGENCY to GSD for vali atian against the DTRs for the particular period.

7. Assignment and ub-Contracting

The AGENCY shall not sub-contract the performance of the Security Services subject of this Agreemen or any part thereof without the written consent of the AUTHORITY.

f. Any other ac or omission, committed by the AGENCY or its project manager, supervisor, se urity guards which is detrimental or prejudicial to the interest of the NHA, its offic rs and employee(s), or tarnished the image or reputation of NHA to the public;

g. Engaging the ervices of any of the officers and staff of the NHA especially in the Legal Depart1ent either by retainership or consultancy basis. Once known, the AGENCY sha I be served with notice of termination without prejudice to filing of administrative ase against the erring officer or employee;

h. The AGENC 'I violated any of the terms and conditions of the Agreement as discovered/de~ermined either by the NHA GSD, Legal Department, any concerned department/offjce or based on the audit findingslrecommendation by the Internal Audit Service; I

i. The AGENCylinCUrred two (2) times below satisfactory quarterly overall average performance fjting and/or had incurred two (2) times below satisfactory quarterly performance r tings in at least two (2) project offices;

If at any tim . the AUTHORITY finds the services herein performed by the AGENCY to unsatisfactory, the AGENCY shall have fifteen (15) days from written notice given by the AUTHORITY within which to correct or improve the unsatisfactory service. If the AGENCY fails to correct and improve the unsatisfactory services according to the AUTHORITY's specifications/standards

10. Additional Provi ions

a. Failure to settl the disagreement on the terms and conditions of the contract both parties agree to elevate the matter to the court for proper interpretation.

b. The AGENCylundertakes to insure each security guard and personnel assigned to the Project wi h the Employee's Compensation Commission and State Insurance Fund reqUire~under the New Labor Code. It is clearly understood by the parties that the pay ent of the corresponding insurance premiums shall be for the account and r sponsibility of the AGENCY.

c. Should there1e a breach of any term, conditions, or stipulations of this Contract and the AUT ORITY be constrained to file an action in court to obtain relief against the AGENCY, the AGENCY agrees and binds itself to pay the AUTHORITY n amount equivalent to thirty percent (30%) of the amount claimed in th~ complaint as Attomey's fee aside from the costs of the litigation and other exP:tnses which the law may entitle the AUTHORITY to recover plus additional liquidated damages.

d The agency s~all pay taxes in full and on time and that its failure to do so Will entitle the AU~irHORITY to suspend payment for the services delivered by the AGENCY. Mo eover, the AGENCY shall regularly present, within the duration of this contract, a tax clearance from the Bureau of Internal Revenue (BIR) as well as a copy of its ilome and Business Tax Returns duly stamped and received by BIR and duly validJed with the tax payments made thereon.

e. Any condonati n made by the AUTHORITY or its failure or delay to demand compliance wi h any of the terms and conditions of this Agreement shall not be

considered as a waiver or renunciation of any of its rights, powers and privileges under this A9jeement.

f. All documen s, papers of information derived or acquired by reason of this Contract shah be classified as strictly confidential and cannot be divulged or revealed to ahy person or entity without the written consent of the AUTHORITY and any violJtion thereof shall have no valid legal and binding force and effect upon the AUlliHORITY.

g. The parties ereby agree that the venue of action for any cause or causes of action which may arise from this contract shall be the proper court of Quezon City. PhiliPPi!S. exclusively.

This has reference with the Contract: Security Services for Package 2 - NCR North, West, South, and East 2 Regional/District Offices which was awarded in your favor, as per Notice of Award dated June 2, 2021 and duly received on June 21, 2021.

The Management has instructed your Agency to deploy the security manpower consisting of 159 security guards on July 1, 2021, for a period of three (3) years, subject to renewal, when an extension is granted in writing or the contract is earlier terminated. A grading evaluation of the overall performance shall be undertaken wherein you should maintain a "Very Satisfactory" overall performance rating.
