A review of my loan documents, research the chain of title, investigate ownership and securitization of my mortgage loan, and other related issues that may arise during the audit; ii. Prepare and provide me with a written report regarding the findings of the audit; iii. Consultation (phone or in person) with client regarding findings of loan audit. Desert Edge will take reasonable steps to keep Client informed on progress and to respond to Client’s inquiries. We generally complete loan audits within two weeks of being engaged by Client. IMPORTANT: Client agrees that all issues, questions, follow up phone consultations or related issues will be completed within two weeks of the report date. Follow up consultations after this time will be billed at $75 per hour, including requests for review of additional documents. The additional time required will be reasonably estimated and the fee is due in advance of the additional requested work.

CLIENT AGREEMENT AND DISCLOSURES

Desert Edge Legal Services, LLC, (“Desert Edge”) and ______________________

(“Client”) hereby agree that Desert Edge will provide services to Client on the terms set forth

below:

1. Conditions. This Agreement will not take effect, and Desert Edge will have no

obligation to provide services until Client returns a signed copy of this Agreement and provides

the documents set forth in the list of “List of Documents Needed for Loan Audits.”

Signing and returning this Agreement shall be evidence of Client’s intent to retain Desert

Edge to provide services.

2. Scope of Services. Client hires Desert Edge to provide a forensic loan audit for

property located at . This includes

the following services:

i. A review of my loan documents, research the chain of title, investigate

ownership and securitization of my mortgage loan, and other related issues that

may arise during the audit;

ii. Prepare and provide me with a written report regarding the findings of the audit;

iii. Consultation (phone or in person) with client regarding findings of loan audit.

Desert Edge will take reasonable steps to keep Client informed on progress and to

respond to Client’s inquiries. We generally complete loan audits within two weeks of being

engaged by Client.

IMPORTANT: Client agrees that all issues, questions, follow up phone consultations or

related issues will be completed within two weeks of the report date. Follow up consultations

after this time will be billed at $75 per hour, including requests for review of additional

3. Non-Attorney Disclosures. Client understands that Desert Edge is a non-attorney

legal services company and is therefore prohibited from giving legal advice or representing you

in a court of law. We recommend you consult with a licensed attorney to discuss your options

with respect to your individual situation.

4. Arizona Disclosures:

WE MAKE NO GUARANTEES WITH RESPECT TO THE FINDINGS OF A LOAN AUDIT. A

LOAN AUDIT BY ITSELF WILL NOT STOP A FORECLOSURE. WE DO NOT CONTACT YOUR

BANK OR NEGOTIATE ANYTHING ON YOUR BEHALF WITH ANY THIRD PARTIES. WE DO

NOT TAKE ANY INTEREST IN THE OWNERSHIP OF YOUR PROPERTY.

5. Federal Trade Commission’s Mortgage Assistance Rescue Services (“MARS”)

Disclosures:

DESERT EDGE LEGAL SERVICES, LLC IS NOT ASSOCIATED WITH THE GOVERNMENT.

OUR SERVICES ARE NOT APPROVED BY YOUR LENDER. EVEN IF YOU USE OUR

SERVICES, YOUR LENDER MAY NOT AGREE TO CHANGE YOUR LOAN. IF YOU STOP

PAYING YOUR MORTGAGE, YOU COULD LOSE YOUR HOME AND DAMAGE YOUR

CREDIT RATING.

5. Fee. Client agrees to pay a fee of $850 for the loan audit.

6. Payment. Client understands that no advance fee is collected for the loan

investigation. Upon receipt of a fully executed Client Agreement and receipt of documents

necessary to perform the audit (see “Documents Needed for Loan Investigation”), Desert Edge

will perform the investigation of Client’s loan.

Upon completion of the investigation, Client will receive a Summary Report of the

findings. Client agrees that the Summary Report will be satisfactory evidence that work has

been completed. Client agrees to make full payment within forty-eight (48) hours after receipt

of the Summary Report. Upon receipt of full payment, Desert Edge will release a Final Report to

client within twenty-four (24) hours.

Desert Edge Legal Services accepts payments via Paypal.com, cash, cashier’s check or

money order. We do not accept personal checks as payment.

Client agrees to pay Desert Edge’s collection costs, court costs and attorney fees in the

event Client does not pay any outstanding any balance.

7. Termination and Refunds. Client or Desert Edge may terminate this Agreement

at any time prior to the delivery of Client’s audit report. Termination must be in writing, signed

by the party terminating the Agreement, and delivered to the other party via US Mail, fax, or

electronic mail.

Termination of this Agreement does not terminate the obligation of Client to pay for

work performed. Client agrees to pay an hourly fee of $150 for each hour of work performed in

advance under this Agreement. A final invoice will be provided to Client within five (5) business

days of the date of receipt of the notice of termination. Client agrees to pay the invoice in full

within five (5) business days of receipt of final invoice.

Should a balance be owed to Desert Edge upon termination, Desert Edge, at its sole

discretion, reserves the right to retain Client’s materials until Client’s balance is satisfied.

Client agrees to pay Desert Edge’s collection costs, court costs and attorney fees in the

event Client does not pay outstanding any balance.

8. Disclaimer of Guarantee. Nothing in this Agreement and nothing in Ms.

Springer’s statements to Client will be construed as a promise or a guarantee about the

outcome of any matter. Desert Edge makes no such promises or guarantees. Ms. Springer’s

comments about the outcome of any matter are the expressions of opinion only.

9. Entire Agreement. This Agreement contains the entire agreement of the parties

and will be construed under the laws of the State of Arizona. No other agreement, statement,

or promise made on or before the effective date of this Agreement will be binding upon the

parties. If the Agreement is held in whole or in part to be unenforceable for any reason, the

remainder of that provision and of the entire Agreement will be severable and remain in effect.

CLIENT HAS READ AND UNDERSTOOD the foregoing terms and agrees to them as of the

date of this Agreement.
