Dealer Responsibility

Provide constructive feedback and insights on customers, possible product improvements, and on new products to ensure that the manufacturer and the authorizedCampiondealermeetthedemandidentifiedinthemarket.

Understandthatthereisabenefittobothpartiesthatextendsbeyondsimplyselling more product.

Maintain close collaboration with the manufacturer in the form of marketing, branding, and product development.

Remain focused on expanding its and the manufacturer’s business by stocking and selling new and existing designs created by the manufacturer, in the marketing area detailed and agreed upon within Campion’s dealer agreement.

Prioritize the value of service to the customer in establishing and maintaining customer satisfaction and the reputation of Campion, the Dealership and the Products.

Undertake all advertising, promotional and selling activities as may reasonably be required to meet the market potential for Campion boats in Dealer’s area.

Adhere to Campion’s Brand Guidelines as it relates to any and all Campion related marketing activities.

Display Campion boats in its showroom and on its premises in a prominent manner and in such quantities as agreed upon by Campion and the Dealer as part of the annual commitment.

Identify its place of business as an Authorized Campion Dealer by means of outdoor signage and other means, all consistent with the image and quality of Campion boats and accordance with Campion’s Brand Guidelines.

Attempt to achieve sales performance in accordance with a reasonable order forecast and commitment – agreed to by Campion and the dealer.

Completely populate Campion warranty registration cards on the day each sale completes and return to Campion Marine Inc., as per the warranty registration policy. If warranty registration is not completed within 30 days of the time of sale, Campion has right to reject future claims.

Provide prompt warranty and repair service to all Campion boat customers regardless of where the boat was purchased.

Maintainaservicedepartmentstaffedwithemployeestrainedintheserviceandrepair of Campion boats, engines and components of each boat (including basic fiberglassrepairs).

Dealer Responsibility Cont.

Perform all warranty work on Campion boats at no charge to the customer and in accordance with Company’s warranty procedures and policies.

Prior to delivery of a Campion boat to a customer, the Dealer will inspect and test the boat and all its systems to ensure that it will operate properly.

At the time of delivery of a new Campion boat to a customer, the Dealer will instruct the customer in the safe proper use and operation of the boat being purchased.

Understands that to be eligible for PY22 Dealer Programs and Incentives that dealer must place a mutually agreed upon stocking order with their Campion Sales Manager. This order must be completed by the close of business on August 31st, 2021. Due to the industry lead times, it is strongly suggested to submit your orders before that deadline.

Abide by all policies, standards, guidelines, procedures and programs put in place by Campion for its dealers.

Manufacturer Responsibility

Provide constructive feedback and insights on dealership best practices, and possible improvements to the dealer to ensure that the authorized Campion dealer andthemanufacturermeetthedemandidentifiedinthemarket.

Listen to the Authorized Campion dealership’s market feedback and attempt to address the dealership’s concerns.

Regularly design and introduce new boats and related products that grow both the manufacturer’s and the authorized Campion dealership’s business.

Understandthatthereisabenefittobothpartiesthatextendsbeyondsimplybuilding and selling more product.

Maintain close collaboration with the Campion dealership in the form of marketing, branding, and product development.

Reimburse Authorized Campion dealerships for warranty labor at the rate agreed tobyDealerandCompanyandinthemannerspecifiedintheCompany’swarrantypolicies and procedures.

Be fair when assessing and paying warranty claims that our dealers have submitted. Will provide prompt and courteous service to our valued dealers.

Strategically arrange advertising and promotional activities required to meet the market potential for Campion boats and its Dealer’s.

Provide Dealer with marketing collateral that could include catalogs and other promotional materials.

Provide Dealer with sales, marketing and promotional assistance (through coop programs, etc.) and advice where and whenever possible.

Maintain a positive code of conduct as it relates to serving our dealers and the end users of Campion boats (support and knowledge)

Prioritize the value of service to its dealers in establishing and maintaining customer satisfaction and the reputation of Campion, the Dealership and the Products.

Model Year 2022 Annual Ordering Program

Dealer and vendor forecasting remain a top priority for Campion Marine in Model Year 2022 due to supply chain challenges. In order to continue providing a steady delivery of product to your dealerships, Campion continues to ask for your cooperation by providing us with your orders as far in advance as possible.

Campionwillcontinuetosupportyoursaleseffortsbyofferingthefollowingfinancialsupportandincentivesforyourorders:

• Sept.toDec.invoices8monthswholesalefinanceassistance(NorthAmericaOnly) or 3% cash discount (All Dealers)

• Jan.toMarchinvoices6monthswholesalefinanceassistance(NorthAmericaOnly) or 2% cash discount (All Dealers)

• ApriltoAug.invoices4monthswholesalefinanceassistance(NorthAmericaOnly) or 1% cash discount (All Dealers)

• 80% posted labor rate for warranty (native currency)

• Co-op payable upon reviewed/approved claims as per program

Model Year 2022 Currency Conversion Policy

In past model years, Campion set a program yearlong FX rate into our U.S. pricing but due to dramatic changes on a month-by-month basis, we have to make a small change to that policy. As such, Campion does not wish to use currency conversion asasourceofprofitandasmentionedtheUSandCanadaexchangerateshasbeen changing dramatically month over month.

In order for us to hedge against currency risk and in the spirit of transparency we are going to change how our US boat prices are going to be calculated. We are going to us the average FX rate over the previous 3 months from the time of completion to calculate our US prices. The foreign exchange rate will be calculated using the Bank of Canada foreign exchange currency converter based on closing.

For example, if a boat is produced in July, we will use the average exchange from the Bank of Canada from April 1 to June 30. If this is retail sold boat, please let us know and we will FX price protect at that point. If you have any questions, please contact your Campion Sales Rep for further details.

Dealer Wholesale Financial Assistance Programs

Forour2022modelyearthewholesalefinancialassistanceprogramwillbeprovided by: •TCF Commercial Finance •Northpoint Commercial Finance •Yamaha Finance

The2022modelprogramrequiresnodownpaymentandwillbeineffectforshipmentsdeliveredfromJuly1,2021throughtoJune30,2022.Freightisfinancedin this program.

To Qualify You Must:

1. Have placed a mutually agreed booking order for PY22. Due to current lead times and supply chain strains, Campion will recognize a dealer stocking order as of July 1, 2021 or you may wait until the 2022 Campion Virtual Dealer Meeting.

2. Meet the credit requirements and have established an adequate Floorplan line of credit with Campion Marine LP will be billed directly by TCF Commercial Finance, NorthpointCommercialFinance,orYamahaFinanceforyourfreefloorplaninterest during the applicable program dates.

Youroutstandingbalancewillconverttoyourestablishedfloorplanarrangementsat the completion of the terms indicated on your invoice as per the 2022 printed program.

Curtailments and Maturities

TCF Commercial Finance, Northpoint Commercial Finance, or Yamaha Finance have curtailments and maturity policies that must be accepted and followed. We would suggestyoucarefullyreadthefloorplan’scompanycurtailmentpolicyandfullyunderstand your obligations.

If you require further explanations regarding these programs, please speak to your TCF Commercial Finance, Northpoint Commercial Finance, Yamaha Finance representative or your Campion Sales Representative.

FailuretoremitcurtailmentpaymentstoyourfloorplanlendershallbeconsideredadefaultunderthetermsofyourfinancingagreementswithTCFCommercialFinance, Northpoint Finance, or Yamaha Finance.

GST/HSTCanadiandealersarerequiredtopaytotheirfloorplanleadertheamountofthefederal GST/HST levied on each invoice 90 days after invoice.

Dealership Demonstrator Boats

Anyboatthatiswholesalefinanced,beingusedasanin-waterdemonstrator,with the unit being left in the water for more than three (3) days, must have prior approvalfromCampionMarineandthewholesalefinancecompany.Acurtailmentof 10% of the purchase price plus freight charges must be paid.

Fees/Surcharges

Anyfeesand/orsurcharges,chargedbythefinancecompanies,willappearasaseparate line charge on the boat invoice.

Dealer Demo Program

There is no easier way to sell a new boat than after taking a potential customer for a demo ride in a quality Campion boat. Demo boats also are a fantastic way to supportopenhouses,rideanddriveeventsandonwateradvertisingefforts.

Campion is pleased to continue the dealer demo program with the following details:

• At the time of ordering Dealer must note dealer demo and must be submitted with another duplicate order for stock. Demo boat will receive a 5% demo discount as well as:

• Either6monthswholesalefloorplaninterestassistance(NorthAmericaOnly)oran additional 1.5% cash discount (All Dealers).

• Dealers are allowed one demo per year. Eligible models include: R22, EX22 DC, C23, C20, A23, and EX20 SC

• Boat must be in stock for demo use for a minimum of 90 days or 20 hours use prior to selling.

• Wholesalefinancecompaniesmayrequireapprovaltousetheboatasademo.Pleaseseewholesalefinanceproviderfordetails.

• At time of sale, demo boats will receive regular Campion warranty once registered as per warranty registration terms.

Campionreservestherighttochangethisprogramwithoutnotice.Pleaseconfirmprogramavailabilitywithyoursalesrepresentativebeforefinalizingyourorder.All demo boats will require factory representative approval prior to activation of program.

TRANSPORTATION PROGRAMPY22

For the 2022 model year, transportation costs will be based on a per-boat cost for yourspecificzone/territory.Pleaseseetheattachedschedulefordetails.

Unloading Boats

We ask that you continue to minimize the delay in unloading boats. We do not believe in stand-by charges. However, should the unloading period exceed 2 hours, there will be a charge of $100 per hour. Please try to turn our driver around as quickly as possible. We will try to continue to call in advance, so that your arrangements may be made with the unloading equipment. All Campion trucks and drivers are equipped with cell phones.

Campion is responsible for loading and transporting of boats to the Dealer’s business when our trucks are used. Campion’s responsibility ends when our truck arrives at the Dealer’s business. Unloading, and any damages that occur while unloading, are the responsibility of the Dealer.

Delivery

Boatsmustbeacceptedwhenyouarenotifiedtheyareready.Upondelivery,pleaseinspecttheboatscarefullyandfillouttheshippingreports.Thedriverwillassist you in the delivery procedure.

Extended Swim Platform and T-Top

Campion will do its best to ship the boats with extended swim platforms or T-Tops installed. In the event a boat is shipped without these installed, because of limited shipping space, the dealership will be charged the normal freight (as if they had not ordered the extended swim platform or T-Top). Campion will not accept being charged for installation of the extended swim platform or T-Top at the dealership, in lieu of the reduced freight rate.

Campion reserves the right to charge for miscellaneous items shipped with our trucks.

DEALER CO-OP PROGRAMPY22

Co-Op Advertising Program 2022 Model Year Terms & Conditions

For a dealership to be eligible for this program, the dealership must attend and place a mutually agreed upon booking order at the 2022 Campion Dealer Meeting.

Proposals must be submitted to Campion marketing department at least 30-days in advance of media placement for review and approval. Proposals not submitted for approval will not be reimbursed.

Any proposals/claims that do not adhere to Campion’s logo and brand guidelines will be rejected.

ThePY22Co-opAdvertisingProgramisineffectfromJuly1,2021throughJune30,2022.

All claims must be made within 60 days of the co-op activity, and within the above programdates.

All approved claims will be paid to dealership account.

All reimbursements will be made in the regular currency in which your company and Campion Marine do business.

Only media space and broadcast time are eligible for reimbursement. Any additional fees like creative expenses, production or ad agency fees, etc. will not be considered and are not eligible for reimbursement.

All claims for Co-op must be made on the Co-op Advertising Claim Form, which are in the dealer program section of this dealer manual. Claims not made of these forms will not be considered.

Theadvertisingactivitymustnotbemisleadinginregardtoprice,specificationsorfeatures.

Campion Marine reserves the right to modify this program with 30 days’ notice to our dealers.

Web and Social Media GuidelinesPY22 Terms and Conditions

ReimbursementCampion will co-op 50% of the net cost of web or social media ads that 100% promote Campion boats.

Creation costs or any extra charges do not qualify for co-op.

The Campion co-op ad must adhere to Campion’s brand guidelines and clearly display Campion’s logo and one or more recognizable Campion boats.

Campion will not co-op ads that promote other brands, products or services of any kind.

Required Submissions• Completed Campion Advertising Proposal form.• Completed Campion Advertising Assistance claim form.• Copy of the digital ad.• Copy of Invoice.• Claims must be submitted within 60 days of ad placement.

Newspaper & Publication GuidelinesPY22 Terms and Conditions

Reimbursement50% of the net ad space costs, after any discounts or commissions that promote Campion boats.

Campion Marine will not co-op and ads that promote other boat brands, used boats or accessories, etc. along side the Campion boat(s) in the ad. Campion Marine will only co-op ads devoted exclusively to your dealership and new Campion boats.

Campion Marine will reimburse your dealership for ad space cost only. Any additional related costs such as creative costs do not qualify for co-op.

The Campion co-op ad must include the following:

One or more recognizable Campion boat(s).

The Campion trademark displayed clearly and in proportion to the rest of the ad. Please see that section for rules concerning the use of the Campion trademark.

Required Submissions• Completed Campion Advertising Proposal form.• Completed Campion Co-op Advertising Program claim form.• Copy of ad invoice showing the net cost of the ad space cost.• Original full-page tear sheet(s) of the ad(s) showing name and date of the newspaper or

publication.• Claims should be submitted within 60 days of the placement of the ad. Note: Advertising

outside your assigned territory will not qualify for co-op.18

Radio GuidelinesPY22 Terms and Conditions

ReimbursementCampion Marine will co-op 50% of the net cost of the radio spot which promotes Campion boats.

The radio ad must be devoted to promoting Campion boats by your dealership. Campion Marine will not co-op any radio ads that promote any other boat brands along with Campion boats.

Creative costs or any extra charges of that nature do not qualify for co-op.

The radio ad must promote 2022 Campion boat models and mention Campion’s trade name as follows: -2 times for a 30-second ad -3 times for a 60-second ad

Required Submissions• Completed Campion Advertising Proposal form.• Completed Campion Co-op Advertising Program Claim Form.• Copy of complete audio portion of the ad, as well as a copy of the radio script.• Invoice from the radio station showing a net cost of the ad after any discounts.• Claims should be submitted within 60 days of the placement of ad placement.• Affidavitfromradiostationlistingspotairtimesandstations.

Television GuidelinesPY22 Terms and Conditions

ReimbursementCampion Marine will co-op 50% of the net cost of air time on licensed television stations which promote 2022 Campion boats.

Campion marine will not co-op an ad that has other boat brands or other items included in the television commercial.

A Campion co-op television spot must have at least one recognizable 2022 Campion trademark incorporated in the ad. Rules for the use of this trademark are included in this manual.

A Campion co-op television spot must also show at least one recognizable 2022 Campion boat.

The audio portion of the commercial must also mention the Campion trade name as follows: -2 times for a 30-second spot. -3 times for a 60-second spot. -Creative costs or any extra charges of that nature do not qualify for co-op.

Required Submissions• Completed Campion Advertising Proposal form. • Completed Campion Co-op Advertising Program claim form.• Invoice from the TV or cable station showing a net cost of the ad after any discounts.• AffidavitfromtheTVorcablestation.• Video tape of the commercial.• A copy of the script which details the audio and visual portions of the commercial.• Claims should be submitted within 60 days of the placement of the ad.

Dealer Responsibilities2022 Model Year Terms & Conditions

Dealer Demo Boats

Warrantycoveragemaybeaffectedonboatsthatareusedforextendedpersonaluse or demonstration. The 2-year vinyl, 2-year canvas and 3-year gelcoat fracture warrantiesareexamples.Incaseswherethewarrantycoveragehasbeenaffected,Campionmayatitsdiscretion,offerthedealerassistancetopreparetheboatforinitial sale.

Non-Current Boats

Boatcomponentsmaysufferdamageduetoprolongedexposuretoweatherconditions. Warranty coverage on items such as vinyl and canvas may be void if the boat is at the dealership longer than two calendar years.

Items covered by parts manufacturer’s warranties are subject to their items of coverage. Warranty coverage by the part manufacturer may begin when the dealer takes procession of the boat, and not when the boat buyer takes procession.

Boat Delivery Inspections

Each boat must be inspected for damage and reported, with photos, within 5 working days, to the Campion Warranty Department at [email protected]. Damaged reported after the 5-day period will not be covered under warranty and repairs related to this damage will become the responsibility of the dealership.

Shrink-wrap must be removed within the 5-day period as condensation may cause blistering under the tape line. Removal of shrink-wrap will also provide the opportunity for a complete inspection.

DecalsInspect decals upon delivery of the boat of the dealership. Point out any damage / defects to the driver and ensure details are noted on the driver’s load sheet. Email photos to [email protected] within 5 working days of delivery. Decals are easily damaged during normal use (docking, trailering, etc.) and are not covered by warranty.

It is important that feedback be returned to our production / shipping departments as soon as possible following delivery to your dealership.

Boat Storage Inspections and Care

New boats that are stored on dealer’s lots for extended periods require regular inspection and care. Campion recommends that boats are inspected weekly. Boats require good air circulation and frequent inspections to ensure rainwater, bug waste,rodents,birds,etc.donotcausedamagetothefinishandcomponents.

Boatsbeingstoredbeyondoneyearrequirethestainlessfinishestobepolishedand vinyl surfaces cleaned with a method recommended by our supplier. Our vinyl supplier currently recommends cleaning light soiling with a solution of 10% household liquid dish soap in warm water, applied with a water-dampened cloth. Rub gently and rinse with a water dampened cloth.

Boats in storage for over two years that show evidence of neglect or improper care will be subject to warranty coverage revisions.

EFFECTIVE WITH ALL 2022 MODELS

DisclaimerThe information in the Campion warranty policy supersedes all other publications, including but not limited to, Owners Manuals, Supplier brochures and Internet sources.

Limited 10 Years – HullCampion warrants the hull, stringers, motor mounts, hull and deck joints including floorandtransomofeachnewCampiontobefreeofstructuraldefectsinmaterialsand workmanship under normal use for a period of 10 years from date of delivery to the original retail sale.

Limited 10 Years – DeckCampion warrants the deck including hull and deck joints of each new Campion to be free of structural defects in materials and workmanship under normal use for a period of 10 years pro- rated from date of sale to the original retail sale.

Limited 3 Years – Blister FreeCampion warrants all boats to be blister free for a period of 3 years pro-rated.

Limited 2 Years – CanvasCampion warrants all “Sunbrella®” canvas for a period of 2 years pro-rated.

Limited 2 Years – ComponentsCampion warrants bilge blower, steering wheel, seat mechanisms and hinges for a period of 2 years. When these or other components are covered by the parts manufacturer’swarranty,theirwarrantybecomesthewarrantyineffect.

Limited 2 Years - UpholsteryCampion warrants upholstery for a period of 2 years pro-rated. It is essential that boat owners use care and cleaning practices as approved by the vinyl manufacturer.

Wake Towers & Towing CleatsThe manufacturers of towers and ski poles administer their own warranty policies. Towers,skipolesandCampiontowcleatsarenotdesignedfortowinginflatabletubes or other boats. These are designed to pull a water skier, wake surfer and wake boarder. Towing anything other than what they are designed for will result in voiding the warranty and may create a potential safety hazard. Stresses on wake towers may loosen tower joints. Tower bolts need to be checked prior to each use.

InstrumentsFaria Marine Instruments has successfully implemented a Dealer Direct Instrument warrantyprocess.CampionMarinesupportsFaria’seffortstoensureanefficientprocess those results in longer coverage and a fast replacement time.

Transfer of WarrantyCampion’sconfidenceintheproductandourwarrantycommitmentscanextendafter the original purchaser chooses to move on to another new boat. The remainder of the original warranty can be transferred to the second owner for a fee of $195. This warranty is transferable within 5 years of the original retail sale. The transfer fee must be paid within 30 days of the used boat purchase. Only applies for boats manufactured August 1, 2019 forward. Contact [email protected]. Proof of purchase date is required.

CONDITIONS

Limited 10 Years – Hull and Deck WarrantyAnystructuralhull/deckdefectinfiberglassmaterialorworkmanshipwhichis reported within ten years of the date of the original retail purchase, will be repaired or replaced at Campion’s sole discretion. The hull shall mean the single fiberglassmoldedshellandintegralstructuralcomponents.Thedeckshallmeanthefiberglassmoldedshellandintegralfiberglassstructuralcomponentsabovethehullflange,example:rubrail.Astructuralhull/deckdefectshallmeanasubstantial defect in the boats hull / deck which causes the boat to be unsafe or unfitforuseasapleasurecraftundernormalboatingconditions.

Limited 3 Years – Blister Free WarrantyIftheblisterrepairisdoneinthefirstyearofownershipbytheoriginalpurchaser,Campion will be responsible for 100% of the repair. If the repair is done in the second year Campion will be responsible for 66% of the repair. If the repair is done in the third year Campion will be responsible for 33%.

A marine barrier coating must be properly applied to the hull bottom if the boat is to be left in fresh or saltwater for more than 30 days in any 90-day period. A marine barrier coating is also required if the boat is to be bottom painted (failure to take such actions in such circumstances will also void this Three-Year Limited Hull Blister Warranty)

Warranty coverage is limited to a one-time repair not to exceed $150 per foot of boat length prior to pro-rating.

Limited 2 Years Pro-Rated WarrantiesIftherepairsaredoneinthefirstyearofownershipbytheoriginalpurchaser,Campion will be responsible for 100% of the repair including parts and labor. In year two Campion will be responsible for the replacement of the parts only.

Owner ObligationsTransportation costs are the owner’s responsibility. Transportation to and from an authorized Campion dealer or to and from the Campion factory, or designated repair facility for warranty repair will be at the owner’s expense.

Failure to warranty register your Campion within 30 days of sale can lead to cancellationofwarrantycoverage.Thisisacriticaltaskintrackingfieldinventoryas well as customer communications, we appreciate your cooperation in this matter.

In no event will the liability of Campion under this warranty exceed the purchase priceofthespecificitemoritemstowhichthiswarrantyrelates.Allwarrantyrepairs are subject to authorization of factory trained personnel of Campion Marinewhosedecisionwillbefinal.

The owner must notify the dealer from whom the boat was purchased of any claim under this warranty within thirty (30) days after the claim or defect is or with reasonable diligence should have been discovered.

The owner must follow any service guides available from Campion Marine or by the manufacturers of component parts.

Campion will not be liable for special or consequential damages, such as, but not limited to, damages for cost of replacement goods, or damages for claims of third partiesagainstthepurchaser,ordamageforlossofprofitand/oruse.

To validate this warranty, the original retail purchaser must sign the ‘Customer Quality Assurance Record’ which contains warranty registration information. The ‘Customer Quality Assurance Record’ must be returned to Campion Marine within 15 days after the purchase of any new Campion boat covered by this warranty.

In no event shall Campion Marine be responsible for incidental, consequential, or other damages including, but not limited to expenses for gasoline, mechanics travel time, launch and haul-out charges, towing charges, rental for like product while service is being performed, travel, lodging, loss or damage to personal property, loss of use of product, loss of time or convenience. Campion dealers are not agents of Campion Marine.

THIS LIMITED WARRANTY DOES NOT COVER:

• Windshield breakage, fading and deterioration of paints, canvas, upholstery and fabrics.

• Gelcoat surfaces including but not limited to cracking, crazing or discoloration beyond the 1-year limited period from retail customer purchase date. Through the processes of lamination and gelcoat application, cosmetic gelcoat imperfections may occur. At its discretion, Campion Marine reserves the right to determine the necessity for repair of such minor imperfections.

• Damage caused by misuse, accident, negligence, Act of God, galvanic corrosion, lack of proper maintenance or improper transportation or trailering.

• Accessories and items which were not part of the boat when shipped from the Campion factory and / or damage caused thereby;

• Component parts covered by part manufacturer’s warranty. This includes but is not limited to; pumps, instruments, stereos, propellers, controls, wake board tower, ski tripod bar, or any other components covered by the manufacturer’s warranty.

• Any boat that has been re-powered beyond Campion’s power recommendations.

• Warranty does not apply to engines, outdrives, propellers, controls, generators, air conditioners, radios, wake towers, TV/VCR, radar, VHF radios, appliances or items that carry their own separate warranties.

• Any Campion boat that has been misused, used in a negligent manner, altered, used for commercial purposes, racing or rental.

•Finishedglasssurfaces,fabrics,chromeplatedorstainlesssteelfinishesduetovaryingeffectsresultingfromdifferentclimaticconditions.

• Powder coated surfaces are not covered under this warranty policy. Boat owners are advised to ensure marine sealant is used to seal any holes drilled into power coatedparts.Scratchesandchipsinthecoatingmustberefinishedtoreduce corrosion forming under the power coated surface.
