Recent NewsFederal — JudicialGathering Agreements; Covenants – Texas. As part of the Sabine Oil & Gas Corp. bankruptcy case, In re: Sabine Oil & Gas Corp., et al. (Case No. 15-11835), a federal judge ruled on March 8 that under Texas law, the gas gat-hering agreements at issue do not constitute or contain covenants running with the land. As a result, Sabine will be permitted to reject the contracts and the counterpar-ties would be treated as unsecured creditors. Read more.

Federal — RegulatoryMethane Emissions. The U.S. Environmental Protection Agency (EPA) said last Thursday it will develop regulations to expand its clamp down on methane emissions from oil and natural gas drilling to all existing wells as part of a joint strategy unveiled by President Barack Obama and Canadian Prime Minister Justin Trudeau to tackle climate change and reduce greenhouse gas emissions from the energy sector. “We will begin with a formal process to require companies operating existing oil and gas sources to provide information to assist in the development of comprehensive regulations to reduce methane emissi-ons,” said EPA Administrator, Gina McCarthy. State — RegulatoryPermitting – Michigan. (Update to 2/22/16 Weekly Report) The state’s environmental agency has granted a permit to drill an exploratory oil well on church pro-perty in suburban Detroit. The Michigan Department of Environmental Quality is allowing Traverse City-based Jordan Development to drill at Word of Faith International Christian Center in Southfield, despite city leaders actively opposing drilling on the site. The agency decision came after a February 17 meeting in Southfield that attracted about 1,000 supporters and opponents. Read more.

State — LegislativeDrilling Permits – Louisiana. On March 4, HB 632 was pre-filed by Rep. Jim Morris (R) and provisionally referred to the Committee on Natural Resources and Environment. The bill provides for specified amounts of financial secu-rity required by applicants for drilling permits, and allows exemptions for certain operators in good standing. (See

more below under State-by-State Legislative Session Over-view) Read more.

Mineral Rights – Louisiana. On March 4, HB 634 was pre-filed by Rep. Tanner Magee (R) and provisionally refer-red to the Committee on Civil Law and Procedure. The bill amends existing law to include lands appropriated by an acquiring authority, such as a government or agency, to allow for prescription of nonuse and the intent to reserve or exclude mineral rights from such lands. Employee Misclassification – Louisiana. On March 4, HB 665 was pre-filed by Rep. Patricia Smith (D) and provisi-onally referred to the Committee on Labor and Industrial Relations. The Democratic bill provides for an increase in the administrative penalties assessed for the misclassifi-cation of employees. Given the Republican control of both chambers of the legislature, and the brief legislative ses-sion which ends on June 16, committee and bill passage is highly unlikely. Read more.

Spacing; Pooling – Pennsylvania. On March 4, SB 1145 was introduced by Sen. Gene Yaw (R) and referred to the Environmental Resources and Energy Committee. The bill would exclude from the state Oil and Conservation Law any wells that unintentionally penetrate the Onondaga horizon and do not intentionally produce oil or gas from the Onon-daga horizon, as it relates to spacing and pooling under current law. State — JudicialPermitting – Colorado. On March 9, the Greeley City Council overturned a decision made earlier this year by Greeley’s planning commission to deny an oil and gas operator a permit to drill 22 wells near neighborhoods. The Council’s decision maintained Greeley’s consistent record of green-lighting oil and gas proposals that come before the city situated in the mineral-rich Denver-Julesburg Basin. “We have to protect the private property rights of many citizens of Greeley who have mineral rights and have the right to access them,” said Mayor Tom Norton in support of the permit approval. Royalty Payments – Texas. A number of law firms have joined forces and filed multiple petitions in the District

Recent News (cont’d)Courts of McMullen County, Dimmit County, and La Salle County, Texas against Chesapeake Exploration LLC and others for breach of contract. The legal consortium alleges that the defendants have materially breached contractual obligations resulting in underpaid royalties under lease agreements for wells on approximately 30,000 acres in the Eagle Ford. Read more.

Production Payments – Texas. On February 26, the Texas Supreme Court ruled that production payments, like overriding royalty payments, cannot survive the termination

of their respective oil and gas leases. In Apache Deepwa-ter, LLC v. McDaniel Partners, Ltd. (Case No. 14-0546), the Supreme Court disagreed with the El Paso Court of Appeals and handed down an opinion consistent with other prevailing oil and gas authorities. In reversing the appel-late court decision, the Court said that “[a]bsent express language in the assignment to the contrary, we apply the general rule that when an oil and gas lease terminates, the overriding royalty [or similar production payment] created in an assignment of the lease is likewise extinguished.” Read more.

The Assumed Contract ChimeraBy: Philip Eisenberg, Berry D. Spears, and Martin Gibson

We are often asked what to do if you have an operating agreement and your operator or one of the other working interest owners files for bankruptcy. The Bankruptcy Code allows the debtor to assume or reject the JOA (it is usually an executory contract).

If the debtor assumes the JOA, then it must cure defaults that arose before and after the petition date and must provide adequate assurance of future performance. In some cases the debtor assumes the JOA and then assigns it to a third party notwithstanding contractual provision that might seek to limit assumption or assignment to third parties (with or without consent).

The purpose of the JOA, in addition to providing for operations, is to allocate costs and benefits and provide remedies in the event of a default by one of the parties. Once a JOA is assumed, the non-debtors may rest easier – but be careful because some of the default provisions may not work. Some courts have held that if a debtor defaults or makes a non-consent election, the accrual of amounts owed by the debtor for lease acquisition, capital spends, or operations are considered “borrowings” and must be separately approved even if the payment of such amounts must come from production and cannot be collected directly from the debtor. Thus, one of the primary functions of the JOA may be rendered illusory.

A non-operator under a JOA should take prompt action to protect its rights. As a general rule, once a debtor files bankruptcy no further action should be pursued without bankruptcy court approval; but a consultation with your counsel is advisable in the cases of setoff, recoupment, and M&M liens. The time period between a bankruptcy filing and the assumption or rejection of the JOA, is called, cleverly, “the Twilight Zone.” During the Twilight Zone, the JOA may be held to be enforceable by the debtor but not against the debtor. If the debtor is a non-operator and it chooses to enforce, or receive the benefits of a JOA, the debtor non-operator may become bound by the same terms of the agreement because “the debtor-in-possession is obligated to pay for the reasonable value of those services, which, depending on the circumstances of a particular contract, may be what is specified in the contract.” Under some circumstances the inadvertent assumption of an obligation can be a true trap for the unwary.

If a debtor rejects the JOA then the JOA is deemed breached. The time of breach is determined by the bankruptcy court which can be immediately prior to the petition date, the date of the filings of a motion to reject or at another time. The JOA then becomes ineffective as to the debtor but remains in effect as to the remaining parties to the JOA. The rejection is not a rejection of the underlying ownership interest and it is not clear in what capacity the debtor owns the interest (as a co-tenant, free of the JOA?).

NEXT GENERATION LANDMEN

Next Generation Landmen (“NGL”) is a group within the Dallas Association of Petroleum Landmen (“DAPL”) that promotes the development of young professionals in an educational and social setting.NGL is mostly comprised of DAPL members ranging from 0-15 years of experience, but all members of DAPL are encouraged to attend events. Throughout the year NGL hosts educational luncheons, happy hours, seminars, sports events and joint meetings with other local energy associations. Participating in Next Generation Landmen is free and allows DAPL members to get additional value out of their annual dues.

NGL Connections is a mentor program that connects interns and NGL’s with Senior Landmen to address the experience gap within our profession. NGL Connections is a great way for experienced Landmen to invest in the future of our business. A mentorship is so valuable to the NGL’s education; it adds adimension of training not accomplished in the classroom. Participants arrange meetings based on their schedule and discuss important Land fundamentals, challenging work scenarios or current industry news.

Mr. Boschetti managed Haynesville and Barnett assets during his 4 years at J-W and now works across multiple basins as a Senior Landman in U.S. Exploration at Hunt Oil Company. Ryan achieved his Registered Professional Landman certification in 2012. He also serves on the Dallas YoungProfessionals in Energy Board as Education Director. Dallas Section of the Society Petroleum Engineers Ninth Annual Oil & Gas Co-ed Softball Tournament

What: Co-ed (2:1 male:female) Oil & Gas Softball Tournament hosted by SPE Dallas encouraging industry camaraderie and benefitting SPE Dallas Community Outreach & Education, which assists with DFW educational programs including SPE Dallas’s annual full day oil and gas workshop for local science teachers, DFW Future City Science Fair, Brookhaven Earth Science Fair, Perot Museum events, etc. All teams are guaranteed at least two games. Tournament will be capped at 16 teams.

2016 SPE Dallas Softball Tournament Rules

Teams must have at least 9 players, of which at least 3 must be female, or they will forfeit. Teams may play 10 players in the field like regular softball, but at least 3 must be female. There are no restrictions to where players can be positioned in the field and substitutions can be made freely anytime.

Teams can bat as many players as they want (bat the bench), but no more than two males can bat consecutively. If a team does not have an exact 2:1 M:F ratio of batters, they will make male and female batting orders and switch between the two M-M-F, etc. The batting order cannot change or an out will be taken. 8 male and 4 female players is a common lineup with 7 men and 3 women playing in the field.

All batters start with a 1-1 count and 1 courtesy foul is allowed after 2 strikes.

Standard men’s size 12” circumference softballs will be supplied for all games and used for all batters.

If a male batter walks and the next batter is male, the batter gets first base (like normal). If the next batter is female and there are less than two outs, the batter will be awarded second base. If the next batter is female and there are two outs, the female batter may elect to skip her at bat and take first base (automatic walk). This rule is to prevent teams from pitching around male hitters.

Pitching arc is 6’-10’. Fake or trick (like behind the back) pitches are not allowed.

There is no base stealing. If a runner leaves a base early, he/she will be called out without a warning.

Three over the fence home runs allowed per team each game. After three, any over the fence home run will be an out. There is no “one up” rule.

On a play at first after a batted ball (usually an infield grounder), the batter running to first is expected to touch the orange safety bag and the fielder use the regular white bag.

Uniforms and numbers are not required, but are encouraged. Teams will furnish their own gloves and bats. Bats must be ASA certified and will be checked. Absolutely no metal spikes allowed.

Batting team must retrieve any ball hit out of play (home run or foul) and return it to the field.

Teams are required to hustle on and off the field between innings. No warm-ups allowed after the first inning.

No new inning will start after 55 minutes. If tied at finish, extra innings will be played 1 pitch per batter with no courtesy foul.

Mercy run rule: 20 runs after 3 innings, 15 after 4, and 10 after 5. Flip-flop rule will be used.

ASA umpires will officiate all games, and any rules not mentioned above follow ASA’s slow pitch softball rules (http://www.teamusa.org/usa-softball/about/about-us/asa-code) and will be interpreted by the Field Umpire(s) and if necessary Tournament Committee Chair Brian Chacka. You may protest an interpretation, but NOT a judgment call.

Newsletter and Website Advertisement Guidelines

DAPL News is the Monthly newsletter of the Dallas Association of Petroleum Landmen. DAPL Newsletters are circulated from September through June to more

than 500 members throughout the Dallas / Fort Worth area. Website ads run continuously throughout the

year.

Advertisements must be submitted in static gif, jpg, png or pdf format (no animations, video or audio). Advertisements must conform to the dimensions specified on the chart below. Alternative text for

website advertisements must not exceed 255 characters. Website advertisements will follow a URL

of your choice in a new browser window.

advertisements is two weeks prior to newsletter distribution date which is typically around the 1st of each month the

newsletter is published. Advertisers are limited to one art work change per plan year. All ads and advertisers are

subject to DAPL Board approval. Newsletters are distributed to its membership via email each month from September through June, and Website ads run

throughout the year. Advertising Plan years run from September 1st through June 30th for Newsletters and

September 1st through August 30th for Website ads. Artwork and payments are due by each year to ensure publication in the September newsletter. Website Advertisers will pay pro-rated amounts if renewed or commenced other

Please accept my application for membership in the Dallas Association of Petroleum Landmen under the classification of membership I have checked below. I agree to be governed by the Constitution and Bylaws of the Association, including the Code of Ethics.

_____ ACTIVE Member ($150.00)– Active membership in the association shall be available to professional Landmen whose responsibilities primarilyinvolve the negotiation for the acquisition and/or divestiture of mineral rights, negotiation of business agreements that provide for the exploration , trading and management of oil, gas and all other mineral estates in land in a non-administrative or clerical manner. An applicant for active membership must have the sponsorship of two (2) Active Members of the Association who know the applicant.

_____ ASSOCIATE Member ($150.00) – Associate membership in the Association shall be available to all persons who are directly, primarily and regularly engaged in performing services in the oil, gas and mineral industry. Associate Members shall have all the rights and privileges of Active Members except they may not hold office in the Association, vote in Association affairs or sponsor membership applications. An applicant for associate membership must have the sponsorship of two (2) Active Members of the Association who know the applicant.

NON-RESIDENT Member ($40.00) – Non-Resident membership in the Association shall be available at the discretion of the Board to individuals residing at least seventy-five (75) miles from downtown Dallas. Non-Resident Members will pay reduced annual dues as set by the Board. Non-Resident Members will have all the rights of Active Members except they may not hold office in the Association, vote in Association affairs or sponsor membership applications, and they will pay their share of any and all activities attended. An applicant for Non-Resident membership must be sponsored by two (2) Active Members of the Association or two (2) non-member CPL’s. If the applicant is a CPL no sponsors are required.

_____ SENIOR Member ($40.00) – Senior membership shall be optional to those members who have reached the age of sixty (60) years, and have actively engaged as a Petroleum Landman for at least twenty (20) years, and an Active member of the Association (DAPL) for a period of at least five (5) years. A senior member shall be relieved of his obligation of paying full annual dues, without prejudicing his/her fair rights as an Active member of the organization; provided however, a Senior member shall pay his/her share of ANY and ALL activities attended, plus reduced annual dues which shall be fixed from time to time by the Board of Directors.
