Dear Clients and Friends,
Our 2007 celebration of the firm’s 50th Anniversary gave all of us at Kennedy Covington an opportunity to reflect upon our past and our future. Always a good thing.
In celebrating our past, we recognized our retired Partners, who have added so much to the culture and traditions of our firm over decades of service: Bill Drew, Buddy DuBose, Don Lassiter, Henry Lomax, Edgar Love, John Murchison, Bailey Patrick, Francis Pinckney, Dal Shefte, Charlie Tompkins and Ace Walker. These attorneys see the legal profession as a calling and inspired all of us who came after them. We also honored one of our founding partners, Marcus Hickman, with a Justice Fund through the North Carolina Bar Foundation. For more than 40 years, Marcus was a guiding force in our firm and a mentor and friend to many of us.
We have enjoyed celebrating the past, but we understand that we can never stand still. We have continued to be very active in both entry-level and lateral hiring, adding 22 new attorneys in 2007 and expanding our health law, real estate and employment law practices. We also launched a new practice focused on campaign finance, political action committees and ethics.
The theme running through the successes of our past and the excitement for our future is our dedication and commitment to client service. We are pleased to include in this report a description of the services we provide and some specific examples of how we have served clients. These are only a few examples of what occurs every day across more than 30 practices in three departments: business law, litigation and real estate. We believe that these practices, and their emphasis on integrated team-focused client service, provide the best possible legal services to our clients.
Over the past year, we have continued to emphasize the importance of service to our profession and to the communities in which we live. We have been fortunate to be recognized for our leadership in these efforts, but, of course, our true satisfaction comes from the privilege of service itself.

Service as Outside General CounselWe provide general business law counseling to our clients, helping them to identify and find solutions for a variety of legal issues and offering them a broad base of legal resources. For clients with inside counsel, we partner with their lawyers to provide added breadth, depth and expertise.
Mergers and AcquisitionsWe help clients buy or sell businesses in a wide range of transactions, from sales of family businesses to mergers involving large public companies. Our experience in representing buyers, sellers, investment bankers, lenders, selling shareholders, special committees and other participants gives us a broad perspective on M&A markets and dynamics.
Private Equity, Mezzanine Finance and Fund FormationOur private equity and mezzanine finance practice is one of the most active in the Southeast. Our clients include the leading firms in the Carolinas, as well as firms and funds based throughout the U.S. and foreign investors. We are also active in forming investment funds for our clients.
Securities Offerings and Public Company RepresentationWe represent issuers, underwriters, selling shareholders and purchasers in public and private offerings of securities, including initial public offerings, high-yield debt offerings, and private investments in public equity (PIPEs). Our client was sued for libel, tortious interference and unfair trade practices in connection with the termination of a NASCAR sponsorship. After a two and a half week trial at which the plaintiff sought damages of over $25 million, the jury found that our client’s most significant statements were true and that he had not wrongfully interfered with the plaintiff’s contracts. Consequently, the jury awarded nominal damages of only $1, vindicating our client.

Our clients, a major player in the educational travel business and the private equity arms of two major financial institutions, which controlled a majority of its equity, sold the travel business to another private equity group. A minority owner attempted to derail the transaction. We sued the recalcitrant owner, obtained an injunction prohibiting the prosecution of a separate lawsuit in T.X., and defended against the minority owner’s counterclaims for breach of fiduciary duty and related claims. Ultimately, the North Carolina Business Court dismissed virtually all claims by the minority owner based upon the business judgment rule.

We blocked a former employee and the employee’s new company from unfairly competing with our client. Our employment litigation team mobilized immediately when an employee left our client’s manufacturing and sales company for a competitor and took with him confidential information, including customer lists and specifications for a product. The competitor sought to redevelop the product with minor changes and to re-sell it to one of our client’s customers. Our team swiftly filed a breach of contract and trade secret protection action on behalf of our client against the former employee and the competitor. Moving quickly, we obtained a sweeping restraining order against both the employee and the competitor, providing our client with the necessary leverage to negotiate a favorable settlement.

We represented Charlotte, N.C. based developer Crosland, LLC in connection with its development of a 14-story mixed use development in an area of Nashville, T.N. known as the “Gulch.” The building will be one of the first LEED certified high rise residential buildings in the Southeastern U.S. We worked closely with the client in arranging its debt and equity financing. Our team was involved in negotiating the venture agreement with the investment fund as well as a development agreement and related agreements on behalf of our client. We also negotiated and closed the construction financing.

Represented a client in assessment and remediation of real property significantly contaminated with solvents and petroleum, allowing for its redevelopment as a transit-oriented development at the Scaleybark light-rail station. Representation included a cost recovery action against the potentially responsible party where a settlement of over $1 million was achieved and included addressing vapor intrusion issues and coordination of a pilot study using a new alternative remediation technology for solvents, as well as negotiation of remediation jurisdictional issues and obtaining a local Brownfields grant to help defray assessment expenses.
