A 50 per cent deposit for the total three year period will ensure that you guarantee your same facility for the next three years. 1. Corporate suites and boxes1.1 TheCorporateBoxisacourtsideopenairboxwitheightseats,and

mustnotbeoccupiedbymorethaneightpersonsatanyonetime.1.2 TheCorporateSuiteisaprivatesuitewith12seats,andmustnotbe

occupiedbymorethan12personsatanyonetime.1.3 Theclienthasexclusiveaccessanduseofthesuite/boxforthe

durationoftheBrisbaneInternationalEvent(orasotherwiseagreedwithTennisAustralia).Theclientanditsguestsshallonlybeentitledtousethecorporatesuiteorboxiftheyarethebearersofappropriateticketsforadmissiontothesuiteorbox.Allticketsprovidedtotheclientareforthesoleandexclusiveuseoftheclientanditsguests.

1.4 Thesuite/boxisfurnishedandequippedwithfixturesandfurnishings.

1.5 Noadditions,changes,alterationsorotherimprovementsshallbemadetoanycorporatesuiteorboxwithoutthepriorwrittenconsentofTennisAustralia.

1.6 TheclientagreesthatitshallnotpermititsgueststobringfoodorbeveragesintoaCorporateSuiteorCorporateBox.

1.7 TennisAustraliashallmakeavailabletotheclientcateringviatheofficialcorporatecatererattheEvent(“Caterer”).Thecostofsuchcateringistobebornebytheclient.

1.8 FoodandbeveragesprovidedbytheCaterertoacorporatesuiteorboxmustnotbeconsumedoutsidethecorporatesuiteorbox.

1.9 TennisAustralia,TennisQueenslandandtheVenueowner,andtheirofficers,agents,employeesandcontractors(includingtheCaterer)shallbeentitledtoaccesstheboxasreasonablynecessary.

2. Dress Code2.1 TennisAustraliaencouragessmartcasualattireforallguests.Eg.

Collaredshirtandtailoredpantsorshortsformales.Norubberthongs.

3. Code of Conduct3.1 AllCorporateClients/guestsarerequestedtocomplywiththe

following:

• Tickets/Passesmustbeworncorrectlyatalltimes(tickets/passestobewornaroundtheneckwithCorporatepackage,Companyname,sessionetcfacingout).

• Childrenunder18tobeaccompaniedbyanadultinallbarsanddiningrooms.

• Pleaserefrainfromleavingyourseatsduringapoint,betweenpointsorattheendofagame.Pleasewaitforachangeofends.

• Clients/guestsshouldrefrainfromcarryingonanyconversationwithotherswhilepointsarebeingplayed.

• Clients/guestsshouldrefrainfrommakingloudcommentsincludingquestioningtheabilitiesofanyplayer,umpireorlinesperson.

• Clients/guestsshouldrefrainfromusingfoullanguage.

• Pleaseensurethatallmobilephonesandblackberriesareonsilentortunedoffduringmatches.

• ClientsshouldbecognisantofotherCorporateguestsseatednearthemandnotprovokeirritablebehaviour.

TheTournamentDirectorhasthediscretiontoremoveanyonedisplayingunacceptableconductornotadheringtotheabovecodeofconductfromtherelevantareaand/ortheQueenslandTennisCentre.

EventSecurityalsohavethediscretiontoremoveanyonedisplayingunacceptableconductornotadheringtotheabovecodeofconductfromtherelevantareaand/ortheQueenslandTennisCentre.

4. Ticket Onselling, Advertising and Promotions4.1 Saleofeachcorporatepackageandticketcreatesacontract

betweenTennisAustraliaandthepurchaserwhichgivesthepurchaseratransferablebutconditionallicenseforadmissiontotheQueenslandTennisCentreforacertainsessionoftheBrisbaneInternational.Thelicensewillautomaticallyterminateifthepurchaseroranysubsequenttransferee,withoutthepriorwrittenconsentofTennisAustralia,resellsthepartorallofthecorporatepackageorticket(s)includingbutnotlimitedtosalesatapremiumorthroughabrokeroragent;advertisesoroffersthepackageorticket(s)forresaleontheinternetorinanyothermedium;orpackages,advertisesorusesthepackageorticket(s)foradvertising,promotionorothercommercialpurposes(includingcompetitionsortradepromotions)ortoenhancethedemandforothergoodsorservices.Ifacorporatepackageorticketissoldorusedinbreachoftheseconditionsandthelicensehasterminated,TennisAustraliahastherighttodenyadmissiontothebeareroftheticket,tocanceltherelevantpackage,ortotakeotheraction,withoutanyguaranteeofarefund.

5. Assignment5.1 CorporatePackagesmaybeassignedtoasinglecompanyor

individualforthedurationoftheCorporatepackageinquestionprovidedTennisAustraliaprovidesitspriorwrittenconsent.AnyassignmentissubjecttothesolediscretionofTennisAustralia,whichreservestherighttorefuseanyassignment.TennisAustraliawillonlyconsiderrequeststoassignpackageswherethereisawrittencommitmentfromtheassignee,includingitsagreementtobeboundbytheseTermsandConditions.

5.2 Intheeventofanyassignment,theoriginalpurchaseroftheCorporatepackagewillremainresponsiblefortheassigneeofthepackageandtheindividualholder(s)oftheallocatedticket(s),and

willindemnify,defendandholdharmlessTennisAustraliaagainstallloss,cost,expenseandliabilityinrelationtothesaleanduseoftheticket(s)orpackage.

5.3 AnyrequeststoassignCorporatepackagesmustbemadeinwritinganddirectedtotheTournamentDirector,BrisbaneInternational.Ifarequestisgranted,TennisAustraliawillobtainanynecessaryinformationfromtheassigneeandwillarrangeforanysignage,cateringandprogramlistingstobeprintedintheassignee’snamewherepossibleandapplicable(seeclause10.1).

5.4 PermissionwillnotbegivenbyTennisAustraliaforCorporatepackagestobebrokenupandsoldonanindividualsession,orsessions,basis.Anyassignmentmustbeofawholepackage,thatis14sessionstotheoneclientforCorporateSuites,CorporateBoxes,GoldCorporate,SilverCorporate.

5.5 SessionSelectPackagesarenotabletobeassigned.

6. Dining6.1 AnyrequestsbyaCorporatepackageholdertocombinediningwith

othercompaniesand/orindividualswhohavepurchasedthesamepackagemustbemadeinwritingtoTennisAustraliaatleast72hourspriortotherelevantdiningtime.TennisAustraliareservestherighttorefuseanysuchrequests.

7. Reservations7.1 Subjecttoclause7.5,reservationswillonlybeacceptedonreceiptof

acompletedandsignedreservationformtogetherwithpartpaymentof50%ofthepurchasepricepriortoFriday27August2010.

7.2 Theremaining50%balancepayablemustbepaidonorbeforeFriday29October2010.Latepaymentmayresultinalterationtoseatallocations,and/or,withdrawalofpartpaymentoptionforBrisbaneInternational2012.

7.3 TennisAustraliawillsendaconfirmationletter/receipttoallcorporateclientsinrespectofpackage(s)purchasedforBrisbaneInternational2011uponclearanceoffullpayment.

7.4 AcorporatesuiteorboxmayalsobepurchasedforathreeyearperiodforthethreeBrisbaneInternationaleventstobeconductedin2011,2012and2013.Intheeventthataclientchoosesthisoptiona50%non-refundabledepositforthetotalthreeyearperiodwillbepayablebyFriday27thAugust2010.Thisnon-refundabledepositwillbetheonlymoniespayablefortheBrisbaneInternational2011inrespectofreservingtheapplicablecorporateboxorsuite(fortheavoidanceofdoubt,cateringandotherrelevantchargeswillcontinuetoapplyinadditiontothisdeposit).Theremaining50%willbepayableintwoinstallmentsonorbeforethe27thAugust2011andthe27thAugust2012respectively.Bychoosingthethreeyeardealoption,aclientwilllockinthefacilityandpriceforthethreeBrisbaneInternationaleventstobeconductedin2011,2012and2013.Iftheclientfailstopayeitheroftheremainingtwoinstallmentsonorbeforetheduedatesspecifiedabove,TennisAustraliamayinitsabsolutediscretioncanceltheclient’sreservationand/orallocatetheapplicablecorporatesuiteorboxtoanotherpartywithoutanyliabilitytotheclient.

7.5 Notwithstandinganythinginthisclause7,TennisAustraliacannotguaranteethatallrequestedreservationswillbesuccessful,andreservestherighttorejectanyapplicationforticketsinitsabsolutediscretion.

8. Payments8.1 InconsiderationofbeinggrantedtheuseoftheCorporateSuite/

Box,theclientwillpayTennisAustraliatheapplicablefeessetoutonthereservationformatthetimeofsubmittingthatreservationform.

8.2 Allpaymentsreceivedafter26November2010mustbeintheformof:a)Bankchequeb)EFT;orc)CreditCard.Personalorcompanychequeswillnotbeacceptedafterthatdate.

8.3 ThereservationformbecomesanofficialtaxinvoiceforGSTpurposeswhenpaymentisconfirmedbyTennisAustralia.

8.4 AllpricesareinclusiveofGST.TennisAustraliareservestherighttoadjustpricesduetoanyincreaseordecreaseinGST.

8.5 WhereanypaymentamountforCorporatepackagesexceedsthecardholder’sdailylimit,itistheresponsibilityofthecardholdertocontacttheirfinancialinstitutiontogainpre-approvalforthetransactionpriortopaymentbeingmade.

8.6 TennisAustraliaadvises,andtheclientacknowledges,thataCreditCardfee,willapplyinrespectofallCreditCardpurchases,whereanyportionofthetotalfeeispaidbycreditcard.

8.7 TheCreditCardFeeforpurchaseswillbe:2.7%forAmericanExpress–inclusiveofGST1.75%forVisaandMasterCard–inclusiveofGST

9.5 TicketsorderedpriortoThursday30September2010willbedeliveredtothenominateddeliveryaddressinNovember2010.

9.6 ForticketsorderedfromThursday30September2010,TennisAustraliawillendeavourtodeliverticketspriortoFriday10December2010.Forsecuritypurposes,ticketsforallreservationsmadeafterFriday10December2010willnotbedeliveredbutwillbeavailableforcollectionfromtheQueenslandTennisCentreatyourconvenience.

9.7 Lostorstolentickets,canbereissuedon:a)Paymentofafeeof$25foreachlostorstolenticket,b)Receiptofawrittenrequestspecifyingthenumberoflostticketsandsessiondetails,aswellasrowandseatnumbers(whereapplicable).

10. Signage, Advertising and Promotions10.1 Thesignageandprogramlisting(onlyforclient’swhohave

purchasedacorporateboxorsuite)mustbethecompany’sbusinessortradingnameorinthecaseofanindividual,thefirstand/orsurnameonly.TheclientwillberequiredtoprovidetheircompanylogotoTennisAustralia’sappointedcontractorforsignagebyOctober29,2010.Pleasenote:signagetextandfontisatthediscretionofTennisAustraliaandsignagecanonlybeprovidedifthereisnoconflictwithexistingevent,TennisQueenslandorTennisAustraliasponsors(asdeterminedbyTennisAustraliainitsabsolutediscretion).

10.2 Ifapplicable,programacknowledgementrequestsmustbereceivednolaterthanFriday24September2010toensureinclusionintheofficialTournamentProgram.

10.3 NoadvertisingorpromotionbyacorporatehospitalityclientortheirguestswillbepermittedwithintheQueenslandTennisCentresiteorsurroundingprecinctwithoutthepriorwrittenconsentoftheTournamentDirector.

11. Indemnity and Liability11.1 CorporateHospitalityclientsareresponsiblefortheactsand

omissionsoftheiremployees,inviteesandguestswhilstattheQueenslandTennisCentre;andthecorporatehospitalityclientagreestoreleaseandindemnify,defendandholdharmlessTennisAustraliaandTennisQueensland,andtheirrespectiveemployees,servantsandagents,inrespectofanyloss,liabilityorexpensewhatsoever(includingdamagecausedtothecorporateboxandthecostofrepairorreplacementofanyfixtures,furnishingsandequipment)andhowsoeverarising(includinglegalfeesonanindemnitybasisor,ifdeemedinappropriate,onasolicitor/clientbasis)resultingfromorinconnectionwiththeactsofomissionsofthatcorporatehospitalityclients’employees,inviteesandguests,ortheclient’sbreachofthesetermsandconditions.

11.2 Tothemaximumextentpermittedbylaw,thecorporatehospitalityclientagreesthatTennisAustralia,TennisQueenslandandtheirrespectiveofficers,directors,employees,representativesandagentsarereleasedanddischargedofandfromanyandallclaims,demands,suits,damages,lossandinjurythatthecorporatehospitalityclientmaysufferorsustain,bynegligenceorotherwise.TotheextentthatTennisAustralia,TennisQueenslandandtheirrespectiveofficers,directors,employees,representativesandagentscannotexcludeliabilitythen,tothemaximumextentpermittedbylaw,theiraggregateliabilityislimited(atitselection)torepayingamountspaidbythecorporatehospitalityclientorsupplyingorresupplyinganyticketswhichhavebeenreservedforthecorporatehospitalityclientinaccordancewiththeseTermsandConditionsofSaleandEntry.

12. Refunds and Transfers12.1 Allpackagesarenon-refundable.12.2 Onceconfirmed,seats,corporateboxesandordiningcannotbe

relocated.SubjecttotheseCorporateTermsandConditionsofSaleandEntry,corporatesessionpackagesandticketsarenottransferabletoothersessions.

12.3 TheBrisbaneInternationalmatchscheduleissubjecttochangeandmaybealteredatthesolediscretionoftheTournamentDirector,BrisbaneInternationalatanytime.Theclientwillnotbeentitledtoanyrefundifscheduledmatchormatchesdonotoccuronthescheduleddayortime.

13. General13.1 TennisAustraliareservestherighttorefusetosellCorporate

packagestoanycompanyorindividual.13.2 TennisAustralia,actingingoodfaith,reservestherightinits

absolutediscretiontodeterminethefinallocationofseats.13.3 SeatallocationsforBrisbaneInternational2011arenoguaranteeof

sameseatingatfuturetournaments.13.4 AnyissuesregardingdisputeorinterpretationoftheseCorporate
