I. GENERAL1 - The issue by the buyer of a purchase order implies the acceptance of these sales terms and conditions.The invalidity of any clause of these general sales conditions will not affect the validity of the other clauses. 2 - Any clauses printed in the margins or in the body of the text of orders or letters from the purchaser contrary to these general conditions, do not apply to us unless they were the subject of written acceptance by us.3 - The weights, specifications, sizes, photographs and information available in price lists, catalogues and literature, are only given for reference purposes and are not binding. Our models may be changed or cancelled at any time, without prior notice, and without giving rise to any substantiation for claims or indemnity.4 - Technical recommendations and studies are carried out free of charge and provided for information purposes. They do not engage the liability of our Company and are not to be considered as working data. The user is responsible for checking and verifying that such data takes into account the general rules applicable to this type of work, as well as to any special use conditions.5 - The installation and assembly of certain equipment nonetheless require that specific conditions be observed, such as the provision and powering on of electricity supplies and cold, hot or mixed water supplies as well as all necessary water sewerage systems.

II. QUOTATIONS AND PRICES1 - All purchase orders for equipment products shall be considered final on the day they are issued to our Company.2 -All deliveries are invoiced at the price applicable on the day of shipment or removal. Prices are indicated excluding VAT. 3 - No request for cancellation shall be taken into account after partial or total completion of the order unless stipulated otherwise. The Company reserves itself the right to deliver and invoice all goods and materials of which the production has begun on the day of the cancellation. Orders are accepted without any commitment to deliver them in one shipment.

III. PAYMENT TERMS AND CONDITIONS1 - Due dateInvoices are payable at the head office either by cheque, bank transfer or domiciled bill, at 30 days end of month the 1st year, then 45 days end of month from the shipping or removal date. Invoices are payable net and without discount, whatever the days in the calendar month on which the shipment or removal occurred. All other methods of payment will only be accepted in exceptional circumstances for a given contract or for a predefined period. 2 - PaymentIn compliance with article L441-6 of the French Commercial Code, all late payments will result in the following from the 1st day late, if the supplier so decides:

- late payment interest equal to the most recent European Central Bank refinancing rate plus 10 points (French modernisation of the economy Act - LMR - N°2008-778 of 4th August 2008); - the application of a fixed debt-collection indemnity of 40 euros (European directive 2011/7 of 16th February 2011, French 2012-387 Act of 22 March 2012 and Decree 2012-1115 of 2 October 2012); - when the debt collection costs incurred exceed the fixed amount, additional compensation on documentary proof.

In the event of late payment, full cash payment may be demanded instead of the applicable terms and conditions.We do not accept any automatic discounts, only our credit notes have any legal value.3 – Withholding amounts and compensationNo claims as to the quality of supplies suspend payment of the said supplies if we have not acknowledged the defects before the due date. Where applicable, payment may only suspended on the invoiced value of the disputed parts.The buyer is not authorised to withhold due payments, whatever the legal reason invoked, nor to take compensation from our invoiced amounts, whatever the type of claim.

IV. OWNERSHIPWe remain the owner of delivered goods until the performance of all contractual agreements by the purchaser, and in particular the full payment of the price.

V. DELIVERIESDelivery dates or availability dates are given for information purposes only.Any late delivery or staggered delivery cannot, for any reason, entitle to indemnities or compensation.Observation of delivery dates assumes in all cases the compliance with contractual agreements by the purchaser, and more especially payment terms, and no occurrences of any force majeure events.

VI. DELIVERIES1 - Supplies are always sold as if being removed and approved by the purchaser in our stores and are payable as such. The shipment or removal date is considered to be the invoice date.2 - Whatever the sales terms and conditions, the goods only travel at the addressee’s risks and perils, even when the delivery is carriage paid and free for the purchaser. We decline any liability for damage, loss or deterioration of any kind, as well as for any delays the goods may suffer during transport. Where applicable, it shall always be the addressee’s responsibility to issue the necessary reserves on delivery of the goods and to undertake proceedings against the transporter. 3 - On receipt, the addressee must check the delivered goods in the presence of the transporter’s representative, even if the packaging appears intact and, if damaged, missing or substituted items are found, issue precise reserves on the waybill. In addition, the addressee is responsible for making any necessary claims and to undertake proceedings against the transporter (registered letter with acknowledgement of receipt) within 48 hours. A copy of the said letter must be sent to us. Packaging is not returnable even when invoiced.

VII. CONFORMITY OF EQUIPMENT1 - No claims as to the composition of the delivery, the delivered quantity, the weight or its non conformity with the delivery documents will be accepted if made more than 8 days from the receipt of the goods by the addressee.2 - Credit notes will only be issued after the receipt and verification of quantities and quality, both of the returned equipment and its packaging. Any returns of equipment that has suffered alterations or not, however sight, shall be put aside for the shipper or shall be the subject of a lowered return price compared to its invoiced value corresponding to the costs of checking, repairs, return to stock, etc., which will be confirmed by letter .3 - As sanitary equipment does not have any heating of anti-freeze systems in technical ducting, it must be drained to avoid all risks of damage (please refer to our technical directives).

VIII. PRODUCT RETURNS1 - All product returns must be made following our prior written agreement and must be sent carriage paid to the address on the return documents attached to the return products.2 - Returned products must be in perfect condition and in their original packaging.3 - Returned products will be accepted, on condition of our agreement, with a fixed devaluation of 25% beyond a period of 1 month. The purpose of this devaluation is to cover inspection, stock and accounting costs and may eventually be completed by repair costs incurred on the returned goods as determined by our technical support department. Goods cannot be returned after a period of 1 year.

IX. GUARANTEE1 - In addition to the legal guarantee, our tapware is guaranteed against all material and manufacturing defects for a period of 10 years from the purchase date on the reseller’s receipt or the invoice. This guarantee is reduced to 3 years for electronic and sensitive tapware, as well as for the following products:

- PRESTOTHERM mixer valves and their accessories - Industrial / safety line (safety mixer tap, shower and eye wash, etc.) - Professional kitchen tapware - Mounting frame - Floor traps - The PRESTO Care® line (PRESTO Pack®, support rails, ceramics, ergonomic control tapware and accessories).

2 - Claims under the guarantee are subject to the observance of our instructions and directives in matters of use, assembly, installation, commissioning, servicing and care.Concealed mounting of the products must be such that they can be removed without any deterioration.3 - The guarantee exclusively covers the repair or exchange of the defective parts free of charge or, if this is impossible, the replacement with a part having the same functions. Accessory costs such as labour, removal and refitting, packaging, travel and transport are explicitly excluded, as is compensation, especially for loss of use.Where applicable, defective products or others must be returned to us carriage paid. Products returned with payment-on-delivery will not be accepted. The purchaser undertakes to return the parts that have been recognised as being defective and which have been replaced by new parts within a maximum of 2 months.The repair, alteration or replacement of parts during the guarantee period does not extend the guarantee.Claims under the guarantee cannot be a reason for late payments.4 - If our products are built into units that we have not manufactured, the guarantee as defined above shall only apply to our parts recognised as defective. We cannot be held liable for any design, manufacture or assembly defects covering the entire installation or for defects in parts we have not manufactured. 5 - The guarantee does not cover defects and damage caused by normal wear and tear of parts, nor damage that may be the result of incorrect use, alteration, incorrect installation or assembly, defective maintenance, abnormal use, property damage or physical injury or incorrect storage.Similarly, the guarantee does not cover failure to maintain or defective maintenance, the use of corrosive, abrasive or chlorinated products for cleaning (hydrochloric acid based) that are not suitable to treat the surfaces of our products; corrosion or chemical attack of the different tapware components by disinfectants or solvents; damage due to water quality or the presence in the water of foreign particles or elements (gravel, sand, filings, scale, etc.); or unforeseen chemical or electrolytic phenomena on commissioning the equipment. Furthermore, the guarantee does not cover damage caused to persons and property other than the incriminated goods, nor any losses caused by the stoppage of operations.6 - After exiting our shop floor, all products of which the surface treatment has been modified by the client leading to the dismantling of the product or not, or any equipment that has been subjected to alterations or modifications, however minor, shall not be covered by the guarantee.7 - For some of our equipment, the guarantee shall only be fully applicable if strict and regular use of recommended products such as liquid soap has been observed.

X. DISPUTESIn the event of a dispute over supplies or payments, the courts of which our head office are in the jurisdiction shall be exclusively competent, even if there are multiple defendants or the introduction of third parties.Payments using letters of credit or any other means of payment by acceptance cannot be a substitution for this jurisdictional assignment clause.

In order to accompany collectivities in the framework of the French February 11th 2005 disability Act, for the past 10 years, PRESTO has been rangeing solutions to increase disabled access.

In his Place de Clichy workshop in Paris, André patient founded Les Robinets PRESTO. He was rapidly joined by his brother Lucien. From Place de Clichy to Montrouge, where they set up the company headquarters, the adventure was on track. The PRESTO NEO® Duo is a new flexibly triggered tap that uses a new gesture, “the check”, fitted with a twin injection technical polymer lever. The NEO® Duo also has an “on board” dual timed-flow: pushing the lever upwards gives a short 7 second timer that is enough to wet the hands. PRESTO PLP is a stainless steel shower panel optimised for thermal shock disinfection. The PRESTO PLP disinfects where the other available panels cannot. It uses the Touch® technology allowing it to be used by simply brushing the start/stop button. The flow stops after a factory set time or at any time by touching the button a second time. The PRESTO SENSAO® 8500/8600 sensor urinal tap has a compact and solid design. Its pre-set 6 second timer delivers a reduced rinsing volume. Its con-cealed assembly and 304 L grade stainless steel plate make it vandal proof. Its dual trigger mecha-nism provides greater hygiene thanks to the contact-less cell, and more comfort for the user, who can also trigger it using a button located above the cell. This button can also be used for daily cleaning operations.

Applicable regulationsIn France, three applicable orders directly impact our sector of activity:

The 30th November 2005 order of the French Health Ministry amending the 23rd June 1978 Order covering fixed installations providing heating and domestic hot water in housing, buildings open to the public, and workplaces:

nn defines the maximum temperatures in domestic hot water production installations in order to limit the risk of legionella growth: temperature above 50°C in the entire domestic hot water circuit, including in the loop;

nn determines the minimum temperatures to prevent scalding risks: temperature less than 50°C at the outlet in bathrooms and washrooms.

This order applies to new installations and refurbishments.

The 11th January 2007 Order fixes a temperature for cold water lower than 25 °C as a quality reference.

The 1st February 2010 Order of the Health Ministry covering the monitoring of legionella in domestic hot water production, storage and distribution installations brings in the notion of monitoring. It imposes a duty on managers of all establishments open to the public to set up actions to check and prevent legionnaire's disease.

Further, the 2005 Disabled Act covering the access to toilet facilities for the disabled has led manufacturers to choose suitable solutions.

PRESTO and the ecolabelsPRESTO participates in the environmental building approach under the HQE (France), BREEAM (United Kingdom), LEED (United States) and ESTIDAMA (Middle East) ecolabels.

Our solutions reduce water and energy consumption. Thus, by using PRESTO tapware, project owners achieve the better performance levels imposed by these labels, making it possible to obtain many credits.

PRESTO solutions provide answers to ecolabel criteria:

PRESTO and quality standardsThe most known PRESTO taps are NF certified.NF certified tapware means that it has been subjected to stringent tests by the French Building Scientific and Technical Centre (CSTB). Certification validates PRESTO products that meet very precise size, safety, strength, fitness for purpose etc. specifications defined by applicable French standards and specific regulations.

All PRESTO products are ACS certified (sanitary conformity certificate).The sanitary conformity certificate assesses the suitability of a product to come into contact with water intended for human consumption under appli-cable regulations. It is issued by a Health Ministry approved laboratory and is valid for five years. The certificate makes it possible to identify the products that do not deteriorate water quality and do not re-lease hazardous substances into it (toxic materials, heavy metals).
