CONSTITUTION AND BY LAWS

ARTICLE I. NAME, TYPE OF ORGANIZATION and PLACE of OFFICE

SEC. 1. NAME. The name of the organization shall be the Institute of Integrated Electrical

Engineers of the Philippines Incorporated - Holy Angel University Student

Chapter, referred to as the ―IIEE-HAUSC.‖

SEC. 2. TYPE OF ORGANIZATION. The organization shall be an electrical engineering

students’ organization and shall exist under and in accordance with the rules and

regulations of the Holy Angel University College of Engineering and Architecture

and the Institute of Integrated Electrical Engineers of the Philippines, Incorporated.

SEC. 3. PLACE OF OFFICE. The office of the IIEE-HAUSC is located on SH-101 or the

Electrical Engineering Laboratory of the College of Engineering and Architecture.

ARTICLE II. OBJECTIVES and PURPOSE of the ORGANIZATION

The objectives of the organization shall be as follows:

SEC. 1. To foster unity, cooperation and understanding among Electrical Engineering

Students in their participation and involvement in activities sponsored by the school

and/or by students’ organizations.

SEC. 2. To encourage the self-improvement of Electrical Engineering Students through

positive and constructive activities.

SEC. 3. To provide an opportunity to enhance the leadership potentials of Electrical

Engineering Students that they can use in their future profession.

SEC. 4. To encourage scholastic excellence and facilitate the exchange of ideas and

information in the study of Electrical Engineering.

SEC. 5. To promote an atmosphere of understanding and cooperation between the Electrical

Engineering Students and the Faculty of the Engineering Department of Holy Angel

University.

SEC. 6. To maintain close ties with the Institute of Integrated Engineers of the Philippines,

Incorporated and to familiarize Electrical Engineering Students with the

Association’s purpose and objectives.

ARTICLE III. ADVISER

SEC.1. The adviser shall be elected, appointed or selected by the whole body and shall hold

office until his/her successor shall have duly elected/appointed.

SEC.2. The adviser shall be a faculty member and shall come from the College of

Engineering and Architecture, Electrical Engineering Department.

SEC.3. The Adviser’s term shall be for one year, and at the discretion of the Executive

Committee, the term shall be extended or even cancelled depending upon his/her

performance or the request of the President.

SEC.4. The Organization shall have only one adviser. (As per dictated by the Office of the

Student Affairs, OSA)

SEC.5. The Adviser shall coordinate with the President in all activities that the organization

is conducting.

SEC.6. He / She shall assist, supervise, and guide the President, and the rest of the Executive

Committee of the organization, especially in decision making that is beneficial to all

members of the organization.

SEC.7. The Adviser shall give unsolicited advice, suggestions, recommendations, reactions,

and questions as needed and as requested by the organization.

ARTICLE IV. MEMBERSHIP

The membership in the organization shall consist of Electrical Engineering students, as follows:

SEC. 1 REGULAR MEMBER — all bonafide 3rd to 5th year students, enrolled for the

present academic year.

SEC. 2 ASSOCIATE MEMBER — 1st year and 2nd year students, enrolled for the present

academic year.

Note: The National Chapter accepts only 3rd year to 5th year students as certified

members of the organization, but those who will register as an associate member will

have a privilege to join major activities of the organization and must pay a due

prescribed to their status.

SEC.3. ACQUISITION OF REGULAR MEMBERSHIP

4.3.1 Application for membership shall be on forms provided for the objectives and

purposes of IIEE-HAUSC and shall be submitted to the National Office before the

start of every academic year.

SEC.4. EXPULSION OF MEMBERSHIP

4.4.1. Any member may terminate his/her membership with the organization by means

of written resignation provided that he is not financially indebted to the

organization and must be addressed to the President of the Organization.

4.4.2. Any member may lose his/her membership due to three consecutive absences in

meetings. Moreover, a member may be expelled from the organization for a

failure to actively participate in the projects and activities of the organization.

4.4.3. A member who is terminated from his studies with the College of Engineering

and Architecture shall automatically be terminated as a member of the

organization.

4.4.4 Any member found guilty of the act that may be deemed unworthy of the member

or injurious to the organization’s name and interest may be expelled from the

organization by a vote of at least two-thirds (2/3) of all the members of the

Executive Board.

SEC.5. RIGHTS AND PRIVILEGES OF MEMBERS

4.5.1 Members shall have the right to participate in the discussion in all meetings of the

organization.

4.5.2 They shall have the right to vote and be elected and/or appointed to any official

position in the organization in accordance to the rules and regulations herein set

forth.

4.5.3 They shall have the right to inspect the organization’s financial statement duly

certified and permitted by the chairman of the Executive Board at a reasonable

time;

4.5.4 They shall have the right to use the facilities of the organization as long as it is

solely for an official function,

4.5.5 They shall have the right to defend themselves and be heard on cases being

charged against them;

4.5.6 Excused from being absent from any undertaking of the organization requiring his

presence provided that such excuse is in written form addressed to the President

and supported by appropriate papers; and

4.5.7 They shall have the right to be prioritized during activities and services sponsored

and offered by the organization such as seminars, lectures, fieldtrips and the like,

when circumstances occur that non-members avail and join the said activities and

services.

SEC.6. DUTIES and OBLIGATIONS OF MEMBERS

5.6.1 To abide with the Constitution of the organization and to comply with all

the rules and regulations as may be promulgated by the Executive Board.

5.6.2 To promote the aims and objectives of the organization.

5.6.3 To attend all general (or committee) meetings and to actively participate in

all the projects and activities of the organization.

5.6.4 To willingly perform all other duties and responsibilities as may be

assigned to them by the Executive Board for the good of the organization.

ARTICLE V. FINANCIAL PROVISION

SEC.1. MEMBERSHIP DUES AND SPECIAL FEES

5.1.1. Every member of the organization shall be charged an annual membership

due depending upon the requirements of the National Chapter.

5.1.2. Contribution for any social affair or projects of the organization shall be

solicited from the members provided that the President approves such

contribution.

5.1.3. Unjustified refusal to pay membership due and/or special fees by a

member can consider ground for expulsion from the organization.

SEC.2. USE AND RAISING OF ORGANIZATION FUNDS

5.2.1. The use of organization funds in order to achieve the objectives of the

organization shall be decided upon the Executive Board.

5.2.1.1 DISTRIBUTION OF MEMBERSHIP PAYMENT (Can

be amended depending on the needs of the organization)

5.2.2. The organization may raise needed funds through legitimate ways and

means.

SEC.3. FINANCIAL STATEMENTS

5.3.1. Organizing committee chairman of a particular activity (Co-Curricular or

Extra Curricular) shall render financial statements and/or reports,

supported by receipts or cash vouchers, to the treasurer for documentation

within a period of one (1) week after the accomplishment of the activity.

5.3.3. The Treasurer of the Organization must record all the money being used or

released by the officers or members of the organization on the official

ACCOUNT BOOK.

5.3.4. All financial statements shall be duly examined by the Auditor and

checked by the Treasurer and the President within a period of one (1)

week after the accomplishment of the activity.

5.3.5. General Financial statements should be prepared by the Treasurer,

properly examined by the Auditor, and noted by the President, the adviser

of the organization, and the chairperson of the Electrical Engineering-

Department.

SEC. 5. REVISION OF FEES AND DUES.

The Executive Committee has the sole power to revise the membership fee or any

dues that the organization have, as the need arises.

ARTICLE VI. IIEE OFFICERS

SEC.1. The IIEE officers shall be composed of the Executive Committee and Board

Members.

SEC.2. The Executive Committee of this organization shall consist of a

President, (3) Vice-President (for Internal External, and Technical Affairs), Secretary,

Treasurer, Auditor, P.R.O.

SEC.3. The Executive Committee shall consist of elected officers only.

SEC.4. Board Members are appointed members of the organization, chosen by the Executive

Committee. They must serve as the representative of their respective year level and

shall do the responsibility given by the Executive Committee. There must be only five

(5) Board Members every academic year.

SEC.5. Vacancies occurring in any Executive Board except the Presidency shall be filled in

the same manner (Article XI, Sec. 1.5), which is governed by the original election but

only within the members of the Board of Directors, as per assigned by the President

of the organization. In such case that the position of the President is vacant, the

remaining Executive Board of Directors shall elect among them.

SEC.6. The officers shall return all records and properties belonging to the organization

within a month after their terms has expired.

SEC.7. The term of office shall be one (1) year.

SEC.8. DUTIES AND POWERS OF THE PRESIDENT

1) To convene and preside over all general and Executive Board meetings.

2) To serve as the Chairman of the Executive Board.

3) To exercise general supervision over all officers of the organization.

4) To supervise and coordinate the work of all existing committees.

5) To represent the organization in all official functions in which the organization

may participate.

6) To serve as the official spokesperson of the organization.

7) To create special committees for special projects or activities whenever the need

arises provided that the Executive Board approves such action.

8) To make a periodic review, evaluation and follow-up on all current activities

and/or projects.

9) To have the final decision in all circumstances occurring in the organization.

10) To issue special orders, memoranda and the like to any of the members or officers

as may be deemed necessary.

11) To perform other duties and exercise other power incidental to the office of the

President.

12) To be the Head of the Constitution Committee. She/he has the sole power to

amend the Constitution and By-Laws of the organization.

SEC.9. DUTIES AND POWERS OF THE VICE-PRESIDENTS

1) To assume all duties and powers of the President during the latter’s absence,

incapacity, resignation and impeachment until a new President shall have been

elected.

2) To perform other duties and exercise other powers as assigned to them by the

President.

3) To assist the chairman of the committees on field trips and external activities (VP-

External Affairs), seminars and logistics (VP-Internal Affairs), and technical and

sports events of the organization (VP-Technical) and carry its purpose.

4) The Vice President (External) will be the Head of the External/Fieldtrip and

Outreach Committee and shall be in-charge of all external activities and field

trips of the organization and also be in-charge of the outreach and community

extension programs of the organization and other responsibilities assigned by the

President.

5) The Vice President (Internal) will be the Head of the Seminars and Logistics

Committee shall be in-charge of all the inventories of the properties of the

organization; to take charge of all the seminars conducted by the organization and

other responsibilities assigned by the President.

6) The Vice President (Technical) will be the Head of the Sports and Technical

Committee shall be in-charge of all sports activities and other activities towards

the physical fitness of the members of the organization.

SEC.1O. DUTIES AND POWERS OF THE SECRETARY

1) To keep a record of the proceedings of all General and Executive meetings.

2) To keep record of all decisions, resolutions, plans and activities of the

organization.

3) To report on the activities of the organization at any General or Executive Board

meetings.

4) To keep a record of all decisions and attendance of all members during every

meeting and during every activity of the organization requiring the participation

of whole membership.

5) To maintain an up-to-date directory of organization members.

6) To check the attendance of the members during the activities and body meetings,

where maximum attendance is required.

7) To issue a notice of absence for the members who were absent or late as defined

by the transitory provision of Article III, section 4.6.

To issue excuse slip to the members filing for excuse process and submit them to

the board for evaluation of their validity.

8) To serve the notice of the termination of members failing to comply with the

requirements for attendance.

9) To have a documentation of all the vents and participation of the organization and

to compile all the reports on the REPORT BOOK.

10) The Secretary will be the Head of the Education, Research, and Events

Committee and shall be responsible for the preparations of programs and

projects that shall be necessary for the educational advancement of the members

of the organization.

SEC.11. DUTIES AND POWERS OF THE TREASURER

1) To serve as the official custodian of the funds of the organization.

2) To collect all membership dues and necessary fees for the members.

3) To report on the financial status of the organization at any general or Executive

Committee’s meeting and to record all of the financial reports on the Account

Book.

4) To be responsible for the procurement of equipment, article, and supplies that

may be authorized by the Executive Board.

5) To chair the committee on solicitations and carry its purpose.

6) The Treasurer will be the head of the Business and Finance/Solicitation

Committee and shall be responsible to any business projects of the organization.

It shall determine ways and means of raising funds and solicitations of the

organization and other responsibilities assigned by the President.

SEC.12. DUTIES AND POWERS OF THE AUDITOR

1) To review, approve and report the findings and sees to it that such financial

statements are fairly presented.

2) To be responsible for the auditing of activities perform within the organization.

3) The Auditor will be the Head of the Food and Beverage Committee shall be in-

charge on refreshments on all guest attending parties and members on

indispensable occasions.

SEC.14. DUTIES AND POWERS OF THE PUBLIC RELATIONS OFFICER

1) To assist the President in the presentation of the organization in all organization

meetings of the Holy Angel University (HAU) and the College of Engineering

and Architecture.

2) To take charge of all matters pertaining to the relations between the organization

and the HAU Administration in order for the organization to efficiently carry out

its objectives.

3) To transact business matters with proper authorities in connection with the

activities of the organization that can be held outside the school campus.

4) To coordinate with the other organizations in transacting official matters for the

organization.

5) The P.R.O. will be the Head of the Communication Committee and shall be in-

charge on communication and information dissemination within the organization.

SEC.15. DUTIES AND POWERS OF THE BOARD MEMBERS

1) To be responsible for evaluating the performance and participation of all members

of the organization.

2) To exercise the power to maintain the proper order and decorum in all General

meetings and see to it that the place of meeting is adequately prepared.

3) To perform other duties and exercise other powers as assigned by the Executive

Committee.

4) To call meeting for his committee whenever he deems necessary, in his/her

respective year level.

5) To report on work and accomplishments of his committee.

ARTICLE VII. THE EXECUTIVE COMMITTEE

The following are the duties and powers of the Executive Board:

1) To enforce and interpret the Constitution of the organization and to act upon all

proposed amendments.

2) To decide all policies, projects and activities of the organization with the approval

of the general membership.

3) To screen applicant for membership and decide his election to official

membership in the organization.

4) To decide all causes of expulsion, resignation and re-admission of regular

members.

5) To choose one or more advisers for the organization with the condition that the

adviser must be a regular member of the IIEE.

6) The President of the organization shall be the Chairman of the Executive

Committee.

ARTICLE VIII. COMMITTEES

All committees shall be formed to carry its function as stated by its name.

SEC.1. Board Committees

Each Board Committee shall be composed of two (2) BOD members and one (1)

member of the Executive Board who will serve as the Chairman of the committee.

The Board Committee can vary if called by the President for the welfare of the

organization.

SEC 2. The President through the recommendation of the Executive Board, or through his

own discretion, is given the sole power to create special committees provided the

creation of such is for the welfare of the organization.

SEC.3. Special Committee

Special Committees are appointed by the President if an urgent situation happened to

the organization. They will serve the organization on that particular time only, as the

discretion of the President.

All special committees shall be headed by a chairman and five (5) members

recommended by the President and approved by the Executive Board.

SEC. 5. DUTIES AND POWERS OF THE COMMITTEE CHAIRMAN

1) To be responsible for the performance of his committee duties and assignments.

2) To report all the proposed project of his committee to the Executive Committee,

through the President, for approval.

3) To call meeting for his committee whenever he deems necessary.

4) To report on work and accomplishments of his committee.

5) To perform other duties and exercise other power that is incidental to his position

as committee chairman.

ARTICLE IX. SPECIAL PRIVILEGES AND BENEFITS OF IIEE OFFICERS and

MEMBERS

SEC. 1. Membership fee due on officers shall not be exceeding 150% of the National dues.

The privilege can be availed through the discretion of the Executive Committee as a

whole.

SEC. 2. Special discounts would only be given to the officers organizing the activity/project

of the organization. The President would determine the discount based on the

financial status of the organization.

SEC.3. Discount is given to the following graduating officers of the organization in the

review center which is selected by the Electrical Engineering Department and

approved by the Dean of the College.

a. President – 100%

b. Vice Presidents – 50%

c. Secretary, Treasurer, Auditor and P.R.O. – 30%

d. National Quizzers – 100%

ARTICLE X. MEETINGS

SEC.1. KINDS OF MEETING

10.1.1 General Meetings shall be held regularly at least once a month and cases

where the President shall deem it necessary.

10.1.2. Executive Board meetings are held at the discretion of the President.

10.1.3. Committee meetings are meetings of the members of a Board and Special

committee and are held at the discretion of the Committee Chairman.

SEC.2. QUORUM AND PROCEDURE MEETINGS

1) The presence of at least two-thirds (2/3) of all the members, at least five officers,

and at least a majority of committee member shall constitute a Quorum for the

valid transaction of business in any general, in any executive board, or committee

meeting, respectively.

2) The vote of majority in any general, executive board or committee meeting shall

be the vote of the body concerned unless otherwise specified.

SEC. 3. MINUTES OF THE MEETING

All decisions concerning the organization should be governed by the following rules

and regulations:

1) All decisions made in this organization shall be based on the provisions of the

constitution, the rules and regulations promulgated by the association, the

organizational aims and principles, the will of the members and the needs of the

time at hand.

2) Decisions made in the organization shall be in accordance to the rules and

regulations set forth by Holy Angel University.

3) Proposals for decisions in this association may emanate from any member

coming, from different organizational levels. The inherent right of any member to

express his ideas in the decision making process shall not be suppressed.

4) Decisions in this organization shall be classified into the general program of work

for the whole organization and the supplementary committee programs of work.

5) The general program of work shall be made by the elected officers before the start

of each semester. This general program of work shall consist of critical activities,

which should be undertaken for the semester under consideration.

6) Committee program of work shall be made by the elected officers after the

finalization and approval by the assembly of the general program of work. These

committee programs shall be based on the general program as well as on the

specific functions assigned by the Constitution to the different committees.

7) Decisions coming from below the organizational structure shall pass by the

committee study, evaluation and analysis. In cases where conflicts of ideas on

alternatives arise, the controversy shall be resolved by rotation of committee

members other than the chairman. The alternative that garners the majority of

deadlock or ties, the chairman of the committee shall break the tie by casting his

vote.

8) Committee decisions outlined in the preceding numbers shall serve as the

committee recommendation to the Executive Committee. The other alternatives

and ideas that have arisen in the course of the committee study shall, however,

presented also, together with the proceedings and analysis made by the said

committee.

9) Committee recommendations and alternatives shall undergo evaluation and

analysis, upon submission to the same study. In cases where there is conflict of

ideas on alternatives, the controversy shall be resolved by the same process of

voting by the executive members, other than the President. The alternative that

governs the majority vote shall serve as the executive council decision. In case of

deadlocks or ties, the Chairman of the Executive Committee, the President, shall

break the tie by casting his vote.

10) Executive Committee decisions shall be presented to the Assembly for

information and evaluation. The Assembly shall, by two-thirds (2/3) vote, have

the power to reject the entire Executive Board decision.

11) In cases of objections to the Executive Board decisions, not wholly but in part,

the Assembly except the President, shall decide on the conflict of ideas by voting.

The alternative that garners the majority vote shall serve as the Assemble

decision. In case of deadlocks or ties, the President shall break the tie by casting

his vote.

12) In cases where the Executive Board decisions encounter no objections during

their presentation to the assembly, they shall automatically become Assembly

decisions.

13) Assembly decisions shall be deemed final and to be executed.

14) Proposals for decisions coming from above the organizational structure, that is,

from the Executive Board members right away, shall follow that same sequence

of procedures as those of the proposals coming from below, with the exception of

the procedures securing in the committee level.

15) Above provisions shall apply to all decision-making cases, except in specific

situations whose capacity to be decided upon is solely entrusted by the

Constitution to the President and/or Executive Board. This special power of sole

decision-making shall so be vested to the President and/or the Executive Board in

cases of emergency or abnormality has ceased, and if ever still applicable, could

alter or reject the president or Executive Board’s decisions in the same manner as

in the preceding sections.

16) All Committee heads, that is the chairman and co-chairman; and representatives

can give their point of views or opinions during an Executive meeting, but they

cannot participate in the casting of votes for decision-making.

ARTICLE XI. ELECTIONS

SEC.1. DATE AND METHODS OF ELECTION

1) The formal Election Day will be set on the first week of March.

2) A certificate of candidacy will be served by the Secretary a week before the

formal Election Day.

3) A special election may be held during a general meeting to fill a vacancy in the

position of any Executive Committee member.

4) No qualified member who is absent during election may be nominated for any

position unless he had submitted to the secretary beforehand his written intention

to run for the office.

5) Election shall be secret ballot of all the present members and a plurality of vote

shall be necessary for the election of the member to an elective position of the

organization.

6) In case of a tie between two or more candidates in any position, the officers-elect

shall vote for the candidate(s) to be declared the winner.

7) Any member that will be conceding or changing a position must present a formal

letter to be addressed to the President.

8) The Election Committee must consists of five (5) members of the organization

that is not running for any position or have a interest in any diplomatic issue of

the organization. The President will be the one who will appoint for the said

committee (Art. VII Sec. 3)

SEC.2. QUALIFICATION OF AN ELECTED OFFICER

1) No member shall be elected as officer unless he is a regular member during the

term of office of the elective position concerned.

2) In order to qualify for an elective position in the organization, one must be a

member for at least one (1) semester prior to the election.

3) A candidate objection to his nomination will be taken to mean that he has no

desire to serve the position in which he has nominated and, he has not qualified to

hold the said position.

4) The position of the President shall only be occupied by a 5th year student.

SEC.3. TERM OF OFFICE

1) The term of office of each of the officers on the organization shall be one year and

on the 1st week of March the start of a new set of officers shall begin the term for

the following year.

2) The term of office of each of the appointed officer shall depend upon the

discretion of the Executive Committee.

3) Any member who is elected to fill the vacancy in any elective position shall hold

such position only for the unexpired term of his immediate predecessor.

SEC.4. REMOVAL FROM OFFICE

1) Any elected officers of the organization may be removed from the office for

inability to perform his duties, abuse of power, willful violation of the

constitution, by vote at least two thirds (2/3) of all members present during any

general meeting.

2) All impeachment proceeding shall be presided by the President. In case the

President is the one who is under the threat of impeachment, the organization’s

adviser(s) shall preside over the proceeding.

ARTICLE XII. AMENDMENTS

SEC.1. Any proposed amendments to this constitution must be read by its author during any

general meeting referred to the Executive Committee regarding the proposed

amendments during the next general meeting.

SEC.2. A vote of at least two-thirds (2/3) of the members present during the general meeting

in which the amendments is voted upon shall be necessary for its adoption and

promulgation.

ARTICLE XIII. MANIFESTO OF COMMITMENT TO NON-VIOLENCE

We, the officers of the Institute of Integrated Electrical Engineers of the Philippines

Incorporated, Holy Angel University Student Chapter do hereby reiterate our

commitment to serve all the members, in particular, and all students of this

University, in general, through the fulfillment of our Organization’s objectives and

by ensuring that our actions and activities do not in any way cause disruption of

classes. We reiterate our commitment to peace and to open, democratic and free

dialog as the only means of solving our differences among ourselves and with other

groups. Lastly we renounce all violent acts, including acts that violate the right of

students to freely attend their classes.

ARTICLE XIV. MANIFESTO OF COMMITMENT TO A CLEAN AND GREEN

CAMPUS

We, the Institute of Integrated Electrical Engineers of the Philippines Incorporated,

Holy Angel University Student, acknowledging our duty to respect, protect and

create an environment that benefits human dignity and promotes a peaceful, healthy

and productive life, do hereby commit ourselves to help maintain clean and green

surroundings on campus, at home and in the community; specifically, to refrain from

writing graffiti on walls and chairs and other forms of vandalism; to help in proper

waste disposal, especially in canteens, food courts, corridors, and student centers; to

help in maintaining cleanliness inside classrooms and function rooms so that they

become more conductive to academic activities; to avoid spitting anywhere, sticking

chewing gums anywhere and throwing waste anywhere. We make this vow not only

as part of our education but also as an expression of our solidarity with all men and

women who try to make this planet stay beautiful and last forever.

We, the members of the Institute of Integrated Electrical Engineers of the

Philippines, Incorporated, Holy Angel University Student Chapter, imploring the aid

of the Divine Providence, in order to develop ourselves into well-rounded Electrical

Engineers, prepare for the vital role that we play in almost all fields of human

endeavor, promote fellowship and cooperation among us and other disciplines,

contribute to the good name of Holy Angel University, and secure for the past,

present, and future generations of this institution, Electrical Engineering studentry

the opportunities for total professional growth, do hereby ordain and promulgate this
