I was brought up to consider medicine as 'service', and have tried to follow this tradition since qualification in 1967. I consider the personal motto of Prince Charles (''Ich Dien" meaning 'to serve') as echoing my on life work. I have a history of extensive public (mostly pro botllO) service since my mival in Australia in 1974, and bave been involved in local, stat4~ and national groups since my arrival in Queensland l have been part of a nwnber of c;ommittees within The University of Queensland. but these committees seem to be re-invented frequently, and latterly I have lftl"gely been able to focus on research, teaching and clinical work. When invited to participate, I am always happy to contribute. But despite my academic contributions, my general visibility within UQ appears to be low, and for this I have been grateful. Most of my appointments and cointn"butions over the years are listed at the beginning of this Academic Portfolio. 201l to Because of my imirolvement in more than 25 national and international date conferences, I hav1e been invited to be an AdvisorfAdvocat.e for the

("the State")

AND THE UNIVERSITY OF QUEENSLAND of Brisbane in the State of Queensland.

("the University")

RECITALS

A. The partie$ have entered into a Primary Funding Agreement dated 18 December 2001.

B. The Primary Funding Agreemen1t recognises that various funding applications will be made by the University and in each C85'0, the funding will be subject ·to the tenns of the Primary Funding Agreement and a Secondary Funding Agreement.

C. The parties have agreed that ~'.ecution of a fre.9h Primary Funding Agreement will not be required in each case and that ex~~cution of a Secondary Funding Agreement wJll suffice.

D. The State hes appl'Oved a funding application by the University on tho teims and conditions contained in this Agreement.

NOW THE PARTIES AGREE AS F'OLLOWS:

1. INTERPRETATION

1.1 In this Agreement, unless the context otherwise requires or~ contrary intention appears, the following definitions apply-

'1Agreement,. means this docunumt and all schedules and attachments to it.

"Commencement Date" means lhat date specified In Schedule 2.

"Completion Date" means that dlate specified in Sohcdule 2.

"Existing Material" means an~' material that exists at the Commencement Date and is incorporated into the Material.

"Funding'' means that amount specified in Schedule 4.

"Intellectual Property Rights" means all copyright, patents and all r.ights in relation to inventions. tmdc marks and desigm1.

"Materlal11 means all mate.dal i11oludiog but not limited to documents, computer software, and data stored by any means which is created by or on behalf of the University for the purpose of developing, co-ardinating or provldfng 1he Services.

"Primary Funding Agreement', means the Agrcem~t refel'red to in Recital A.

"ServJce.." means the services specified in Schedule l.

"State,, means the State ofQuc::ensland acting through the Department of Health.

"University" means the University of Queensland.

1.2 A covenant or agreement on tl~e part of two or more persons will be deemed to bind them jointly and severally.

l .3 A reference to a pcr!on includc1S a referertcu to corporations and other entitles recognised by law.

1.4 The singular includes the plural and vice versa.

1. 5 Words importing one gender im~lude a refeccnco to all other genders.

1.6 In the case of any im:onslsten1;l}' between 11 SQhedulc and a clause in this Agreement, the provisions of the clause will prevail to tho extent of any inconsJ.stcncy.

J .7 A reference to a statute, rogulatJton, ordinance or local law extends to all statutes, tQgullltions, ordinances or local lam amending, consolidating or "'placing it,

1.8 A refarcnco to tho State and any govornment department or entlty or other authority, association and body. whethc1r statutory or otherwise, shall in the event of any such department, entity, authOl'ity, a.s,.,oolatlon or body ceasing to exist or being reconstituted. renamed or replaced or the p1owers or t\lnctions thereof being transferred to any other departtnent, entity, authorlty, association or body, be detmed to refer respectively to the department, elltity, authority, as~iociation or body established or constituted ln lieu thereofand succeeding, or as nearly as may lbe, to tho powers or func:tioJUJ thereof.

1.9 Where In this Agreement something is to be done on or by a Saturday, Sunday or publio holiday in Queensland, It may be: done on the next busJness day in Queensland.

1.10 Whore a word or phrase is given a particular meaning In this Agreement, other parts of speech and grammatical form of that word or phrase have a corrc.!!ponding moaning.

1.11 A reference to a clause, schedule or attachment is a reference tu a clauso, Bchedule or attachment to this Agreement and includes any amendment to SIUDC made in acoordanco with this Agreement.

2. ACI<NOWLEDGEMENT

The University acknowledges that it has examined and has understood the contents of all documentation provided by the State to the University prlor to seeking tho Fundlng.

3. TERM

This Agreement will commence on the Commencement Dan, and unless prevlously terminated pursuant 1o clause S, will expire on the Completion Date.

4. PRIMARY FUNDING AG:R:EEMENT

The parties agree that the terms and ~onditlons of the Primary Funding Agreement fonn part of this Agreement and they shall comply with those terms and conditions in so far as they arc relevant to this Agreoment.

S. GOODS AND SERVICES TAX (GST)

5.1 For the purpose.9 of this clause -

(a) "Adjustment Event" hes the same meaning as in the OST Act;

(b) "Adjustment Note., has tho same meaning as in the GST Act;

(c:) "GST" has the same meEming as in the OST Act;

(d) 11GST Aet" means A Mtw TllX System (Good1 and Sery/ce8 Tax) Act 1999 (Cth) as amended;

(e) "Recipient Created To Invoice', (RCTI) has the same moaning as in the GST Act;

(t) "Tax lnvoJce" has the m;anlng as in the GST Act; and

(g) "Taxable Supply" has the same meaning as in the OST Act.

5.2 The Parties agree that the pi:icei1 specified Jn tbJs Agreement are GST exclusive.

5.3 In signing this Agreement tho University is indlcating it ls registered for OST and ABN 63 942 912 684 ls to be used for this project. The Univcn'Sity agl.'ees that the supply will be subject to OST to the extent requlred by the OST law.

S.4 The Univorsity acknowledges that it cannot ontei: into a Rec.tpient Created Tax Invoice agreement if it is not registered :for GST, even Jf it is required to be registered,

5.S The University further agrees to the following conditions in regard to Recipient Created Tax InvoiQCS (RCTI):

(a) Queensland Health will issue RCTis ln respect of all taxable supplies made by the University to Queensland Health in return for payments/conslderatlon from the Queensland Health. and provide J copy to the Unlvw:sJty wJthin twenty-eight (28) days;

(b) The Unlversity must romit tho OST amount(s) to the Australian Taxation Office as rcqulrcd by the GST legislation;

(o) Queensland Health will issue Recipient Created Acljustrncnt Notes (RCAN) in rcspcot of any adjustment events 1that occur under this Service Agreement, and provide a copy to the University within ht0rcnty·eight (28) days;

(d) The. University agrees not to issttc Tax Invoices or Adjustment Notes Jn respect of these same wppUes;

(e) The University will notify Queensland Health within fourteen (!4) days if it ceases to be registered for OST puirposcs, becomes aware of any reason for which its registration may be cancelled, or if it ceases to satisfy any of the RCTI i-equJrements stated lo the OST legislation.

5.6 The University will notify Queensland Health in writJng lf It wishes the RCTI agreement of Clause 5.4 of this Secondary Funding agreement to be cancelled and the cancellation will not take affect until the advice of the cancellation hM been received by Queensland Health.

5.7 The University will notify Quc:ensland Health in writing withfn fourteen (14) days of any change to. its OST status or ABN: by completing tho RCTI Amendment Fotm (Schedule 8).

S.8 Queensland Heldth is rcgi~ed for GST purposes and ll$ ABN is 66 329 169 412. Queensland Health will notify the University within fourteen (14) days if it ceases fo be registered for OST purpose.'9, be!comes awaro of any reason for which its rogistration may be canceJled, or if ft ceqses to ss.ttsfy any of the Ren requirements stated In the OST legisJation.

( d) a decision of any tribunal 01· court,
