AMENDMENT TO SETTLEMENT

STIPLLATION

The parties to the unanimous Settlement Stipulation

in

PUC

Docket No. 44060

acknowledge

that the City of Frisco

has made additional concessions beyond those listed in the

Settlement Stipulation. Specifically,

the City has

agreed that the underground transmission tine

shall emerge above ground in Segment 3 at a point as close to the western node as possible and

proceed above ground the

entirety

of Segment 2 and that the

City will

make additional cash

contributions of 550,300, reflecting 250,000 dedicated to ensure that civil and electrical plans

are compatible and combined for one bid set and 300,000 to have Kimberly Horn perform

construction management services to coordinate with Brazos' contractors.

To facilitate

consideration of this Amendm ent, attached is an Exhibit that shows the riser

in mid-Segme nt 3 that replaces the original Stipulation Exhibit B.

The following

parties on May 3, 2016 consent to or agree not to oppose the additional

concessions

which

amend the Settlement Stipulation.
