Seagrave Fire Apparatus, LLC. Two Year Limited Warranty

Limited Warranty

Subject to the limitations and exclusions set forth below, and provided

the vehicle shall have been placed in service within sixty (60) days after

delivery to the original purchaser (the “Purchaser”) as established by our

original invoice, Seagrave Fire Apparatus, LLC (“Seagrave”) warrants to

the Purchaser that the portions of its Custom Cab and Chassis that are

manufactured by Seagrave shall be free from defects in material and

workmanship for a warranty period ending two (2) years after the date of

delivery of the vehicle to the original purchaser or the first 20,000 miles

of use, or 10,000 hours as determined by engine hours or 10,000 In-

Service hours, whichever occurs first. This limited warranty shall apply

only if the vehicle is properly maintained in accordance with Seagrave’s

maintenance instructions and manuals and is used in service, which is

normal to the particular vehicle model. Normal service means service,

which does not subject the vehicle to stresses or impacts greater than

normally result from the careful use of the vehicle or chassis. All

maintenance performed must be documented for proof of compliance.

Such documentation must be made readily available and provided to

Seagrave within ten (10) days upon request. If the Purchaser discovers a

defect of nonconformity, it must notify Seagrave in writing within thirty

(30) days after the date of discovery, but in any event prior to the

expiration of the warranty period.

THIS WARRANTY TERMINATES UPON TRANSFER OF

POSSESSION OR OWNERSHIP OF THE VEHICLE FROM THE

ORIGINAL PURCHASER.

Notwithstanding anything to the contrary herein, Seagrave makes no

warranty whatsoever as to:

(a) any other integral parts, components, attachments or trade accessories

of or to the vehicle that are not manufactured by Seagrave, including but

not limited to engines, transmissions, drivelines, axles, water pumps and

generators; with respect to all such parts, components, attachments and

accessories, Seagrave shall assign to Purchaser the applicable warranties,

if any, made by the respective manufacturers thereof

(b) any vehicle, chassis or component, part, attachment or accessory

damaged by misuse, neglect, improper maintenance or accident. Any

determination of neglect or damage during the full limited warranty term

will void this warranty.

(c) any vehicle, chassis or component, part, attachment or accessory that

has been repaired, altered or assembled in any way by any person or

entity other than Seagrave which, in the sole judgment of Seagrave,

adversely affects the performance, stability or purpose for which it was

manufactured

(d) any modification or repair performed during the full term of the

limited warranty excluding regular scheduled maintenance or the

replacement of non-warrantable wearable components without prior

written authorization from Seagrave will void this warranty

(e) products or parts which may, in the ordinary use, wear out and have to

be replaced during the warranty period, including, but not limited to,

tires, fluids, gaskets, filters and light bulbs. Seagrave assumes no

responsibility for the assembly of its parts or subassemblies into finishing

products or vehicles unless the assembly is performed by Seagrave.

(f) normal maintenance services or adjustments, including but not limited

to fuel system cleaning, wheel alignment and balancing, engine tune-up,

brake inspection or adjustment, nor to the replacement of fluids, oil seals

or filters

.

Disclaimer of Warranties

THE WARRANTY SET FORTH IN THE PREVIOUS PARAGRAPHS

IS THE SOLE AND EXCLUSIVE WARRANTY GIVEN BY

SEAGRAVE. SEAGRAVE HEREBY DISCLAIMS AND EXCLUDES

ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR

STATUATORY, INCLUDING WITHOUT LIMITATION ANY

WARRANTY OF MERCHANTABILITY, ANY WARRANTY OF

FITNESS FOR A PARTICULAR PURPOSE, AND ANY

WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE

OF TRADE.

Purchaser’s Exclusive Remedy

If the vehicle fails to conform to the warranty set forth in the limited

warranty on this page during the warranty period, and such

nonconformity is not due to misuse, neglect, accident or improper

maintenance, purchaser must notify Seagrave within the time period

specified in the first paragraph, and shall make the vehicle and all

maintenance records available for inspection by Seagrave or its

designated agent. At the request of Seagrave, any allegedly defective

vehicle shall be returned to Seagrave or an authorized Seagrave

representative by the Purchaser for examination and/or repair. Purchaser

shall be responsible for the cost of all such transportation including

loading and unloading and for loss of or damage to the vehicle during

transportation. Within a reasonable time, Seagrave shall repair or replace

(at Seagrave’s option and expense) any nonconforming or defective parts.

Repair or replacement shall be made only by a facility approved in

advance in writing by Seagrave. THIS REMEMDY SHALL BE THE

EXCLUSIVE AND SOLE REMEDY FOR ANY BREACH OF

WARRANTY.

Exclusion of Consequential and Incidental Damages

Notwithstanding anything to the contrary herein or in any agreement

between Seagrave and Purchaser, IN NO EVENT SHALL SEAGRAVE

BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL,

INDIRECT, OR PUNATIVE DAMAGES WHATSOEVER, WHETHER

ARISING OUT OF BREACH OF CONTRACT, WARRANTY, TORT

(INCLUDING NEGLEGENCE AND STRICT LIABILITY) OR OTHER

THEORY OF LAW OR EQUITY, WITH RESPECT TO VEHICLES

OR OTHER PRODUCTS SOLD BY SEAGRAVE OF THEIR

OPERATION OR FAILURE TO OPERATE, OR ANY DEFECTS

THEREIN, OR ANY UNDERTAKINGS, ACTS, OR OMISSIONS

RELATED THERETO, REGARDLESS OF WHETHER SEAGRAVE

HAS BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH

DAMAGES. Without limiting the generality of the foregoing, Seagrave

specifically disclaims any liability for property or personal injury

damages, penalties, damages for lost profits or revenues, loss of vehicles

or products or any associated equipment, cost of substitute vehicles or

products, down-time, delay damages, any other types of economic loss,

or for any claims by any third party for any such damages.

THIS WARRANTY IS PROVIDED IN EXCLUSION OF ANY AND

ALL OTHER REPRESENTATIONS, EITHER EXPRESSED OR

IMPLIED. NO PERSON IS AUTHORIZED TO MAKE ANY

REPRESENTATIONS OR WARRANTIES ON BEHALF OF

SEAGRAVE FIRE APPARATUS, LLC, OTHER THAN SET FORTH

HEREIN. ANY MODIFICATION TO THIS WARRANTY MUST BE

IN WRITING AND APPROVED AND SIGNED BY THE CEO OF

SEAGRAVE FIRE APPRATUS, LLC.

Seagrave reserves the right to make changes to Seagrave's products

without incurring any obligation to modify or improve previously

manufactured products.

Note: Any Surety Bond, if part of the sale of the vehicle as to which this

limited warranty is provided, applies only to this Seagrave Two Year

Limited Warranty for such vehicle, and not to other warranties made by

Seagrave in a separate document (if any) or to the warranties (if any)

made by any manufacturer (other than Seagrave) of any part, component,

attachment or accessory that is incorporated into or attached to the

vehicle.

Seagrave Fire Apparatus, LLC. AERIAL DEVICE

Twenty Year Structural Integrity Limited Warranty

Seagrave Fire Apparatus, LLC warrants each new aerial device manufactured by Seagrave to be free of structural failures caused by defective design or workmanship for a warranty period of twenty years after the date on which the vehicle is first delivered to the original purchaser or 100,000 miles, whichever occurs first. This warranty is limited to the torque box, turntable, aerial sections, boom sections and structural components of outriggers or jack beams, as identified in Seagrave's specifications, of the aerial device. This warranty applies only if the original purchaser provides to Seagrave dated test results showing that the aerial device (1) has been, at least annually, visually examined; and (2) has been nondestructive tested by a third party testing agency in accordance with the then latest revision of NFPA 1914. All results must be submitted to Seagrave's Customer Service Department within thirty days after the examination or test or otherwise this warranty is void. Seagrave's obligation under this warranty is limited to repairing or replacing, as Seagrave may elect, without charge to the original purchaser, the structural component or components which Seagrave, after examination, finds, to Seagrave's satisfaction, to have structurally failed due to defective design or workmanship. Seagrave's obligation under this warranty is subject to the conditions precedent (1) that the claimed failure shall have first appeared during the warranty period; (2) that the original purchaser shall have notified Seagrave in writing of the claimed failure within thirty (30) days after the claimed failure shall have first appeared, and (3) that, unless Seagrave directs otherwise, the claimed failed item or items shall have been returned to Seagrave, or to Seagrave's designee, promptly after the notification, with transportation charges prepaid. Seagrave reserves the right to thoroughly examine the vehicle or parts thereof, prior to conducting or approving any repair or replacement, to determine whether the claimed failure is covered by this warranty. In advance of the original purchaser effecting repair or replacement of a structural component or components found by Seagrave to have structurally failed due to defective design or workmanship, approval for the repair or replacement must be obtained from Seagrave's Customer Service Department. Repair or replacement must be made by a facility approved in advance by Seagrave. Failure to obtain either or both of the advance approvals voids this warranty. Coverage under this warranty of labor for repair or replacement is limited to the time or amounts reasonably necessary, as determined by Seagrave, to make the repair or replacement. Labor time or amounts deemed excessive by Seagrave are not covered under this warranty. Any repair or replacement effected by Seagrave under this warranty is itself warranted under this warranty for the duration of the warranty period subject, however, to the provisions of this warranty as are applicable to the structural component or components repaired or replaced by Seagrave. This warranty terminates upon transfer of possession or ownership of the vehicle from the original purchaser.

This warranty does not apply to or cover: (1) normal maintenance services or adjustments; (2) any item that has been repaired, replaced or altered by a facility not approved in advance by Seagrave's Customer Service Department, or in a manner which, in Seagrave's judgment, may adversely affect the operation or longevity of the vehicle or item; (3) integral parts, components, aftermarket or trade accessories not manufactured by Seagrave; (4) special, incidental or consequential damages including, but not limited to, loss of time, inconvenience, loss of use, or lost profits; (5) any malfunction resulting from misuse, negligence, alteration, accident or lack of operational knowledge or normal maintenance or adjustments; (6) time required to unload or reload the vehicle or item; (7) nonstructural breakage or cracking; (8) material bending, buckling or other metal deformation unless caused by a structural failure of a structural component, as identified in Seagrave's specifications, of the aerial device due to defective design or workmanship; (9) transportation fees or charges to or from any facility; or (10) defects if vehicle is damaged, dented, scratched, corroded or rusted from severe salt or road corrosive materials; faded or discolored by exposure to heat or severe sun conditions or environmental conditions. This warranty is void if Seagrave determines that the vehicle or item has been neglected, misused, altered, overloaded, loaded to a state of excessive imbalance side to side, or damaged. This warranty is also void if Seagrave determines that the warranty claim is false or misrepresented, that the vehicle or item has been damaged in an accident or by an act of God, or that the structural failure is attributable to use or operation of the vehicle or item in a manner or for a purpose other than that for which Seagrave intended or designed the vehicle or item. Fifteen Year Structural Integrity Limited Warranty

Seagrave Fire Apparatus, LLC warrants the body of each new custom fire and rescue vehicle manufactured by Seagrave to be free of structural failures caused by defective design or workmanship for a warranty period of fifteen (15) years after the date on which the vehicle is first delivered to the original purchaser or 100,000 miles, whichever occurs first. This warranty is limited to the body tubular support and mounting structures and other structural components, as identified in Seagrave's specifications, of the body. Seagrave's obligation under this warranty is limited to repairing or replacing, as Seagrave may elect, without charge to the original purchaser, the structural component or components which Seagrave, after examination, finds, to Seagrave's satisfaction, to have failed due to defective design or workmanship. Seagrave's obligation under this warranty is subject to the conditions precedent (1) that the claimed failure shall have first appeared during the warranty period; (2) that the original purchaser shall have notified Seagrave in writing of the claimed failure within thirty (30) days after the claimed failure shall have first appeared, and (3) that, unless Seagrave directs otherwise, the claimed failed item or items shall have been returned to Seagrave, or to Seagrave's designee, promptly after the notification, with transportation charges prepaid. Seagrave reserves the right to thoroughly examine the vehicle or parts thereof, prior to conducting or approving any repair or replacement, to determine whether the claimed failure is covered by this warranty. In advance of the original purchaser effecting repair or replacement of a structural component or components found by Seagrave to have structurally failed due to defective design or workmanship, approval for the repair or replacement must be obtained from Seagrave's Customer Service Department. Repair or replacement must be made by a facility approved in advance by Seagrave. Failure to obtain either or both of the advance approvals voids this warranty. Coverage under this warranty of labor for repair or replacement is limited to the time or amounts reasonably necessary, as determined by Seagrave, to make the repair or replacement. Labor time or amounts deemed excessive by Seagrave are not covered under this warranty. Any repair or replacement effected by Seagrave under this warranty is itself warranted under this warranty for the duration of the warranty period subject, however, to the provisions of this warranty as are applicable to the structural component or components repaired or replaced by Seagrave. This warranty terminates upon transfer of possession or ownership of the vehicle from the original purchaser. Seagrave reserves the right to make changes to Seagrave's products without incurring any obligation to modify or improve previously manufactured products. This warranty does not apply to or cover: (1) normal maintenance services or adjustments; (2) any item that has been repaired, replaced or altered by a facility not approved in advance by Seagrave's Customer Service Department, or in a manner which, in Seagrave's; judgment, may adversely affect the operation or longevity of the vehicle or item; (3) integral parts, components, aftermarket or trade accessories not manufactured by Seagrave; (4) special, incidental or consequential damages including, but not limited to, loss of time, inconvenience, loss of use, or lost profits; (5) any malfunction resulting from misuse, negligence, alteration,

accident or lack of operational knowledge or normal maintenance or adjustments; (6) time required to unload or reload the vehicle or item; (7) nonstructural breakage or cracking; (8) material bending, buckling or other metal deformation unless caused by a structural failure of a structural component (fatigued sheet metal is NOT considered structural), as identified in Seagrave's specifications, of the body due to defective design or workmanship; (9) transportation fees or charges to or from any facility; or (10) defects if vehicle is damaged, dented, scratched, corroded or rusted from severe salt or road corrosive materials; faded or discolored by exposure to heat or severe sun conditions or environmental conditions. This warranty is void if Seagrave determines that the vehicle or item has been neglected, misused, altered, overloaded, loaded beyond specified compartment weight limits, loaded to a state of excessive imbalance side to side, or damaged. This warranty is also void if Seagrave determines that the warranty claim is false or misrepresented, that the vehicle or item has been damaged in an accident or by an act of God, or that the structural failure is attributable to use or operation of the vehicle or time in a manner or for a purpose other than that for which Seagrave intended or designed the vehicle or item. Seagrave Fire Apparatus, LLC warrants each new chassis frame rail and crossmember manufactured by Seagrave to be free of structural failures caused by defective design, material or workmanship for a warranty period equal to the vehicle's useful life after the date on which the vehicle is first delivered to the original purchaser. Seagrave's obligation under this warranty is limited to repairing or replacing, as Seagrave may elect, without charge to the original purchaser, the frame rails or crossmembers, which Seagrave, after examination, finds to Seagrave's satisfaction, to have structurally failed due to defective design, material or workmanship. Seagrave's obligation under this warranty is subject to the conditions precedent (1) that the claimed failure shall have first appeared during the warranty period; (2) that the original purchaser shall have notified Seagrave in writing of the claimed failure within thirty (30) days after the claimed failure shall have first appeared, and (3) that, unless Seagrave directs otherwise, the claimed failed item or items shall have been returned to Seagrave, or to Seagrave's designee, promptly after the notification, with transportation charges prepaid. Six Year Limited Warranty

Subject to the limitations and exclusions set forth below, Seagrave Fire Apparatus, LLC (Seagrave) warrants the exterior paint on each new cab and body manufactured by Seagrave for a period of six (6) years after the date on which the vehicle is first delivered to the original purchaser, as established by Seagrave’s original invoice. Seagrave warrants the Original Purchaser that its finished cab and body areas will be free from corrosion, blistering, peeling, or any other adhesion defect caused by defective manufacturing methods or paint material selection for exterior surfaces of the body of the vehicle.

Seagrave's obligation under this warranty is subject to the conditions precedent; (1) Original Purchaser must notify Seagrave in writing of the claimed defect or perforation within thirty (30) days of discovery, but in any event prior to the expiration of the warranty period. (2) Written approval must be obtained from Seagrave's Customer Service Department prior to any repair or replacement of any materials covered within this Limited Warranty. (3) Unless Seagrave directs otherwise, the claimed defective or perforated item(s) shall be returned to Seagrave, or to Seagrave's designee, promptly after the notification. Original Purchaser shall be responsible for the cost of transportation and for risk of loss or damage to the vehicle or materials during transportation. (4) Seagrave reserves the right to thoroughly examine the vehicle or parts thereof, prior to conducting or approving any repair or replacement, to determine whether the claimed defect or perforation is covered by this warranty. (5) Repair or replacement must be made by a facility approved in advance, in writing, by Seagrave. Failure to obtain all of the advance approvals voids this warranty. Coverage under this warranty of labor for repair or replacement is limited to the time or amounts reasonably necessary, as determined by Seagrave, to make the repair or replacement. Labor time or amounts deemed excessive by Seagrave are not covered under this warranty. This warranty terminates upon transfer of possession or ownership of the vehicle from the original purchaser.

This Limited Warranty is applicable to the vehicle in the following percentage costs of warranty repair, if any:

Seagrave also warrants, subject to all of the terms and conditions of this Limited Warranty, except cost allocations, each new cab and body manufactured by Seagrave against exterior corrosion perforation for a warranty period of six (6) years after the date on which the vehicle is first delivered to the original purchaser or 100,000 miles, whichever occurs first.

This limited warranty covers only repair or replacement of any part

of a Seagrave vehicle in which a defect in materials or workmanship

appears within the limited warranty period. This warranty is void if

Seagrave determines that the warranty claim is false or

misrepresented.

Examples of items not covered include, but are not limited to:

I. Major components or trade accessories such as purchased

chassis, engines, signaling devices, batteries, generators, tires,

rims or transmissions that have a separate warranty by the

original manufacturer, or to equipment used in fire fighting.

II. An unauthorized alteration or modification to the vehicle,

including the body, chassis or components, after completion

of the vehicle assembly by Seagrave and any problems that

occur as a result of such alterations or modifications.

III. Damage caused by collision, fire, theft, freezing, vandalism,

riot, explosion, acts of nature, war or objects striking the

vehicle or any damage covered by owner insurance.

IV. Damage caused by misuse, neglect or improper operation of

the vehicle such as driving over curbs, overloading, racing or

off–road use.

V. Damage caused by failure to follow the requirements of the

maintenance schedule, failure to maintain proper fluid and

lubricant levels and failure to follow operating instructions.

VI. Incidental expenses such as loss of vehicle use,

inconvenience, loss of time, vehicle rental, loading or travel

costs, vacation pay, liability for personal or property damages,

penalties, damages for lost profits or revenues, any other

types of economic loss or any third party claims for damages.

VII. Gold leaf, striping, exotic and/or custom finishes and

Scotchlite emblems or decals installed by anyone other than

the Seagrave factory.

VIII. Damage caused from exposure to road de-icing compounds or

use in an acidic environment.

IX. Damage caused from not following cab and body washing

procedures on truck and in Operation and Maintenance

Manual.

X. Defects if vehicle is damaged, dented, scratched, corroded or

rusted from severe salt or road corrosive materials, or faded or

discolored by exposure to heat or severe sun conditions or

environmental conditions.

XI. This warranty shall not apply to non-exterior surface areas

(i.e. compartment interiors, cab and body interior,

undercarriages)

XII. This warranty shall only apply to exterior coating applied by

Seagrave and specifically excludes all coating applications

applied by other manufacturers including chassis and chassis

compartments.

XIII. This warranty shall exclude accessory vendor equipment that

is painted to match finished vehicle.

XIV. This warranty shall exclude painted roll-up doors.

XV. Hazing, chalking or loss of gloss caused by improper care,

abrasive polishes, cleaning agents, heavy duty pressure

washing or aggressive mechanical wash system.

XVI. Paint deterioration caused by abuse, accidents, acid rain,

chemical fallout or acts of nature.

XVII. Accidents, scratches, chips, bruises, and gloss reduction due

to normal vehicle use and maintenance.

THIS WARRANTY IS PROVIDED IN EXCLUSION OF ANY AND ALL OTHER REPRESENTATIONS, EITHER EXPRESSED OR IMPLIED. NO PERSON IS AUTHORIZED TO MAKE ANY REPRESENTATIONS OR WARRANTIES ON BEHALF OF SEAGRAVE FIRE APPARATUS, LLC, OTHER THAN SET FORTH HEREIN. ANY MODIFICATION TO THIS WARRANTY MUST BE IN WRITING AND APPROVED AND SIGNED BY THE PRESIDENT/CEO OF SEAGRAVE FIRE APPRATUS, LLC. THE PROVISIONS OF THIS LIMITED WARRANTY SHALL CONSTITUTE THE SOLE EXCLUSIVE REMEDIES OF A SEAGRAVE VEHICLE ORIGINAL PURCHASER. All The cost of any repairs, replacements or adjustments to a covered component (1) associated with noise; (2) resulting from the use or installation of non-genuine Meritor components or materials; (3) due to vibration associated with improper operation or misapplication of drivetrain components; and (4) damage resulting from corrosion.

Front Axles King Pin Bushings.

Rear Axles Self-contained traction equalizers and oil filters. The use of NoSPIN differentials will result in the exclusion of axle shafts from warranty considerations. NoSPIN is a product of Eaton.

ASA Boot and bushing. Bent, broken, over-torqued, missing or otherwise damaged pawl assemblies.

Cam Brake Brake lining wear and brake shoe “rust-jacking.”

Disc Brake Pad wear, rotor wear.

Coverage Limitations

Product Description

All Any claim beyond 60 days from date of repair will not be accepted or honored under this warranty program. Products purchased on an incomplete vehicle (glider) are limited to one year, unlimited miles parts only (1/Unl/P).

Front Axles Tie rod and tie rod ends limited to 3-year/300,000-mile or published vocational coverage, whichever is less. Wheel seals, gaskets and wheel bearings are covered for 1 year/unlimited miles if the wheel end equipment is supplied and assembled by Meritor.

Rear Axles Pinion and through shaft seals limited to 3-year/300,000-mile or published vocational coverage, whichever is less, if yoke is installed by Meritor. If yoke is not installed by Meritor, then Meritor does not warrant pinion seals. Wheel seals, gaskets and wheel bearings are covered for 1 year/unlimited miles if the wheel end equipment is supplied and assembled by Meritor.

Rear Axles The Meritor® breather part number A-2297-C-8765 with A-3196-J-1336 hose must be used for eligibility of any potential warranty consideration relating to contamination and/or loss of lube in axles.

Cam Brake Limited to bracket, brake spider and camshaft structural integrity.

X30 Wearable life is up to the discard diameter of the drum.

Disc Brake Warranty coverage for boots, seals, bushings and pins is 2/200/P. Warranty coverage for pads is 1/100/P.

Warranty coverage on vehicles with 1,850 lb-ft engine torque and over may be reduced on individual drivetrain components. Contact your Meritor representative for specific details.

TERMS AND CONDITIONS(1) What is Covered by this Commercial Warranty?

Meritor Inc. warrants to the owner (“Owner”) that the components listed in this publication, which have been installed by an Original Equipment Manufacturer (“OEM”) as original equipment in vehicles licensed for on-highway use, will be free from defects in material and workmanship. This warranty coverage begins only after the expiration of the OEM’s vehicle warranty for the applicable covered components. Warranty coverage ends at the expiration of the applicable time period from the date of vehicle purchase by the first Owner, or, the applicable mileage limitation, whichever occurs first. Duration of coverage varies by component and vocation as detailed elsewhere in this warranty statement.

Some components are warranted for parts only and the Owner must pay any labor costs associated with the repair or replacement of the component. Other components are warranted for both parts and reasonable labor to repair or replace the subject component. Components (whether new, used or remanufactured) installed as re-placements under this warranty are warranted only for the remainder of the original period of time or mileage under the original warranty.

For certain components, coverage requires the use of specific extended drain interval or synthetic lubricants. For further information about lubrication and maintenance, see Meritor publication Maintenance Manual Number l and the applicable Meritor maintenance manual for the product in question. Other conditions and limitations applicable to this warranty are detailed below.

(2) Designation of Vocational Use Required. To obtain warranty coverage, each Owner must notify Meritor through the OEM new truck and/or trailer dealer of the intended vocational use of the vehicle into which the Meritor components have been incorporated prior to the vehicle in-service date. This notification may be accomplished by registering the vehicle through your OEM new truck and/or trailer dealer or with Meritor directly. Failure to notify Meritor of (I) the intended vocational use of the vehicle or (II) a change in vocational use from that which was originally designated, will result in the application of a one year, unlimited mileage, parts only warranty (1/Unl/P) from the initial in-service date.

A second Owner and each subsequent Owner must also notify Meritor as to the intended vocational use of the vehicle. This notification can be sent directly to Meritor or through the OEM new truck and/or trailer dealer. The duration and mileage coverage of this warranty cannot exceed the coverage extended to the first Owner after his or her initial designation of vocational use.

Coverage under Meritor’s warranty requires that the application of products be properly approved pursuant to OEM and Meritor approvals. Refer to TP-9441 for axles, SP-8320 for trailer axles, TP-12126 for drivelines, and/or contact Meritor regarding specific application approval questions on any product line.

(3) What is the Cost of this Warranty? There is no charge to the Owner for this warranty.

(4) What is not Covered by this Warranty? This warranty does not cover normal wear and tear; nor does it cover a component that fails, malfunctions or is damaged as a result of (I) improper installation, adjustment, repair or modification (including the use of unauthorized attachments or changes or modification in the vehicle’s configuration, usage, or vocation from that which was originally approved by Meritor), (II) accident, natural disaster, abuse, or improper use (including loading beyond the specified maximum vehicle weight or altering engine power settings to exceed the axle and/or driveline capacity), or (III) improper or insufficient maintenance (including deviation from approved lubricants, change intervals, or lube levels). This warranty does not cover any component or part that is not sold by Meritor. For vehicles that operate full or part time outside of the United States and Canada, a one year, unlimited mileage, parts only warranty (1/Unl/P) will apply.

(5) Remedy. The exclusive remedy under this warranty shall be the repair or replacement of the defective component at Meritor’s option. Meritor reserves the right to require that all applicable failed materials are available and/or returned to Meritor for review and evaluation.

(6) Disclaimer of Warranty. THIS WARRANTY IS EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES

OR CONDITIONS, EXPRESSED, IMPLIED OR STATUTORY INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE.

(7) Limitation of Remedies. In no event shall Meritor be liable for special, incidental, indirect, or consequential damages of any kind or under any legal theory, including, but not limited to, towing, downtime, lost productivity, cargo damage, taxes, or any other losses or costs resulting from a defective covered component.

(8) To Obtain Service. If the Owner discovers within the applicable coverage period a defect in material or workmanship, the Owner must promptly give notice to either Meritor or the dealer from which the vehicle was purchased. To obtain service, the vehicle must be taken to any participating OEM new truck and/or trailer dealer or authorized Meritor service location. The dealer will inspect the vehicle and contact Meritor for an evalu-ation of the claim. When authorized by Meritor, the dealer will repair or replace during the term of this warranty any defective Meritor component covered by this warranty.

(9) Entire Agreement. This is the entire agreement between Meritor and the Owner about warranty and no Meritor employee or dealer is authorized to make any additional warranty on behalf of Meritor. This agreement allocates the responsibilities for component failure between Meritor and the Owner.

MANUFACTURER’S LIMITED WARRANTY ONAN CMHG HYDRAULIC GENERATOR

& PROTEC AC� SERIES GENERATOR

COVERAGE PERIOD Provided such goods are operated and maintained in accordance with Onan's written instructions, Onan warrants that the CMHG SERIES Hydraulic Generators and PROTEC AC SERIES generators manufactured or supplied by it will be free from defects in material and workmanship for a period of five (5) years or one thousand (1,000) hours, whichever comes first, from the date of delivery to the first purchaser. In the case of generators used for rental or demonstration purposes, this warranty coverage period begins on the date the generator is first used for such rental or demonstration purposes. This warranty is extended to all subsequent owners of the generator during the coverage period. Repair or replacement parts are warranted for ninety (90) days from date of purchase, excluding labor and travel expenses. Any part repaired or replaced during the warranty period assumes the remainder of the warranty or ninety (90) days, whichever is greater. ONAN'S RESPONSIBILITIES Onan's obligation under the terms of this warranty is limited to the repair or replacement, at its option, of the generator or parts of the generator that do not conform to this warranty. Onan will pay for the parts and labor, including diagnostic labor, to repair the generator. When necessary, Onan will also pay reasonable labor expenses associated with the removal and reinstallation of the generator into the customer's equipment, up to the maximum time of two (2) hours. For the first two (2) years of coverage, Onan will pay travel time up to two and one-half (2.5) hours and mileage cost up to one hundred (100) miles, if such work is done by an Onan distributor or other service representative designated by Onan. OWNER'S RESPONSIBILITIES The owner is obligated to operate and maintain the generator in accordance with the recommendations published by Onan in the genset’s operator's manual. The owner is responsible for the costs associated with such maintenance and any adjustments that may be required. All claims must be brought to the attention of Onan or an authorized distributor or its designated service representative within a reasonable time, preferably within thirty (30) days after discovery that the generator fails to meet this warranty. The owner is responsible for payment of any of the following expenses that might be incurred as a result of a failure under the terms of this warranty: 1. Rental equipment used to replace the equipment being repaired. 2. Telephone or other communication expenses. 3. Living and travel expenses of the person making the repair (other than those outlined above). 4. The premium costs for overtime labor requested by the owner. 5. The cost of airfreight or other extraordinary expenses for shipment of parts over and above

premium surface transportation.

LIMITATIONS Onan is not responsible for the repair of generators that is required because of normal wear, accident, misuse, abuse, improper installation, corrosion, lack of maintenance, unauthorized modifications, the use of add-on or modified parts, improper storage or negligence. NORMAL WEAR This warranty will not cover repair where normal use has exhausted the life of a part or generator. Generators, like all mechanical devices, need periodic parts replacement and service to perform well. It should be remembered that the service life of any generator is dependent on the care it receives and the conditions under which it has to operate. Some applications are very dusty or dirty, which can cause excessive wear. Such wear, when caused by dirt, dust or other abrasive material that has entered the generator because of improper maintenance is not covered by warranty. THERE IS NO OTHER EXPRESS WARRANTY. IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED TO PERIODS OF WARRANTY SET FORTH ABOVE. TO THE EXTENT PERMITTED BY LAW, ANY AND ALL IMPLIED WARRANTIES ARE EXCLUDED. NOTE: Some states and provinces do not allow limitations on how long an implied warranty lasts, so the above limitations may not apply to you. CONDITIONS OF SALE 1 Formation of "The Contract" A. In these conditions the followings words have

the following meanings: 'the Company' – the member of the TRW Group that sells the Goods to the Customer 'the Customer' – the person(s), firm or company who purchases the Goods from the Company 'the TRW Group' – TRW Automotive Inc and any company under the direct or indirect control of TRW Automotive Inc. ‘TRW Company’ – any company that is a member of the TRW Group 'Goods' – any goods or services agreed to be supplied by the Company 'Company Documentation' – any quotation, or response to request for quotation or acceptance or acknowledgement of order or response to the Customer's order issued by or on behalf of the Company 'Contract Terms' – the terms and conditions set out below and any terms and conditions set out or identified in the

Company Documentation. B. The Contract Terms may be varied only by express agreement

in writing by the Company C. Where the Company supplies Goods under a blanket order

received from the Customer, the blanket order and each

release shall be subject to the Contract Terms; D. The contract terms shall be governed by and construed in

accordance with the law of the country in which the principal

place of business of the Company is located. 2 Prices

Unless otherwise expressly stated in writing,: A. The price stated is inclusive of all discounts but exclusive of (i)

packaging, delivery and carriage charges which shall be

payable in addition to the price stated if delivery is requested

by the Customer, and (ii) Value Added Tax and any other

taxes and duties which shall be paid by the Customer at the

rate and in the manner prescribed by law from time to time; B. The Company may adjust the price stated to take account of

any change in any specification made at the request of the

Customer and agreed by the Company or any delay caused by

the Customer. 3 Payment

Unless otherwise expressly stated in writing, A. prices are due and payable to, and at such place and in such

currency as may be designated by the Company, without

set-off or counterclaim in immediately available funds 30 days

from the date of the Company's invoice. B. On the Customer failing to make full payment when due the

Company shall be entitled to: (i) require future payments in

advance of delivery; or (ii) refuse to make delivery of any

goods or services without incurring any liability to the

Customer; or (iii) terminate the contract or any outstanding

release; or (iv) charge (without prejudice to any other rights of

the Company) interest on the amount due at 4 % per annum

above the base rate from time to time of the central bank of

the country in which the principal place of business of the

Company is located calculated from the date due for payment. 4 Delivery A. The Company will endeavor to complete the contract or deliver

the Goods within the time agreed (if any) and if no time is

agreed, within a reasonable time, and in the quantities agreed

(if any) but it shall not be liable for any liabilities arising as a

result of any delay in the completion of the contract or delivery

of the Goods or discrepancies in quantities delivered. B. If the Customer fails to take delivery of Goods when they are

ready for delivery the Company may, at its option, either store

them itself or have them stored by third parties on such terms

as the Company may in its absolute discretion think fit. The

cost of storage together with any additional insurance or

handling charges will be added to and form part of the price for

the Goods payable by the Customer. 5 Title and Risk

A. Title to Goods shall not pass to the Customer until the purchase price of the Goods have been paid in full. Until title to

the Goods has passed to the Customer or until delivery of the

Goods to a third party pursuant to the permission given below,

the Customer will hold the Goods for the Company, will not

obliterate any identifying mark on the Goods or their packaging

and will keep the Goods separate from any other goods.

B. The Company may, at any time after payment for the Goods or

any other payment due and owing to the Company under the

Contract Terms has become due, take possession of the

Goods C. Risk of damage to or loss of the Goods shall pass to the

Customer: (i) in the case of Goods to be delivered at the Company’s

premises, at the time when the Company notified

the Customer that the Goods are available for

collection; or (ii) in the case of Goods to be delivered otherwise than at

the Company’s premises, at the time of delivery or,

if the Customer fails to take delivery of the Goods,

at the time when the Company has tendered

delivery of the Goods. 6 Information and Intellectual Property A. Where Goods are manufactured in accordance with

information or drawings supplied by the Customer or to its

design or specification or where standard Goods of the

Company are altered in accordance with the Customers

instructions: (i) no warranty is given by the Company as to the

suitability or fitness for purpose of the Goods, and (ii) the

Customer shall indemnify the Company against all liabilities in

relation to: 1) such Goods infringing any intellectual

property right including without limitation patents,

registered designs and copyright ("IPR");

2) any defect in the Goods due to faults or

omissions in such information, drawings, design,

specification or instructions.

B. All IPR, designs, samples, tooling, drawings, models and

similar items used by the Company in relation to the Goods

are and shall remain the property of the Company and such

materials shall be returned by the Customer on demand, and

shall be treated as confidential and shall not be used, copied,

or disclosed to any third party without the Company's prior

written consent. No right or license is granted to the Customer

under any IPR except the right to use or re-sell Goods in the

ordinary course of the Customer's business. 7 Warranty

The Company warrants that each new product sold to the Customer,

when properly installed, used and maintained shall be free from

defects in material and workmanship for the Warranty Period.

Unless otherwise stated in writing, the Warranty Period shall be;

1. For TRW Product installed in New On-highway Motor

Vehicles, within 12 months from the date of delivery of the Goods to

the initial retail purchaser or before the vehicle has been driven

100,000 miles, whichever event shall first occur.

2. For TRW Product installed in New Agricultural, Turf,

Industrial, or Construction Vehicles and Related Equipment: within

twelve (12) months after date of delivery of the Goods to the initial

retail purchaser or before such vehicle/equipment has been operated

for two thousand (2000) hours or fifty thousand (50,000) miles,

whichever event shall first occur.

3. For TRW Product installed in New End Product, Not

Specifically Mentioned in Classifications (1) or (2) Above and All Other

Off-Highway/Severe Applications:

Within six (6) months after delivery of the Goods to the initial retail

purchaser.

4. For remanufactured TRW steering gears and all other

service parts: within 12 months after the retail purchase date.

In no case shall the Warranty Period exceed 18 months from the

date the Goods were delivered to the Customer. The Warranty

Period for Goods fitted as replacement parts under Warranty will be

the unexpired period of the original Warranty. Unless otherwise

stated in writing, the Customer’s sole remedy under the foregoing

Warranty is limited to replacement of Goods determined by the

Company to be defective in material or workmanship. Any cost or

expense incurred by any persons removing or refitting Goods or

shipping alleged defective Goods to the Company shall be borne by

the Customer. The Warranty contained in this clause shall not apply

in respect of Goods (i) supplied by the Company which are samples

or prototypes of Goods for test or evaluation purposes, and in these

circumstances the Company’s only obligation shall be to endeavor to

supply Goods in accordance with any specification, performance

criteria or drawings agreed with the Customer, (ii) Where the

information supplied by the customer is inaccurate, (iii) Where all or

part of the Goods are supplied to the Company by a third party

nominated by the Customer and a corresponding warranty does not

exist or is not complied with, or (iv) Which have been subject to any

unauthorized repair or replacement, modification or alteration.

UNLESS OTHERWISE STATED IN WRITING, THE FOREGOING

WARRANTY IS THE EXCLUSIVE WARRANTY BY THE COMPANY

AND IS IN LIEU OF AND EXCLUDES ALL OTHER WARRANTIES

AND REPRESENTATIONS, WHETHER ORAL, WRITTEN,

EXPRESSED, IMPLIED OR STATUTORY, INCLUDING BUT NOT

LIMITED TO ANY WARRANTY OF MERCHANTIBILITY OR

FITNESS FOR A PARTICULAR PURPOSE.

8 Limitation and Exclusion of Liability A. The Company's obligations and liabilities to the Customer in

respect of the Goods shall be limited to those set out in the

Contract Terms. B. The Company does not exclude or limit its liability (if any) to

the Customer for any matter which it would be illegal for the

Company to exclude or to attempt to exclude its liability.

C. Subject to and without limiting (A) above, all warranties,

representations and conditions and all liabilities and

obligations whatsoever and howsoever arising, whether

express, implied, statutory or otherwise are hereby expressly

excluded. D. Subject to and without limiting (A) and (C) above; the

Company shall not be liable to the Customer for lost profits or

incidental, indirect or consequential damages arising out of or

in connection with any Goods whether supplied or not. 9 Force Majeure Neither the Company nor the Customer will be liable for a failure to

perform that arises from causes or events beyond its reasonable

control and without its fault or negligence. The party claiming the

excusable delay shall give notice in writing as soon as possible after

the occurrence of the cause relied on and after termination of the

condition. The Customer shall continue to pay for Goods delivered. 10 Assignment The Customer shall not assign, mortgage, or otherwise dispose of

any contract or any rights thereunder in whole or in part without the

Company's prior written consent. 11 Default

If: A. The Customer fails to pay the price when due or otherwise

breaches any contract with the Company or any TRW

Company; or B. The Customer is unable to pay its debts as they become due,

or the Customer otherwise becomes insolvent or suspends

payment or threatens to do so or ceases to do business; or C. Steps are taken to:

(i) propose any composition or arrangement involving the Customer and its creditors generally; or

(ii) obtain an administration order or appoint any receiver in relation to the Customer or any of its property; or

(iii) wind-up or dissolve the Customer; or (iv) change who has control of the Customer; or

D. The Company reasonably believes that any of the foregoing is

about to occur, Then:

the Company may (without prejudice to its other rights hereunder

or otherwise) at any time by notice to the Customer do any one

or more of the following: E. terminate, cancel and/or rescind the contract or any release

and any other contracts with the Customer or suspend any

deliveries to be made under any contract with the customer, or F. revoke any authority to sell, use or consume any Goods the

title of which has not passed to the Customer ("relevant

goods") and require the Customer to return to the Company

any relevant goods (and, if the Customer fails to do so, the

Customer shall reimburse the Company for all costs to obtain

possession of relevant goods, and re-sell any relevant goods

without giving notice, or G. require the Customer to reimburse the Company for costs

related to any purported cancellation or failure to take delivery,

including without limitation the cost of any material, labor,

plant, tools and any overheads used, or intended to be used,

for the Customer's order(s) 12 General A. The Company will (without prejudice to any other remedy

available to it) have in respect of all unpaid debts due from the

Customer a lien on all property of the Customer in the

possession of the Company. B. The Company will be entitled to set off any liability of the

Customer to any TRW Company against any liability of the

Company to the Customer.
