The Certified EC-Council Instructor program is designed for individuals who want to becomecertified to deliver EC-Council’ curriculum on topics ranging from CCRMP, CPMP & CIMP.The CEI (i-Business) program provides resources for individuals to become industry-recognizedtrainers for security technologies.

EC-Council courses are instructor-led classes that combine lectures, demonstrations, and hands-on student exercises. Certifi ed EC-Council Instructors maintain a high standard of instructional preparedness through continued access to EC-Council’s training resources. Candidates will be qualifi ed both in technical profi ciency and instructional skills prior to authorization.

CEI (i-Business) Requirements To become a Certifi ed EC-Council Instructor, you must:

• Submit a completed CEI (i-Business) Trainer application form• Attend the EC-Council Train-the-Trainer program for the course you want to become certifi ed to deliver• ATC (i-Business) should sponsor your application• Pass the associated certifi cation exam• Meet EC-Council’s quality standards by demonstrating your ability to deliver the EC-Council course at Train-the-Trainer session• Have technical expertise in and hands-on experience with security technologies and applications• Sign the EC-Council Trainer Agreement

Steps to Become an Instructor

Step 1: Attend the TTT class taught by EC-Council Master Trainers (EMT)

Step 2: Pass the relevant exam CCRMP, CPMP & CIMP

Step 3: Possess any globally recognized Instructor Certifications in the respective fields of ProjectManagement, Customer Relationship Management and Internet Marketing

Step 4: Work for an EC-Council Accredited Training Center full time or part time.

Step 5: EC-Council ATC (i-Business) should sponsor your application to become a CEI (i-Business)

Step 6: Complete the instructor application form and fax/mail it to us.

Step 7: You will be notifi ed via email regarding your instructor status within 4 weeks.

Step 8: You will be issued a unique username and password to the EC-Council instructor login area. This will be included in your approval letter that you will receive with your CEI (i-Business) Certificate

Step 9: Prepare to teach EC-Council curriculum by reviewing course outlines and additional instructions available in the Instructor login section.

Membership in the CEI (i-Business) program includes the following benefits:

Access to private online instructor login: All CEIs (i-Business) gain access to a wide range of current information and tools that will help you maximize your skills as a EC-Council Instructor. These tools include access to comprehensive certification and course preparation materials, PowerPoint Slides, coursewares, videos, best practises, lab setup guide etc.

Exclusive CEI (i-Business) logo usage: All CEIs (i-Business) have exclusive rights to use the CEI (i-Business) logo for web sites, business cards, marketing materials, and other documentation.

Specialized support and communications. You have access to internal EC-Council training experts who can help you with questions or concerns regarding the curriculum, exercises, and setup requirements of the course(s) you are certified to teach.

CEI (i-Business) Trainer Application Form

Incomplete applications will not be processed, so please verify that you have included all required documentation.

Attend the Train-the Trainer course for which you are seeking certi cation

Attending TTT is mandatory and cannot be waived. Attending the course that you plan to teach allows you to become more familiar with the curriculum, experience the fl ow of the course, observe student andinstructor interactions, and listen to questions and answers.

CEI (i-Business) candidates are responsible for tuition, courseware, exam fees as well as all personal expenses, such as food, travel, and lodging when attending an EC-Council TTT session.

For a list of the available classes and a complete description of the courses, registration information, classschedules and tuition fees, please write to your Distributor or Regional Representative

Demonstrate your knowledge and instructional presentation skills

You must demonstrate your subject matter expertise and instructional presentation skills. Depending on the course(s) you are seeking certifi cation to teach, you will be invited to either participate in a conference call or train-the-trainer session lead by an EC-Council Master Trainer.

At the TTT session:• You will present one or more chapters of the course to a group of your peers and an EC-Council Master Trainer.

• The EC-Council Master Trainer will evaluate your technical profi ciency andinstructional presentation skills.

The purpose of the CEI (i-Business) application is to determine your eligibility to become a Certified EC-Council Instructor. The application includes a section that authorises EC-Council to run a back-ground check. All CEI (i-Business) candidates are held to EC-Council’s high standards and must agree to a background check before they can be certified to teach for EC-Council. Processing of the applica-tion can take two to four weeks.

Training Preparation

Some of the ways you can polish your training and presentation skills prior to teaching a course include:• Observe an experienced instructor—Watch an experienced instructor and take notes on things such as course fl ow, timing, student questions, and helpful analogies.

• Practice delivering the course—Deliver the course, or portions of the course, to a group of your peers so that you can refi ne your presentation and identify any problem areas.

What fees and expenses are associated with the program?Applicants pay Train-the-Trainer course fees for each course they attend, exam fees, and all personal expenses—such as travel, meals, and accommodation—incurred during the assessment periods.

Do I need to take a test to become a CEI (i-Business)?If you are seeking certifi cation to teach CIMP training course for example, you must take and pass the corresponding course exam. Exams are offered at Prometric and VUE Testing Centres around the world.

How are CEI (i-Business) trainers evaluated?

Once I am certifi ed to teach a course, how long does that certifi cation last?Once you are certifi ed to teach a course, you can teach that course until any one of these conditions exists:

• A major update to the curriculum, after which you may be required to demonstrate knowledge of the new technology.

• Poor evaluations received on either your instructional abilities or your professional knowledge. If this occurs, you may need to repeat the TTT session and/or teach the course under supervision of an EC-Council Master Trainer

• Termination of your CEI (i-Business) agreement.

How will I be scheduled to teach a course?If you are teaching directly for EC-Council, you will be scheduled via iClass, EC-Council’s online training system regarding available classes and given the opportunity to accept or reject the class in question.

If you work for an EC-Council Accredited Training Centre, the centre will manage your teaching schedule.

For user and professional training courses, new trainers are first evaluated during the TTT session. In the TTT, you must demonstrate suffi cient professional knowledge and instructional presentation skills to competently teach the course before you receive certification to deliver the course.

As a means of ongoing evaluation, students are provided an online evaluation form at the end of each course and are asked to evaluate both the course content and the trainer’s professional and instructional expertise. EC-Council will review the course evaluations.

How often will I be scheduled to teach?How often you teach will depend on a number of variables, such as the demand for the course you teach, your availability, your location, and the class location. The Statement of Work will indicate the dollar fi gure allotted to compensation for the given period. EC-Council does not guarantee that work will be assigned based on the trainer’s available dates or that all fund allotted will be used as noted in the Statement of Work.

CERTIFIED EC-COUNCIL INSTRUCTOR AGREEMENT (VERSION 1.5)

This Certified Instructor Agreement (the "Agreement") is made and entered into as of ………………(the “Effective Date”), by and between The International Council of EC-Commerce Consultants ( “EC-Council”), and …………………………………………………… (“you”), WHEREAS, EC-Council is a certification body which distributes, licenses and promotes Security and e-Business certification and training programs. WHEREAS, you are an individual applying to obtain and maintain Certified EC-Council Instructor (“CEI”) status. WHEREAS, the parties hereto agree to enter into an independent contractor relationship whereby you agree to perform your duties as a Certified EC-Council Instructor to conduct EC-Council courses only o to EC-Council licensed Accredited Training Centers. NOW, THEREFORE, in consideration of the promises and mutual covenants herein contained as well as for other good and valuable consideration, the parties do hereby agree to the following: 1. QUALITY STANDARDS

CEI agrees to uphold the high standards of EC-Council

as stated in the written policies and procedures of the

organization. CEI will maintain current knowledge of

CEI‟s discipline in teaching and research. In all

associations with students, CEI will accept the role of

mentor, foster high aspirations, communicate

effectively, and instruct intelligently. CEI will promote

autonomous learning, encourage a participatory

environment, identify learning resources, and guide

students in developing a wider network of professional

colleagues. CEI will approach his/her position in a

cooperative and creative manner and encourage these

traits in students. CEI will exhibit sensitivity to and an

understanding of the diverse academic, socioeconomic,

cultural, religious, ethnic, and geographic backgrounds

of students.

CEI agrees that EC-Council has the right to determine it

its absolute discretion whether the Training Services

meet EC-Council‟s high standard s of merchantability.

In the event that EC-Council determines that the CEI is

no longer meeting accepted level of quality and/or

integrity, EC-Council agrees to advise and provide CEI

with a commercially reasonable time of now less than

two weeks to meet the above-referenced standards of

quality and integrity.

2. PUBLIC NOTICES EC-Council may publish CEI‟s name, bio and photograph in its catalogues, websites, and promotional materials and provide contact information and other

essential information. The CEI will keep current all details and information contained in CEI‟s file at EC-Council, and notifies EC-Council immediately should there be changes to the contact information. EC-Council reserves the right to update its CEI policies and procedures, as and when need arises. EC-Council shall use reasonable efforts to provide CEI with written notice of updates including announcement on CEI Portal. CEI agrees to comply with EC-Council updated policies and procedures within 30 days from EC-Council announcement on CEI portal. 3. INTELLECTUAL PROPERTY

No title or the ownership of the marks provided to CEI

pursuant to this agreement is transferred to CEI. EC-

Council owns and retains all title and ownership of all

intellectual property rights in the products,

documentations and related materials. EC-Council does

not transfer any portion of such title and ownership, or

any of the associated goodwill to CEI , and this

Agreement should not be construed to grant CEI any

right or license, whether by application, estoppels, or

otherwise, except as expressly provided, CEI agree to

be bound by and observe the proprietary nature of the

products acquired by reason of CEI status under this

Agreement.

All rights not expressly granted herein are reserved by

EC-Council.

4. AMENDMENTS

This Agreement represents the complete agreement between the parties, superseding any other prior or contemporaneous oral or written agreements. Any changes, corrections or additions to this Agreement shall be in writing in the form of a supplemental agreement signed by all necessary parties and setting forth therein the proposed change, correction or addition. 5. RESTRICTIONS a. CEI shall employ best efforts to use the CEI marks

and designation in a manner that does not derogate

from EC-Council‟s rights in the marks and

designation, and shall take no action that may

interfere with or diminish EC-Council‟s rights in the

marks or designation.

b. CEI shall not use EC-Council training materials or

any materials thereof, in the delivery of non-EC-

Council Courses or for any other purposes.

c. CEI shall not negotiate and enter into any Agreement

with EC-Council Authorized Training Centers (other

than the Sponsoring ATC) to prepare and teach any

EC-Council course, without the prior written consent

of EC-Council.

d. CEI shall not teach any EC-Council course that CEI did not attend the relevant course class and/or did not pass the relevant course exam

e. CEI agrees not to file any new trademark, collective mark, service mark, certification mark, and/or trade name application (s), in any class and in any country, for any trademark, collective mark, service mark, certification mark, and/or trade name that, in EC-Council’s opinion is the same as, similar to, or that contains, in whole or in part, any or all of EC-Council’s trademark, collective mark, service mark, certification mark, and/or trade name, including without limitation, the Marks Training under this Agreement.

f. CEI agrees not to register or use his/her own or any internet domain name which contains EC-Council’s marks or other trademarks in whole or in part or any other name which is confusingly similar thereto.

g. CEI agrees to exert best efforts to prevent the

unauthorized manufacture, copying, distribution or use of the EC-Council courses and student kits, and any component thereof.

h. CEI agrees to take all available steps to protect EC-

Council and its products, certification exams, and courseware against piracy or other infringement of any copyright or trademark, and the misappropriation or unauthorized disclosure of any EC-Council trade secret or confidential information and to protect EC-Council’s right, title, and interest in and to the EC -Council products, technologies and courseware.

i. CEI agrees not to make public statements about EC-

Council without the prior written consent of EC-Council.

j.

k. CEI agrees to immediately cease all used of EC-

Council designation and marks upon the expiration or other termination of this Agreement.

l. This section will survive the expiration or other termination of this Agreement.

6. TERM AND RENEWAL The initial term of this Agreement is one (1) year, commencing on the Effective Date. Thereafter, this Agreement will automatically renew for successive one (1) year terms, unless one party gives notice to the

other party that it does not desire that the term be renewed or the Agreement is terminated in accordance to Clause 7. 7. TERMINATION OF AGREEMENT Termination By EC-Council: Without prejudice to any rights EC-Council may have under this Agreement or in law, equity or otherwise, EC-Council may terminate this Agreement immediately, including termination of CEI certification, if CEI materially fail to comply with any of the terms of this Agreement (“Default” ). Defaults shall include the following events: a. CEI fails to perform any of his/her obligations under

this Agreement.

b. CEI offers trainings without complying with the testing requirements of the Agreement, or if CEI discontinue offering the Training services.

c. If any government agency or court finds that Training

services as provided by CEI are defective or improper in any way, manner or form.

d. If any actual or potential adverse publicity or other

information said about CEI, his/her provision of Training services, or CEI use of the Marks causes EC-Council, in its sole judgment, to believe that EC-Council ‘s reputation will be adversely a�ected.

e. If CEI fail to comply with the continuing certification

requirement or EC-Council updated policies and procedures available on Certification website or CEI Portal.

f. If CEI engages in misappropriation or unauthorized

disclosure of any trade secret or confidential information of EC-Council or pirate any EC-Council product or course, or otherwise infringe any other intellectual property right of EC-Council, or engage in any other activities prohibited by law.

g. If CEI misrepresents his/her certification status or

relationship with EC-Council.

h. If CEI offers Training Services below the standard of quality and integrity determined by EC-Council.

i. If CEI o�ers Training Services of competitor’s

courses at any ATC, or EC-Council courses at an EC-Council unauthorized ATC.

In the event that a Default occurs, EC-Council will use reasonable efforts to provide CEI with written notice of termination of the Agreement. Termination by Either Party: Each party may terminate this Agreement at any time, with or without cause, on thirty (30) calendar days’ prior notice to the other party.

CEI agrees to promptly notify EC-Council [email protected] (or such other contactinformation specified by EC-Council from time totime) with specific details of any illegal use orcopying of any courseware or other infringement of any mark of EC-Council, of any misappropriation or unauthorized disclosure if any trade secrets or confidential information of EC-Council.

Upon termination of this Agreement for any reason, CEI must immediately cease all display, advertising, and other use of the Marks and will return all badges and trademark collateral to EC-Council. Upon termination, all right granted under the Agreement will immediately and automatically revert to EC-Council. 8. CONFIDENTIALITY

EC-Council may, from time to time provide information

to CEI which it considers to be confidential shall, if

tangible, be marked as such or if communicated orally,

designated at the time and promptly confirmed in

writing as such. Information that is so marked or

designated and confirmed, and the Instructor Training

Materials regardless of form or designation, shall be

“Confidential Information” under this Agreement.

Confidential Information shall be held in trust and used

only as necessary for the performance of this

Agreement. Confidential Information shall be treated

with the same degree of care to avoid the disclosure to

third parties as is used with respect to CEI own

Confidential Information, not less than a reasonable

degree of care.

Confidential Information shall be disclosed only to those

students or agents of a party who have a need to know

such information and are under binding obligation of

confidentiality with respect to any such information

received. Confidential information shall not be disclosed

by CEI any other third party without the prior written

consent of EC-Council. CEI agrees to defend,

indemnify and save EC-Council harmless from and

against any and all damages, including reasonable

attorney fees, sustained as a result of the unauthorized

use or disclosure of the other party‟s Confidential

Information.

9. HOLD HARMLESS PROVISION

CEI agrees to indemnify and hold EC-Council harmless

against any loss, damage , cost or expense (including

reasonable legal fees) arising out of any claims or suits

made against EC-Council. In no event will EC-Council

be liable to CEI for any special, indirect, consequential,

punitive, exemplary or any similar type of damages

arising out of or in any way related to this Agreement.

10. REPRESENTATIONS AND WARRANTIES Each party represents and warrants that it has the right, power and authority to enter into this Agreement and to fully perform its obligations hereunder.

11. HANDLING OF DISPUTES Both parties agree that irreconcilable disputes will go to

mediation, and, if that fails, by binding arbitration, costs shared equally. 12. APPLICABLE LAW / LEGAL FEES The laws of the State of New Mexico shall govern this Agreement. If any legal action, arbitration, or other proceeding is brought under this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees and expenses and other costs incurred in such action, arbitration or proceeding, in addition to any other relief to which it may be entitled.

13. ASSIGNMENT Neither party shall assign any of its rights or delegate any of its obligations under this Agreement without the prior written consent of the other party. Any prohibited assignment or delegation shall be null and void. 14. NOTICES All notices and other communications required or permitted hereunder shall be deemed duly given only when in writing, signed by or on behalf of the person giving the same, and either (i) personally delivered (with receipt acknowledged), (ii) sent by registered or certified mail, return receipt requested, postage prepaid, or (iii) sent by overnight next business day courier, to the following addresses: EC-Council 6330 Riverside Plaza NW Albuquerque, NM 87120 USA or such other address as any party hereto shall have specified by notice in writing to the other party hereto. All such notices and communications shall be effective (i) when received or receipt refused if delivered by personal delivery or overnight courier, or (ii) upon three days following deposit in the mail if given by certified or registered mail, when delivered to the address specified above. 15. WAIVER Any waiver of the provisions of this Agreement or of a party's rights or remedies under this Agreement must be in writing signed by the waiving party to be effective. Failure, neglect or delay by a party to enforce the provisions of this Agreement or its rights or remedies at any time will not be construed and will not be deemed to be a waiver of such party's rights under this Agreement and will not in any way affect the validity of the whole or any part of this Agreement or prejudice such party's right to take subsequent action.

16. SEVERABILITY If any term, condition or provision in this Agreement is found to be invalid, unlawful or unenforceable to any extent, the parties shall endeavor in good faith to agree to such amendments that will preserve, as far as possible, the intentions expressed in this Agreement. If the parties fail to agree on such an amendment, such invalid term, condition or provision will be severed from the remaining terms, conditions and provisions, which

will continue to be valid and enforceable to the fullest extent permitted by law.

17. ENTIRE AGREEMENT This Agreement contains the entire agreement of the parties with respect to the subject matter of this Agreement and supersedes all previous communications, representations, understandings and agreements, whether oral or written, between the parties with respect to the subject matter hereof.

18. NO THIRD PARTY BENEFICIARIES Nothing herein expressed or implied is intended or should be construed to confer upon or give to any Person other than the parties hereto and their successors and assigns any rights or remedies under or by reason of this Agreement.

19. FORCE MAJEURE Neither CEI nor EC-Council shall be responsible for any delay in performance or failure to perform if caused by fire, flood, explosion, war, strike, embargo, government requirement, civil or military authority, act of God, or other similar causes beyond the parties' control and occurring without the fault or negligence ofF the delayed or non-performing party. 20. DISPARAGING REMARKS

Both parties agree that they will not make any disparaging remarks, whether orally or in writing, about EC-Council or the CEI, their subsidiaries and/or related entities, their products, services, officers, board of directors, managers, supervisors, and employees, to any persons whatsoever during the term of this agreement. The obligation under this paragraph includes, but is not limited to, refraining from making any disparaging, degrading or demeaning remarks or casting any aspersions on EC-Council or the CEI which might have a harmful effect on their reputations.

21. GOVERNANCE In return for the assignment to teach the course previously specified in this contract, CEI acknowledges that the relationship with the EC-Council is governed by this agreement and that s/he will comply with the terms of this agreement.

22. MATERIALS CEI agrees to utilize all EC-Council prescribed materials and texts and to verify current versions of materials and texts and courses prior to the first schedule of the course. 23. COPYRIGHT CEI acknowledges that all EC-Council provided course materials and courses are copyrighted property of EC-Council and should be used only in the EC-Council program.

24. INDEPENDENT CONTRACTOR The relationship of CEI and EC-Council established by this Agreement is that of independent contractors. This Agreement does not give either party the power to direct or control the day to day activities of the other, constitute the parties as partners, joint ventures, co-owners, principal-agent, franchiser-franchisee, or otherwise participants in a joint or common undertaking, or allow either party to create or assume any obligation on behalf of the other party for any purpose whatsoever.
