Boards need members that are willing to take on responsibilities that the organization has set forth

People join for the following reasons:› 1. No one else will volunteer to do it

2. Protecting personal interests3. Want to help and give back4. Personal agendas5. Wanting to be "In the Know"6. Achieving a sense of self-satisfaction7. Resume building8. Relationship building

The requirements to become a board member aren’t extensive, but motivation and desire aren’t the qualifying factors

Board of Directors:› The by-laws that an organization sets

states that all properties, affairs, and business of an organization are delegated and managed by the Board of Directors.

Board of Directors:› Boards are responsible for several tasks

such as: Approving all matters requiring board

approval Providing clear directions for management

to pursue when it comes to critical matters and issues

Setting corporate finances Supervising governance development Evaluating officers and employees

Chair of the Board› The Chair of the Board leads the board’s

activities and serves as a liaison between management and board.

The Chairs tasks and responsibility include:

-Setting agendas - Determining meeting dates- Coordinates Board representation for events and functions- Stays in contact with President between meeting periods- Keeps Board apprised on important issues discussed with management

President of the Board› The Presidents responsibilities are to lead the

efforts of the management team in their implementation so the priorities set by the board and make sure they are achieved.

› The tasks and responsibilities of the President as:

-Keeping the Board informed about the organization activities  and undertakings - Providing the Board with information regarding the organization and the decisions their required to make and their fulfillment of their general responsibilities- Makes sure Board is notified of "Matters About Which the Board Must be Notified"

Tradition: Board of Directors upholds the decisions of the company's Chief Operation Officer.Practice: Regular meetings are the way the Board makes key decisions and sets its primary policy.Chemistry: Chairman chairs meetings when number of members is over ten. The chairman has to be aware of the psychological, political, and historical chemistry of the various members of the board.
