Residential property at or below the median house price, all with the capability of being

constructed with a minimum of dual key premises (a house with two rentable units).

Recent changes in WA planning regulations allow for multiple key dwellings to be

constructed and independently leased allowing greater rental yields

Syndicate Company (Sterling Development Syndicate PL)

Development Trust (Acquest Property PL as Trustee for the RPIT Development Sub Trust

No. 2)

The Development Trust borrows the funds from the Syndicate Company and from

a Senior Lender to acquire the properties and construct the multi key dwellings

RPIT (Acquest Property PL as Trustee for the Residential Property Rental Trust

(A wholly owned Sub-Trust A (”Rental Sub Trust”))

The Rental Sub-Trust is part of RPIT and has agreed to acquire all the properties produced

by the Development Trust. RPIT in the majority of cases sells Life Leases on each of the

units acquired in a multi key property pursuant to its Sterling New Life program. If it is

unable to sell life leases on a particular property it will sell that property to an investor

20% per annum fixed until redemption

Quarterly.

Paid on 31 July, 31 October, 31 January and 31 April.

Interest is paid based on the number of days invested in the quarter

12 months

Redemption offered to Redeemable Interest Bearing Preference Share (RIBPS) holders on

the 12 month anniversary of their original investment

2nd ranking mortgage and fixed and floating charge over the Development Trust and its

assets held by the Syndicate Company

An institutional holder has agreed to advance $10 million to the Development Trust based

on a maximum loan to value ratio of 75% and having 1st ranking mortgages and a 1st

ranking fixed and floating charge

Sterling First is a property services, funds management and property management group and

is the parent company of the Syndicate Group

The Residential Property Investment Trust (RPIT) is a registered stapled trust with Theta

Asset Management Limited as the independent responsible entity. The RPIT is designed to

own multi key residential property either for rental or on-sale

The Development Trust will utilise the funds from the Senior Lender and the Syndicate

Company to initially acquire approximately 20 properties. These properties must have

the following characteristics;

- May be a new building land lot or an existing house

- Must be able to construct or convert into a minimum of two residences

- Sterling First must have identified the property as a strong candidate for the sale of life

leases

- Fixed price building contracts secured from Sterling First’s panel of builders

- RPIT must agree to enter into a put and call option to acquire the property at an agreed

margin sufficient to make the interest payments due to the Senior Lender and the

Syndicate Company

6% interest bonus for Non Redemption

Where a RIBPS holder elects not to redeem, at each anniversary a 6% lump sum will

be paid at the next interest payment date after that 12 month anniversary

Then 12 months thereafter

On the 12 month anniversary, RIBPS holders can apply to redeem their shares at $1.00

per RIBPS. the Company must use its best endeavours to redeem the RIBPSs within 3

months of redemption application through either a further capital raising or through the

repayment of the Facility by the Development Sub Trust

At redemption, holders will be paid the redemption amounts plus any accumulated

unpaid interest

20% per annum plus Bonus Interest detailed below

A cumulative non-compounding interest payment at the rate of 20% per annum fixed

until redemption

The interest will be payable quarterly in arrears on 31 July, 31 October, 31 January and

30 April for the previous quarters respectively

Interest on an investment made during a quarter is taken from the day of investment to

the end of that quarter

2nd Ranking Security

2nd ranking mortgage and 2nd fixed and floating charge over the Development Trust

and its assets held by the Syndicate Company

$25,000.00 and thereafter in increments of $5,000.00

Up to $2,000,000 in Redeemable Interest Bearing Preference Shares (RIBPS)

The Syndicate Company will lend the funds via a secured loan to the Development Trust

so it can acquire a combination of residential lots and existing residential houses, and

convert them into multi key dwellings. The Development Trust will have a put and call

agreement with the RPIT to on sell all completed properties at an agreed price

Investment in a Sterling Residential Development Syndicate can only be made by completing a valid application

form attached to a current Private Offer Document. The Private Offer Document is only provided to a limited number

interest in participating in the Offer described in the Private Offering Document. All of these Offers fall within the

exceptions contained inside section 708 of the Corporations Act and as such a Prospectus is not required.
