CompanyCompany

Agrisoma is a technology company that owns the world-wide breeder rights to the Carinata seed and is using biotechnology licensed from Calyx to produce a new “designer” seed crop called “ETL Carinata”, that grows more oil per acre than any other oilseed feedstock in existence today

Product

Agrisoma is a seed company that sells Carinata crop seeds to farmers - they grow the crop which produces a valuable feedstock - Agrisoma captures value on seed sales to the farmer. 2012 is the commercial launch of their first product.

Agrisoma’s ETL Carinata is a scalable opportunity that can profitably produce renewable oil at a price point below $80/barrel – NO RELIANCE ON SUBSIDIESScale

Multi-Billion gallon demand for renewable oil feedstock for ethanol, biodiesel and aviation: aviation is an industry that has committed itself to zero carbon growth through biojet fuel usage

Agrisoma Strategy

Agrisoma has assembled a combination of technologies that include:

commercial Carinata crop varieties that produce high grade oil, enhanced productivity traits increase oil output and, ETL technology to stack traits and deliver seed products to the current

agricultural infrastructure. Carinata feedstock crop provides the highest quality industrial oil feedstock,

directly competing with petroleum

Agrisoma has a two-prong path for seed sales revenue:

Conventional Carinata, a non-ETL or non-GM product has been launched in North America in 2012, enabling branding and market establishment growing to 150,000+ acres in 2014

ETL Carinata, which is a GM product and hence has a longer development time due to a longer regulatory pathway, will be launched in 2015, rapidly growing to multi-million acre production levels which provide the major growth in revenues and potential takeout by other players in the “seed” market

Carinata Competitive Advantage:More Oil per Acre

10

• “Carinata” - a distant cousin of Canola with good feedstock yields, tolerant to heat, drought, pests: “a sustainable source of feedstock”

• “ETL Carinata” is our turbocharged version of “Carinata” improved with our advanced GM technology

• Carinata represents a crop that is a more profitable biofuel feedstock crop than Soybean, Camelina or even Canola

Our ETL Technology

• Agrisoma’s ETL technology is a proprietary, field‐validated crop improvement platform that creates a new generation of enhanced crop plants

• The platform is able to efficiently introduce or stack multiple traits simultaneously into engineered plant chromosomes

• The ability to introduce all of these traits in one cycle is far superior to current trait introduction methods that require multiple cycles

• ETL will increase the amount of oil per acre by more than 50% and further enhance the superior economics of Carinata

Why Invest?

Timing - 10 years of science fully-funded and commercial product now ready

Calyx owns master license for “ETL” technology and worldwide breeder rights for the Carinata seed and any genetically modified versions

2012 will see first significant seed sales and crop growth – 8,000 acres

Roll-in of other Agrisoma shareholders into Calyx planned to be completed by early 2013, thereby eliminating holding company discount

Oilseeds are fastest growing feedstock source

A feedstock shortage exists globally including North America meaning demand is strong for crops and farmers are anxious to grow oilseed crops

Use of semi-arid lands enables fast growth with no need to displace existing food crops

Carinata feedstock crop provides the highest quality industrial oil feedstock, directly competing with petroleum (without subsidies)

Targeting 1M+ acres of annual seed sales within 36 to 48 months – Takeover Target
