Ongoing Subscription Contract (OS0851647)When purchasing Hexagon Product Software, you have the choice of Perpetual licensing, Fixed term Subscription or Ongoing Subscription. Below are the details for the Ongoing Subscription option.

The initial payment would be $0.00 for the services and then a monthly subscription payment of $316.88 per month. These payments will be collected via an automatic charge to your provided credit card each month on the 1st or 15th day (or first business day thereafter) occurring prior to your next subscription period for a minimum of 12 months.

Your license will be generated after successful collection of payment and will be sent to a nominated email address.

On going subscription after Year 1

After year 1, your monthly installments of $316.88 will continue via credit card payment and the license will automatically be generated along with an invoice paid in full. This will continue until the contract is cancelled any time after the initial 12-month period. Please note that we require 30 Days’ notice in writing for cancelling the Ongoing Subscription.

ENTIRE AGREEMENT. This Subscription Agreement and the End User License Agreement (EULA) contain the entire agreement between the parties hereto. In the event that there are any conflict of law principles for certain terms, the conflicting term in the EULA shall supersede the term in this Subscription Agreement. There are no other agreements, written or unwritten, that shall bind the parties.

c. To turn said remaining subscription installments as well as reasonable collections fees to a collections agency for recover and enforcement of the provisions of this Subscription Agreement.

Additionally, HMI shall have upon default such other and further remedies and rights as may be available at law by reason of the Maker's default.

GOVERNING LAW. This Agreement shall be deemed to be made and executed in the State of Delaware and shall be interpreted and enforced in accordance with the laws of the State of Delaware.

SEVERABILITY. If any provision hereof or any remedy herein provided for is invalid under any applicable law, such provision shall be inapplicable and deemed omitted. However, the remaining portions herein, including remaining default remedies, shall be given full force and effect in accordance with the intent of this documentSALES TAXES. Maker understands that sales tax rates may change from time to time and from jurisdiction to jurisdiction. If the rates change at any time, Maker agrees that the monthly autorun pull will be adjusted to reflect these changes, and the only notice required shall be that of the monthly automatic billing invoice issued.

DELIVERY. After successful payment of the then-due installment on the Autorun, HMI shall provide Maker with monthly time-restricted codes that shall enable the usage of the Software. Such codes will be effective for each monthly subscription period.

WAIVER. Maker waives demand, presentment, payment and notice of non-payment and protest. The right to plead any and all statutes of limitations as a defense to any demand on this Agreement or anyand all obligations or liabilities arising out of or in connection with this Agreement, is expressly waived by Maker to the fullest extent permitted by law. HMI's failure at any time to require strict performance from Maker of any of the provisions hereof shall not waive or dimish HMI's right thereafter to demand strict compliance therewith or with any other provision. Waiver of any default shall not waive any other default. HMI's rights hereunder are cumulative and not alternative.

RISK OF LOSS. Maker hereby assumes and shall bear the entire risk of loss, theft, damage, and destruction of the Software from any cause whatsover and the event of any of these occurrences shall not relieve Maker of any obligations under this Subscription Agreement, which shall remain in full force and effect. Maker shall promptly notify HMI in writing of any such loss, theft, damage or destruction of the Software.

TERMS AND CONDITIONS

FINANCE LEASE. Maker and HMI agree that this Subscription Agreement is a finance lease as that term is defined in Article 2a of the Uniform Commercial Code and Maker hereby waives any and all rights and remedies granted to it by Sections 2a-506 through 2a-522 of the Uniform Commercial Code. Maker further acknowledges that this is a business and commercial lease and not intended for household or personal use.TITLE. All of the Software shall remain personal property and title thereto remains with HMI at all times. Maker shall keep the Software free from any and all judgments, liens, and encumbrances. Maker shall give HMI immediate notice in the event of any attachment, process, lien or encumbrance affecting the Software and indemnify and save HMI harmless of and from any loss or damage caused thereby.LIMITED WARRANTY. HMI makes no warranties (express, implied, or statutory) with respect to the Software other than that which is part of the End User License Agreement ("EULA") pertaining to the Licensed Software. Maker's execution of this Agreement acknowledges that Maker has inspected the Software and agrees that it is performing substantially in accordance with the functions described in any User Documentation.

TERM AND RENEWAL. The original and non-cancelable term of this Subscription Agreement will commence on the effective date shown above and will continue until October 31, 2022. The Subscription Agreement shall automatically renew on a month-by-month basis unless thirty (30) day written notice is given.

PAYMENT. The first payment is due upon the signing of this Agreement. Subsequent monthly payments will be made automatically to the credit card or bank account on file on or about the 1st or 15th of each month in accordance with the enclosed "Auto Run Election" form.

b. Declare the sum total of the remaining subscription installments for the minimum term (or then-current one-year renewal period) immediately due and payable without notice or demand to Maker.

d. To sue for and recover damages for the Maker's default as well as reasonable attorneys' fees or other expenses incurred by HMI in an attempt to enforce this Subscription Agreement.

DEFAULT. If Maker fails to pay any subscription installment within five (5) days after the same is due and payable; or if Maker violates the terms of the EULA; or if a petition is filed by or against Maker under the Bankruptcy Act or any amendment thereto (including a petition for reorganization; or if a receiver is appointed for Maker and its property; or if Maker commits and act of bankruptcy, becomes insolvetn, makes an assignment for the benefit of creditors, or offers a composition or extension of any of its indebtedness, then HMI or its agents shall have the right to exercise any one or more of the following remedies:

a. To immediately deactivate any time-restricted license codes as well as access to the HMI customer portal. Maker expressly agrees by enacting this Subscription Agreement that HMI shall not be responsible for reissuing any prior license codes Maker may have received and that it is Maker's responsibility to restore any prior version "purchase-level" codes from their own data backups or storage.

Order Terms

Customer acknowledges and agrees as follows: (i) Any Software ordered hereunder is subject to the terms and conditions of the applicable End User License Agreement (“EULA”) accompanying that Software; (ii) Any Software Maintenance ordered hereunder is subject to the Maintenance Terms and Conditions (“Maintenance T&C”); and (iii) Any equipment or services ordered hereunder shall be subject to the Terms of Sale ("Terms of Sale"). A copy of said EULA(s), Maintenance T&Cs and Terms of Sale is available at https://customers.ps.hexagonmi.com/terms/ or from your Hexagon representative. In the event of conflict between the terms of the foregoing agreements, and the terms of this Hexagon Proposal/Order Confirmation, the terms of this Proposal/Order Confirmation shall prevail with respect to this transaction. Any additional or conflicting terms in Customer’s purchase order or other Customer-issued documents shall not apply.

Notwithstanding anything to the contrary elsewhere: Hexagon Manufacturing Intelligence, Inc. (“Hexagon”) is the Hexagon Group contracting entity entering into this order, and the limitations of liability, disclaimers, and all other protections afforded to supplier/licensor entities under the above-referenced EULAs, Maintenance T&Cs, and Terms of Sale shall apply equally and to the same extent to protect Hexagon. All fees are quoted, invoiced and payable in US dollars. Any amount not paid by Customer when due will bear interest until paid at the rate of one percent (1%) per month or the maximum rate of interest allowed by applicable law, whichever is less. This Proposal/Order Confirmation shall be governed by and construed in accordance with the laws of the State of Delaware, United States. The parties submit to the nonexclusive jurisdiction of the courts of the State of Delaware with respect to any disputes or claims arising under this order; provided however that, Hexagon (and its affiliates and suppliers, as applicable) shall have the right to bring claims or actions in any court of competent jurisdiction for infringement of intellectual property rights, to protect confidential information, to protect repossession rights, to enforce payment rights, or to seek equitable remedies.
