TRANSCRIPT
BY-LAWS OF THE VINEYARD HAVEN UNITARIAN SOCIETY
By-Laws of the Vineyard Haven Unitarian Society adopted at a meeting held Monday,
September 12, 1898 at 7:30 o’clock P. M. at Association Hall in Vineyard Haven, as shown by
the minutes of said meeting.
By-Laws
Article I - The name of this Society shall be the Vineyard Haven Unitarian Society.
Its objects shall be to provide for public religious worship and instruction, and for such
charitable and benevolent activities as belong to a religious society
Article II - Any person may be admitted to membership in this society by a majority vote at any
legal meeting at which an article shall have been inserted in the warrant for this purpose. The
vote of admission or invitation to membership may be taken with or without those whose
membership is desired. Acceptance of membership shall by signing these by-laws.
Article III - Any member who shall fail to act with the Society or to contribute to its support
for three successive years, shall cease to have the right to vote at the meetings of the Society.
Article IV - The officers of the Society shall be a president, clerk, treasurer, collector, and a
parish committee of five, all of whom shall be chosen by ballot at the Annual Meeting to be
held on the first Monday of April. But vacancies may be filled at any meeting called for the
purpose.
Article V - Meetings may be called by a warrant under the hands of the Parish Committee, or
a majority of them directed to the Clerk, or, if there be a vacancy in that office, to any member
of the Society specifying the subjects to be brought before the meeting. The warrant shall be
served by posing an attested copy thereof on the outer door of the place of worship and in the
post office or some other public place, at least two Sundays previous to the time of meeting, or
by publishing a copy in two weekly issues of a newspaper in the town, or neighboring town,
previous to the date of the meeting.
Article VI - The Clerk shall keep a record of the doings of the Society, and shall note against
the signatures of members the date of their signatures, and also the time when they cease to be
members by death or withdrawal.
Article VII - The Collector shall collect all sums due the Society, and pay the same promptly to
the Treasurer.
Article VIII - The Treasurer shall have charge of the funds of the Society and shall pay bills
only with the approval of at least three of the Parish Committee.
Article IX - The Parish Committee shall have general care and management of all the affairs
and property of the Society, subject to such directions as they shall receive by vote of the
Society, shall examine the Treasurer’s accounts, and report fully in writing at the Annual
Meeting the financial and general condition of the Society.
Article X - Five members shall constitute a quorum for the transaction of any business.
Article XI - These By-Laws may be changed or amended by a two-thirds vote of the members
present and voting at any meeting at which notice of a proposed change has been given in the
warrant.

The annual meeting of the Society shall be called by a warrant under the hands of the Parish
Committee, or a majority of them, directed to the Clerk, or if there be a vacancy in that office, to
any member of the Society, specifying the subjects to be brought before the meeting. The warrant
shall be served by posing an attested copy on the principle outer door of the place of worship
and in one other place in the town two Sundays, at least, previous to the time of meeting.
Special meetings may be called by the Clerk at the request of a member of the Parish Committee
by posting notices three days at least before the meeting, but one of these days must be a Sunday.
NEW RULES OF ORANIZATION OF STEVENS MEMORIAL CHAPEL (typed copy)
Considered by a quorum of members and recommended for passage at Special Meeting of
August 30th, 1942.
I. That Stevens Memorial Chapel be maintained and services planned with one purpose, namely,
as a summer chapel with meetings and services of worship to present, maintain and rouse
allegiance to the principles of (“Unitarianism”• was crossed out) liberalism, i.e., Unitarianism,
on Martha’s Vineyard, Massachusetts.
II. That for the purpose in Paragraph I there shall be elected an Executive Committee consisting
of a chairman and as many members (not more than five nor less than three), (*) and a treasurer
as shall be for the most efficient accomplishment of this purpose.
A. The members of the Executive Committee shall be, if possible, bone fide members of the
Society. (What Society?)
B. Membership shall mean the signing of the Book of Fellowship and contribution to the
Treasury of the Society.
C. This committee shall be rotating, decided by the chairman. Amended August 29, 1949 by vote
of the Society to read: This Committee shall be elected annually by the membership.

III. The annual meeting of Stevens Memorial Chapel shall be held at the end of each summer
season, in order to:
Consider the budget;
Appoint a minister for the coming year, if possible.
Election of members of the Executive Committee when necessary
Amended August 29, 1949 by vote of the society to read:
Election of officers and members of the Executive Committee, when necessary.
IV. The adoption of the above rules shall be entered upon the books of the Stevens Memorial
Chapel and shall supersede all previous articles and rules of this Society.
The sense of the above paragraphs recommended by a meeting of the members held August 23rd,
1942.
A special meeting of the Society legally called for Sunday, August 30th, 1942, for adoption or
rejection of these rules.

Prepared by a committee appointed at the Annual Meeting, 1949, to report to the membership at
the Annual Meeting, 1950: as amended and approved by the Executive Committee, August 25,
1950.
Article I. Name
The name of this organization shall be the Unitarian Society of Vineyard Haven.
Article II. Purpose
The purpose of this Society shall be to maintain Stevens Memorial Chapel and concudt services
of worship there in accordance with Unitarian principles.
Article III. Membership
The members of the Society shall be persons who have signed the Membership Book.
Article IV. Meeting
The Annual Meeting shall be held at the end of each summer session, at such time and place as
shall be designated by the President of the Society.
Special meetings may be called by the President, and shall be call upon the written request of
five members of the Society.
Notice of all meeting shall be given (by the Clerk), either by causing a notice to be read from the
pulpit for two Sundays preceding the meeting, (*) or by mailing a notice to every member (*).
Seven members shall constitute a quorum.
The parliamentary authority for all procedures shall be Robert’s Rules of Order.
(*) Amended by vote of the Society, August 25, 1952 by substituting “or by notification of those
members on the Island at the time.”•
V. Officers
At each Annual Meeting there shall be chosen by ballot President, a Clerk, a Treasurer and an
Assistant Treasurer, who shall hold office for one year or until their successors are elected and
qualified. The shall perform the duties usually pertaining to such offices.
There shall be a parish Committee consisting the of elected officers and three other members
chosen as follows: At the first Annual Meeting at which these Bylaws are in force one person
shall be elected for three years, one for two years and one for one year; thereinafter one shall be
elected annually for three years. No member of the Parish Committee who has served a full
three-year term shall be re-elected until after the expiration of one year.
The Parish Committee shall have general charge of the property, and the conduct of all its
business affairs.
The Parish Committee may fill vacancies, and persons so elected shall served until the next
Annual Meeting.
All officers and the members of the Parish Committee shall be members of the Society.
Article VI. The Fiscal Year
The fiscal year shall end on the day of the last meeting of the Parish Committee before the
Annual Meeting.
Article VII. The Minister
The minister shall be chosen and his salary determined by vote of the Society at a regularly
called meeting; or by the Parish Committee if an appointment is necessary between meetings.
Article VIII. Amendments
These Bylaws may be amended or repealed at any meeting of the Society by a two-thirds vote of
those present and entitled to vote. Notice of any proposed change shall be contained in the notice
of the meeting.
Article IX. Adoption
The adoption of these Bylaws shall be entered upon the books of the Society, and shall supersede
all previous articles and rules of this Society.
