Vertical Screen Breaks Ground on New “Green” Corporate Head-quarters Building

OnFebruary19,2010,VerticalScreen,Inc. broke ground on a new head-

quarters building designed to be BucksCounty’sfirstnewconstructionprojecttoachieveLEEDPlatinumcertification,thehighestachievablelevelintheU.S.GreenBuilding Council’s (USGBC) sustainabil-ity rating system. The building will beerectedonthecornersof VeteransDriveand Johnsville Boulevard at the formerNavalAirWarfareCenter,Warminster,PA.ThelandsiteisinaKeystoneOpportunityZone.

CitigroupisfinancingVerticalScreen’sproject.VerticalScreenalsoreceived$2.25millionfromPennsyl-vania’sDepartmentof CommunityandEconomicDevelopment’sPennsylvaniaIndustrialDevelop-

mentAuthorityand$1millionfromBucksCountyEconomicDevelopmentCorporation.

Vertical Screen is a family of applicant screeningcompanies founded in 1989 that includes BusinessInformation Group (BIG), which focuses on finan-cialservicesfirms;CertiphiScreening,whichservesthe healthcare community; and Truescreen, whichservesthegeneralbusinesssector.Thecompanyiscurrently inSouthampton,BucksCounty,PA.The

Gemini Plastics Inc., a familyownedcorporation,wases-tablishedin1969andwasquicklyrecognizedtobeoneof

themostefficientandcustomerfriendlyinjectionmoldingfacili-tiesintheregion.Overtheyears,competitionbegantogrow,andbusinessdevelopmentbecameapriority.Inparallel,GeminiPlas-ticstookanaggressiveapproachinfindingwaystobetterserveits customers. In the year 2000, they developed a ManagementTeam with over 100+ years of combined plastics experience.Theirmainfocuswasto identifythekeyelementsof manufac-turingsuccess.Byincorporatingtheirexperiencewiththeirrepu-tation,theGeminiTeamwasproudtoreportsuccessivedoubledigitsalesgrowthpercentagesfrom2001to2007,farexceedingtheirexpectations.

By the end of 2004, they moved into a state of the art 40,000square foot facility and replaced every molding press with ma-chinesnoolder then1999. Inaddition, theyexpanded their ca-pabilitieswhichnowincludeheatstaking,hotstamping,labeling,assembly,andsecondarymachiningoperations.With23injectionmoldingmachines,andmanydedicatedemployees,GeminiPlas-ticsisproudof theiraccomplishmentsandhascontinuallyfoundwaystobeattheeconomicdepression.

Over the years Bucks County Economic Development Cor-poration has assisted Gemini Plastics with two PennsylvaniaIndustrialDevelopmentAuthorityandtwoSmallBusinessFirstloans.MostrecentlytheyhavebeenapprovedforPollutionPre-ventionAssistanceAccount/SmallBusinessFirstFundLoan.Theloanamountis$93,000andwillbeusedtoinstallnewerequip-mentandmachines thatwillimprove efficiency, reduceenergy usage, and pollution.Gemini Plastics has 61 em-ployees and will be creatingfivenewpositionswith theirlatestloan.GeminiPlasticsislocatedinFallsTownship.

TheAmericanReinvestmentandRecoveryActof 2009(“Act”)amends certain provisions of the Internal Revenue Code

(“Code”) toencourage lending to issuersof taxexemptobliga-tions.Thesechangesaimtohelpcertainborrowers,suchaslocalgovernments,schooldistricts,and501(c)(3)entities,byprovidingaccesstovitalimprovementfundsin2009and2010.Thepurposeof thisarticleistodiscusssomeof thebeneficialwaysthattheActamendstheCode.

TheActincreasedtheprincipalamountof “bank-qualified”ob-ligations that an issuer may sell annually from $10,000,000 to$30,000,000forcalendaryears2009and2010.Thischangeper-mitsbankstopurchaseandholdsignificantlymore“bank-quali-fied”obligationswhichcarrycertaintaxincentivesforthebanks.Inturn,thisenhancestheopportunitiesforqualifiedborrowerstoobtainvitalcapitalatlowerinterestrates.

Generally,abankisprohibitedfromclaimingataxdeductionontheportionof itsinterestexpenseallocatedtointerestontax-ex-emptobligationsheldbythebank.Theallocationisbasedonthefollowingratio:thebank’staxbasis intax-exemptobligations itholdscomparedtothebank’staxbasisinallof itsassets(“Ratio”).TheCodecontainsanexceptiontothisprohibition.Abankmayexempt from theallocation calculation certain “bank-qualified”tax-exemptobligations.Historically,“bank-qualified”tax-exemptobligationsare issuedbysmall issuerswhichdonotreasonablyanticipateissuingmorethan$10,000,000of tax-exemptionobli-gationsinagivencalendaryear.Thisisknownasthe“small-is-suerexception.”Withtheabovereferencedchange,the“small-issuerexception”isexpanded,authorizingasmallissuertoissueupto$30,000,000of “bank-qualified” tax-exemptobligations in

both2009and2010,therebyincreasingthreefoldtheamountof “bank-qualified”obligationsabankmayholdanduponwhichthebankmayclaimataxdeduction.

Inaddition,theamendmentsintheActpermitbankstodeduct80% of the interest expense on debt used to carry non-“bankqualified”tax-exemptobligations,issuedin2009and2010,totheextentthatsuchobligationsdonotexceed2%of thetaxbasisof allof theassetsof thebank. Before thischange,abankcoulddeduct 80% of the interest on debt used to carry “bank quali-fied”obligationsonly,basedontheRatio.Byexpandingthein-terestexpensedeductiontonon-“bankqualified”tax-exemptob-ligations,suchobligationsbecomemorefinanciallyattractivetobanks,whichinturnimprovesthemarketabilityof suchobliga-tionsforborrowers.

Insum,theActprovidesissuers,borrowersandbanksincreasedopportunities to capitalize on increases in “bank-qualified” fi-nancingcapacity.Italsomakestaxexemptfinancingmorefinan-ciallyattractivetobanksinlightof theadditionaltaxdeductionsavailable, and as a result, may give tax-exempt borrowers suchaslocalgovernments,schooldistricts,and501(c)(3)organizationsexpandedaccesstoneededfunds.

volvedwiththeWidenerUniversitySeniorEngineeringProj-ect.Duringthe2008-2009academicyear,agroupof fourWid-ener University Civil Engineering students, along with theirfacultyadvisor,Prof.JohnDavis,andProjectCoordinator,Vic-torMarcus,observedthedrainagecharacteristicsof syntheticturf fields.Thesyntheticturf surfaceatWidenerUniversity’sQuickStadiumwasthefocusof theproject.Membersof Tay-lorWiseman&Taylor’sChalfontofficeinBucksCounty,Penn-sylvania offered equipment and technical support includingsoilinfiltrationtestingandrainfallandflowdepthinstruments.Uponcompletionof datacollection,assistancewasalsoofferedforthegroup’sAprilpresentationtotheWidenerSchoolof En-gineeringandforthegroup’sfinalreport.

The local organization ispartof anationalMiracleLeagueorganizationwhichwases-tablished in 1998 in Georgia to give children who could notparticipateonstandardbaseballfieldstheopportunitytoplaybaseball.Todaytheorganizationhasgrownto200localMira-cleLeagueorganizationsacrosstheUnitedStatesandPuertoRicoandservesover80,000childrenandyoungadultswithdis-abilities.Therehavebeen100MiracleLeaguefieldscompletedtodateand thereareanadditional100fields indevelopmentorunderconstruction.ThelocalMiracleLeagueorganizationcurrentlyservesover100childrenandyoungadultsinthelocalcommunityandiscontinuingtogrow.Thisfieldwillhelpthemserve more children and young adults who do not currently

The landscape architectureand engineering team fromGilmore’sLanghorne,PAof-fice has been working withthe local Miracle LeagueBoard members and volun-teers and with Northamp-tonTownshipofficialsontheproject.Theproject includesa baseball/softball field anda multi-purpose field for usefor Special Olympics Soc-cer,ChallengerFootball,andotherappropriatesports.Keyto the success of the projectis the fields and their accessmustbeentirelyhandicappedaccessibleandsafe.Thebase-ball/softballfieldwillbesur-

facedinaspecializedrubbermaterialandthesoccer/footballfieldwill be surfaced in synthetic turf making them safe if aplayer falls. The fields are designed to be fun and challeng-ingfortheplayersbutalsomeettheirabilities.Otherfeaturesinclude accessible walkways, a plaza, seating areas, bleacherswhichallowwheelchairaccess,andlandscaping.Anotherde-sireof localorganization is tomakethebaseballfield, to thegreatestextentpossible,havethefeelof abaseballstadium.Toachievethestadiumlooktheplansincludemasonryandmet-alroof dugouts,alowwallalongthebackstopfence,outfield

fencesignage,foul-poles,flag-poles,andascore-boardjustlikeabaseballpark.Therearealsofutureplanstodesignandcon-structabarrier-freeplayground.

Beyondgivingthesechildrenaplacewheretheycanparticipateinoutdoorsports italsogivesthemafieldtheycancall theirown.Inclusionisamajorpartof theMiracleLeaguemission.The location of the field in the Municipal Park was partiallychosenbecause it iscentrally locatedanddirectlyadjacenttoallof theotherbaseballandsoftballfieldsusedbyotherchil-dren. The Miracle League will be playing their games at thesame times as the other children are playing on the adjacentfields.Theideaisthatthesechildrenarenotdifferentfromtheotherchildrenplayingontheotherfields;theyjustwanttoplaysportsandhavefundoingit.TheMiracleLeaguealsohasbud-dysystemwherekidsfromlocalschoolsandbaseball/softballleaguesbuddyupwithMiracleLeagueplayers toassist themduringthegame.Itisawin-winforallof thekidsparticipating.

Currentlytheprojectisprogressingthroughthedevelopmentapprovalprocess forbothNorthamptonTownshipandBucksCounty.
