    THIS AGREEMENT is made this day 23TH OCTOBER 2009 between BLUE MART OIL & GAS COMPANYLONDON under the Laws of UK (hereinafter called BLUE MART OIL & GAS COMPANY LONDON andEMPLOYEE (hereinafter referred to specifically as contractor of the second part.) ARTICLE 1.BLUE MART OIL & GAS COMPANY LONDON LTD desires to secure the services of a competentcontractor to provide expatriate working services and others as specified to first party contractor.

    1.1 CONTRACTOR AND CONSULTANT present to BLUE MART OIL & GAS COMPANY LONDONLTD; that it has the technical competence necessary for carrying out all the services, duties andobligations specified in this contract on the part of CONTRACTOR to be assumed and performed andhas agreed to carry out the same in accordance with the terms and conditions hereinafter set forth. ARTICLE 2: CONTRACT PERIOD

    The contract period shall be for Contract duration: The contract shall last for duration of (12)consecutive months; one (1) year and7 could be renewed only if employer is satisfied with employee'sservices. This is with effect from the 23TH OCTOBER

    ARTICLE 3: FEES FOR SERVICES AND TERMS OF PAYMENTSRTICLE 3: FEESFOR SERVICES AND TERMS OF PAYMENTS3.1 BLUE MART OIL & GAS COMPANY LONDON shall pay CONTRACTOR / CONSULTANTS onsatisfactory performance of the services stated in Article 1, through 1st party contractor the sum GBP10,560.00 after tax. (Ten Thousand Five Hundred and Sixty Pounds only) monthly or Euros equivalentdepending on employees home country.

    3.2 BLUE MART OIL & GAS COMPANY LONDON shall pay for services rendered in Article 1 by chequepresented on a monthly basis at the rate stated in Article 3.1.

    3.3 Payments of undisputed invoices will be made BLUE MART OIL & GAS COMPANY LONDON to theCONTRACTOR monthly.

    3.4 BLUE MART OIL & GAS COMPANY LONDON shall pay all of the fees in Article 3.1 in Pounds orDollars equivalent depending on employees home country and shall be paid; 75% to an offshoreaccount provided by contractor and 25% locally.

    The employee will be reimbursed by the employer for reasonable moving expense incurred only as aresult of relocation or early termination of leases, storage charges; procurement of travel documents(flight tickets),

    Immunizations etc. Reimbursements shall be made before employees embark on journey not later thanFive (5) working days after submission of employees expense report and receipts, this after theacquisition of relevant traveling papers through their local representatives assistance from theImmigrations/Internal affairs ministry in UK.

    Employer for each intercontinental trip shall pay 5,520.00 flat rate travel/entertainment allowance toemployee. Travel shall be by business class/first class. However for the purpose of commencement, thecost of travel ticket shall be paid in addition to travel/entertainment allowance. Cost shall besubstantiated and shall be the rate charged at the Period/time of purchase.

    Employer shall also take care of employees' travel ticket including that of employees' family only onemployees' early notification to employer and as shall be requested by employee.

    New employed and recruited for BLUE MART OIL & GAS COMPANY LONDON (And not presentlypossessing a valid Residence, Work Permits, Visa) shall be expected to personally incur all expensesas shall be related to the processing, procurement and acquisition of their necessary permits clearancepapers with the UK DETOUR AGENCY (UDA) and shall be duly reimbursed and will be substantiatedwith receipts and the employer will reimburse the employee not later than Five (5) working days aftersubmission of employees expense report and receipts.

    You shall be required to furnish us with your valid residence, work permits and visa on or before the6THNOVEMBER 2009 as a proof of readiness to join the BLUE MART OIL & GAS COMPANY LONDON

    project team in the due time as stipulated above for your job resumption with the BLUE MART OIL &GAS COMPANY LONDON and also to enable you receive your first monthly salary including your dueentitlements/emoluments prior to your departure for services with the BLUE MART OIL & GASCOMPANY LONDON.

    However, for expatriate services employees who do not presently posses their valid Residence/WorkPermits papers and Visa, they are to make contact with the address given below for directives andassistance on the acquisition and procurement of their United Kingdom valid residence and workpermits papers.

    Note: That, every employee is to get the traveling documents and incur the expense personally. TheCompany will be reimbursed all the expense and also make additional payment of 6000 (Great BritainPounds) to the employee as imposed by law for Damages according to the British Expatriate PolicyEnforcement Agency. ARTICLE 4: COMFIRMED EMPLOYEESConfirmed employees are those employees that have successfully acquired and forwarded his/hernecessary permits clearance papers to the employers management-duly certified by the UKImmigration Services/Federal Ministry Of Foreign Affairs of the Federal Republic Of UK). Then theyshall be entitled to article 3.0-3.4 above. ARTICLE 5: INDEMNITYThe CONTRACTOR agrees to indemnify and hereby indemnifies BLUE MART OIL & GAS COMPANYLONDON in respect of all third party claims arising from the performance of this contract. ARTICLE 6: BENEFITS1. Family / Single Five Bedroom Flat Duplex will be provided by the company.2. Free Medical & Travel Insurance for employee / family. Family includes wife and kids.3. 10 Days Leave / break/ Vacation after every 90 working days4. Flight Fares (Air Tickets).5. Free Education Scheme to expatriates children/family6. Free Toyota Camry 2008 Model.

    ARTICLE 7: FORCE MAJEURE

    7.1 Not withstanding any thing herein stated, neither party should be considered in default in theperformance of its obligations under this Agreement as a result of Force Majeure.The term "Force Majeure" shall include but not limited to Act of God, War, Nation wide strike, Lockout,Riot and Civil commotion. A strike or Lockout embarked upon by only the CONTRACTORS personnelshall not be deemed to be included in this term.

    7.2 If an interruption of work occurs as a result of "Force Majeure" for up to seven (7) days, 70% of thebasic daily fees shall be paid as standby.

    However, if such suspension results in CONTRACTOR not being able to perform its duties for morethan seven (7) days, then BLUE MART OIL & GAS COMPANY LONDON may at its option elect tocontinue the implementation of this Agreement at adjusted standby rates to be negotiated by BLUEMART OIL & GAS COMPANY LONDON and CONTRACTOR or to terminate the contract. ARTICLE 8: TERMINATION

    8.1 This Agreement may be terminated: -(i) If the services stated in Article 1 and are not rendered satisfactorily.(ii) If the duration of the Agreement stated in Article 2 expires and no extension has been given.(iii) Under Force Majeure as stated in Article 7.0

    ARTICLE 9: DEFAULT OF CONTRACTOR

    9.1 In the event of default by CONTRACTOR or non-compliance by CONTRACTOR with the terms andconditions of this Agreement, BLUE MART OIL & GAS COMPANY LONDON shall give notice toCONTRACTOR specifying areas of default and CONTRACTOR shall have ten (10) calendar days torectify to BLUE MART OIL & GAS COMPANY LONDON satisfaction, the said default(s). If CONTRACTORdoes not rectify to BLUE MART OIL & GAS COMPANY LONDON satisfaction, the said default(s) withinten (10) days of receipt of the notice, BLUE MART OIL & GAS COMPANY LONDON may proceed withtermination of this Agreement subject only to settlement of all payments due and outstanding at thetime of termination.

    ARTICLE 10: ADDRESSES FOR NOTICE

    All notices and other communication required to be given hereunder by one party to the other shall bein writing and shall be sufficiently given if sent by post, faxed or delivered by hand to the addresses

    hereunder.

    ARTICLE 11: ENTIRE AGREEMENT

    This Agreement embodies the entire understanding of the parties hereto and any prior representationor arrangements are hereby superseded.

    ARTICLE 12: ATTESTATION

    AS WITNESS, the hands of the duly authorized representatives of the parties, the day and year firstabove written;
