The Service Descriptions and Terms and Conditions in the Company's Interstate Service Guides also apply tointrastate services in Alabama.

Under certain circumstances, funds provided under the American Recovery and Reinvestment Act of 2009(“ARRA”) may be subject to certain restrictions, requirements and reporting obligations. AT&T may be subject to

some of these restrictions, requirements and reporting obligations when Services and Service Components arepurchased with ARRA funds. In order to comply with the restrictions, requirements and reporting obligations

associated with the use of ARRA funds (if any), AT&T must be apprised of them before provisioning the Servicesor Service Components. Accordingly, the Services and Service Components provided under this Service guide shallnot be used to support the performance of any portion of a project or program which has been funded in whole or inpart with grants, loans or payments made pursuant to the ARRA, without the prior written agreement of AT&T andCustomer regarding any specifically applicable terms, conditions and requirements. Customer shall provide AT&T

with prior written notice before placing any order that may be funded in whole or in part with ARRAfunds. If Customer fails to provide such prior written notice of ARRA funding; or if the parties cannot agree on

1.1 Residential Service Offerings

1.1.1 Message Telecommunications Service (MTS)

The per minute usage charges are as follows:

(A) Peak Per Minute Rate: $0.3300

(B) Off-Peak Per Minute Rate: $0.3300

Rates Applicable For Hearing/Speech Impaired Persons

A telephone toll message which is communicated using a telecommunications device for the deaf(TDD) by properly certified hearing or speech impaired persons or properly certified businessestablishments or individuals equipped with TDDs for communicating with hearing or speechimpaired persons will receive upon request credit on charges for all intrastate toll calls placedbetween TDDs. The credit to be given on a subsequent bill for such calls placed between TDDswill be 50% of the billed charges.

This credit will only be issued for Message Telecommunications Services.

The credit to be given for such calls placed by TDDs will be equal to 50% of the rate for theapplicable rate period

1.2.6 Business Easy Toll Free Plan

Where Business Easy Toll Free plan service is provided to all other business servicescustomers, toll free usage under this plan is subject to the rates, billing increments, termand/or volume discounts, monthly usage commitments, and monthly recurring chargewaiver provisions of the associated business service subscribed to by the Customer. Forpackage plan customers, toll free usage will be included in package minutes. TheCompany will automatically adjust toll free rates and plan provisions to reflect changes inbusiness service subscriptions.Descriptions, terms, conditions and charges for tollfree service optional features and services are provided in accordance with theCompany's Business Services Pricing and Service Guide.

1.7 Obsolete Service Offerings

Obsolete services are those services no longer offered to new Customers following the date specified foreach service in this section of the pricing and service guide. For existing Customers, the effect ofobsoleting a service will depend on the form or type of obsolescence stated for each obsolete serviceoffering. Obsolete services as listed in this section of the pricing and service guide are classified asobsolete according to the following types.

Type 1 Customers may continue to use the obsolete service arrangement and may add to, change,move or transfer the service as required.

Type 2 Customers may continue to use the obsolete service arrangement and may make changesto the arrangement as long as service continues to be provided at the same CustomerPremises. However, no additions to the arrangement or transfers/moves of service to newlocations are permitted.

Type 3 Customers may continue to use the obsolete service arrangement and may move ortransfer the service as required. However, no additions or changes to the serviceconfiguration is permitted.

Type 4 Customers may continue to use the obsolete service arrangement. However, noadditions, changes, moves or transfer of service are permitted.

Type 5 Used to indicate that the terms and conditions associated with obsoleting the service areservice-specific and stated in the pricing and service guide pages obsoleting the offering.

Obsolete services are furnished subject to all rules and regulations of this pricing and service guide thesame as would be applicable if the service offering were not obsolete. 3.1 General

Nonrecurring charges apply to each Access Channel on each BellSouth® Dedicated Access serviceinstalled. Nonrecurring charges also apply to the installation of Optional Features and Functions availablewith Dedicated Access service. When a Customer subscribes to a plan with an associated Contract Term,the monthly recurring charges for each Dedicated Access Channel and associated rate elements installed bythe Company shall be the applicable monthly charges in effect on the date that such Dedicated AccessChannel is installed, and shall remain fixed for the duration of the Term.

3.2 Rates and Charges

3.2.1 Access Channels

Non-Recurring and monthly recurring charges for Access Channels are listed by NPA/NXX inAppendix A of the Company's Complex Business Services Interstate Pricing Guide. 3.2.3 Crediting the Surcharge

The Company will cease billing the Special Access Surcharge when certification that theBellSouth® Dedicated Access service has become exempt from the surcharge, as set forth in 7.4.2of the Complex Interstate Pricing Guide. If the status of the Dedicated Access service was changedprior to receipt for the exemption certification, the Company will credit the Customer's account,not to exceed ninety (90) days, based on the effective date of the change specified by the Customerin the letter of certification.

3.2.4 Surcharge Rates

The monthly Special Access Surcharge applies to Dedicated Access services on a per voiceequivalent basis as shown in the following example.

3.2.9 Access Discount Plan

Dedicated Access service Customers will receive the applicable discount from the table belowbased on the Access Discount Plan Term that the Customer selects per circuit. 3.2.10 ACF and COC Monthly Charge Discount Plan

These prices will remain in effect during the entire contract termselected by the Customer. In order to receive these prices, services receiving this plan's discountsmust be installed and activated no later than sixty (60) days from the Customer's date of signatureon the applicable enrollment form.

3.2.11 BellSouth® Dedicated Access Service Installation Charge Waiver

The Company will waive 100% of the nonrecurring installation charges (including AccessCoordination Fee and Central Office Connection nonrecurring charges) for intrastate DedicatedAccess circuits to customers meeting who sign a BellSouth® Business Class Family of Servicesagreement for at least one year. The Customer must also sign a BellSouth® Dedicated Accessservice enrollment form contract for at least one year and an enrollment form contract specific tothis waiver.

4.2 BellSouth® Free Month Contract Extension

Customers, who previously signed a BellSouth® Business Class Family of Services (BBCFS) agreement ofless than three years and whom have signed or are signing concurrently with this plan, a one-year or longerTerm extension of Customer's Services Agreement using the BBCFS Volume/Term Form will receive aone time credit in an amount equal to the Customer's monthly recurring and usage charges for EligibleServices for one complete billing cycle. To be eligible for this Plan, the Customer must extend the Term ofthe Services Agreement at least one year using the BBCFS Volume/Term Form, acknowledging enrollmentin this Plan. This Plan shall only apply to eligible Services ordered under the Services Agreement andwhich are installed and activated as of the effective date of the BBCFS Volume/Term Form.

4.2.1 The monthly credit amount will be capped at the greater of $2,000 or 150% of the Customer'sMMC as defined in the Services Agreement as amended.

4.2.2 The free month of service include the waiver of all BellSouth Long Distance Monthly RecurringCharges and usage charges, including loop charges, for the following: BellSouth® Dial DirectService, BellSouth® Toll-Free Service, BellSouth® Long Distance Voice VPN, BellSouth® LongDistance Calling Card, BellSouth® Long Distance Dedicated Access Service, BellSouth® LongDistance Private Line Service, BellSouth® Long Distance ATM Service and BellSouth® LongDistance Frame Relay Service.

4..3 Free month does NOT include the following: (1) International Data Services (ATM, Frame Relayor Private Line); (2) BellSouth® Conference Services; (3) Any Local, County, State and FederalTaxes; (4) any other Charges and Fees - including USF, PICC, Operator Services, PayphoneSurcharges, Directory Assistance and all special billing delivery charges.

5.1 Service Expedites

The expedite charges indicated below will be applied for each DS-1 and below bandwidth DedicatedAccess service channel in a Private Line service order. The total charges for these expedites (DS-1 andbelow bandwidth) will not exceed $1,250.00.

5.2 Service Cancellations

If the Customer, either on behalf of itself or an Authorized User or End User, orders a BellSouth®

Dedicated Access service channel or BellSouth® Long Distance Private Line service from the Companyand later cancels the order before service begins, a charge shall be made to the Customer for suchcancellation.

These cancellation charges vary based upon the facility bandwidth ordered and/or whether an AccessService Request (ASR) has been issued by the Company. A Pre-ASR Charge will be applied when theCustomer requests a service cancellation prior to the Company issuing the ASR. A Post-ASR Chargeapplies when the Company receives the cancellation request after issuance of the ASR for the particularfacility.

The cancellation charges indicated below will be applied for each Dedicated Access service channel and/oreach circuit in a Private Line service order.

6.1 BellSouth® Unlimited Talk Plan Promotion III1

(A) Promotion Description

The BellSouth® Unlimited Talk plan is a direct dialed outbound long distance service offered tosingle line residential Customers from switched access lines. Service is offered on a flat rate basis,twenty-four hours per day, seven days per week. Customers must dial 1 plus the area code, ifapplicable, and the terminating number to complete a call utilizing this service. The BellSouth®Unlimited Talk plan provides the Customer with unlimited minutes of interexchange intrastatelong distance usage for a flat rate monthly charge (certain restrictions, as outlined below, doapply). This plan does not provide call detail information on the Customer's monthly bill.

This service is only offered in conjunction with the corresponding interstate BellSouth®Unlimited Talk plan. An additional monthly service charge will apply for the correspondinginterstate service. This service is not offered on an intraLATA only basis.

(B) Rates and Charges

Monthly Service Charge*: $20.99

(C) Eligibility Requirements

In order to be eligible for this plan, the Company must be able to verify that the Customer meetsthese eligibility requirements. Customers who no longer meet these eligibility requirements willnot be eligible for this promotion and may be offered an alternative plan or have their servicesuspended, restricted or canceled without prior notice. Customers are eligible for this promotion ifthey meet the following requirements.

.1 Customers must subscribe to BellSouth Long Distance and also must subscribe to theCompany's affiliated local exchange carrier's BellSouth® Complete Choice® plan. TheCustomer must also receive billing for all of these services from the Company's affiliatedlocal exchange carrier.

.2 Customers must presubscribe to BellSouth Long Distance for both intraLATA andinterLATA long distance service.

.3 This plan cannot be used for any use inconsistent with residential service.

.4 This plan is not available to Customers with a multi-line account or an account that billsto another number or is the recipient of charges billed from another number unless theCustomer establishes separate billing accounts for each line.

.5 Customer lines associated with educational institutions, (colleges, universities, etc.) arenot eligible for this plan.

.6 Unlimited plan usage does not include multi-party conference calls, calls to 900 numbers,directory assistance, calling card, operator services, international calling and toll freecalling services.

.7 This plan is not available for resale.

(A) Promotion Description

This promotion is available to AT&T Long Distance Service Business Customers who purchasethe Business Unlimited Plan or the Business Unlimited Flex Plan and meet the eligibilityrequirements listed in (B) herein during the promotion availability period. Qualifying Customerswill receive a bill credit reward equal to 40% off the monthly recurring charge for the BusinessUnlimited Plan or Business Unlimited Flex Plan (“Promotion Benefit”) for the length of therequired term agreement. For partial months the monthly recurring charge will be prorated.

(B) Eligibility Requirements

To be eligible for this promotion Customers must:

.1 subscribe to the Business Unlimited Plan or the Business Unlimited Flex plan during thepromotion availability period; and,

.2 meet one of the following conditions:

.a newly subscribe to an access line from the Company's affiliated incumbent localexchange carrier ("Affiliated ILEC"); or,

.b currently subscribe to at least one access line from the Company's AffiliatedILEC and add a new access line at a new service location; or,

.6 Surcharges, Universal Service Fund, taxes and other similar fees will be calculated on themonthly recurring charges and usage amounts prior to the calculation of the PromotionBenefit.

.7 The Term Agreement may be renewed for up to two additional terms of the sameduration as the initial term. Unless the Customer notifies AT&T in writing of its intentnot to renew the Term Agreement at least sixty (60) days prior to the expiration of eitherthe initial term or the first renewal term, it shall automatically renew.

(A) Promotion Description

Eligible Business Customers who are new and existing subscribers to the Business Preferred Rateplan, Business Preferred Rate Plus plan, Business Unlimited plan or Business Unlimited Flexplan (“Eligible Plan”) during the promotion availability period may receive a bill creditreward equal to 30% off of the monthly recurring charge for an Eligible Plan for the length ofthe Term Agreement (“Promotion Benefits”). For Eligible Customers who subscribe tothe Business Easy Toll Free service, the Promotion Benefits will also apply to theBusiness Easy Toll Free service monthly recurring charge. To be eligible for this promotion Customers must:

.2 be an existing subscriber or newly subscribe to Complete Choice® for Business serviceprovided by the Company’s Affiliated LEC; and,
