Terms of PaymentAccountsaretobepaidbythe24thdayofthemonthfollowingthedateofsupplyasspecifiedonthestatement.Ifpaymentisnotmadewithintheagreedcreditperiodwereservetherighttochargeinterestattherateof3%aboveBarclaysBankBaseRatepermonthfromthedateonwhichpaymentfallsdueuntilthedateonwhichpaymentisactuallyreceivednotwithstandingthatsuchclaimstointerestand/ortosurchargesfornon-paymentmayhavebeenwaivedbyusinthepast.Anyaccountfallingoverduewillnotqualifyfordiscountrelatingtotheoverdueamountandwereservetherighttore-imposewithoutnoticeanydiscountsthathavebeen allowed if payment is not made in full by the due date. Direct Debit facilities are available. All costs including legal fees incurred by us in collection of amounts due hereunder or in enforcing repossession under Clause3belowwillbepayablebythecustomer.Anybankchargesincurredbyus,throughchequesordirectdebitsnotbeinghonouredforanyreason,willbepayablebythecustomer.Wereservetherighttosuspend or terminate credit facilities at any time.

2. ClaimsAllgoodsshouldbeexaminedatthetimeofdeliveryandanylossordamagesignedforaccordingly. Ifexaminationisimpracticalattimeofdelivery,pleasesignthedeliverynoteandmarkit‘UNEXAMINED’.InanyeventStAustellBrewery/Depotsmustbenotifiedofanydiscrepanciesand/orbreakagesindeliveriesreceived not later than the day following the day of delivery.

3. Title of GoodsThegoodsshallremainthepropertyoftheSeller‘StAustellBreweryCo.Ltd.’untilchequesreceivedareclearedandfullpaymenthasbeenreceivedforthemfromtheBuyer.UntilsuchpaymentisreceivedtheBuyershallholdthegoodsonbehalfoftheSellerandshallstorethegoodsinsuchawayastheyareidentifiableasthepropertyoftheSeller.IfthegoodsaresoldbeforetheSellerhasbeenpaidinfull,theBuyershallholdtheproceedsofthesaleontrustfortheSeller,andsuchsaleisonlyauthorisedbytheSellerifittakesplaceintheordinarycourseoftheBuyer’sbusiness.Intheeventofnon-paymentbytheBuyerontheduedate,theSellershallbeentitledtoenterthepremisesoftheBuyerandtakesuchmeasuresasarereasonablynecessarytorecoverthegoods.TheSellershallhaveabsoluteauthoritytoretake,sellorotherwisedealwithordispose of all or any part of the goods in which title remains vested in the seller.TheSellershallbeentitledtoseekacourtinjunctiontopreventtheBuyerfromselling,transferringorotherwise disposing of the goods.

4. OwnershipNoticeisherebygiventhatreturnableBottles,CasesandCasksuponwhichadepositmayormaynothavebeenchargedarethepropertyorresponsibilityoftheCompany.Theywillbecreditedinfullwhenreturnedingoodcondition and their full value will be charged for if not returned.

5. Availability of stock, vintages and substitutionsItisnotalwayspossibletoensurethatstocksofwineinourlistremainavailableuntilthepublicationofthenextmonthlyamendmentsheetorannualpricelist.Ifyourorderincludesawinewhichiseitheroutofstock ordiscontinuedwewillselectanotherwineasnearaspossibleinstyle,qualityandprice.Similarlyintheeventofavintagebeingoutofstockthenextavailablevintagewillbesentunlessweareinstructedtothecontrary.

6. PricesAllpricesarequotedexclusiveofV.A.Tandaresubjecttomarketfluctuations,alterationsinCustomsandExciseDuties,andstocksbeingavailable.Thiscompanyreservestherighttoalteranypricesorspecificationsat any time without notice and all goods are sold subject to prices and conditions ruling at the date of despatch. AllpricesincludedeliverywithintheCountiesofCornwall,Devon,Dorset&SomersetbyourowntransportprovidingthatconditionsstatedunderClause7belowareadheredto.DeliverychargesoutsideCornwall,Devon,Dorset&Somersetaresubjecttoquotationsuponapplication.

7. Deliveries and Minimum ordersThisCompanyreservestherighttostateaminimumvalueand/orquantityforanyorderstobedeliveredwhereverdeemedappropriate.Alldeliveriesaremadebyourowntransport.ApproximatetimesanddaysofdeliveriesareavailablefromSt.AustellBreweryoranyofitsdepots,detailsofwhicharelistedonthebackcoverofthisPriceList.

8. WarrantyThegoodsincludedinthiscomplywiththeFoodandDrugsActandallotherstatutoryrequirementsorregulations relating to the sale of goods.

9. Contract termsThisCompanyshallsupplygoodsonlyontheconditionthatourtermsandconditions,asstatedabove,represent the entire agreement between ourselves and our customers and that these terms and conditions supersede any prior agreement or arrangement.

10. Stock rotation and returnsItistheBuyer’sresponsibilitytorotateproductssothattheoldestissoldfirst.Nocreditwillbegivenfor outofdateproductsnorwilltheybeexchanged.NoreturnsofWINESANDSPIRITSwillbeaccepted. IntheinstancesofBEER,CIDERANDMINERALScarryinganopendatecodegoodsmustbereturned incompletepacks,goodconditionandnotofmixeddatesandmusthavethemajorpartoftheiravailable lifetorun.GuidanceonthismatterisreadilyavailablefromtheBottleBeerDepartmentattheBrewery. WecannotguaranteecreditonreturnsofotherBrewers’Cask-conditionedAlesandevenwherecredit isgivendelaysofuptothreemonthsmustbeexpected.Cask-conditionedAlescannotbesuppliedona saleorreturnbasis.ReturnsofDraughtWine,PostmixMineralsand“SpecialOrders”willnotbeaccepted. InthecaseofauthorisationfromSt.AustellBrewerybeinggrantedforthereturnofgoodsdueto overstocking,closingdownorchangeofownershipwereservetherighttocharge5%ofthevalueofthe goods to cover costs of collection and administration.

11. Exclusion of liabilitySt.AustellBreweryCompanyLimitedshallbeundernoliabilitywhatsoeverforlossordamage,deathorpersonal injury howsoever arising other than for death or personal injury sustained by any person arising fromthenegligenceofSt.AustellBreweryCompanyLimitedorundertheConsumerProtectionAct1987.

12. InsolvencyEitherpartymayimmediatelyterminatetradingbywrittennoticeiftheotherbecomesinsolventoris deemedtobeinsolventwithinthemeaningofsection123oftheInsolvencyAct1986.

13. Money LaunderingFortheprotectionofourcustomers,weoperateamoneylaunderingreportingprocedure.Incertaincircumstances,informationwillberevealedbyustotheappropriateauthoritiesinrelationtoanysuspicion of money laundering.
