Almindelige salgs- og leveringsbetingelserAnvendelsesområdeNedenstående almindelige salgs- og leveringsbetingelser gælderalle BCI A/S’s (herefter kaldet sælger) tilbud, salg og leverancer -også hvor køber foreskriver andre betingelser.Afvigelser fra nedenstående salgs- og leveringsbetingelser er kungyldige med sælgers skriftlige accept.

§ 1 Ændring af ordreEn ordre kan kun ændres efter skriftlig godkendelse af sælger.

§ 2 LeveringsklausulerOrdrer under kr. 5.000 netto tillægges et ekspeditionsgebyr.Evt. aftalte leveringsklausuler fortolkes i henhold til de ved aftalensindgåelse gældende Incoterms 2000. Såfremt der ikke er truffetaftale om en leveringsklausul, anses levering for sket “ab fabrik”(“ex works”). Miljøtillæg beregnes med 0,93% af bruttoprisen.Ovenstående gælder med mindre andet er aftalt.

§ 3 ForsikringTransportforsikring tegnes af køber med mindre andet er aftalt. Det er købers pligt at undersøge godset for synlige skaderinden der kvitteres for modtagelse af godset.

§ 4 Sælgers forsinkelseErfarer sælger, at han ikke kan overholde den aftalte leveringstid,eller at forsinkelse fra hans side må anses for sandsynlig, skal hanuden ugrundet ophold give køber skriftlig meddelelse herom ogsamtidig angive årsagen til forsinkelsen samt så vidt muligt dettidspunkt, hvor levering kan påregnes at finde sted.Hvis forsinkelsen med levering skyldes nogen af de i § 10 nævnte omstændigheder (force majeure) eller købers handlinger eller undladelser, forlænges leveringstiden i det omfang, hvori det efteromstændighederne skønnes rimeligt. Denne bestemmelse finder anvendelse uanset, om årsagen til forsinkelsen indtræffer før eller efter udløbet af den aftalte leveringstid. Køber kan ikke hæve aftalen grundet på leveringsforsinkelse, derkan tilregnes sælger, medmindre forsinkelsen overstiger 3 måneder.Køber kan ikke gøre erstatningsansvar gældende på grund afforsinkelse hos sælger.

§ 5 Købers forsinkelseErfarer køber, at han ikke vil kunne modtage varerne på den aftalte dag, eller at forsinkelse fra hans side må anses som sandsynlig, skal han straks give sælger skriftlig meddelelse herom og samtidig angive årsagen til forsinkelsen samt så vidt muligt det tidspunkt, hvor modtagelsen kan påregnes at kunne nde sted.Uanset, at køber undlader at modtage varerne på det aftalte tidspunkt, er han forpligtet til at erlægge enhver af levering betinget betaling, som om levering af de pågældende varer havde fundet sted. Sælger skal sørge for, at varerne opbevares for købers regning og risiko. På købers anmodning skal sælger forsikre varerne for købers regning. Sælger er berettiget til skriftligt at opfordre køber til at modtage varerne inden for en frist af 15 dage. Undlader køber at gøre dette inden for fristen af årsager, som sælger ikke bærer ansvaret for, er sælger berettiget til ved skriftlig meddelelse til køber at hæve aftalen for den leveringsklare del af varerne, som ikke er modtaget på grund af købers forsinkelse. Sælger har da ret til erstatning for den skade, som købers misligholdelse har påført ham.

§ 6 Betaling m.v.Med mindre andet er aftalt, forfalder købesummen til betaling med15 dage netto. Erlægger køber ikke betaling i rette tid, er sælger berettiget til fra forfaldsdagen at kræve morarenter med 1,5% pr. påbegyndt måned. Såfremt køber ønsker at returnere varer, kan dette kun ske efter forudgående aftale med sælger. Returnering skal ske franko.

I tilfælde af misligholdelse er køber (debitor) forpligtet til at betale alle omkostninger ved fordringens inddrivelse, herunder gebyrer og salærer til advokat, inkassobureau m.v.

§ 7 EjendomsforbeholdSælger forbeholder sig sin ejendomsret til det solgte, indtil betalingfuldt ud har fundet sted. Ved salg til Tyskland gælder dog det ejendomsforbehold, der fremgår af vedlagte tillæg mrk. D98.

§ 8 ManglerSælger forpligter sig til at afhjælpe alle mangler, som skyldes fejl ikonstruktion, materiale eller fremstilling ved at foretage reparationeller udskiftning af varerne i overensstemmelse med nedennævntepunkter, men sælger ifalder ikke erstatningsansvar som følge afmangler. Mindre knaster, farveforskelle, stærke og svage åreringe i træetsamt vækstmærker i læder er et tegn på ægthed og betragtes ikkesom mangler. Sælgers ansvar omfatter kun de mangler, der viser sig inden for 2 år fra den dag, da varen blev leveret til køber. Måtte køber konstatere mangler, skal køber straks skriftligt underrette sælger herom.

§ 9 ProduktansvarSælger er kun ansvarlig for skade forvoldt af produktet på ting, hvisdet bevises, at skaden skyldes fejl eller forsømmelser begået afsælger eller dennes ansatte. Sælger er i intet tilfælde ansvarlig fordriftstab, tabt fortjeneste eller andre økonomiske konsekvenstab.I den udstrækning, sælger måtte blive pålagt produktansvar over fortredjemand, er køber forpligtet til at holde sælger skadesløs i sammeomfang, som sælgers ansvar er begrænset efter de foregåendestykker. Hvis tredjemand fremsætter erstatningskrav mod køberp.g.a. en produktskade, skal køber straks underrette sælger herom.

§ 10 Force majeureFølgende omstændigheder hos sælger medfører ansvarsfrihed, såfremtde forhindrer aftalens opfyldelse eller gør opfyldelsen urimeligtbyrdefuld. Arbejdskon ikt og enhver anden omstændighed, som sælger ikke er herre over, såsom brand-, krig, mobilisering eller uforudsete militærindkaldelser af tilsvarende omfang, rekvirering, beslaglæggelse,valutarestriktioner, oprør og uroligheder, mangel på transportmidler,medmindre at denne mangel kunne forudses af sælger, almindeligvareknaphed samt mangler ved eller forsinkelse af leverancer fraunderleverandører, som skyldes nogen af de i dette punkt nævnteomstændigheder. Omstændigheder som nævnt, der var indtruffet inden aftalens indgåelse, medfører kun ansvarsfrihed, såfremt deres ind ydelse på aftalens opfyldelse ikke kunne forudses på aftaletidspunktet af sælger.Det påhviler sælger, såfremt denne ønsker at påberåbe sig nogenansvarsfrihedsgrund som nævnt i denne §, uden ugrundet opholdskriftligt at underrette køber om denne grund. Uanset, hvad der i øvrigt fremgår af nærværende salgs- og leveringsbetingelser, kan enhver af parterne hæve aftalen ved skriftlig meddelelse til den anden part, såfremt aftalens opfyldelse hindres i mere end 6 mdr. af en begivenhed som nævnt i denne §.

§ 11 TvisterAlle tvister vedrørende nærværende kontrakt afgøres efterdansk ret. Alle retssager skal anlægges ved sælgers eller købers værneting efter sælgers valg.

Conditions of Sale and Terms of DeliveryApplicationThe following General Conditions of Sale and Terms of Deliveryshall apply to all offers, sales and deliveries by BCI A/S (herinafterreferred to as the Vendor) – also in cases where the Buyer stipulatesother terms and conditions. Any deviation from the following Conditions of Sale and Terms of Delivery shall only be valid subject to the written consent of the Vendor.

Article 1 Order con rmationAn order can only by amended or modi ed subject to the written consent of the Vendor. A request for amending or modifying an ordermust be addressed to the Vendor not more than 5 days after the date of the order con rmation.

Article 2 Delivery clausesOrders amount less than DKK 5000 will be added an extra handling charge. Any agreed terms of delivery shall be construed in accordance with the Incoterms applying at the time of conclusion of the contract. Where no special term of delivery has been stipulated, the delivery shall be deemed to have been made “ex works”.

Article 3 InsuranceUnless otherwise agreed, the Buyer shall take out a transport insurance policy. Article 4 Delays by VendorIf the Vendor becomes aware that he will be unable to meet the stipulated time of delivery, or that a delay on his part is likely to occur, he shall without undue delay notify the Buyer in writing thereof stating the cause of the delay and, wherever possible, the time when delivery is likely to take place. Where a delay in delivery is due to any of the circumstances set forth in Article 9 hereof (“force majeure”) or to acts or omissions on the part of the Buyer, the time of delivery shall be postponed to such an extent as is deemed to be reasonable, having regard to the circumstances. This provision shall apply whether the cause of delay occurs before or after the end of the stipulated time of delivery. The Buyer shall not be entitled to cancel the contract owing to delays in delivery attributable to the Vendor except where such delay exceeds three (3) months. The Buyer shall not be able to claim compensation owing to delays on the part of the Vendor.

Article 5 Delays by BuyerIf the Buyer becomes aware that he will not be able to take deliveryof the goods by the stipulated date - or if a delay on his part is likelyto occur - he shall forthwith notify the Vendor in writing, stating thecause of delay and, wherever possible, the time when receipt is likely to be able to take place. Notwithstanding that the Buyer fails to take delivery of the goods at the stipulated time, he shall make any payment contingent upon delivery as if delivery of the relevant goods had taken place. The Vendor shall make sure that the goods are stored for the Buyer’s account and at the Buyer’s risk. The Vendor shall at the Buyer’s request insure the goods for the Buyer’s account. The Vendor shall have the right to call upon the Buyer in writing to take delivery of the goods within a time-limit of fteen (15) days. Where the Buyer fails to do so within the same time limit for reasons that are not attributable to the Vendor, the Vendor shall be entitled to cancel the contract by notice in writing to the Buyer, for such part of the goods ready for delivery as was not taken delivery of owing to the Buyer’s delay. In such case, the Vendor shall have the right to demand compensation for any loss he has incurred from the Buyer’s failure to perform the contract.

Article 6 Payment etc.Unless otherwise agreed, the purchase sum shall be payable 15days net. Where the Buyer fails to effect payment punctually, the Vendor shall be entitled to demand penalty interest as from the due date at the rate of 1.5% per month or part thereof.

Where the Buyer wishes to return goods delivered, such return shall be made only as per prior agreement with the Vendor.Returned goods shall be sent carriage paid. In the event of nonpayment, the Buyer (debtor) shall pay all costs ofcollecting and recovering the debt, inclusive of charges and fees for lawyers, debt-collection agencies etc.

Article 7 Ownership reservation (Retention of title)The goods sold shall remain the Vendor’s property until payment has been made in full.As for sales to Germany, however, the retention of title stipulated in the enclosed addendum D98 shall apply.

Article 8 DefectsThe Vendor agrees to make good all such defects as are the result of faulty design, material, or workmanship by carrying out repairs or replacement of the goods in accordance with the following paragraphs, but the Vendor shall incur no liability to pay compensation as a result of such defects. Minor knots, differences in shade, strong and weak annual rings in the wood as well as growth marks in the leather are a sign of genuineness and are not considered to be defects.The Vendor’s liability shall comprise only such defects as appear within two (2) years from the date when the goods were delivered to the Buyer. The Buyer shall notify the Vendor in writing of any defects without undue delay after such defects have appeared.

Article 9 Product liabilityThe Vendor shall be liable for damage to property caused by the products only where it can be shown that such damage was due to fault or negligence on the part of the Vendor or his employees. Under no circumstances shall the Vendor be liable for loss of pro ts, loss of earnings, or any other consequential nancial loss. In the event that the Vendor incurs products liability towards any third party, the Buyer shall indemnify the Vendor to the same extent as the Vendor’s liability is limited according to the above. If any third party raises a claim for compensation against the Buyer by reason of a damage caused by a defective product, the Buyer shall forthwith notify the Vendor to this effect.

Article 10 Force majeureThe following circumstances with the Vendor shall give rise to exemption from liability if they prevent the performance of the contract or render such performance unreasonably onerous:Labour con icts and any other circumstance beyond the control of the Vendor, such as but not limited to re, war, mobilisation or unforeseen military call ups of a corresponding scale, requisitioning, seizure, foreign exchange restrictions, insurrection and civil unrest, lack of transportation except where such lack was foreseeable by the Vendor, general scarcity of goods, and defects in or delays of deliveriesfrom subsuppliers due to any of the factors set forth in thisparagraph. Circumstances of the type mentioned above, which had occurred prior to the conclusion of this Agreement, shall exempt the Vendor from liability only where their in uence on the performance of the contract could not be foreseen by the Vendor at the time when the contract was made. Where the Vendor intends to invoke any exemption from liability grounds set forth in this Article, he shall without undue delay notify the Buyer in writing of such grounds. Notwithstanding any stipulation in these Conditions of Sale andTerms of Delivery, either of the parties may cancel the agreement by notice in writing to the other party where the performance of the agreement is prevented for more than six (6) months by one of the events set forth in this Article.

Article 11 DisputesAll and any disputes arising out of or in connection with this contract shall be settled according to Danish law.Any legal action shall be instituted at the Vendor’s or Buyer’svenue, at the Vendor’s option.

Concertina CounterIn GeneralFurther information about the Concertina counter (and other furniture from BCI) are available in our on-line Knowledge Bank.

The basic elementsThe basic elements are base modules, counter tops and intermediate modules. The base modules can be devided into 3 groups; unit with fixed height or as manually or electrically height adjustable units. It has a knock-down starter-addon construction.

The base modules of all three groups are available as straight and curved modules, 45° or 60°. Two optional widths. Three optional depths and two optional widths (plus widths variants for modules to be connected) for of desk tops.

As a freestanding desk Concertina offers a large 45° curve with an extra deep base module and two optional table depths.

The baseHas a dual and stationary lower wall front panel and end / intermediate frames. The frames are fitted with a rubberized half round PVC bumper in medium grey placed on the user side and supplied with one telescopic tube.

Desk and rail topsDesk top available with or wihtout rail top, low or high and range from stand alone, right-hand free, left-hand free or middle units (only straight units as middle units). Available depth 600 mm, 780 mm with projection towards staff or customer, depth 900 mm has projection on both sides.

Supplied with solid flexible rubberized PVC edge(s).

Upper front panelThe upper front panel with a solid or perforated surface. Fastened to underside of desk top and follows desk top upwards and downwards (height adjustable module).

Intermediate modulesIncludes a front, cable carrier and a shelf. Used to connect modules that do not have connecting desk tops.

Electrical wire transferEvery end and intermediate frame has a rectangular electrical wire transfer knock out on the right.Configurations of successive modules are prepared for wire-lead through in the end / intermediate frames.

The dual and stationary lower wall front panel has a formed "J" channel strapping on the inside to support any wire electrical components.

Colours and surfacesThe base (lower front panel and end / intermediate frame) is always delivered in Concertina-grey texture lacquer. The upper front panel optional in all BCI´s standard epoxy paint colours.
