We, Nilesh Shah and Associates, represented by its partner, Ms. Hetal Shah, Company
Secretary in practice having Membership No. FCS — 8063, were appointed as the Scrutinizer
for the purpose of the remote e—voting and for the poll taken at the Annual General Meeting, in
terms of Section 108 and 109 of the Companies Act, 2013 read with rule 20 and 21 of the
Companies (Management and Administration) Rules. 2014 on four resolutions as per the
Annexure attached, at the 34'“ Annual General Meeting of the Members of Jenburkt
Phnnnaceuticals Limited (’the Company”) held on 30'h July, 2019 at 3.30 pm, at ISKCON
Auditorium, Hare Krishna Land, Juhu, Mumhai — 400 049.

1. One (1) empty ballot box was kept for polling and the same was displayed to the members
present at the venue of the AGM and was locked in my presence with due identification
marks placed on the same.
2. The locked ballot box was subsequently opened in my presence along with presence of
two witnesses viz. Ms. Khyati Trivedi and Ms. .luhi Shah, (both are not in employment.

3. The poll papers were diligently scrutinized and were reconciled with the records
maintained by the Company / Registrars and Transfer Agents of the Company and the
. authorizations / Proxies lodged with the Company. The Signature of Members and
Number of Shares held by respective members were verified, scrutinized and confirmed
with the records maintain by the Registrar and Transfer Agent.
4. The poll papers, which were incomplete and/or which were otherwise fOund defective

5. The result of the voting i.e. poll through ballot paper and voting through remote e-votingis as per annexure attached herewith. This include the list of members who voted ‘for’ or
‘against’ and those whose votes were declared ‘invalid‘ for each resolution.
6. The poll papers and all other relevant records were properly sealed and handed over to
the Chairman and Managing Director ofthe Company for keeping under safe custody.
Note: Shareholders were provided with the facility of remote E-voting also. This report
contains the result of consolidated voting (Le. Remote E-voting and through Poll at AGM)
casted by the shareholders.
Recommendation:
All the resolutions having secured the requisite majority of votes in their favour, shall be
considered to have been passed. The Chairman may accordingly declare the result of voting.
