MEMORANDUM OF ASSOCIATION OFTHE BAPTIST CHURCH OF MIZORAM

(Society Registered under Act of 1860. SR 1 of 1980-81 at Aizawl)

1. Name: The name of the Society is Baptist Church of Mizoram(hereinafter called the Society)

2. Registered Office: The registered office of the Society shall besituated at Serkawn P.O. Zotlang, Lunglei District Mizoram

3. The main object for which the Society is established are:(a) To provide educational facilities, relief of poor, Medical relief

and advancement of any other charitable object of general publicutility not involving the caring on of any activity for profit.

(b) To establish, and maintain Literature house, Press, Libraries,reading room, publishing books, pamphlets, Magazines andother types of Literature for reference and distribution and forspeed of knowledge and for the diffusion of useful knowledge.

(d) To establish, maintain, run, takeover Nursing school, Hospitaland Clinics to promote health, to treat and care for the sickwithout distinction of any caste, colour, creed, race or sex.

(e) To train nurses, midwives and Para-Medical personnel in aprogrammed of Medical.

(f) To establish, maintain and run Training Institute Colleges,Seminaries, Correspondence Course and other means ofEducation and dissemination of knowledge.

(g) To establish and maintain institutions for secular education.(h) To grant scholarships, stipends, prizes, rewards and allowances

or other financial assistance to students for studies in India orabroad.

(i) To establish, maintain and carry on the Community DevelopmentProject for the advancement of General Public utility.

(j) To grant relief during natural calamities, such as famine,earthquake, flood, fire, cyclonic storm and other occasions of

similar nature and to give donations, subscriptions or contributionto institutions, establishment or persons doing relief work.

(k) To render assistance and grant aid to other public charitabletrusts or institutions.

(l) To establish, maintain and grant aid to homes, orphanages orother establishments for relief and to give help to the poor anddestitute, orphans and widows and otherwise provide for them.

(m) To provide ethical and moral teaching for the welfare of thepeople and serve as a channel for expressing social concern.

(n) To seek peace for all persons and uphold the claims offundamental human right, including full religious liberty.

4. The object incidental or ancillary to the attainment of the main objects are:(a) To establish, take over or otherwise acquire, develop, maintain

and or otherwise deal with co-operating bodies, Associations,Societies, individuals for furtherance of the main objects of theSociety, as set out in clause 3 above of the Memorandum.

(b) To enter into contract with the other Associations having objecttogether or in part similar to those of this Society

(c) To accept donations or money or kind of both movable andimmovable property in such terms and conditions as the Societyshall think fit, provided that such condition are not inconsistentwith the objects of the Society.

(d) To purchase hire or take on lease any movable or immovableproperty for all or any of the objects of the Society on such termsand conditions as the Society shall decide.

(e) To sell, exchange, surrender, give up, mortgage, change,pledge, demise or dispose of all or any part of the propertymovable or immovable belonging to the Society for the timebeing and to use the proceeds of any such transactions for anyof the objects of the Society.

(f) To grant lease for such periods and on such terms andconditions as the Society shall deem fit and to accept or surrenderany lease.

(g) To open and operate Bank Accounts as the Society shalldetermine from time to time.

(h) To appoint, pay, suspend and dismiss all or any employees,agents or workers and others on such terms and conditions asthe Society shall think fit.

(I) To solicit, receive, and administer funds, local or foreign,including endowments securities and bonds.

(j) To maintain, conduct, defend, compound or abandon any legalproceedings by the Society or agent of the Society concerningthe affairs of the Society.

(k) To pay out of the funds of the Society all expenses of or theincidental expenses to the formation and management of theSociety.

(l) To do other such lawful things which are incidental andconducive to the attainment of the above objects?

5. The income and the property of the Society (Non profit)(a) The income and the property of the Society wherever derived

shall be on non profit basis and shall be applied solely towardspromotion of the objects and purposes of the Society as setforth in the Memorandum of Association and no portion thereofshall be paid or transferred directly or indirectly by way ofdividends bonus or otherwise by way of profit to persons who atany time are or have been members of the Society or to anyoneor more of them except payment of remuneration to any one ofits officers or employees in return for any services actuallyrendered to the Society.

(b) The Society shall not support with its fund or endeavor to imposeon its members or others any regulations or restrictions which ifan object of the Society would make it a trade Union

(c) No fund of the Society shall be used for any political purposes.(d) The Society can raise, borrow and secure the payment of money

by whatsoever means including loans, issue of bonds,debentures, bill promotes or other securities. Receive and utilizegifts, grants, donations, subscriptions, foundations in cash, kind

or in the form of moveable or immovable property of alldescriptions, invest the corpus funds or surplus money in suchmanner and in assets, properties securities, shares, deposits orinvestments as may be determined from time to time and selland vary all or any of the above and execute all assignments,transfer receipts and documents as may be necessary.

6. The objects of the Society extend to the whole of the Union of India.7. Amendment:

No alterations shall be made to the Memorandum of Associationexcept in accordance with section 12 of the Indian SocietiesRegistration Act, 1860.

8. Liability: The liability of the Society shall be limited to the assets ofSociety.

9. Dissolution:The Society may be dissolved according to the Section 13 of theIndian Society Registration Act of 1860.The Society shall hand over its belongings to other Society havingsimilar objectives in case of dissolution. None of its properties shallbe hand over to any individuals.

10. True account shall be kept of all sums of money received and paidby the Society and the matters in respect of which such receipts andpayment take place, and for the property, credits an liabilities of theSociety and subject to any reasonable restrictions as to the time andmanner of inspecting the same that may be imposed in accordancewith the regulations of the Society for the time being in force, theaccounts shall be open to the inspection of the members, once atleast in every year, the accounts of the Society shall be examinedand the correctness of the balance sheet and the income andexpenditure accounts ascertained by one or more qualified auditor(s)

11. If upon winding up or dissolution of the Society there remain after thesatisfaction of all debts and liabilities, any property whatsoever, thesame shall not be distributed amongst the members of the Societybut shall be given or transferred to such other association or societyhaving objects similar to the objects of this Society to be determined

by the Members of the Society at or before the time of dissolution orin default thereof by the court of Jurisdiction that has or may acquirejurisdiction in the matter.

12. All the movable or immovable properties of the Society shall be vestedupon Society in the Governing Board of the Society.

13. The affairs of the Society shall be conducted by a Governing Boardaccording to the Rules and Regulations of the Society for the timebeing.

14. The function of the Society shall be abided with the laws of India.15. The names, addresses and occupations of the present members of

RULES AND REGULATION OF BAPTIST TRUST OF MIZORAM

I. INTERPRETATION:1. “The Society” means Baptist Church of Mizoram2. “The Assembly” means the Annual General Meeting and General

Council of the Society.3. “The Executive Committee” means the Governing Board of the

Society.4. The General Secretary means the General Secretary of the Society.

II. MEMBERSHIP:The membership of the Baptist Church of Mizoram shall consist ofthe following:(a) Ex-Officio members: All the ordained ministers and Pastors of

the Baptist Church of Mizoram, All heads of Departments andInstitutions at the Headquarters, Members of the ExecutiveCommittee, Chairman and Secretary of the Area Baptist Council,Pastorate Council and Local Church Committee.

(b) Nominated Members: Every Pastorate Council is entitled tonominate from the Church elders one representative for every500 Church members every year.

III. OFFICERS:(a) The Officers of the Baptist Church of Mizoram shall be:

(1) President(2) President Elect(3) General Secretary(4) Associated General Secretary

(b) The Officers of the Society shall be elected by the members ofthe Society at the Annual Assembly under the rules prescribedby the Society.

(c) The Officers of the Society shall take office at such time servefor such period, as shall be determined by the Annual Assembly

at the election, no term to extend beyond the term prescribed bythe Society.

(d) The President Elect shall take over the charge at the next AnnualAssembly, before taking over the charge the President Elect shallact as Vice President.

(e) If an Officer resigned or become incapable of acting, the AnnualAssembly shall elect to fill the vacancy. The Executive Committeeshall have power to fill the vacancy before Annual Assembly.

(f) The Officer of the Society and their relatives shall not carry outany business with the Society for kind of personal benefits.

IV. THE GENERAL BODY:1. Members: The General Body of the Baptist Church of Mizoram shall

consist of the members mentioned in article II

2. Meeting:(a) The Meeting of the General Body shall be known as ‘Assembly’.(b) The Annual Assembly of the Baptist Church of Mizoram shall be

held once in every year.(c) The Annual Assembly shall be the General Council of the Society.(d) The quorum for transecting business at the Annual Assembly

shall be 50% membership present in person.

3. Function and Power of the General Body (Annual Assembly)The General Body of the Baptist Church of Mizoram shall havefunction and power:(a) To make rules, regulations, plans and policy and amendments

of the same.(b) Appointment and ordination of Ministers.(c) Creation and abolition of jobs in the Society.(d) Appointment, confirmation and dismissal of employees.(e) Fixation and revision of workers’ pay.(f) Fund rising for the Society.(g) Acquirement and disposal of valuable properties.

(h) Final authority in making decision in relation to Society andother Society bodies.

(i) Approval and Adoption of Budget.(j) Appointment of the Officers of the Society.(k) Appointment of delegates to attend the meetings of other

Association..(l) To make necessary changes in the usual working of the Society.(m) To make employee’s, Pension Fund, Pension and Gratuity

Scheme.(n) To receive and approve reports of all departments of the Society.(o) To form departments divisions.

V. THE EXECUTIVE BODY:1. The Executive Body shall be the Governing Board of the Baptist

Church of Mizoram.2. The Affairs of the Society shall be administered by the Executive

Body for and on behalf of the Baptist Church of Mizoram under theapproval of the Annual Assembly.

3. The members of the Executive Body shall comprise the officers ofthe Baptist Church of Mizoram, General Secretary, Associate GeneralSecretaries, Executive Secretaries, out-going President, Head ofInstitutions, and other members elected by the Annual Assembly underthe rules prescribed by the Society.

4. MEETING:(a) The meeting of the Executive Body shall be known as “The

Executive Committee”(b) The Executive Committee shall be held at least twice in a year.(c) The quorum for transacting business at the Executive Committee

shall be 50% membership present in person.5. Function and Power of the Executive Body:

(a) Subject to the overall guidance and control of the General Body,the Executive Body shall take all necessary steps to carry out the

objects of the Society as set forth in the Memorandum ofAssociation.

(b) The Executive Body shall have the management of all the affairsincluding human resources and funds of the Society, makingannual Budget for overall activities of the Society subject toratification by the General Body.

(c) If and when necessary it shall have power to make supplementaryBudget.

(d) If necessary it shall receive Audit Reports and Statement ofAccounts on behalf of the Assembly and take necessary actions.

(e) If there be conflicting understanding concerning constitutionand rules of the Society, the Executive Body shall give the convictinterpretation of it.

(f) It shall appoint Ministerial Candidate for ordination.(g) It can authorized suitable persons to administer the sacraments

of the Society when necessary.(h) If and when necessary it can hold mid-term election of the

General Secretary and the Associate General Secretariessubject to confirmation by the Assembly.

(i) After every fresh election it shall distribute to the electedsecretaries their respective portfolios, which has to be reviewedevery year.

VI. FUNCTION AND POWER.PRESIDENT AND PRESIDENT ELECT:

1. (a) The President shall preside over the meeting of the annualAssembly and the Executive Committee meetings andDepartmental Committee meeting of the Society.

(b) He will see that necessary and appropriate actions are takenupon the decisions of the Assembly and other committees asquickly as possible.

2. In the absence of the President, the President Elect shall presideover such meeting.

VII. DEPARTMENT OF THE SOCIETY:1. The Baptist Church of Mizoram shall be divided in the following

Departments and each department will have a committee to beknown as the Assembly Department Committee. Write the functionto look after the work of the Department in accordance with theAssembly rules and directions

Central Department:(1) Administrative(2) Employees’ Pension Board(3) Finance(4) Pastoral Ministry.(5) Property.(6) Fellowship Organisations(7) Theological Education(8) Worship and Music

Service Department:(9) Baptist Literature and Printing(10) Christian Education(11) Communications(12) Education(13) Medical and Health(14) Relief & Development(15) Social ConcernMission Department:(16) Mission Board

2. General Secretary and Associate General Secretaries:To execute the decisions of the Assembly, the Executive Committeeand Departmental Committees the following Secretaries will beelected by the General Body as prescribed by the rules for a term of3 years:(a) General Secretary.

(b) Two Associate General Secretaries.

3. They shall be Secretary in charge of Departments allotted to them bythe Executive Committee.

4. Finance Secretary/Treasurer:To look after the fund of the Society there shall have FinanceSecretary/Treasurer who shall act as or shall work in accordancewith the Financial Rules of the Society.

Finance Secretary/Treasurer: The General Secretary shall act asSecretary in charge of Finance Secretary/Treasurer and Secretaryof Finance Committee.

VIII. FUNCTION AND POWER OF THE GENERAL SECRETARY ANDASSOCIATE GENERAL SECRETARIES:

1. They shall be Executive Secretary of the Departments allotted tothem by the Executive Body and they shall diligently attend to theday-to-day management and administration of the affairs of theDepartments allotted to them.

2. They shall receive and conduct correspondence for and on behalfof the Society.

3. They shall maintain correct list of the officers and staff members ofthe Society.

4. If for any emergency, which in the opinion of the President requiresimmediate attention, they shall take necessary action which shouldbe reported to the Executive Committee or appropriate Committeethat would normally deal with the matter.

IX. SPECIAL GENERAL MEETINGThe General Body may call a special meeting of the Societywhenever in their opinion they may deem it necessary to do so, or inthe requisition of the number of not less than one third of the membersof the General Body.

X. ARBITRATION:In the event of any difference of opinion among the members of theGoverning Board on any matter such matter shall be referred fordecision shall be final and accepted by the Governing Board.

XI. ACCOUNTS & AUDIT:1 The Society shall cause to be maintained such books of accounts in

such form and in such manner as may in consultation with theAuditors of the Society be prescribed.

2 The calendar year of the Society shall be from 1st. April of each yearto the 31st. March of the year till it is altered otherwise.

3 The Society shall as soon as may be, after closing its annualaccounts, prepare a statement of account in such form as the Boardmay, in consultation with the Auditors of the Society determine.

4 The accounts of the Society shall be audited by such auditors as theGoverning Board may appoint.

XII. AMENDMENT OF RULES AND REGULATIONS:The Rules and Regulations of the Baptist Society of Mizoram maybe amended or altered by the General Body in accordance withsection 13 of the Indian Societies Registration Act XXI of 1860.

XIII.GENERAL POWER:The Baptist Church of Mizoram may sue or be sued in its name andthe General Secretary of the Society be competent to employ lawyersand attorneys for the purpose of Prosecution and defence or suit andlegal proceedings and to sign plaints, written statements, vokalatnamaaffidavits and other papers in relation thereto, as well as file or receiveback documents and moneys belonging to or meant for the Society,take all the necessary steps as may be deemed fit and expedient, inthe interest of the Society.We the undersigned hereby declare that the above is correct copy ofthe Rules and Regulations of our Society as required under theSociety Registration Act XXI of 1860 to extend to the state of Mizoram.

STATEMENT OF INTENTION AND PURPOSE OF THE MOU:The Baptist Church of Mizoram is an established church with a

history of over 100 years as a sign, symbol, and instrument of the Kingdomof God. It has been striving for the firm establishment, realization, andextension of the Kingdom of God not only in India but beyond this country.

Global Chin Christian Federation is an Ecumenical Organizationconsisting of Chin Churches and Organizations from differentDenominational and clannish backgrounds around the world to witnessour Lord Jesus Christ by making attempts to spread the Gospel of Christby creating a network where Chin Christians worldwide can share,communicate and collaborate for the spiritual and physical development.

The common purpose and vision of this partnership is to promotethe spirit of our brotherhood, fellowship and cooperation among ourpeople, and to provide a common platform for Chin-Mizo people aroundthe globe to share our views and thoughts as well as socio-cultural,political and religious issues.

On this day of March 7, 2017 the Global Chin Christian Federationand the Baptist Church of Mizoram have decided to work in partnershipin the ministry of God nationally and internationally on the basis of thefollowing points below:

1. If and when need arises from either of the party in God’s ministry,mutual support in providing personnel and finances may be arranged.

2. Both the parties shall organize Training/Seminar for young educatedpeople among Chin-Mizo around the globe in order to strengthen

the strategic plan for spreading the Gospel of Christ and tointellectually equip people who are interested in the ministry of thechurch.

3. Both parties in mutual understanding will send delegate(s) to eachother’s annual Conference and Assembly.

4. If need arises both parties will work together in the field of education,health and development for the promotion of leadership in the churchand for its mission.

5. This agreement may be reviewed by both parties after every one yearfrom its effective date. It may be terminated or extended if both partiesagree upon it.

6. This agreement can be terminated by either party by giving six monthsadvance notice.

In pledge of our commitment to this MOU we the leaders of bothparties put our signatures hereunder.
