SPEAKERS BUREAUSPEAKER AGREEMENT
This is an agreement between ____________________________________________ and(Speaker Name)
American Society of Mechanical Engineers d/b/a ASME, Three Park Avenue, New York,New York 10016-5990 ("ASME").
The parties agree as follows:
1. Speaker Services:
The Speaker agrees to be listed on the ASME web site as a member of the SpeakersBureau, with their contact information, as detailed in the form above, from the date thisform is signed.
Speaker will use Speaker’s own set of Materials ("Materials") for any lectures given.
2. Speaker Representations and Warranties:
2.1 Speaker is an individual, who possesses the requisite technical and presentationexpertise to deliver ASME Technical Lectures.
2.2 Speaker agrees to be available to make a presentation(s), based on a mutuallyagreed upon schedule, at a local ASME unit.
2.3 Speaker shall act in an honest, ethical and professional manner in all dealings withASME, event participants and the public.
2.4 Speaker represents and warrants that any “Materials” used in the lecture: (1) do notand will not contain any material that violates, under any applicable law, the
copyright, personal or proprietary right or any other right belonging to any third part,and (2) does not contain any defamatory or libelous material under any applicablelaw; and all statements contain in such “Materials” purporting to be facts are true or(3) are supported by reasonable scientific research.
3. Travel
In the event travel is required to attend the lecture, the Speaker is responsible for allnecessary travel arrangements.
4. Compensation and Reimbursement
In consideration of the terms and conditions of this Agreement, there is no obligation onthe part of ASME or any ASME unit to pay Speaker any honorarium for any lecture(s)given, unless prior arrangements are made between both parties, with prior writtenconsent of both parties.
Neither ASME nor any ASME unit is obligated to reimburse Speaker for out-of-pockettravel and living expenses while traveling in connection with any lecture(s), unless priorwritten arrangements are made between both parties, prior to the event. Hotel bills andother out-of-pocket daily expenses will not be reimbursed, unless agreed to by bothparties in writing.
5. No Recordings.

Neither party to this Agreement will record or videotape the Speaker’s presentationunless the requesting party obtains the other Party’s prior written consent.
6. License and Release
Speaker hereby authorizes ASME and ASME units to use Speaker’s name and likenessin connection with the ASME Speakers Bureau, any lecture(s), the lecture Materials (if any) and any revisions or updates of them, the advertising or marketing of the lecture,and for any other related purpose.
7. IndemnificationSpeaker shall indemnify, defend and hold harmless ASME, its officers, directors,employees, and agents and each of them from any and all claims, actions, demands,liabilities of whatsoever kind and nature including judgments, interest, attorneys fees andall other costs, fees, expenses, and charges which ASME, its officers, directors,employees, agents and each of them may incur arising out of any breach of arepresentation, warranty, or covenant made by Speaker in this Agreement, or negligence,gross negligence or willful misconduct of the Speaker in connection with Speaker’sperformance under this Agreement.
8. Term and Termination
Subject to the provisions set forth below, the term of this Agreement (the "Term") shallcommence as of the date this form is signed. The Speaker agrees to be listed in the
Speakers Bureau Directory for a period of two years. The Speaker can terminate thisagreement upon written notification to ASME.
ASME may terminate the Term immediately upon written notice if the Speaker materiallybreaches any of its obligations under this Agreement. .
9. Non-disparagement
During the Term and thereafter, Speaker will not disparage or engage in any activity thatmay interfere with or damage the reputation of ASME or its directors, officers oremployees. In the presentation of the lecture and in the Materials, if any, the Speaker willnot libel, slander, defame or disparage any person, company or product.
10. Miscellaneous
Speaker has agreed to speak and make presentations at local ASME units. Speakerdoes not have authority to bind ASME by contract or otherwise, and nothing in thisAgreement should be construed to make Speaker an employee of ASME or its agent forany purposes whatsoever.
