Section 9 - To guide, encourage, and assist high school students in the choice of engineering as a profession. Article I - NameThe Name of this association shall be the Northwest Ohio Section (NWO) of theAmerican Society of Mechanical Engineers International (ASME).

Article IV - MeetingsSection 1 - In June, the Executive Council, including all retiring and newly

elected members, shall hold a Program Planning Meeting.

Article III - Membership

Section 1 - A" members of ASME, of a" grades, who have indicated a for mailaddress in or near Northwest Ohio, and within the boundariesestablished by ASME, shall be considered members of theNorthwest Ohio Section.

Section 2 - Student members attending school, within the boundaries of theNorthwest Ohio Section, shall be nonvoting members of theSection.

Section 3 - Applications for membership shall be submitted on the formsprovided by ASME Headquarters; and forwarded to same.

Section 4 - The qualifications of voters at elections shall be the same as areprescribed by the Constitution of the Society (ASME).

Section 10- To promote and administer The Ernest W. Weaver, Sr. and Anne S.Weaver Memorial Scholarship Program of the Northwest OhioSection of The American Society of Mechanical Engineers.

Section 11 - To support the Mechanical Engineering Landmark program byproviding information about existing Landmarks within theSection, and by proposing new Landmarks.

Section 12 - To provide government at all levels with information and adviceabout engineering and technical matters.

Section 13 - To encourage various technical disciplines within mechanicalengineering to take responsibility for the nature and quality oftheir continuing education responsibilities.

Section 14 - To gain recognition of outstanding members in the Section byrecommending them for ASME honors, including seeking outqualified members for promotion to Fellow grade.

Article V - Executive CouncilSection 1 - A member to be eligible to hold office in the Northwest Ohio

Section must be a member of the Section.Section 2 - The management of the Section shall be vested in a local

Executive Council of:A) Nine elected members, three of whom shall be elected

annually, to serve for three years.B) A representative from each Student Section within the NWO

Section; as provided for in Article IX.C) A representative from each technical section or group

within the NWO Section; as provided for in Article IX.Section 3 - At the June Program Planning Meeting the Committee shall elect a

Section Chair, Vice-Chair, Secretary, and Treasurer, and suchother officers as it deems necessary from its membership.

Section 4 - The Section Chair, with the approval of the Executive Council,shall appoint a Newsletter Editor, a Webmaster, and any otherofficers as may be needed.

Section 5 - The Executive Council is empowered to appoint, or remove,members to the standing and any special committees. It may alsoappoint non-members of the Society to serve on committees.

Section 6 - Any member of the Committee, who for a period of threeconsecutive months does not take part in the management of theaffairs of the Section, may be removed from the Committee by amajority vote of the members voting at a Committee meeting.

Section 2 - At the Program Planning Meeting the schedule for general Sectionand Executive Council meetings shall be developed. This scheduleshall also include program ideas for the general Section meetings.

Section 3 - General Section meetings are nominally scheduled for Septemberthrough May.

Section 4 - The Section Chair, or a majority of the Executive Council, maymake changes to this schedule at any time.

Article VI - OfficersSection 1 - There shall be a Section Chair elected by the Executive Council as

provided for in Article V. The Section Chair shall:A) whenever possible, preside at all meetings of the Section

and of the Executive Council;B) have the authority to appoint the Section Newsletter Editor,

Section Webmaster, and any other officers as may beneeded;

C) have the authority to execute orders to the Treasurer fordisbursement of Section funds;

D) be a member of all standing and special committees;E) make final decisions on the actions of the various standing

and special committees;F) The Section Chair is responsible for the preparation and

submittal of the ASME Section Officers and CommitteesReport to ASME Unit Support.

G) At the end of the year, shall organize and preside at theannual Program Planning Meeting and see that there is asmooth transition to the new Executive Council;

H) And, assume all other executive duties not specificallyprovided for elsewhere in these By-laws.

Section 2 - There shall be a Section Vice-Chair elected by the ExecutiveCouncil as provided for in Article V. The Section Vice-Chair shall:

A) in the absence of the Section Chair, or at the request of theSection Chair, assume any or all of the Chair's dutiesincluding the authority to execute orders to the Treasurerfor disbursement of Section funds;

Section 7 - The Executive Council shall have power to fill vacancies in its ownmembership, such appointees to hold office until the next regularelection.

Section 8 - A quorum to do business shall be a majority of the ExecutiveCouncil members, not counting any vacant Committee positions.

B) shall perform other temporary duties assigned to him fromtime to time by the Section Chair;

C) If, for any reason, the Section Chair is unable to completehis/her term, the Vice-Chair shall assume the position ofSection Chair and the Section Vice-Chair position shallbecome vacant.

Section 3 - There shall be a Section Secretary elected by the ExecutiveCouncil as provided for in Article V. The Section Secretary shall:

A) record and issue minutes of all meetings of the Section andof the Executive Council;

B) shall maintain the Section roster;C) in the absence of the Secretary, the Section Chair shall

appoint a temporary Secretary to record the minutes of ameeting;

D) Maintain the files of the Section and insure that these filesare transferred to their successor.

Section 4 - There shall be a Section Treasurer elected by the ExecutiveCouncil as provided for in Article V. The Section Treasurer shall:

A) assume responsibility and accountability for the funds ofthe Section;

B) provide regular financial status reports to the ExecutiveCouncil;

C) execute orders from the Section Chair to disburse funds;D) report any orders for disbursement of funds that appear to

be inappropriate in nature to the Executive Council anddisburse funds pursuant any final decision of the ExecutiveCouncil;

E) Prepare and submit any required financial documents toASME Unit Support.

Section 5 - There shall be a Section Newsletter Editor appointed by theSection Chair as provided for in Article V. The Newsletter Editorshall prepare a monthly electronic newsletter for Septemberthrough May and have it published on the website.

New elected Executive Council members shall participate in theProgram Planning Meeting and assume office on the first day ofJuly of that year.

Section 9-

Article VII - Nominations and ElectionsSection 1 - The Nominating Committee of the Section shall be made up of the

Section Chair, the Section Vice-Chair, and the two most recentpast-Chairs of the Section.

Section 2 - The past Section Chair shall act as chairman of the Nominatingcommittee.

Section 3 - The Nominating Committee shall prepare a canvassing letterrequesting nominees for the expired terms on the ExecutiveCouncil to be communicated to all Section members in March ofthat year.

Section 4 - The Nominating Committee shall verify the eligibility of allnominees and select a roster of those selected to appear on theballot.

Section 5 - Additional nominations may be made by petition, signed by notless than one percent of the Section's membership.

Section 6 - Nominees may elect to run for a full term, or for a vacant partialterm should any exist.

Section 6 - The Nominating Committee shall prepare an election ballot forthe expired terms on the Executive Council to be communicatedto all Section members in April of that year.

Section 7 - The nominees with the largest vote count shall be elected. Unlessthe nominees have expressed a desire for any available partialterms, the nominees with the greatest vote count shall beassigned to the longer terms.

Section 8 - The Nominating Committee shall report the results of the electionto all Section members in May of that year.

Section 6 - There shall be a Section Webmaster appointed by the SectionChair as provided for in Article V. The Webmaster shall maintain awebsite for the Section.

Article IX - RepresentativesSection 1 - Student Sections, within the NWO Section, shall be represented on

the Executive Council and the College Relations Committee bytheir Faculty Advisors or a student section member designated bythe student section.

Article VIII - CommitteesSection 1 - The Section Chair shall appoint the Chairs of the various standing

and committees; unless otherwise provided for in these By-laws.Section 2 - There shall be a Nominations Committee as provided for in Article

VII of these By-laws. This committee shall:A) Run the Section's nominations and elections.

Section 3 - There shall be a Scholarship Committee. This committee shallconsist of those individuals selected to serve on The Ernest WWeave0Sr. and Anne S. WeaverMemorial Scholarship Program ofthe Northwest Ohio Section of The American Society ofMechanical Engineers (EWAWSP) Committee by the ExecutiveCouncil of the NWO Section of ASME. His committee shall also beknown as the EWAWSPCommittee This committee shall:

A) Act in accordance with the By-laws of that organization.Section 4 - In addition to the aforementioned Standing Committees, the

Section Chair may, with the approval of the Executive Council,create one or more Special Committees for such specific purposesas the Section Chair deems helpful or necessary.

Section 5 - The Section Chair serves as an ex officio member of allcommittees.

Section 6 - Each committee chair shall appoint, subject to the advice andconsent of the Section Chair, other members of the committee

Section 7 - Expenses incurred by a committee shall be reimbursed only whenan estimate of the costs has been approved by the ExecutiveCouncil prior to the committee incurring such expenses.

Article XII - ContractsSection 1 - The officers can negotiate contracts for busses, catering, and

meals as long as the treasury can cover the contractcommitments, pending prior approval of the Executive Council.The only individuals authorized to sign legal documents(including contracts) in the name of ASME International are theExecutive Director and Assistant Treasurer.

Section 2 - Transportation companies have to furnish Certificates ofInsurance of at least $1 million for General Liability and PropertyDamage.

Article XI - Fiscal YearThe NWO Section fiscal year shall be a twelve month period beginning on July 1and ending on June 30 of the following calendar year.

Article X - DuesThe dues of members shall be only those prescribed by and payable directly toASME.

Section 2 - Technical Chapters within the Northwest Ohio Section, Shall berepresented on the Executive Council a member designated bythat technical Chapter.

Section 3 - The Section representative to the Technical Society of Toledo andother Section representation will be as appointed by the SectionChairman.

Section 4 - The Executive Council shall appoint representatives to Districtand National ASME meetings as necessary.

Section 5 - Individuals will be selected to serve on The Ernest W Weaver,Sr.and Anne S. Weaver Memorial Scholarship Program of theNorthwest Ohio Section of The American Society of MechanicalEngineers (EWAWSP) Committee by the Executive Council of theNWO Section of ASME to serve as the EWAWSPCommittee; toserve and act in accordance with the By-laws of that organization.

Article XIV - AmendmentsSection 1 - Proposals for amendments to these By-Laws may be submitted to

the Executive Council by any qualified member of the Section.Section 2 - Such proposals shall be considered by the Executive Council at

their next meeting. A three-quarters vote, provided there are atleast four votes cast, of the Executive Council present and votingwill be sufficient to send the proposal to the membership.

Section 3 - The Executive Council shall develop a position statement on eachproposal which shall be communicated, along with any dissentingExecutive Council opinions, to all members. This shall beaccompanied with a notice of the procedures to be followed foradoption.

Section 4 - During a specified period, of at least two weeks, any member whoobjects to the change may communicate a negative vote to theExecutive Cou ncil.

Section 5 - At the Executive Council meeting following this period, the votesshall be counted. If no more than one percent of membershipcasts a negative vote the proposal shall be adopted. The resultsof the vote shall be communicated to the membership.

Article XIII - Parliamentary AuthorityThe rules contained in the current edition of Robert's Rules of Order NewlyRevised shall govern the Society in all cases to which they are applicable and inwhich they are not inconsistent with these by-laws and any special rules oforder the Society may adopt. Robert's Rules of Order Newly Revised may besuspended only for that particular meeting by unanimous agreement of thosepresent.

Article XVII - AuthorityThese by-laws are approved and take effect on 8/31/2012.

Article XVI - DissolutionUpon dissolution of this Society and the discharge of its debts, and settlementof its affairs, any funds and property of the Section remaining, thereafter, shallbe conveyed to ASME.

Article XV - ConflictsAny provisions set forth in these by-laws that are in conflict with theConstitution, By-laws, or policies of ASME or with the domestic corporation actsof the State of Ohio, now in effect or hereinafter passed, shall be null and void;and full force and effect shall be given to the remaining provisions of these by­laws, not in conflict therewith, as though said conflicting provisions were not apart thereof.

Section A 1 - If desired, there may be appointed a Program Committee chairedby the Section Vice-Chair. The chairs of the MembershipDevelopment, Professional Development, and College Relationscommittees shall serve on this committee. This committee shall:

A) ensure that a schedule of programs and events for thecoming year is developed at the annual Program PlanningMeeting;

B) ensure that each program or event has a coordinator;C) ensure that reports on each program or event are presented

at Executive Council meetings;D) coordinate activities with the Membership Development,

Professional Development, and College Relationscommittees;

E) maintain a list of possible alternative activities in case ofproblems with a planned event;

F) Maintain a count of members, and non-members attendingeach program or event.

Section A2 - If desired, there may be appointed a Membership DevelopmentCommittee. The committee chairman shall be a member of theProgram Committee. This committee shall:

A) work with the Program Committee to plan, organize, andexecute programs to more fully involve the generalmembership;

B) Periodically inform the membership of the benefits availablethrough the Section and the benefits available from ASME.

Section A3 - If desired, there may be appointed a Professional DevelopmentCommittee. The committee chairman shall be a member of theProgram Committee. This committee shall:

A) inform the membership about the Continuing EducationCourses offered by ASME and the local universities;

B) assist the local universities with developing ContinuingEducation Courses of interest to the membership;

C) review programs offered for Professional Engineerregistration;

D) work with the Program Committee to plan, organize, andexecute programs for professional development and othertechnical programs;

E) encourage and assist members, when appropriate, to seekregistration as a Professional Engineer (PE);

F) recommend Achievement awards for members completingContinuing Education Courses;

G) Interface with ASME Technical Divisions, Codes andStandards and other Societies.

Section A4 - If desired, there may be appointed a College RelationsCommittee. The committee chairman shall be a member of theProgram Committee. A representative of each student section,within the Section, shall serve on this committee. This committeeshall:

A) provide assistance and support, as requested, to thestudent sections within Northwest Ohio;

B) work with the Program Committee to plan, organize, andexecute joint programs with the student sections;

C) work with colleges and universities within the Section thathave engineering programs, but do not have a studentsection, to develop their own student section;

D) manage the Section's activities with regards to K-12activities;

E) Encourage and assist student section and general members,when appropriate, to seek registration as an Engineer inTraining (EIT).

Section AS - If desired, there may be appointed a History and HeritageCommittee. This committee shall:

achievements with in the Section;B) document the historical significance of these sites or

equipment and, if the historical interest so warrants, applyto the National History and Heritage Committee for publicrecognition;

C) cooperate with other local engineering organizations inidentifying sites and/or equipment;

D) Prepare and/or update an historical account of theNorthwest Ohio Section.

Section A6 - If desired, there may be appointed an Honors and AwardsCommittee. This committee shall:

A) To determine the members worthy of local awards and fornomination for the various Society Honors;

B) Nominate distinguished members for the various SocietyHonors.

Section A7 - If desired, there may be appointed a Public Relations Committee.This committee shall:

A) supply accurate and complete information about theSection's activities to the news media;

B) offer information and advice to legislators on technicalissues incorporated in proposed legislation;

C) Inform the Executive Council and membership on pendinglegislation with impact on the engineering profession;

D) Build the section's good will with the employers of itsmembers;

E) Host Industry Breakfasts and Luncheons.
