MEMORANDUM TO: Members, Governing Board FROM: C. Randal Mills, President & CEO RE: Amendment to CIRM Organizational Structure DATE: May 15, 2015 BACKGROUND In December, the Board approved changes to CIRM’s organizational structure and conforming amendments to the Internal Governance Policy. The proposed changes were intended to create organizational clarity and operational efficiency. Pursuant to the current organizational structure, nine individuals report directly to the President, including the directors of three new therapeutic areas – Neuro/Ocular, Blood/Cancer, and Organ Systems. During the Board’s consideration of the proposed structure, some members expressed concern regarding the number of direct reports. Upon further reflection, we determined that CIRM’s mission would be better served by uniting the three therapeutic areas under a single report. Given the common areas of concern with respect to new therapeutics, including the regulatory pathway, we believe that the proposed change will allow us to operate more efficiently and effectively.
