SpaceRentalFees

Thespacerentalfeeforafoodboothwillbebasedonacommissionofsales.Withtheexceptionoffoodtrucksandcarts,allvendorsmustrentthetentsfortheirboothspacefromSpectrum.10x10and15x15tentrentalsareavailable.PleaseseetheSpaceRentalBreakdownforabreakdownoftentsizesandcorrespondingprices.

SaleswillbeclosedoutdailyandcommissionswillbepaidatthefinalsettlementonSeptember10th,theMondayaftertheevent.Allvendorsshouldmeetatthedesignatedmeetingspottocheckoutnightly.VendorswillturnintheiriPadandawritteninventoryoftotalproductsoldnightly.FinalcheckoutwillbeMonday,September10thbetween10amand12pm;thismeetingismandatory.Atthefinalcheck-outvendorswillgetbacktheircleaningdeposit(ifapplicable),creditsales,credittips,andsettleanyoutstandingpaymentsdue.

PriceIncludes:workinglights,42-inch-highboothfrontwithservingcounter,signage,tentsetupandremoval.

SecurityandCleaningDeposit

Vendors'initialsecuritydepositwillbereturnedtothemonlyaftervisualinspectionandwrittenreleasebySpectrummanagement.ThismustbedoneinpersononSeptember10th,unlessotherwisecoordinatedbyMorganGreer.

ReasonsforImmediateFORFEITUREOFDEPOSIT:

•Incorrectlydisposingofanyoilsorcoals(mustbetakenoffofthepremisesanddisposedofsafelybyvendor).•NotcheckingoutwithaSpectrumvendorcoordinatornightlyorthemorningafterthefinalshowday.•Drivingon-sitewithoutanescort.•Leavinglitterand/orfooddebrisinandaroundbooth.•Cancellationbyvendormorethanaweekafterbeingacceptedtoparticipate.•Contaminatingarecyclingorcompostingbinordumpsterwithlandfilltrash.•Disposingofgreywateranywhereotherthanagreywatertank.•Theftordeception,whetherthroughinventorymanipulation,POSmanipulation,orbysellingproductsnotapprovedbySpectrum.

Theseactionsshallbeconsideredamaterialbreachinwhichcasevendorwilllosetherighttotheirassignedspaceandwillbeescortedofftheeventsite.Thevendormaybesubjecttoadditionalfeesiftheinfractionstotalmorethantheentiretyofthesecurityandcleaningdeposit.

Spectrumhascompletecontrolofeventdiagramsandspaceassignment.Spectrumreservestherighttomakemodificationsoneventdiagramsthatarebelievedtobeaccuratebutonlywarrantedtobeapproximate.Spectrumreservestherighttoassignspaceinsuchamannerasitdeemsappropriate.

AuthorizingAgent

AllvendorswillhaveanappointedagentoragentswithfullauthoritytorepresentthevendorinitsbusinesswithSpectrum.ThisAgreementshallbindtherespectivepartiesandtheirrepresentatives.VendormaynotassignitsrightsordelegateitsdutieswithoutthepriorwrittenconsentofSpectrum.

Assignment,SublettingofEventSpace

Novendorshallassign,subletorsharetheeventspaceallottedwithouttheknowledgeandwrittenconsentofSpectrum.Noproducts,parts,accessories,orothergoods,souvenirs,catalogs,etc.bearingnamesorotherformsofadvertisingotherthanthatofthevendormaybedisplayed.Nofirmororganizationnotassignedaneventspacewillbepermittedtosolicitbusinesswithintheeventareas.Nonon-foodmerchandizeistobesoldunlessapprovedbybothSpectrumandtheParties.

LoadIn&LoadOut

Therewillbeapre-eventmeetingforon-sitevendorsThursday,September6that2pm.TheloadinwillbeonFriday,September7th,2018,dividedbytimeandlocationonsitedeterminedatadateclosertotheshow.LoadoutmustbeonSunday,September9th,2018,immediatelyfollowingtheshow.Novehiclemovement2hoursbeforetheshow,duringshow,oruntilallpatronshavelefttheconcertpremises.

StaffCredentials

Eachvendorwillreceiveuptotencredentialsperlocationforentrytothefrontofthehouseforworkingpersonnel.Allworkingpassesreceivedareforlegitimateworkingpersonnelonly.Misuses,resale,orgiftingisstrictlyprohibitedandwillbeconsideredamaterialbreach.Vendorwilllosetherighttotheirassignedspace,willforfeitalldepositsandfees,willbeescortedoffthesite,andwillbesubjecttoafine.

SupportVehicleParking

PleaselisttheexactdimensionsanddetailsofsupporttrucksandtrailersonSpaceRentalBreakdownPage.Themorespecifictheinformationprovided,themorelikelythevendorwillbeabletoparkinreasonableproximitytooperations.Allothervehiclesmustbeparkedoutsideofthevenue.Ifthevendordoesnotprovideaccurateinformation,therewillNOTbespaceprovidedforthatvehicle.Nospaceisguaranteed.Nopersonalparkingwillbeavailable.

Security

Generalrovingparksecuritywillbeprovidedthroughouttheeventsite.Shouldthevendorrequirededicatedspotsecurity,saidsecurityshallbesubjecttoFestivalandSpectrumapprovalandwillbethevendor'sresponsibility.

ServiceWare

Allservicewaremustbecompostable.Anyvendorfoundinviolationofthisrequirementissubjecttoforfeitureoftheentiretyofthecleaning/securitydeposit.

Ordinances

Fireregulations,health,andotherapplicableordinancesmustbeobserved.Itissolelythevendors'responsibilitytocomplywithallapplicablefire,healthandothercodesandensurethattheyareobserved.VendormustalsocomplywithallrequirementsimposedbySpectrum.

HealthPermit

Vendormustbeincompliancewithallstate,city,andcountyhealthcodeprovisions.Spectrumwillobtainablankethealthpermitifpossible;vendorsmayberequiredtopayafeeshouldtheHealthDepartmentimplementafee.Ifyouhaveanexistinglocalhealthpermit,pleasesendacopywiththeapplication.

Propane

Vendorsarerequiredtoabidebyallfiresafetylawssetbythestate,cityandcountyfiredepartments.Vendorsareresponsibleforhavingrequiredfireextinguishers,tanks,andhoses.Spectrumwillobtainablanketpropane/tentpermitifpossible;vendorsmayberequiredtopayafeeshouldtheFireDepartmentorBuildingsDepartmentimplementafee.

UseofSpace

Spectrumreservestherighttorestrictexhibitsbecauseofsafety,noise,methodofoperation,materials,orforanyexhibitthat,intheopinionofSpectrum,maydetractfromthegeneralcharacteroftheeventasawhole.AllequipmentandheavymachinerymustbeclearedinadvancewithSpectrumstaff.SpectrumreservestherighttoprohibitanyequipmentthatisdeemedunsafeorappearsunreasonableinSpectrum’sjudgment.Anydemonstrationoractivitythatcausesannoyancetoneighboringvendorssuchasflashinglights,noise,orresultintheobstructionofwalkspaceinthefrontorbackofboothwillnotbepermitted.

Signage

Spectrumwillprovidetentedvendorswithnameandmenusignage.FoodTrucksareresponsiblefortheirownsignage.TentedVendorsarerequiredtousethesignageprovidedtothemtokeepauniformlookamongstconcessionaires.Spectrumreservestherighttoprohibitthedisplayofanyarticlethatisnotkeepinginthenatureandcharacteroftheevent.Vendorsmustsubmitaphotoofthedisplayarea,cart,orboothintendedforuseduringtheeventwiththisapplication.

SaleofProduct

Vendorsareresponsibleforallcashtransactions,salestax,andpersonalcashneeds.Onlyproductsontheapplicationcanbesold.Vendorscannotchargesalestaxinadditiontothelistedmenuitemprice.Vendorsareprohibitedfromalteringmenuitemsorpricesthroughoutthedurationoftheevent.Pleaseensurethatallmenuitemsarespelledcorrectlyandlistedontheapplication.TheitemslistedontheapplicationwillbeusedtosettleanydisputesbetweenSpectrumandVendorregardingmenuitemsandprices.Vendormustcontinuetosellduringthehoursofoperation.Foreveryhourthevendorisnotoperating,whetheritisaresultofrunningoutoffood,anequipmentissue,orfailuretocomplywithlocalregulations,vendorwillbechargedthe“expectedsales”basedonthehoursofbusinesstransactionspriortoclosure.

POSTabletRental

Spectrumwillberentingtabletstovendorstouseastheironlypointsofsale.Thetabletsareequippedwithanapplicationtoacceptcash,creditandRFIDtoeasilycaptureallsalesrecordsandenablevendorstoacceptallmajorcreditcards.OnlySpectrumtabletswillbeusedandallvendorsmustrecordbothcashandcreditcardtransactionsonthesystem.Notringingincashtransactionswillbeconsideredamaterialbreach,inwhichcasevendorwilllosetherighttotheirassignedspaceandwillbeescortedofftheeventsite.Thevendormaybesubjecttoadditionalfeesiftheinfractionstotalmorethantheentiretyofthesecurityandcleaningdeposit.Vendorsmustrentonetabletsforevery5’ofservicespace.Eachtabletrentalis$50.Spectrumcustomerservice

employeeswillenterinthepre-approvedmenuintotheapplicationforalltransactions.Thetabletwillbepassedoutbeforegatesopen.Shouldthevendorhaveanyissueswiththetablet,therewillbeatwo-wayradioateachvendorrowthatvendorscancontactSpectrumforsupport.Atnightlycloseout,vendorsmustturnintheirtabletstosecureandre-charge.Creditcardsaleswillbepaidbacktovendors,minusthe3.5%processingfees,Monday,September10th,duringthefinalsettlement.Failuretoturninanyassociatedpartstothetabletswillresultinthecompleteforfeitureofthesecuritydepositandthecostforequipmentreplacement.

MenuConflicts

Spectrummakesnoclaimsnorintendstoofferanyvendorexclusivityonanyitem.Spectrumwillcontractwithvendorsbasedonwhatisbestfortheevent.OnlyitemswiththewrittenconsentofSpectrumcanbesold.

MealTickets

Eachvendormustaccept,withoutreimbursement,atleast5mealticketscreatedbySpectrum,redeemableatanytimeduringFestivaloperations.Mealticketswillhavevendorname,Spectrum,andshowlogos.

Beverages

ForceMajeureTheFestivalwillbeheldatanoutdoorvenue,andthereforetheholdingoftheFestivaldependsuponfairweatherandappropriategovernmentalauthorizations.Accordingly,Spectrum’sobligationsunderthisAgreementshallbeexcusedbyactsofGodsuchasfires,storms,lightning,floods,confiscationsorrestraintsofgovernmental(civilormilitary),strikesorlabordisputes,civildisturbances,oranyothercause(includingthethreatofanyoftheforegoing),thatisnotwithinthereasonablecontrolofSpectrumornototherwiseduetoanynegligenceorwillfulmisconductofSpectrum(eachoftheforegoing,a“ForceMajeureEvent”).IncaseofcancellationoftheFestivalorunavailabilityofspaceattheFestivalsufficientforVendor’spurposesduetoaForceMajeureEventpriortotheFestivalbeginning,theVendor’ssoleremedywillbetoreceivearefundfromSpectrumofallamountspaidbyVendortoSpectrumasofthedatethedecisiontocanceltheFestivalismadeorthedateSpectrumnotifiesVendorthatspacewillnotbeavailableduetoaForceMajeureEvent(ineithercase,the“DeterminationDate”),inbothcaseslessanyexpensesalreadyincurredbySpectruminpreparationfortheFestivalallocabletotheboothassignedtoVendor,whichSpectrumagreestopaytoVendorwithintenbusinessdaysaftertheDeterminationDate.AftertheFestivalhasbegun,anyfeespaidbyorassessedagainstVendorwillnotbereimbursedtoVendorandVendorassumestheriskofsuchfeesiftheFestivalshouldbecancelledduetoaForceMajeureEventduringtheFestival.

GoverningLawThisagreementshallinallrespectsbegovernedbythelawoftheStateofTexas.

RulesandRegulationsIfanyvendordoesnotfollowthetermsofthisAgreement,setbySpectrum,thiscontractmaybeterminated.Intheeventofadefaultbythevendor,thevendorshallforfeitasliquidateddamagestheamountpaidbythevendorfortheeventspace,regardlessofwhetherornotSpectrumentersintoafurtherleasefortheeventspaceinvolved.
