I, J. Wesley Earnhardt, declare and state as follows:
I am a member of Cravath, Swaine & Moore LLP, attorneys for Polar Air
Cargo LLC (formerly known as Polar Air Cargo, Inc.), Polar Air Cargo Worldwide, Inc.,
and Atlas Air Worldwide Holdings, Inc., (the “Polar Defendants”) in this action.
1. I submit this declaration upon personal knowledge to certify that the Polar
Defendants provided notice to the appropriate federal and state officials in compliance
with 28 U.S.C. § 1715.
2. On January 8, 2016, Plaintiffs filed their motion for Preliminary Approval
of Settlement with the Polar Defendants. (ECF No. 2401.)
3. Also on January 8, 2016, the Court signed an order preliminarily
approving the proposed class action settlement; the Court then filed the order on
January 12, 2016. (ECF No. 2402.)
4. On January 15, 2016, I caused to be mailed to each appropriate Federal
and State official, a notice of the proposed settlement in this action, in accordance with
28 U.S.C. § 1715. Attached hereto as Exhibit A is a true and correct copy of that notice.

Ladies and Gentlemen:
I write on behalf of Polar Air Cargo LLC (formerly known as Polar AirCargo, Inc.), Polar Air Cargo Worldwide, Inc., and Atlas Air Worldwide Holdings, Inc.(collectively, “Polar”), defendants in the above-captioned litigation (the “Action”), toprovide notice, pursuant to the Class Action Fairness Act of 2005, 2$ U.S.C. § 1711 etseq., of a proposed class action settlement in the Action, currently pending in the U.S.District Court for the Eastern District of New York (the “Court”).
A motion for preliminary approval of the proposed settlement was filedwith the Court on January 8, 2016. The Court granted preliminary approval on January 8,2016. As of the date of this letter, the Court has not scheduled a hearing on the proposedsettlement.
In compliance with 28 U.S.C. § 17 15(b), please find enclosed a CD containingcopies of the following documents:
1. First Consolidated Amended Complaint, filed February 8, 2007, which is theoperative complaint in the Action.

6. Class Notice, notifying class members of the class definition and their rights torequest exclusion from the class action, dated November 6, 2015.
As referenced in Paragraph 43(c) of the Settlement Agreement, Polar andplaintiffs also entered into a confidential separate letter agreement concerning thecircumstances under which exclusion requests can give Polar the option to terminate thesettlement. This confidential agreement has not been publicly filed, and the parties haveagreed to keep it confidential. However, as noted in the Memorandum of Law in Supportof Plaintiffs’ Motion for Preliminary Approval of Settlement with Polar, the sideagreement is available to the Court upon request.
Due to the definition of the class in this case, which includes those whopurchased air cargo shipping services for shipments to or from the United States directly

from Polar or from any other Defendant, Polar cannot provide either “the names of classmembers who reside in each State and the estimated proportionate share of the claims ofsuch members to the entire settlement”, 28 U.S.C. § 1715(b)(7)(A), or “a reasonableestimate of the number of class members residing in each State and the estimatedproportionate share of the claims of such members to the entire settlement”,2$ U.S.C. § 1715(b)(7)(B). Polar does not have a means of estimating (i) how manypeople and entities purchased air cargo shipping services from other defendants or (ii)their estimated proportionate share of the claims to the entire settlement.
