Dear Sir / Madam:

We kindly request you to submit your proposal for shipping biological samples to different destination/institutes/collaborators. While preparing your proposal, please be guided by the terms and conditions of this RFT and quotation shall be submitted in accordance with the enclosed annexure.

Technical Proposal must be submitted in a sealed envelope on or before 1500 hours (GMT +6) Wednesday, 18th of July 2018 in hard copy format. Quotation shall be addressed to:

OVERVIEW ON SERVICE REQUIREMENTS

Overview of icddr,b:

icddr,b is an international health research institute. Based in Dhaka, Bangladesh, we are committed to solving public health problems through innovative scientific research – including laboratory based, clinical, epidemiological, and health systems research. By developing, testing and assessing the implementation of interventions specifically designed for resource poor settings, we aim to improve the health and wellbeing of people living in the world’s poorest nations.

Under collaborative agreement with foreign research partner & icddr,b; biological samples need to be shipped out to different institutes/collaborators around the globe for further evaluation of results and findings.

icddr,b desires solutions that offer complete end-to-end transportation services of time and temperature-sensitive research specimens and biologics are handled with unmatched attention, reliability and care. Overview on Service Requirements for shipping biological/research materials are listed below. For more information bidders may visit website www.icddrb.org.

Cool chain: An unbroken temperature chain is essential throughout the transport route that maintains product integrity across all conditions.

Packaging solution: Provide assistance with the appropriate specialist shipment solution by selecting the right packaging for the specific condition. Temperature controlled packaging, including dry ice supply service when required. Provide product classification consultancy, IATA compliant and pre-qualified transport packaging solutions e.g. Active, Passive containers, Dry shipper etc.

Stock of packaging: Keep stock of packaging materials that suits the full spectrum of temperature ranges and will be available at the point of collection.

Dry Ice replenishment: Dry ice is ‘topped off’ at intermediate shipment locations. Where required, gel packs are also replaced and temperature monitoring equipment is checked throughout the route.

Expert assistance: Provide assistance with government agency compliance in order to handle controlled substances, infectious material and other dangerous goods. Regulatory and customs support to quickly navigate shipments through the often complicated clearance process.

Visibility: Tracking platforms enable icddr,b to track shipment on every point of progress and records key milestones in real time

Proactive Shipment Monitoring: From the moment of booking is made with courier service/forwarder will start the process to ensure the shipment is monitored throughout the transportation process.

Shipment Integrity: Shipments must arrive at their destination in good condition, intact and on time.

Global Network: Strong global presence required for on time supply and replenishment of Dry Ice in Logistics Hub/airport and for efficient delivery of shipments at the collaborator’s doorstep.

Contract Period: The contract will be from for a period 24 months from the date of awarding/signing the contract and subject to the performance of the successful bidder, the option exists to extend the contract for further periods at the sole discretion of icddr,b. The additional periods will be with the mutually agreed rates and terms & conditions.

GENERAL TERMS AND CONDITIONS

1. Eligibility of the Bidder: Bidders shall have the following qualifications to participate in the above mentioned bid:

A. Mandatory Requirements:

Legal documents include but not limited to

o Certificate of incorporationo TAX/VAT/Trade registration documento Licenses for logistics operations, as applicable by local law o Registration of the bidding firms and/or their local distributorship/agency certificate

Agreement/Collaboration/Authorization with local handling agent in Bangladesh or having

business relationship/ Collaboration/Agreement with overseas counterpart

At least 10 years of experience in international courier services/forwarder and transport of

temperature sensitive biological, research/clinical materials and dangerous goods

management.

IATA Certification of key handling staff

Audited Balance sheet for past three year or Credit Facilities with Financial institutes

B. Technical Evaluation – 50 points (pass score will be 70%)

Credentials and documentary evidence for proven ability as a logistics specialist to respond

to the specific and challenging requirements of biological shipment and clinical trial logistics

on a global scale -10

List of countries in operation with offices and trained staff having valid certification following

IATA guidelines on Dangerous Goods management - 10

Capacity and capability of local handling agent include but not limited to trained staff,

management structure, quality control processes - 10

Number of protocol/Study/Project and client handled for shipping biological samples -5

Price proposal – 50 points

2. Rate and quotes: The price offer shall be submitted in the attached price schedule (Annexure A) with general terms and conditions. All prices should be quoted in US$ mentioning the rate, packaging, and dry ice charges separately for each location in the schedule including all overhead and other incidental charges. Total cost for each location in the schedule should be quoted both in figure and in word. Any overwriting or erasing shall have to be initiated by the Bidder. Incomplete tender will not be considered.

3. Pre-proposal enquiries: Bidders may seek clarification via email to [email protected] on the tender requirements prior to submission of bid by 10th July 2018.

Please note, to ensure fair and equal opportunity the queries and answer will being shared to all prospective bidders who were initially invited in this RFT.

4. Tender validity: Tenders shall remain valid for a period of 90 (Ninety) days. A Tenderer may withdraw its’ tender at any time after the expiration of the tender validity period, but shall not be permitted to withdraw its Tender prior to the expiration of the validity period. icddr,b may extend the validity of tender due to an unavoidable circumstances.

5. Fixation of Rate: Rate quoted shall be fixed and firm for the total contract period.

6. Extended Scope/Destination: The destination/scope mentioned in the schedule of requirement is estimated. icddr,b reserves the right to extend/lessen scope/destination/requirement to any extent during the contract period and to be performed as per contract. During contract execution icddr,b assumes, study protocol will require to ship biological and research materials to different destination. The destination/ scope/ requirements not included in the tender will be settled as one off basis upon agreed by the buyer and Freight Forwarder/Courier Company.

7. Shipment Pick up Address and Lead Time: The origin or pick up address of all shipments will be from icddr,b main campus located at 68 Shaheed Tajuddin Ahmed Sarani, Mohakhali, Dhaka-1212. Freight Forwarder/Courier Company might require to collect samples from outside Dhaka in that case transportation and related cost will be reimbursed by icddr,b at actual.

Lead time for packaging materials supply and picking up shipment should be maximum 10 days. Prior to pick up shipments from the shipper, the Freight Forwarder /Courier Company will communicate with it’s counterpart/overseas agents and concerned authorities/parties to receive go ahead and permission to proceed shipment to avoid potential delay and ‘keep on hold’ in transit.

8. Transit Time: Freight Forwarder/Courier Company will arrange and manage onward shipment using appropriate carriers and agents. The Freight Forwarder/Courier Company will provide shipment tracking & tracing that is available to icddr,b via Logistics provider’s in house web accessible, tracking system.

9. Time of performance and delivery: Freight Forwarder/Courier Company will ensure delivery at desired destination within 72 hours from receipt/picking up the shipments. The Freight Forwarder/Courier Company will deliver the consignment during normal working hours i.e. between 9am and 5pm on a working day.

9.1. Freight Forwarder/Courier Company will advise icddr,b of any delays in transit, including customs clearance, and take any necessary steps to maintain temperature control and replenish cooling materials. Logistics provider shall have expert level of understanding on local rules and customs regulations, and can help expedite delivery to anywhere in the world — even to the most remote locations.

10. Packaging Requirements: Freight Forwarder/Courier Company will hold stocks of key manufacturers’ pre-qualified temperature controlling packaging and temperature stable shipment systems to facilitate full compliance with IATA requirements.

10.1. Freight Forwarder/Courier Company will offer defined temperature stability to our shipment whilst in transit for temperature and time sensitive biological/research samples or medical research products.

10.2. icddr,b needs to ship temperature controlled and time sensitive research materials or biological samples needed for analysis, Freight Forwarder/Courier Company pre-qualified packaging solutions and shipment systems shall suit the full spectrum of temperature ranges and product loads. Forwarder/Courier Company shall generally keep stock of packaging materials and will make available at the point of collection.

10.3. Temperature ranges covered by our pre-qualified packaging service include:

15°-25°C Controlled ambient 2°-8°C Refrigerated -20°C & -70°C Dry Ice -180°C Deep Frozen Liquid Nitrogen Vapour Shippers

10.4. Where a bulk shipping solution is required, Freight Forwarder/Courier Company will provide a variety of solutions in both active and passive forms. Logistics providers/Couriers will have expertise with the handling of these large time and temperature critical shipments and bulk temperature controlled containers and will ensure temperature stability is maintained door to door.

11. Packaging Integrity: A package containing dry ice and/or gel pack must be of adequate strength for its intended use. It must be strong enough to withstand the handling normally encountered in transport. It must also be constructed and closed in order to prevent any loss of contents that might be caused by vibration or by changes in temperature, humidity, or altitude.

12. Classifying and Identifying Biological Samples: In order to determine the correct way to package and label biological samples for shipment, Freight Forwarder/Courier Company must need to know how to classify and identify the sample as defined by the United Nations e.g. UN 2814, UN 2900, UN 3373, UN 1845.

13. Maintaining Cool Chain in Airport: On time replenish dry ice and should have access to cold chain facilities of airport.

14. Shipments Tracking: Provide real-time tracking information for shipments across all our service offerings. Both shippers and receivers can track a shipment’s progress by protocol number, account

number, house waybill number, origin, destination or pick-up date. Also, customers with an account can initiate new shipments quickly and easily.

15. Air Way Bill Declaration: The Air Way Bill must include shipper’s full name and address, consignee’s full name and address, airport of departure, airport of destination, place and date of issue AWB, the statement, type or classification of shipment e.g. “Dry ice, Calss-9, UN1845, number of packages x net weight of dry ice in kilograms and proper notation on their paperwork to satisfy the requirements of all the parties involved in the logistics functions.

16. Liquid Nitrogen/Dry Shipper: The samples need long-tem storage and high degree of care the Freight Forwarder/Courier Company will require using dry shipper. Freight Forwarder/Courier Company will provide dry shippers on rental basis provided there is need by the project/user. icddr,b may supply the dry shippers given the project/user have available stock of dry shippers.

17. Labelling and Marking: Adequate label and mark should be on the packaging according to IATA guidelines. Packing materials must meet IATA recommendations and of good quality and strong enough to withstand leakage, shocks, pressure changes, humidity, vibration, and manual or mechanical handling. More specifically, the contents should not leak to the outside of the shipping container, even if there should be leakage of the primary receptacle(s) during transit and the packaging should be resilient enough to withstand rough handling, passage through sorters, conveyors and other similar equipment.

icddr,b will advise Freight Forwarder/Courier Company, if a temperature monitor is included in a shipment and if the temperature monitor is to be recovered and downloaded or returned to icddr,b. Recovery and download of Temperature recorders will be as per Standard Operating Procedures.

18. Proof of Delivery: Freight Forwarder/Courier Company will ensure safe delivery of supplies to the consignee, and confirmation of proof of delivery (POD) within 24 hours to icddr,b, unless required more urgently. Where a temperature monitor is to be recovered, logistics providers will collect this and return the information or the monitor to icddr,b immediately.

19. Insurance: Freight Forwarder/Courier Company will require obtaining appropriate coverage against insurable risks, if require so. icddr,b will not be responsible for insuring the shipment against insurable risks to the shipment’s full insurable value. Liability or claims made by any third parties (including claims by port/customs/carrier authority or other third parties affected by this logistics/shipping function) in connection with a breach of contract, negligence, wilful misconduct or breach of duty by the Freight Forwarder/Courier shall be responsible for settlement of claim.

20. Liability: Freight Forwarder/Courier Company or its agents shall be liable to the shipper for loss or damage caused whether direct or consequential, howsoever arising and howsoever fundamental, only if and in so far as such loss or damage is caused by the negligence, breach of duty or wrongful act or omission of the Company itself or its employees acting within the course of their employment.

21. Custom brokerage: Freight Forwarder/Courier Company will be responsible to providing custom brokerage and related logistical services by its own. From operations and industry perspective, it may require hiring custom brokerage for clearance of cargo at origin or destination port. This will be Freight

Forwarder/Courier Company responsibility to monitor their work and manage custom broker’s performance.

22. Unlawful and Restricted Carriage: Freight Forwarder/Courier Company shall not be required or caused to carry or convey anything if such carriage would be unlawful, nor shall the Company carry any International Air Transport Associated restricted article. The Company reserves the right in its absolute discretion to refuse to carry any Consignment.

The Freight Forwarder/Courier Company reserves the right to open and inspect all items and not to carry any items, not only for security purposes, but to ensure that the contents of a Consignment do not contain any matter which might be considered by any person or persons to be of an offensive nature to any person or persons or authorities of any country.

23. Payment of Duty, Taxes and Levies: Unless otherwise indicated, all charges inclusive of Value Added Tax, Service Tax, Import, Export and any other duties or taxes related to transportation will be paid by the Freight Forwarder/Courier Company. The Duty, Taxes and Levies paid by Freight Forwarder/Courier Company will be reimbursed at actual with final invoice.

24. Mode of Payment: The successful bidder will be required to submit Invoices along with a copy of Purchase Order/approval for the shipment requested. Payment will be made through Wire Transfer to the designated account within 30 days of Invoice submission.

Payment will be made only after thorough examination of the Invoice and signatures from the icddr,b management. The invoice will be as per the contract/purchase order of the items and as required by icddr,b. Under no circumstances will icddr,b entertain any request for cash payment or partial payment for the invoice. Wherever applicable, VAT and Tax as prescribed by Taxation Authority, will be deducted from the Invoice.

25. Liquidated Damage (LD): If the Freight Forwarder/Courier Company on contract fails to perform services full or partial within the stipulated date mentioned on the contract/purchase order, the Centre at its own discretion reserves the right to deduct at the rate of 0.5% (point five percent) of the total ordered/invoiced value for each day of delay up to a maximum of 10% of the total ordered/invoiced value from the Invoice. icddr,b may acquire such services from other service providers and shall recover the excess/differential amount needed for the acquisition from the security deposit/outstanding invoices of the logistics provider.

26. Tender Submission: Tender shall be submitted with company’s full details and be duly supported with GMP/GDP or equivalent certificate, evidence of its technical and financial capability, quality assurance system, company profile, clientele, pamphlet, pertaining to comparing the quality, capability, commitment and other legal and commercial requirements set out in the Tender Document.

The Freight Forwarder/Courier Company must put his signature on each page of the tender schedule, and complete the signature block at end of the tender document.

27. Tender Evaluation: Based on evaluation of Technical Acceptability and Commercial Viability of the proposal, award will be made to the Most Economically Advantageous Tenders that meets or exceeds the technical acceptability standards along with delivery requirements, offered service level, payment

mode, etc and submitting the competitive price proposal. Technical capability will be evaluated by how well the proposed solutions meet or exceed the minimum service requirements set for in this Tender.

28. Contract Mechanism. A Formal Award letter along with a fixed-price contract will be provided to the responsive Freight Forwarder/Courier Company selected based on the ability to meet icddr,b’s overall objectives. All sections of this RFT document shall be treated as the part of contract.

29. Client Prior Approval. The solicited services, once a Bidder has been selected, will be subject to client (Donor, Counterpart regulatory body) approval before a contract/order can be placed. Therefore, Bidders are reminded that there may be delays for this process to complete. In addition should such approval not be given, and then this solicitation will be cancelled.

30. Rights to Accept or Reject Offer: icddr,b shall be under no obligation to accept the lowest or any other quotation received in response to this tender enquiry and shall be entitled to reject any or all offers including those received late or incomplete offers without assigning any reason whatsoever. Icddr,b reserve all the rights to reject any price list wholly or partially without assigning any reason.

31. Cost Reimbursement: Custom brokerage and clearance, duty and taxes, airport charges and drive away cost will be borne by logistics providers. Payment will be reimbursed by icddr,b upon submission and verification of final invoice. Additional costs incurred by the logistics provider due to negligence or alteration of packaging or incorrect documentation will not be paid.

32. Offer Verification: icddr,b may contact Bidders to confirm contact person, address, bid amount and to confirm that the bid was submitted for this solicitation.

33. Price Adjustment: The Freight Forwarder/Courier Company allows a review of the Contract rates during the Contract period as result of abnormally price increase. The Freight Forwarder/Courier Company shall submit a written application for price adjustment in accordance with the provisions of the Contract to icddr,b for approval, which shall not be unreasonably withheld. The application shall include adequate information to substantiate the adjustment in Rates. It shall be the Freight Forwarder/Courier Company’s responsibility to provide sufficient supporting evidence to substantiate a request for a rate increase, failure to provide such will result to the Ordering Officer rejecting the claim, unless additional and sufficient information is provided by the Freight Forwarder/Courier Company.

It is the intention that revised rates shall reflect the Freight Forwarder/Courier Company’s current costs based on relevant cost adjustment indices or other industry factors and shall not provide for increases in profit margin.

Price adjustment shall take effect at either the date allowed for in the Contract or the Contractor’s application date, whichever is the latter. There shall be no retrospective adjustment of the Contract Rates.

icddr,b reserves the right to review the rates periodically or as and when required basis and adjust the contract rates upon mutual agreement.

34. Conflict of Interest: Bidders must provide disclosure of any past, present or future relationships with any parties associated with the issuance, review or management of this solicitation and anticipated award. Failure to provide full and open disclosure may result in icddr,b having to re-evaluate selection of a potential Bidder.

35. Applicable Law: The Contract shall be governed by and construed in accordance with the laws of the People’s Republic of Bangladesh.

icddr,b may, terminate the Contract in whole or part by giving written notice to the bidder:

a) If the bidder fails to provide any or all of the services within the period(s) specified in the Contract

b) If the bidder fails to perform any obligation(s) under the Contract

c) If the bidder, in the judgment of the icddr,b has engaged in corrupt or fraudulent practices incompeting for or in executing the Contract.

36. Indemnity: The bidder shall indemnify the icddr,b against all actions, suits, claims and demands brought or made against it in respect of anything done or committed to be done by the bidder in execution of or in connection with the work of this contract and against any loss or damage to the icddr,b or its user in consequence to any action or suit being brought against the bidder for anything done or committed to be done in the execution of this contract. The bidder will abide by the safety measures prevalent in Bangladesh and will free the icddr,b from all demands or responsibilities arising from accidents or loss of life, the cause of which is the bidder’s negligence. The bidder will pay all indemnities arising from such incidents without any extra cost to icddr,b and will not hold the icddr,b responsible or obligated. icddr,b may at its discretion and entirely at the cost of the bidder defend such suit, either jointly with the bidder or single in the case the latter chooses not to defend the case.

37. Resolution of Disputes: All disagreements, disputes, difference that may arise between the icddr,b and the successful Bidders/Suppliers which cannot be resolved through mutual negotiations shall be referred to an Arbitrator appointed in accordance with the provisions of relevant Bangladesh Law. The venue of the proceedings and arbitration shall be icddr,b, Mohakhali, Dhaka.

38. Reserved Rights: All Tender responses become the property of icddr,b and icddr,b reserves the right in its sole discretion to: Disqualify any offer based on Bidder failure to follow solicitation instructions. Waive any deviations by Bidders from the requirements of this solicitation that in icddr,b’s opinion are considered not to be material defects requiring rejection or is qualification; or where such a waiver will promote increased competition. Extend the time for submission of all RFT responses after notification to all Bidders. Terminate or modify the RFT process at any time and re-issue the RFT to whomever icddr,b deems appropriate. Issue an award based on the initial evaluation of offers and keep bidder under performance rating. Award only part of the activities in the solicitation or issue multiple awards based on solicitation activities.

icddr,b will not compensate bidders for preparation of their response to this Tender. Issuing this Tender is not a guarantee that icddr,b will award a contract/purchase order.

icddr,b expects from the bidders to receive the Best and Final Offer for the destination/requirement as per scheduled/specification enclosed herewith as Annexure-1.

Keep in mind that cost, while an important factor, will not be a sole determining factor. Unusual low quotes that are obviously out of line with other bidders or are significantly lower than market standard will raise concern. The lowest bid will not automatically be awarded preferential consideration.

Failure to respond any requirements as outlined in the RFT, or failure to enclose copies of the required documents may disqualify the bid.

Engagement of successful bidder through a contract is an integral part of this procurement process. Contract template is appended in this RFT in Annexure-2. Order will be placed to the successful bidder followed by establishing contract. The order and this RFT terms & conditions will be treated as contract until formal contract signed by the both parties.

This Request for Quotation (RFT) is not an offer rather an invitation to the bidders to submit their quotation following the information and guideline described herein.

Amendment of RFT: The quantities and the requirements stated in the RFT are subject to amendment. icddr,b at its sole discretion at any time prior to the deadline for submission of bids for any reason, whether at its own initiative or in response to a clarification requested by a Bidder, may amend this RFT. All amendments shall be binding upon the prospective bidders and any bids submitted by bidder after the amendment of this RFT shall be considered under the terms and conditions of such amendment.

Right of Negotiation: icddr,b shall have the sole right to negotiate any terms and conditions stated in this RFT or in the proposed quotation with the competitive bidders before awarding the final contract.

Performance Security: Successful awarded bidder has to be deposited performance security of equivalent BDT200,000 (equivalent US$2500)only in favour of “icddr,b” through Pay Order/Bank Guarantee within 7 (seven) working days of acceptance of the order confirmation.

Bank Guarantee submitted as performance security shall be required to be valid until twenty-eight (28) days beyond the date of the Contract.

Confidentiality: The terms and conditions of this RFT, the information provided by icddr,b herein, are to be treated by Bidder as strictly confidential and proprietary. Such materials are to be used solely for the purpose of responding to this request. Access of such information shall not be granted to third parties except upon prior consent of icddr,b.

The decision of icddr,b in awarding the Contract shall be final and binding on all the Bidders. icddr,b shall be at liberty to cancel or amend this RFT at any time, before ordering, without assigning any reason.

Bidder shall submit financial offer fulfilling above requirements and ensure relevant/required documents enclosed along with the offer. This RFT and following annexure are binding part of this procurement. Authorized signatory of the bidder shall have to sign all documents including this RFT.
