9"- Assi!nment" 2ecipient may not dele!ate, assi!n or transfer thisA!reement, the license !ranted or any of 2ecipientEs ri!hts or dutieshereunder, e1pressly, by implication, by operation of law, by way of mer!er(re!ardless of whether 2ecipient is the survivin! entity) or ac0uisition, orotherwise and any attempt to do so, without %ntelEs e1press prior writtenconsent, shall be null and void" %ntel may assi!n this A!reement, and itsri!hts and obli!ations hereunder, in its sole discretion"

this A!reement unenforceable or invalid as a whole, and, in such event,such provision shall be chan!ed and interpreted so as to best accomplishthe obectives of such unenforceable or invalid provision within the limits ofapplicable law or applicable court decisions"
