Section1:Name1.1ThisCorporationshallbeknownasthe“IowaCityDowntownSelfSupportedMunicipalImprovementDistrict”(SSMID).1.2TheSSMIDshalloperateunderaninformalname,dba“IowaCityDowntownDistrict”(ICDD),hereafterreferredtoasICDD.Section2:Purpose2.1TheICDDisorganizedasa501(c)(6)non-profitcorporationwiththepurposeof:a)Advancingtheeconomic,professional,cultural,andcivicwelfareofthedefinedgeographicboundariesoftheICDDasoutlinedonExhibitAattachedheretoinIowaCity.b)EncouraginggrowthofexistingbusinessesandidentifyingnewbusinessesseekingtolocateindowntownIowaCity.c)Increasingconsumertraffic.d)Enhancingthesafety,cleanliness,beautificationandlandscapeoftheICDD.e)Displayingpublicorprivateart.f)Supportingand/orimplementingactivitiesdeterminedtobebeneficialtotheICDDandopposingthosedeterminedtobedetrimental.

ArticleII:OfficeSection1:Office3.1TheprincipleofficeoftheICDDinthestateofIowashallbelocatedinthecityofIowaCity,inthecountyofJohnson.TheofficeshallbelocatedwithintheboundariesoftheICDD.TheBoardofDirectorsmaychangetheprincipleofficeatanytime.TheICDDmayhavesuchotherofficesastheBoardofDirectorsmaydesignateorasthebusinessoftheICDDmayrequirefromtimetotime.

ArticleIII:MembershipSection1:Eligibility1.1MembershipintheICDDshallincludethefollowingthatprovideconsent,oraffirmativeactionevidencingconsent,tomembership:a)Anyindividual,partnership,corporation,orotherlegalentitywhichownspropertywithinthedefinedgeographicboundariesoftheICDD,asoutlinedonExhibitAattachedhereto;b)Anyindividual,partnership,corporation,orotherlegalentitywhichoperatesabusinesswithinthedefinedgeographicboundariesoftheICDD,asoutlinedonExhibitAattachedhereto;c)Anyorganizationoutlinedhereinashavinganex-officioseatontheBoardofDirectors;andd)Individuals,privateorpublicentitiesthatapplyforandareaffordedmembershipasprovidedbypolicy.Section2:Termination2.1MembershipintheICDDmaybeterminatedinthefollowingmanner:a)WrittenresignationsubmittedtotheBoardofDirectors.Section3:Voting3.1Everymembershallbeentitledtoonevoteinanyreferendumormembershipmeeting.

Section4:MembershipMeetings4.1AfullmembershipmeetingshalltakeplaceannuallyatsuchatimeandplaceasdeterminedbytheBoardofDirectors,andnoticethereofmailedfirstclassoremailedtoeachmemberaminimumoffourteen(14)calendardayspriortothemeetingdate.4.2SpecialmeetingsoftheICDDmaybecalledbytheBoardofDirectorsPresidentatanytime,oruponpetitioninwritingoffifteenpercent(15%)ofmembersingoodstanding.Noticeofsuchspecialmeetingsshallbemailedoremailedtoeachmemberaminimumoffourteencalendardays(14)dayspriortothemeetingdate.SpecialmeetingsshallbeheldatsuchplaceasdeterminedbytheBoardofDirectors.Section5:Quorum5.1AtanydulycalledmembershipmeetingoftheICDD,aquorumshallbetwentypercent(20%)oftheICDDmembership.

ArticleIV:BoardofDirectors

Section1:GeneralPowers1.1ThebusinessandaffairsoftheICDDshallbemanagedunderthedirectionofitsBoardofDirectors.Section2:Membership2.1TheBoardofDirectorsshallhavegenderbalanceofvotingBoardmembersofatleast50%femaleto50%male,asself-reportedbyindividualBoardmembers.2.2TheBoardofDirectorsshallbecomposedofuptotwenty-four(24)membersservingtermswhichbeginonJuly1.2.3Boardmembershavestaggeredthree(3)yeartermsandnewmembersshallbeappointedbyavoteoftheoutgoingBoardofthatcurrenttermyear.TheinitialstaggeredtermsshallbeconfiguredaccordingtopolicysetbytheoutgoingBoardofDirectors.a)Boardmembershipshallconsistofthefollowingvotingmembers:

i.Seats#1and#2-Two(2)frompropertyownersortheirrepresentativesfromasinglepropertythathasanassessedvalueinexcessof1.0%ofthetotalassessedvalueofpropertyintheDistrictasofJanuary1,2016.ii.Seats#3and#4-Two(2)frompropertyownersortheirrepresentativesfromasinglepropertythathasanassessedvaluelessthan1.0%ofthetotalassessedvalueofpropertyintheDistrictasofJanuary1,2016.iii.Seats#5and#6-Two(2)frombusinessownersthatleasemorethan3,000squarefeetofcommercialspaceintheDistrict.iv.Seats#7and#8-Two(2)frombusinessownersthatleaselessthan3,000squarefeetofcommercialspaceintheDistrict.v.Seat#9-One(1)fromabusinessintheNorthsideMarketplacearea.vi.Seat#10-One(1)fromabusinessthatholdsaliquorlicenseintheDistrict.vii.Seat#11-One(1)fromanonprofitorculturalentityintheDistrict.viii.Seat#12-One(1)fromanofficeusebusinessintheDistrict.ix.Seat#13-One(1)votingex-officiomemberofTheUniversityofIowa.x.Boardmembershipmayconsistofuptofour(4)otherstakeholdersoftheDistrict.

b)TheBoardmayalsoinclude(7)non-votingex-officiomembers,includingrepresentativesfromthefollowingorganizations: i.CityofIowaCity ii.IowaCityAreaChamberofCommerce

iii.IowaCityAreaDevelopmentGroup iv.IowaCity/CoralvilleAreaConvention&VisitorsBureau v.SummeroftheArts vi.UniversityofIowaStudentGovernmentc)BoardmembershipshallincludetheExecutiveDirectorasanex-officio,non-votingmember.Section3:Meetings3.1AregularmeetingoftheBoardofDirectorsshallbeheldaminimumofonceamonth.ExceptionsshallbeagreeduponbyamajorityofDirectors.3.2AdditionalmeetingsmaybecalledbythePresidentoruponwrittenapplicationofanyeight(8)membersoftheBoard.NoticeandpurposeofsuchmeetingsshallbegiventoeachDirectoraminimumofthree(3)calendardayspriortothemeetingdate.3.3TheminutesofanymeetingshallbeapprovedatthenextsucceedingmeetingoftheBoardofDirectors.Section4:Responsibilities4.1TheBoardofDirectorsshallmanagethebusinessoftheICDD.TheDirectorsshallexerciseallsuchpowersoftheICDDanddoalllawfulactsasallowedbystatuteandAmended&RestatedArticlesofIncorporation.4.2EachDirectorshallserveonaminimumofone(1)committee.Section5:Election5.1TheBoardofDirectorsshallrecruitnomineesandtheExecutiveCommitteeshallsubmitaslateofnamestotheBoardofDirectorstoreplaceDirectorswhohavefulfilledtheirterm(s).Directorsmaynotservemorethantwofullconsecutiveterms.ThetermsoftheDirectorsshallbestaggeredsothatapproximatelyone-thirdofthetotalnumberofDirectorsareelectedeachyear.5.2TheonlyDirectorthatmayservemorethansix(6)yearsasaDirectoristhePast-President.ThePast-Presidentmayserveoneadditionalyearforatotalofseven(7)yearsasaDirector.5.3TheBoardofDirectorsshallapprovenomineesbyamajorityvote.NewlyappointedDirectorsshallassumetheirdutiesonJuly1.Section6:Vacancies6.1VacanciesontheBoardofDirectorsshallbefilledbytheBoardbyamajorityvote.DirectorsappointedtofillvacantpositionsontheBoardshallrepresenttheconstituentvacatedseatandservetheremainderofthetermtowhichtheywereappointed.Section7:Removal&Resignation7.1ShouldanyDirectorfailtoattendthree(3)consecutivemeetings,thePresidentmaysubmitnoticeinwritingthatsaidDirectorshallprovidereasonforhisorherabsence.Shouldasatisfactoryexplanationnotbereceivedwithinseven(7)calendardays,theDirectormayceasetobeanactivememberoftheBoardandshallbedulynotified.

ArticleV:OfficersandDuties

Section1:Officers1.1OnJuly1ofeachyear,thepreviousyears’PresidentshallbethePastPresidentandthePresident-electshallbethePresidentforthenewfiscalyear.

1.2TheBoardofDirectorsshallholdelectionsforPresident-elect,Treasurer,andSecretaryatitslastmeetingofthefiscalyear.1.3AllofficersshalltakeofficeonJuly1.Section2:President2.1ThePresidentshallbeamemberingoodstandingoftheICDDandshallpresideatallmeetingsoftheICDDandshallchairitsExecutiveCommittee.2.2ThePresidentshalldeterminetheneedforanyspecialcommittees,selectDirectorsforsuchcommitteesandoverseesaidcommitteeactivity.2.3ThePresidentshallperformanyotherdutiestheExecutiveCommittee,orBoardofDirectorsassignstohimorher.Section3:President-Elect3.1ThePresident-electshallbeamemberingoodstandingoftheICDDandshallperformalldutiesofthePresidentintheabsenceofthePresident.3.2ThePresident-electshallchairaminimumofonestandingorspecialcommittee.3.3ThePresident-electshallperformanyotherdutiesthePresident,ExecutiveCommittee,orBoardofDirectorsassignstohimorher.Section4:PastPresident4.1ThepastPresidentshallbeamemberingoodstandingoftheICDDandshallplan,implementandoverseetheofficerelectionprocessfortheBoardofDirectors.4.2ThepastPresidentshallassumethedutiesofthePresident-electintheabsenceofthePresident-elect.4.3ThepastPresidentshallperformanyotherdutiesthePresident,ExecutiveCommittee,orBoardofDirectorsassignstohimorher.4.4IntheeventthereisnopastPresidentforanyreason,theBoardofDirectorsshallselectaDirectorfromthosewhohaveservedasamemberoftheExecutiveCommitteetoserveaspastPresident4.5ThepastPresidentshallchairaminimumofonestandingorspecialcommittee.Section5:Treasurer5.1TheTreasurershallbeamemberingoodstandingoftheICDDandwillbechieffinancialofficeroftheICDD.5.2TheTreasurershallberesponsibleforoverseeingtheoperationalbudgetoftheorganizationandshallassistinthefilingoftheICDD’sannualtaxreturn.5.3TheTreasurershallgiveabondforthefaithfuldischargeofhisorherdutiesinthesumdeterminedbytheBoardofDirectors.TheICDDshallcoverallcostsofsaidbond.5.4TheTreasurershallperformanyotherdutiesthePresident,ExecutiveCommittee,orBoardofDirectorsassignstohimorher.5.5TheTreasurershallchairtheFinanceCommittee.Section6:Secretary6.1TheSecretaryshallbeamemberingoodstandingoftheICDD.6.2TheSecretaryshallberesponsiblefortakingminutesofBoardmeetingsanddistributingtheminatimelymanner.6.3TheSecretaryshallreviewwhenorganizationalpolicieswerelastupdatedandrecommendatimetableforfurtherupdatestotheExecutiveCommitteeorappropriateBoardcommittee(s).

6.4TheSecretaryshallperformanyotherdutiesthePresident,ExecutiveCommittee,orBoardofDirectorsassignstohimorher.6.5TheSecretaryshallchairaminimumofonestandingorspecialcommittee.Section7:RemovalandResignation7.1AnyofficermayberemovedbymajorityvoteoftheBoardofDirectorswhenever,intheBoard’sjudgment,thebestinterestsoftheICDDwouldbeservedbyremoval.7.2AnyofficermayresignbywrittennoticetotheBoardofDirectors.

ArticleVI:Committees

Section1:AppointmentandAuthority1.1ThePresidentshallappointallcommitteessubjecttoconfirmationbytheBoardofDirectors.Chairpersonsofstandingcommitteesshallbeappointedtoone-yeartermsbytheBoardofDirectors.1.2ItshallbethefunctionofthecommitteestostudyandmakerecommendationstotheBoardofDirectors.1.3Nocommitteeshalltakeormakepublicorformalaction,ormakepublicanyresolution,orinanywaycommittheICDDtoaquestionofpolicywithoutfirstreceivingtheapprovaloftheBoardofDirectors.1.4SpecialcommitteesshallbedischargedbythePresidentwhentheirworkhasbeencompletedandtheirreportsaccepted,orwhen,intheopinionoftheBoardofDirectors,itisexpedienttodiscontinuethecommittee.1.5CommitteesmayselectmembersnotontheBoardofDirectorstoserveeachyear.Section2:StandingCommittees2.1:ExecutiveCommitteea)TheExecutiveCommitteeshallbechairedbythePresidentoftheBoardofDirectorsandshallconsistofthePresident,President-Elect,Past-President,Treasurer,andSecretary.TheExecutiveDirectorshallserveontheExecutiveCommitteeinanex-officio,non-votingcapacity.b)TheExecutiveCommitteeshallconductanannualperformancereviewoftheExecutiveDirectorandshalldetermineannualcompensationsubjecttoapprovalbytheBoardofDirectors.2.2FinanceCommitteea)TheFinanceCommitteeshallbechairedbytheBoardTreasurer.TheBoardPresidentshallserveontheFinanceCommitteeandtheExecutiveDirectorshallservewithex-officio,non-votingstatus.b)TheFinanceCommitteeshallcreateanannualoperatingbudgettobepresentedtotheBoardofDirectorsforapprovalpriortoenteringeachnewfiscalyear.c)TheFinanceCommitteeshallmeetregularlytoassesstheICDD’sfinancialstanding.d)TheFinanceCommitteeshallconsistofaminimumofthree(3)Directors.2.3MembershipCommitteea)TheMembershipCommitteeshallplanandimplementtheannualmembershipmeeting.b)TheMembershipCommitteeshallcreateandimplementpoliciesaboutthoseseekinginvestmentinICDDwhoarenotpropertyand/orbusinessownerswithintheICDD.c)TheMembershipCommitteeshallconsistofaminimumofthree(3)DirectorsandshallbechairedbyamemberoftheExecutiveCommittee.

2.4AdvisoryBoardtotheCityCouncilThereshallbeanAdvisoryBoardfortheDistrictandtheAdvisoryBoardshallreport,asrequired,totheCityCouncilofIowaCityasrequested.TheAdvisoryBoardiscomprisedoftheICDDcurrentBoardPresident,Vice-President,Treasurer,Secretary,andPast-President.

ArticleVII:OperatingtheOrganization

Section1:FiscalYear.1.1TheICDDfiscalyearshallrunJuly1-June30.Section2:CustodyofFunds2.1Allfunds,regularorspecial,shallbedepositedinthenameoftheICDDatalocalfinancialinstitutionastheBoardofDirectorsmaydeemadvisable,asanofficialdepositoryoftheICDD.Section3:Budget3.1TheFinanceCommitteeshallprepareandsubmitthenextfiscalyear’sbudgettotheBoardofDirectorsneartheendofeachfiscalyearsettingforththeanticipatedincomeoftheICDDfromallsourcesandsettingforthallocationsforanticipatedoperatingexpenses,reserverequirementsandcontingentfundsrequiredfortheensuingyear.3.2TheBoardofDirectorsshallapproveoramendsuchbudgetandreapportionfundsduringtheyear.Section4:SigningPowers4.1Allpaymentsgreaterthan$5,000remittedonbehalfoftheICDDrequireapproval,andifneeded,twosignatures.OnlythePresident,President-electandExecutiveDirectorshallhavesignatorypowersforICDDfunds.4.2TheExecutiveDirectorshallreviewandapproveanypurchasesmadebyICDDemployeesusinganyICDDauthorizedcreditcards.Section5:Expenditures5.1Expendituresofupto$5,000areatthediscretionoftheExecutiveDirector.Non-budgetedexpendituresabove$5,000requireapprovaloftheBoardofDirectors.

ArticleVIII:Staff

Section1:1.1TheICDDshallemploystaffmemberstoadministerthefiscalbusinessofICDDinaccordancewiththepoliciesestablishedbytheBoardofDirectors,andasdelegatedbyandunderthesupervisionoftheBoardofDirectors.

a)ExecutiveDirector i.TheExecutiveDirector’sjobdescriptionshallbedeterminedandapprovedbythe BoardofDirectors.TheBoardofDirectorsshallhire,superviseandannuallyevaluate theExecutiveDirector.

ii.TheExecutiveDirectorshallgiveabondforthefaithfuldischargeofhisorherdutiesinthesumandwiththesuretydeterminedbytheBoardofDirectors.TheICDDshallcoverallcostsofsaidbond.iii.TheExecutiveDirectorshallmanageanddirecttheadministrativeactivitiesofICDD,allinaccordancewiththestructure,budgets,andpoliciesestablishedbytheBoardofDirectors.iv.CarryoutthepoliciesandprogramsestablishedbytheBoardofDirectors.

v.Employsuchfull-timeandpart-timestaffandconsultantsasapprovedbytheBoardandasareappropriatetocarryoutthepoliciesandprogramsestablishedbytheBoardofDirectors.vi.Beinchargeoftheday-to-dayoperationsofthosepoliciesandprograms.vii.PerformsuchotherdutiesasmaybeassignedfromtimetotimebytheBoardofDirectors.

ArticleIX:Indemnification

Section1:1.1Unlessotherwiseprohibitedbylaw,theICDDshallindemnifyanydirectororofficeroranyformerdirectororofficer,andmaybyresolutionoftheBoardofDirectorsindemnifyanyemployee,againstanyandallexpensesandliabilitiesincurredbyhimorherinconnectionwithanyclaim,action,suit,orproceedingtowhichheorsheismadeapartybyreasonofbeingadirector,officeroremployee.However,thereshallbenoindemnificationinrelationtomattersastowhichheorsheshallbeadjudgedtobeguiltyofacriminaloffenseorliabletotheICDDfordamagesarisingoutofhisorherowngrossnegligenceintheperformanceofadutytotheICDD.1.2Amountspaidinindemnificationofexpensesandliabilitiesmayinclude,butshallnotbelimitedto,counselfeesandotherfees;costsanddisbursements;andjudgments,fines,andpenaltiesagainst,andamountspaidinsettlementby,suchdirector,officer,oremployee.ICDDmayadvanceexpensesor,whereappropriate,mayitselfundertakethedefenseofanydirector,officer,oremployee.However,suchdirector,officer,oremployeeshallrepaysuchexpensesifitshouldbeultimatelydeterminedthatheorsheisnotentitledtoindemnificationunderthisArticle.1.3TheBoardofDirectorsshallalsoauthorizethepurchaseofinsuranceonbehalfofanydirector,officer,employee,orotheragentagainstanyliabilityincurredbyhimwhicharisesoutofsuchperson’sstatusasadirector,officer,employee,oragent,whetherornottheICDDwouldhavethepowertoindemnifythepersonagainstthatliabilityunderlaw.
