Main terms and condi�ons of allotment

1. Le�er of Intent (LOI) valid for three years will be issued to the successful applicant. LOI holder shall make the Down Payment equivalent to 30% of the cost of the plot so that the down payment plus EMD deposited along with applica�on equals 50% of the cost of plot. The Down Payment is to be made within 30 days from the date of Le�er of Intent (LOI).

2. The balance 50% of the tenta�ve price is payable within 60 days from the date of issue of the LOI without interest or in five half yearly equated installments as well as interest due @ 11% p.a. with half yearly compounding on 31st March and 30th September. The first installment will become due on the last day of six months from the date of LOI.

3. In the event of non-payment or delayed payment of ini�al down payment referred to in condi�ons No.1 above, addi�onal price referred to in condi�on No. 4 below or any of the installments(s) by the due date(s) referred to in condi�on No. 2 above or maintenance charge referred to in condi�on No. 26 below, LOI Holder shall be required to pay penal interest @ 3% p.a. in addi�onal to the normal interest of 11% p.a. with six monthly compounding effects, on the defaulted amount for the defaulted period.

4. The above price of the plot is subject to varia�on with reference to actual measurement of the plot, cost of acquisi�on of land. In case of any enhancement of compensa�on on account of acquisi�on of land of this area by the Court, or otherwise, LOI Holder shall have to pay the addi�onal price of the plot, if any, as may be determined by the Corpora�on, within 30 days from the date of demand.

5. LOI Holder shall be required to take the following effec�ve steps for implementa�on of the project within one year from the date of LOI:

i. Sanc�on of building plans;ii. Construc�on at site at least up to DPC level;iii. Placement of orders of plant and machinery.iv. Obtain provisional registra�on of the unit from the concerned GM/DIC or

SIA registra�on as applicable.v. Obtain consent of financial ins�tu�on/Bank to advance loan for the

proposed project OR in case of self-financing, submit proof of own sources.vi. Obtain consent to establish from PPCB, if applicable.

6. The possession of the plot shall be handed over to LOI Holder by the Corpora�on a�er deposit of 50% of the total price of the plot.

7. The Corpora�on shall however in cases where the LOI holder having taken par�al effec�ve steps and on produc�on of valid/ genuine reasons of delay may consider extension in �me for comple�ng effec�ve steps for a period of addi�onal six months on payment of extension fee @ 2% of price of plot in the first instance and on further payment of extension fee @ 3% of the price of plot for another six months. No further extension shall be allowed under any circumstances.

8. In the event of LOI Holder fails to take effec�ve steps within s�pulated/extended period, the Le�er of Intent shall automa�cally lapse, consequent upon which the earnest money deposited by LOI Holder shall be forfeited. The balance amount paid by LOI Holder shall be refunded without any interest and the extension fee paid/ payable shall also be forfeited.

9. LOI Holder shall be required to implement the project on the Industrial plot/ land within a period of three years from the date of issue of LOI. Implementa�on of project would mean commencement of commercial produc�on. In the event LOI Holder fail to achieve commercial produc�on within this period, the Le�er of Intent shall automa�cally stand cancelled/ withdrawn and the payment deposited by LOI Holder towards the price of plot would be refunded (without interest) by the Corpora�on a�er deduc�ng/forfei�ng 25% of the price of the plot. The extension fee paid/ payable shall be forfeited. Ac�on shall be taken by the Corpora�on to resume the plot/ site and take possession in terms of LOI.

10. The period for implementa�on of the project shall be extendable for one year i.e. a�er 3 years from the date of issue of LOI, on payment of extension fee calculated @ 7.5 % of the allotment price of the plot, subject to the condi�on that LOI Holder have completed the en�re building structure including the roof, as per sanc�oned plan.

11. Second extension of implementa�on period for addi�onal one year for commencement of produc�on i.e. a�er four years from the date of issue of LOI, shall be allowable on payment of extension fee calculated @ 10 % of the allotment price of the plot in case LOI Holder have completed the construc�on men�oned in clause (10) above.

12. LOI Holder shall apply for the first and second extension, as the case may be, in the prescribed format, filling complete informa�on on the eligibility criteria as well as various steps taken by LOI Holder along with Demand Dra� for the applicable extension fee and submit the same to the Corpora�on before the expiry of the s�pulated period. The Corpora�on shall sa�sfy itself on the merits of the case and convey its decision with regard to extension within 30 days. In case no applica�on/ request is received in �me from LOI Holder for extension for implementa�on of the project, LOI shall automa�cally stand cancelled/ withdrawn. The payment deposited by LOI Holder towards the price of plot would

be refunded (without interest) by the Corpora�on a�er deduc�ng/ forfei�ng 30% of the price of the plot. The extension fee paid/ payable shall be forfeited. Ac�on shall be taken by the Corpora�on to resume the plot/ site and take possession in terms of LOI.

13. LOI Holder shall produce the proof of having commenced produc�on on the allo�ed plot in the shape of EM Part-II issued by General Manager, District Industries Centre concerned or other valid proof in token of confirma�on of achieving produc�on issued by a competent Government Agency.

14 The plot has been offered for allotment on lease hold basis for 99 years in the first instance. As such LOI Holder shall pay annual lease rent @ Rs.1/- per 1,000 sq. yds. in advance for 99 years at the �me of execu�on of Lease Deed.

15. The LOI holder shall become eligible for conversion of LOI into Le�er of Allotment and execu�on of lease deed on fulfillment of pre-condi�on of commencement of commercial produc�on as laid down in LOI. The le�er of Allotment shall be for a lease period up to 99 years, less the period already elapsed under LOI.

16. LOI Holder shall arrange to have the Lease Deed executed and registered as per law, the original shall be delivered to the Corpora�on within 90 days from the date of issue of Le�er of Allotment. The Stamp Papers and Registra�on charges etc. for the Lease Deed (in the prescribed format) shall have to be borne by LOI Holder.

17. That in the event of winding up the land shall revert back to the Corpora�on.

18. The payment of ini�al down payment, due installments, lease rent, addi�onal liabili�es arising out of varia�on in cost, enhancement of compensa�on, if any, each installment, extension fee and maintenance charges etc. shall be remi�ed to the “Punjab Informa�on & Communica�on Technology Corpora�on Limited” (PICTCL) in the form of Bank Dra� payable at Chandigarh and every such remi�ance shall be accompanied by a le�er indica�ng therein full par�culars of the plot in respect of which the payment pertains and a statement giving reference number and date of the allotment.

19. A�er taking over the possession of the plot, as indicated above, LOI Holder shall get building plan prepared from a registered Architect approved by the Architect Council of India, strictly conforming to the Zonal plan & Building Bye-Laws and get the same approved from the Corpora�on. In case any addi�on/alterna�on over the construc�on of building is needed subsequently, drawings for the same conforming to the Zonal Plan and Building Bye-Laws for the Corpora�on shall also be got approved from PICTCL in wri�ng, before undertaking the required addi�onal/alterna�ons over the construc�on of building on the plot. In the event of contraven�on of this term, the Corpora�on shall have the right to revoke the allotment le�er and get back the possession of plot without refunding any amount already deposited by LOI Holder.

20. In case any devia�on from the Zonal Plan/ building Bye-laws of the Corpora�on is noted in the plan at site, the offending por�on(s) of the building(s) shall be demolished under the orders of the Competent Authority of PICTCL and demoli�on charges so incurred shall be recovered from LOI Holder.

21. LOI Holder shall have to accept and abide by all such rules and orders that may be made or issued by the competent authority of PICTCL from �me to �me.

22. In the event of breach of any terms and condi�ons of this LOI the Corpora�on shall have the right to withdraw/cancel/resume the allotment of Plot and take back possession of plot/building.

23. LOI Holder shall not carry on without the wri�en consent of the Corpora�on or permit to be carried on in the plot or use the same or permit the same to be used for any purpose other than that for which it has been offered. LOI Holder shall also not do or allow to be done therein anything, whatsoever, which, in the opinion of the Corpora�on, may be nuisance, annoyance or disturbance to the neighbors.

24. As the land has been offered on leasehold basis the ownership of the plot will vest in the Punjab Informa�on & Communica�on Technology Corpora�on Limited.

25. LOI Holder shall not deviate in any manner, whatsoever, from the layout plan or alter the plot whether by sub-division, amalgama�on or otherwise.

26. LOI Holder shall take water for the factory and other area of the plot from the Government/Corpora�on water supply scheme on the charges to be fixed by the Government/Corpora�on.

27. LOI Holder shall from �me to �me and all �mes pay and discharge all rates, taxes, charges and assessment of every descrip�on which may, at any �me, herea�er he assessed / charged or imposed upon the plot. LOI Holder shall be liable to pay maintenance charges of the Land as may be fixed by the Corpora�on from �me to �me.

28. LOI Holder shall at all reasonable �me grant access to the allo�ed property to the official(s) of the Corpora�on for sa�sfying that the terms and condi�ons enumerated herein have been and are being complied with properly.

29. The Corpora�on shall have the first and paramount charge over the plot and without prior consent in wri�ng of the Corpora�on, LOI Holder shall have no right, whatsoever, to transfer lease hold rights by way of sale or otherwise of the plot or any right, �tle or interest.

30. No effluent or industrial waste shall be permi�ed to be discharged in Public/Corpora�on Sewer or disposal of the same into a stream, well or into land unless wri�en consent of the PICTCL and Punjab State Sewerage Board for the preven�on and control of water pollu�on is obtained in regard to treatment works prescribed by the Board.

31. LOI Holder shall be responsible to obtain various clearances, permits and licenses etc. from various Government Departments/Agencies /Corpora�on/Local Bodies etc. required, if any, to set up the unit. The Corpora�on will not, in any way, be responsible or accept any delay either in payment of dues or in comple�on of the required formali�es or implementa�on of schedule of construc�on/produc�on of the unit on any account whatsoever.

32. Prior approval of the Corpora�on shall be required for Change in cons�tu�on of individual allo�ee into proprietorship / partnership firm or into a company etc., which can be considered only on the specific/condi�on that the original allo�ee(s) of the plot retains at least 51% of the shares in the newly cons�tuted firm/company.

33. All approvals, sanc�ons and consents, in any form, whatsoever, in rela�on to or in connec�on with or touching upon the subject ma�er of LOI, from the competent authori�es, including the PICTCL, shall always be obtained in wri�ng. Oral approval, sanc�on and consent, in rela�on to or in connec�on with or touching upon the subject ma�er of LOI, shall not be entertained and shall not be binding on any party.

34. The LIO holder shall be eligible for conver�ng the lease hold allotment into free hold on payment of prescribed fee only in those cases where it has commenced produc�on on the plot within implementa�on period of up to 5 years and con�nued produc�on for at least 3 years.

35. No extension in implementa�on period for commencement of produc�on beyond the ini�al period of three years plus addi�onal/extended two years counted from the date of issue of LOI, shall be allowed in cases where LOI Holder have failed to commence produc�on on the plot within this period.

36. In cases, as men�oned at clause (35) above or clause (43) hereunder, the Le�er of Intent shall automa�cally stand cancelled/ withdrawn.

37. In the event of LOI being cancelled/ withdrawn, LOI Holder shall have to remove the structure at his/her own expenses within 30 days of cancella�on and restore the possession of plot to the Corpora�on in the condi�on in which the possession of plot to the allo�ng agency in the condi�on in which the possession was handed over. In the event of failure to do so, the Corpora�on shall take possession forthwith and the structure shall become the property of the Corpora�on. A�er the expiry of period of 30 days, LOI Holder shall be required to pay the damages equivalent to market rent for the said plot/ land �ll he vacates the premises and will be unauthorized occupant of land and shall not be en�tled to claim himself to be the lessee.

38. LOI shall not be transferable except in cases of death or insolvency of an allo�ee duly declared. Transfer of LOI will be governed by the provisions of this policy and the transferee will only step into the shoes of original LOI holder. Transfer of LOI shall be permissible only a�er execu�on of lease deed.

39. A lease executed shall be allowed to be transferred in the following circumstances.

i. In case of individual allo�ees, there is a change of ownership by way of sale/agreement to sell or otherwise.

ii. In case of partnership firms and Limited Liability Partnerships (LLP), the share of original partner(s) falls below 51% except in the case of death of a partner which shall be dealt under clause (42) hereunder.

iii. In the case of Private Limited Companies, where the majority stake (51% of above) gets transferred through exit of the shareholders at the �me of allotment and/ or induc�on of new shareholder(s) is diluted below 51%.

iv. In the case of a Government company, the change in ownership through disinvestment of shareholding of 51% or more by way of divestment.

40. Transfer of plots shall be allowed by the Corpora�on only a�er three years of commencement of produc�on by the original allo�ee and submission of valid proof thereof issued by General Manager, District Industries Centre concerned or any other Government Agency and a�er execu�on of lease deed.

41. Transfer of plot shall be allowed only by charging transfer fee @ 5% of the current reserve price of the plot/land fixed by the Corpora�on in the concerned Industrial Focal Point/ Industrial Estate opera�ve at the �me of transfer..

42. Transfer of LOI/ Allotment may be allowed by the Corpora�on without payment of transfer fee, in case of following circumstances:

i. Transfer by way of inheritance or change in cons�tu�on within family or through a will testa�ng the property within the family members of the allo�ee covering father, mother, wife, husband, son, brother, sister, daughter, grandson and granddaughter.

ii. Succession due to death of owner/ allo�ee/partner/ share holder.iii. Transfer made in favour of group companies as defined in the Monopolies

& Restric�ve Trade Prac�ces Act (MRTPA), 1969 or the compe��on commission Act, as the case may be . Such transfers shall be done by the Allotment Commi�ee headed by the Chief Secretary, Punjab subject to the condi�on that the transferor and the transferee meet the requirement of being group companies.

iv. Transfer in favour of subsidiary company in which original allo�ee owns more than 50% shares or change of legal status of a company as a result of merger/ demerger. Such transfers shall be decided by the Allotment Commi�ee headed by the Chief Secretary, Punjab.

43. In case of any unauthorized transfer, the LOI shall stand automa�cally cancelled/ withdrawn and the Corpora�on shall take recourse to resump�on proceedings as per clause (36) and (37).

44. Notwithstanding the provision of applicability of penal interest on defaulted amount for defaulted period, the Corpora�on can resort to withdrawal of allotment/cancella�on/resump�on of the plot. The withdrawal of allotment/cancella�on/resump�on of the plot shall be made a�er giving show cause no�ce of 30 days on account of the following grounds of default:

i. Non-payment of ini�al down payment of the tenta�ve price within 30 days from the date of issue of allotment le�er.

ii. Non-payment of installments and interest due thereon by due dates.iii. Non-receipt of addi�onal cost if any payable within 30 days.iv. Failure to get the Sanc�on of building plans; Construc�on at site at least up

to DPC level; Placement of orders of plant and machinery, obtaining provisional registra�on of the unit from the concerned GM/DIC or SIA registra�on as applicable, obtaining consent of financial ins�tu�on/Bank to advance loan for the proposed project OR in case of self-financing, submit proof of own sources, or/and obtaining consent to establish from PPCB, if applicable.

v. Non-payment of maintenance charges within 30 days from the date of demand.

vi. Failure to take possession within 30 days from the date of offer for possession.

vii. Failure to take effec�ve steps as described in the LOI within s�pulated/extended period.

viii. Viola�on of Zonal Plan and / or Building Bye-Laws or devia�on from the approved plans.

ix. Non-payment of extension charges/fee in terms of LOI.x. Failure to comply with any of the terms and condi�ons of this LOI.

45. In the event of any difference or dispute arising between LOI Holder and the Corpora�on in connec�on with or concerning the observa�on of the terms and condi�ons of allotment le�er or interpreta�on thereof the same shall be referred to the sole arbitra�on of the Principal Secretary, Department of Industries and Commerce, Government of Punjab who may decide the dispute himself or nominate some other officer to do so. The Arbitra�on and concilia�on Act, 1996 shall be applicable to the par�es. The decision of the Arbitrator or his nominee for the purpose shall be final and binding on both the pari�es.

NOTE:-

1. The area dimensions as given in the respec�ve layout are subject to varia�on at the �me of actual possession.

2. The Corpora�on shall not be responsible for leveling the uneven sites.3. LOI Holder shall have to pay separately for any construc�on material, trees,

tubewell structures and compound wall exis�ng at site for which compensa�on has been assessed and paid by the Govt./Corpora�on if you want to make use of the same.

4. The collec�on charges, if any, charged by the Bank on dra� will be payable by LOI Holder.

5. Copy of Zoning Plan / Building Bye-laws can be had on request from PICTCL.6. 10% of the cost of plot shall be charged extra for corner/preferen�al plot.

Applica�on (eight copies) in prescribed format as per Annexure “A” a�ached along with Demand Dra� for applicable earnest money in favour of “Punjab Informa�on & Communica�on Technology Corpora�on Limited”, payable at Chandigarh and DD of Rs 10,000/- as processing fee in favour of Chief Coordinator, Udyog Sahayak, payable at Chandigarh along with documents required as per checklist should reach the Corpora�on within the s�pulated �me.
