6. 代理价格 Agent Price

享受专属代理价格 Agent Discount

产品价格表另附于协议，产品报价单将每 1 个月更新。

7. 业绩返点 Rebate

1）此处的年度为代理商签约之日起 12 个自然月度；

Agent validity is 12 calendar months from the date of signing of the year.

2）代理商在规定时间达到公司指定业绩，可享受返点奖励；

Agents completed the specified sales performance within the specified time, you can enjoy rebate.

3）返点奖励需在年度结束时结算，次年继续签约的则将对应的返点折算为

对应货款金额；次年未继续签约的可直接现金返利；

Rebate offer when the agreement expires, in the form of products or cash.

4）协议第 8 点第 3）条中涉及行为将取消返利资格

Rebate will be canceled when something happen involved in 3) of Point 8

8. 协议终止和续签 Termination and renewal

1）市级代理年度目标为 50 万，签定协议后 6 个月未达 10 万元，协议自动取

消；签定协议后 12 个月内未达 50 万元，协议自动取消。

Regional Agent Target sales performance as US$80,000, six months after signed this agreement, less than

US$20,000 performance, the agreement is automatically canceled.

Twelve months after signed this agreement, less than US$80,000 performance, the agreement is automatically

canceled.

2）省级代理年度目标为 100 万，签定协议后 6 个月未达 20 万元，协议自动

取消，签定协议后 12 个月内未达 100 万元，协议自动终止。

National Agent Target sales performance as US$150,000, six months after signed this agreement, less than

US$35,000 performance, the agreement is automatically canceled.

Twelve months after signed this agreement, less than US$150,000, performance, the agreement is

automatically canceled.

3）以下条款公司有权取消代理商资格 Relates to the following terms, cancel agents eligible

未经公司同意跨区域销售的； cross-regional marketing without our consent

委托第三方或自行抄袭公司产品的；copying the our products;

其它有损公司名誉的行为；other behavior detrimental to the company's reputation

4）年度目标达标的代理商次年优先续签代理。Agents who complete sales performance,

enjoy priority next year to sign AGREEMENT again.

9. 保修条例

1）产品质保两年 Warranty: 2 years

2）质保期外的材料及维修按代理价执行

Materials and maintenance charges as agent discount, even out of warranty

10 委任; 指认分代理商

Appointment; identify the sub-agents

代理商可在代理区域内委任多家经销商或代理商。

Agent is allowed to appoint sub-distributors and sub-agents.

11 法律；仲裁 Law; Arbitration

此协议按照中华人民共和国代理法等有关法律为依据。

This Agreement in accordance with Agency law and other relevant

laws of People's Republic of China

协议仲裁权。

The contract provide for arbitration

仲裁地为中国境内。
