    1.1 1.1. Data comprised in documentation

    The present documentation comprises the data necessary for installation and operation ofElcomSoftDistributed Agent. The procedures of installation, reinstallation, uninstallation and the concepts of theprogram and their application method are described. There are also adjustment recommendationsavailable.

    1.2 1.2. Purpose and basic functions

    ElcomSoft Distributed Agentis intended for providing computing time to the ElcomSoft DistributedPassword Recoveryserver which in its turn uses it for recovery of documents which password is lostor forgotten.

    The program allows:

    - to be administered locally or remotely, in case of remote administration the business hoursand priority are adjusted and taken from the server;- to control business hours during which the processor can be used;- to control work priorities;- to be started as the system service and as normal application;- to keep books the machine working hours;- to keep books and if necessary to view the action reports.

    1.3 1.3. General work algorithm

    The Agent connects to the specified server, renders executed work (if any), receives the next work

    portion, disconnects and starts processing the task. Periodically, on average every sixty seconds plussome random number of seconds, not more than sixty, the Agent connects to the server to advise itsstate.

    2 2. Quick setup, launch and beginning of operation

    If you want to quickly start the program do the following:

    - start the setup program (agent_setup.exe);

    - answer all the questions of the setup program by pressing the key Enter on the keyboardor by clicking the corresponding default buttons with the left hand key of the mouse in thedialogs;

    - in the opening window of the started program specify your name or the ip-address of theserver on the first bookmark Server after which click OK or Apply at the bottom of thedialog.

    If you did everything correctly the Agent will be ready for work.

    3.1 3.1. System requirements

    For normal functioning of the program the following hardware and software are necessary:

    - 100%-compatible with IBM PC computer, processor Pentium or higher;

    - 256 Mb internal memory;

    - 20 Mb free disk space;

    - one of the following operation systems:Windows 2000 ProfessionalWindows 2000 ServerWindows 2000 Advanced ServerWindows 2000 Datacenter Server

    To install ElcomSoft Distributed Agenton the computer:

    - start the program agent_setup.exe;

    - select the preferred language of the program interface and click OK (Figure 3.2.1);

    - click I Agree, if you agree with the conditions of the licensing agreement, click Cancel ifyou want to quit the installation, Back - if you want to return to the previous window of theprogram setup (Figure 3.2.4);

    - select the components you want to install and click Next (Figure 3.2.5);

    - click Browse if you want to change the folder on default (Figure 3.2.6), then select arequired folder and click OK (Figure 3.2.7), if you do not want to change the folder wherethe program will be installed click Next (Figure 3.2.6);

    - in the opening dialog box (Figure 3.2.8) indicate to the folder name in the standard Programmenu. Click Install;

    - remove the check mark in this dialog box if you do not want to run the program whenclicking Finish (Figure 3.2.9);

    - click Finish to complete the installation.

    3.3 3.3. Reinstallation

    Reinstallation takes place when you start the setup program agent_setup.exe and the program hasbeen already installed on your computer. This procedure may be required under program update to anew version. In this case all installation settings and data and log files will be saved.

    To reinstall the ElcomSoft Distributed Agenton your computer

    - start the program agent_setup.exe;

    - follow the program setup instructions (Figure 3.2.2);

    - click Next to continue the installation or Cancel to quit the installation (Figure 3.2.3);

    - click I Agree, if you agree with the licensing agreement, Cancel - if you want to interruptthe installation process, Back - to return to the previous setup program window (Figure3.2.4);

    - remove the check mark on the dialog box, if you do not want to run the program whenclicking finish (Figure 3.2.9);

    - click finish to complete the installation.

    3.4 3.4. Program uninstallation

    To uninstall the ElcomSoft Distributed Agentin the computer:

    - initiate the standard means to uninstall the program;

    - in the opening dialog box (Figure. 3.4.1) click Next;

    - remove the check mark from delete all log-files, if you do not want to delete all the log filescreated by the program (Figure 3.4.2);

    - remove the check mark from delete all data-files , if you do not want to delete all the datafiles created by the program (Figure 3.4.2);

    - click Uninstall to start the program deletion (Figure 3.4.2);

    - click Finish , to complete the program deletion (Figure 3.4.3).

    Now the program has been deleted from your computer.

    3.5 3.5. Quiet installation, installation on remote machines

    Quiet installation is intended for remote installation of the program to a large number of computersin the network. In this case the setup program will not produce any dialogs.

    To perform this installation you have to create a textual file of the ASCII format under the name ofagent_setup.ini and put it near the setup program of agent_setup.exe. The agent_setup.ini fileconsists of several sections where parameters names and their corresponding values are located. Asection has the following view:

    [Name_section]Name_parameter_1=value_parameter _1Name_parameter_2=value_parameter _2

    At the beginning of the section there is its name in square brackets. Then there are lines withparameter values. To the left of the equality sign name of next parameter, on the right - its value.

    Inside, the agent_setup.ini file must comprise the following lines:

    "Administration" - Set 0, if you want to configure working hours and priority yourself, 1, if you wantworking hours and priority to be administrated from the server"ServerHost" - the server name or ip-address to which the Agent will be connected"ServerPort" - the server port to which the Agent will be connected

    "HideIndicator" - responsible for the presence of the Agent icon in the systems tree (0no, 1yes)"RunAs" =0 - run the program when a user logs in; =1 - run the program at Windows start-up"Language" - language of the program interface

    Then, for instance, having administration rights, you will be able to:

    - run the Server service if it has not been started;

    - provide a general access to the folder with the agent_setup.exe and agent_setup.inifiles;

    - edit the task list of the AT service;

    - start the AT service.

    This way you can remotely install the Agent to the network machines.

    3.6 3.6. Quiet uninstallation, uninstallation from remote machines

    Quiet uninstallation is intended for program deletion from a large number of computers in thenetwork. In this case the program will not produce any dialogs.Under starting the agent_setup.exe program withthe key uninstall, you will be able to

    automatically uninstall the program in the computer:

    4.1 4.1. General

    The program general settings are located on the second tab of the general property dialog under thename of General. Here you will see two groups of settings Administering and Server, whichwill be described below. (Figure 4.1).

    4.1.1 4.1.1. Local and remote administration

    Administering can be one of the two types: local and remote.

    Set Local, if you want to configure working hours and priority yourself,Remote , if you want working hours and priority to be administrated from the server.

    4.1.2 4.1.2. Server parameters

    The server parameters must be obligatorily preset for the program to be connected to the sever andtake part of work from it.

    In the Host parameter specify the server name or ip-address or select from the available list byclicking Browse.

    In the TCP-Port parameter indicate the server port, if the server port differs from the setting ondefault. Under pressing the key Reset, the TCP-Port parameter will be a default value.

    After presetting the Host orTCP-Port parametersyou can check if the Agent can be connected tothe server under these parameters. For this click Check connection, with the icon on the top left youwill see if the program began connection. If the icon becomes red the Agent could not be connected tothe server.

    4.2 4.2. Limitations

    The tab under the name ofLimitations allows you to install local administrationin the bookmark ofGeneral, to set working hours during which the program will be able to perform computations byweekdays, and the system priority which will be used for that. If you set remote administration , you willbe able to look through the working hours and priority preset on the server (Figure 5.1).

    4.2.1 4.2.1. Working hours

    You can preset certain working hours of the program both for all weekdays and for a separate day. Forthis choose a weekday in Limitations whichworking hours you want to set, orand checkcorresponding hours. You can use buttons Check all, Uncheck all, in order to check or uncheck

    working hours for a separate weekday or for all days.

    4.2.2 4.2.2. Working priority

    Priority, according to which the program performs computations relative to other working programs.The Simple system priority is a default setting. It means that the program will use the central

    processor only when it is not needed for other programs. If, for instance, you set the Normal priorityand start some hard process together with the Agent they will equally share the processor.

    4.3 4.3. Interface settings

    The tab Interface allows to set the program interface and run the program as service(Figure 6.1).

    Having installed this option you will allow the program to display its icon on the taskbar by showing itsstate (see details on the program status in the corresponding section). A double click with the left handkey of the mouse will call the program property dialog, a single click with the right hand key of themouse calls the context menu (see details on the context menu in the corresponding section).

    4.3.2 4.3.2. System service work

    After having been installed the Agent works as normal application on default but you can run it asservice. In this case the program will work until the user login.For the program to work as service put the corresponding switch to position Windows NT Service andclick OK or Apply and reload the program.

    4.3.3 4.3.3. Interface language

    You can choose one of the available languages in which the program interface will be displayed.

    Press the View Log button, to view the logbook content. If the logbook is too large and is difficult tobe displayed by the standard viewer use another view program by opening the file in it with the namespecified in the File name field.

    4.4.3 4.4.3. Clear log

    Press the Clear Log button to clear the log file content and confirm this action (Figure 4.4.3).

    4.4.4 4.4.4. Details level

    There are three detail levels in logging:all possible messagesfor setup mode; informations, warningsand errors on default; errors only if you do not want to log the program actions except for errors.The details level is set by certain switch position.

    4.4.5 4.4.5. Size limit

    For the log not to cover all free disk space you can limit its maximum size. In this case upon reachingits maximum size it will be cleared and created anew.To limit the log size enable the corresponding option and set the maximum size in kilobites.

    4.4.6 4.4.6. Setting the log file name

    In the field file name assign the name to the file where the logbook is stored.

    4.5 4.5. Statistics interpretation

    In the About tab the passwords, keys and processor time usage are registered. The statistics ismaintained for the current day, week, month and for the whole time after the last reset. (Figure 4.5).

    Button Exit is used for termination of the program. It should be noted that if you do not use thisfunction then under next start the program will be automatically run.

    Button is used for applying of changed features and for closing of dialogs. Closing of dialogs willnot result in program termination.

    Button Cancel is used for cancellation of the changed but not applied settings and for closing offeature dialogs. Closing of dialogs will not result in program termination.

    Button Apply isused for application of changed settings. If this button is in the state when it isimpossible to press it there is no need to apply changed settings since no changes have been done.

    4.7 4.7. Resetting

    To reset click the system menu of the feature dialog with left hand key of the mouse or click+ on the keyboard and apply Restore defaults.

    When the program displays its icon in the system tree you will see the context menu upon clicking itwith the right hand key of the mouse (Figure 5.1).

    Command Hide icon is used to hide an icon on the taskbar. To restore the icon disable option Hide

    icon, in the bookmark Interface .

    Priority changes the program priorities. This option is identical to that in the program feature dialogunder the bookmark Limitations .

    Exit terminates the program. It should be noted that if you do not use this command the program willautomatically start next time under system initialization.

    The program has two state types that can change:- working

    - networking

    6.1 6.1. Working

    The working state can be of one of the three types:

    - workinghas taken the task and is calculating;- free no task for calculation;- off hours not working currently;- not responded has not connected during the assigned life time;- disabled is blocked by the user, cannot receive tasks.

    6.2 6.2. Networking

    The networking state can be of one of the three types:

    - offline;- connecting;- online.

    The Agent is in the offlinestate most of the time when it is processing the server task or expecting it.

    The Agent enters the connectingstate when it intends to connect to the server.

    The Agent is in the onlinestate when being connected to the server is giving or receiving the taskfrom it.

    to download and/or other related services, including without limitation a) all of the contents of the files,disk(s), CD-ROM(s) or other media with which this Agreement is provided and including all forms ofcode, such as source code and object code, (the Software), b) all successor upgrades, modifiedversions, modified modules, revisions, patches, enhancements, fixes, modifications, copies, additionsor maintenance releases of the Software, if any, licensed to you by the Licensor (collectively, theUpdates), and c) related user documentation and explanatory materials or files provided in written,online or electronic form (the Documentation and together with the Software and Updates, theProduct). You are subject to the terms and conditions of this End User License Agreement whetheryou access or obtain the Product directly from the Licensor, or through any other source. Forpurposes hereof, you means the individual person installing or using the Product on his or her ownbehalf; or, if the Product is being downloaded or installed on behalf of an organization, such as anemployer, you means the organization for which the Product is downloaded or installed, then theperson accepting this agreement represents hereby that such organization has authorized such personto accept this agreement on the organizations behalf. For purposes hereof the term organization,

    without limitation, includes any partnership, limited liability company, corporation, association, jointstock company, trust, joint venture, labor organization, unincorporated organization, or governmentalauthority.

    By accessing, storing, loading, installing, executing, displaying, copying the Product into the memory ofa Client Device, as defined below, or otherwise benefiting from using the functionality of the Product(Operating), you agree to be bound by the terms and conditions of this Agreement. If you do notagree to the terms and conditions of this Agreement, the Licensor is unwilling to license the Product toyou. In such event, you may not Operate or use the Product in any way.

    BEFORE YOU I AGREE BUTTON, PLEASE CAREFULLY READ THE TERMS AND CONDITIONSOF THIS AGREEMENT, AS SUCH ACTIONS ARE A SYMBOL OF YOUR SIGNATURE AND BYCLICKING ON THE I AGREE BUTTON, YOU ARE CONSENTING TO BE BOUND BY AND AREBECOMING A PARTY TO THIS AGREEMENT AND AGREE THAT THIS AGREEMENT IS

    ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU. IF YOU DONOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK THE CANCEL BUTTONAND THE PRODUCT WILL NOT BE INSTALLED ON YOUR CLIENT DEVICE, AS SUCH TERM ISDEFINED BELOW.     1. Proprietary Rights and Non-Disclosure.

    1.1. Ownership Rights. You agree that the Product and the authorship, systems, ideas, methods of

    operation, documentation and other information contained in the Product, are proprietary intellectualproperties and or the valuable trade secrets of the Licensor and are protected by civil and criminal law,and by the law of copyright, trade secret, trademark and patent of the Russian federation, othercountries and international treaties. You may use trademarks only insofar as to identify printed outputproduced by the Product in accordance with accepted trademark practice, including identification oftrademark owners name. Such use of any trademark does not give you any rights of ownership in thattrademark. The Licensor and its suppliers own and retain all right, title, and interest in and to theProduct, including without limitations any error corrections, enhancements, Updates or othermodifications to the Software, whether made by Licensor or any third party, and all copyrights, patents,trade secret rights, trademarks, and other intellectual property rights therein. Your possession,installation or use of the Product does not transfer to you any title to the intellectual property in theProduct, and you will not acquire any rights to the Product except as expressly set forth in thisAgreement. All copies of the Product made hereunder must contain the same proprietary notices thatappear on and in the Product. Except as stated herein, this Agreement does not grant you anyintellectual property rights in the Product and you acknowledge that the license granted under thisAgreement only provides you with a right of limited use under the terms and conditions of thisAgreement.

    1.2. Source Code and Modifications. You acknowledge that the source code for the Product is

    proprietary to the Licensor and constitutes trade secrets of the Licensor. You agree not to modify, orcreate derivative works based upon the Product in whole or in part nor reverse engineer, decompile,disassemble the source code of the Product in any way.

    1.3. Registration Code File and Confidential Information. You agree that, unless otherwise specificallyprovided herein or agreed by the Licensor in writing, the Product, including the specific design andstructure of individual programs and the Product, including without limitation the Registration Code Fileprovided to you by the Licensor and/or its authorized resellers or distributors, constitute confidentialproprietary information of the Licensor. For purposes hereof, Registration Code shall mean a uniquekey identification file or a combination of unique electronic characters provided to you by the Licensorconfirming the purchase of the license from the Licensor, which may carry the information about thelicense and the number of permitted users, and enabling the full functionality of the Product inaccordance with the license granted under this Agreement. You agree not to transfer, copy, disclose,provide or otherwise make available such confidential information in any form to any third party without

    the prior written consent of the Licensor. You agree to implement reasonable security measures toprotect such confidential information, but without limitation to the foregoing, shall use best efforts tomaintain the security of the Registration Code provided to you by the Licensor and/or its authorizedresellers or distributors.

    2. Grant of License.

    2.1. License. The Licensor grants you the following rights (License) and you hereby agree andaccept such License:

    a). Trial Version. If you have received, downloaded and/or installed a trial version of the Product andare hereby granted an evaluation license for the Software and you may Operate the Product only forevaluation purposes and only during the single applicable evaluation period of thirty (30) days, unlessotherwise indicated, from the date of the initial installation. Following this test period of thirty (30) days

    or less, if you wish to continue to use the Product, you must register. To register you have to pay forthe fully functional version. Upon payment we provide the Registration Code to you. Any use of theProduct for other purposes or beyond the applicable evaluation period is strictly prohibited, providedhowever that, subject to the restrictions contained herein, you may copy and distribute a trial version ofthe Software without any modifications whatsoever to any third party subject to this Agreement andfurther provided that you have no technical support rights during the trial period. The unregistered(trial) version may be freely distributed, provided that the distribution package is not modified. Noperson or company may charge a fee for the distribution of the Product without written permission fromthe copyright holder.

    b). Grant of License. Unless otherwise specifically indicated under a valid license (e.g. volume

    license) granted by the Licensor, once registered you are granted a non-exclusive andnon-transferable license to install one (1) copy of the Product and during the term of your license,subject to the payment of the applicable fees and your compliance with the terms hereof, thisAgreement permits you or any of your employees to Operate one copy of the specified version of theProduct, for internal purposes only, on one computer, workstation, or other electronic device of whichthe software was designed (each a Client Device). If you have purchased multiple licenses for theProduct, then the number of multiple licenses shall determine the number of copies of the Product youmay have and the number of Client Devices on which you may Operate the Product. If the Product islicensed as a suite or bundle with more than one specified software product, this license applies to allsuch specified software products, subject to any restrictions or usage terms specified on the applicableprice list or product packaging that apply to any of such software products individually. Additionally,Licensor reserves the right to provide for specific terms and conditions in the purchased licenses andsuch terms may be embedded in Registration Code specifying other terms, conditions and restrictionsof Operating of the Product. The Licensor reserves all rights not expressly granted herein.

    c). Limitations on Personal License. With the purchase of a personal License, the Licensee mayoperate the Product as set forth in the Agreement for non-commercial purposes in a non-business ornon-commercial environment. Use of the Product in a corporate, governmental or businessenvironment requires the purchase of a business license.

    d). Site License. With the acquisition of a Site License, the Licensee may install and use the Producton an unlimited amount of CPUs within one office in one geographic location. Within these limitations,the Licensee may install the Product as a Network Product and run the software from any networkedcomputer on your LAN, provided those computers are located exclusively within one office at onegeographic location.e). Volume Use. If the Product is licensed with volume license terms specified in the applicableproduct invoicing or packaging for the Product, you may make use and install as many additionalcopies of the Product on the number of Client Devices as the volume license terms specify. You musthave a reasonable mechanism in place to ensure that the number of Client Devices on which theProduct has been installed does not exceed the number of licenses you have obtained.

    f). Multiple Environment Product; Multiple Language Product; Dual Media Product; Multiple Copies;Bundles. If the Product supports multiple platforms or languages, if you receive the Product on

    multiple media, if you otherwise receive multiple copies of the Product, or if you received the Productbundled with other software, the total number of your Client Devices on which all versions of theProduct are installed may not exceed the number of licenses you have obtained from the Licensor.You may not rent, lease, sublicense, lend or transfer any versions or copies of the Product you do notuse.

    2.2. Back-up Copies. You can make one (1) copy the Product for backup and archival purposes,provided, however, that the original and each copy is kept in your possession or control, and that yourinstallation and use of the Product does not exceed that which is allowed in this Section 2.

    2.3. Prohibitions. You may not use, copy, emulate, clone, rent, lease, sell, modify, decompile,disassemble, otherwise reverse engineer, or transfer the licensed program, or any subset of thelicensed program, except as provided for in this Agreement. Any such unauthorized use shall result inimmediate and automatic termination of this license and may result in criminal and/or civil prosecution.

    Neither ElcomSoft binary code nor source may be used or reverse engineered to re-create theprogram algorithm, which is proprietary, without written permission of Licensor. All rights not expresslygranted here are reserved by ElcomSoft Co. Ltd.

    2.4. Special Provisions Applicable to Password Recovery Programs. The Licensor has a strict returnpolicy due to the nature of our products. If the software is unable to recover (or remove, or change) apassword, a copy of the unrecovered file must be sent to the Licensor for evaluation. If the password isrecovered, you will be either able to keep the software and receive the password to the file (orunprotected copy of the file), or refund can be made and the end user will need to pay for the in-houserecovery in order to receive the password. If the Licensor is unable to recover the password, a fullrefund will be made. This subsection is applicable only to situations when password recovery or

    removal is guaranteed without brute-force or dictionary attacks.

    2.5. Registration Code. Registration Code provided by the Licensor constitutes the confidentialproprietary information of the Licensor. ElcomSoft Registration Code file may not be distributed,except as stated herein, outside of the area of legal control of the person or persons who purchasedthe original license, without written permission of the copyright holder. You may not give away, sell orotherwise transfer your Registration Code to a third party. Doing so will result in an infringement ofcopyright. ElcomSoft Co. Ltd retains the right of claims for compensation in respect of damage whichoccurred by your giving away the registration code. This claim shall also extend to all costs whichElcomSoft Co. Ltd incurs in defending itself.

    2.6. Transfers. Under no circumstances shall Licensee sell, rent, lease, license, sublicense, publish,display, distribute, or otherwise transfer to a third party the Software, any copy thereof, in whole or inpart, without Licensor's prior written consent, unless otherwise provided for in this Agreement.

    2.7. Acceptance of Licensing Terms. Installing and using the Product signifies acceptance of theseterms and conditions of the License. If you do not agree with the terms of the license you must removeall Product files from your storage devices, including any back-up or archival copy, and cease to usethe Product.

    2.8. Material Terms and Conditions. Licensee specifically agrees that each of the terms andconditions of this Section 2 are material and that failure of Licensee to comply with these terms andconditions shall constitute sufficient cause for Licensor to immediately terminate this Agreement andthe License granted under this Agreement. The presence of this Section 2.7 shall not be relevant indetermining the materiality of any other provision or breach of this Agreement by either party.

    2.9. Term and Termination. The term of this Agreement (Term) shall begin when you download,access or install the Product or pay the applicable license fees (whichever is earlier) and shall continuefor the term specified in your order. Without prejudice to any other rights, this Agreement willterminate automatically if you fail to comply with any of the limitations or other requirements describedherein. Upon any termination or expiration of this Agreement, you must immediately cease use of theProduct and destroy all copies of the Product.

    2.10. No Rights Upon Termination. Upon termination of this Agreement you will no longer beauthorized to Operate or use the Product in any way.

    3. Support and Updates.

    3.1. Terms of Support. During the one-year period you are entitled to technical services and supportfor the Product which is provided to you by Licensor during the regular business hours (GMT+ 03:00),except for locally-observed holidays, and includes the support provided through a special technicalsupport section of the Licensors site (the Site) and email [email protected]. During suchperiod of one year e-mail support is unlimited and includes technical and support questions and patchfixes.

    3.2. Updates. During the one-year period, you may download Updates to the Product when and as theLicensor publishes them on the Site, or through other online services. If the Product is an Update to a

    previous version of the Product, you must possess a valid license to such previous version in order touse the Update. You may continue to use the previous version of the Product on your Client Deviceafter you receive the Update to assist you in the transition to the Update, provided that: (i) the Updateand the previous version are installed on the same Client Device; (ii) the previous version or copiesthereof are not transferred to another party or Client Device unless all copies of the Update are alsotransferred to such party or Client Device; (iii) you acknowledge that any modification that you made tothe Product may be lost, altered, distorted or destroyed rendering such modifications, Product or thepart thereof inoperable or non-usable; and (iv) you acknowledge that any obligation the Licensor mayhave to support the previous version of the Product may be ended upon availability of the Update.Except for the rights to free Updates during the one-year period, as further defined herein, nothing inthis Agreement shall be construed as to grant you any rights or licenses with regard to the new

    releases of the Product or to entitle you to any new release. This Agreement does not obligate theCompany to provide any Updates. Notwithstanding the foregoing, any Updates that you may receivebecome part of the Product and the terms of this Agreement apply to them (unless this Agreement issuperseded by a succeeding agreement accompanying such Update or modified version of theProduct).

    4. Restrictions.

    4.1. No Transfer of Rights. You may not transfer any rights pursuant to this Agreement nor rent,sublicense, lease, loan or resell the Product. You may not permit third parties to benefit from the useor functionality of the Product via a timesharing, service bureau or other arrangement, except to theextent such use is specified in the application price list, purchase order or product packaging for theProduct. Except as otherwise provided in Section 1.2 hereof, you may not, without the Licensors priorwritten consent, reverse engineer, decompile, disassemble or otherwise reduce any party of theProduct to human readable form nor permit any third party to do so, except to the extent the foregoingrestriction is expressly prohibited by applicable law. Notwithstanding the foregoing sentence,decompiling the Software is permitted to the extent the laws of your jurisdiction give you the right to doso to obtain information necessary to render the Software interoperable with other software; provided,however, that you must first request such information from the Licensor and the Licensor may, in its

    discretion, either provide such information to you (subject to confidentiality terms) or imposereasonable conditions, including a reasonable fee, on such use of the Software to ensure that theLicensor's and its affiliates proprietary rights in the Software are protected. Except for the modificationpermitted under Section 1.2, you may not modify, or create derivative works based upon the Product inwhole or in part.

    4.2. Proprietary Notices and Copies. You may not remove any proprietary notices or labels on theProduct. You may not copy the Product except as expressly permitted in Section 2 above.

    4.3. Compliance with Law. You agree that in Operating the Product and in using any report orinformation derived as a result of Operating this Product, you will comply with all applicableinternational, national, state, regional and local laws and regulations, including, without limitation,privacy, trademark, patent, copyright, export control and obscenity law and you shall not use theProduct for unethical or illegal business practices or in violation of any obligation to a third party in

    using, operating, accessing or running any of the Product and shall not knowingly assist any otherperson or entity to so violate any obligation to a third party.

    4.4. Additional Protection Measures. Solely for the purpose of preventing unlicensed use of theProduct, the Software may install on your Client Device technological measures that are designed toprevent unlicensed use, and the Licensor may use this technology to confirm that you have a licensedcopy of the Product. The update of these technological measures may occur through the installationof the Updates. The Updates will not install on unlicensed copies of the Product. If you are not usinga licensed copy of the Product, you are not allowed to install the Updates. The Licensor will not collectany personally identifiable information from your Client Device during this process.

    5. WARRANTIES AND DISCLAIMERS.

    5.1. Limited Warranty. The Licensor warrants that for 90 days (the Warranty Period) from the date

    the Registration Code is provided to you by Licensor, the media on which Product has been providedwill be free from defects in materials and workmanship and that the Software will perform substantiallyin accordance with the Documentation or generally conform to the Products specifications publishedby the Licensor. Non-substantial variations of performance from the Documentation do not establish awarranty right. THIS LIMITED WARRANTY DOES NOT APPLY TO UPDATES AS APPLIED TO ANYMODIFIED PRODUCT, WHETHER OR NOT SUCH MODIFICATION IS PERMISSIBLEHEREUNDER, TRIAL AND EVALUATION VERSIONS, UPDATES, PRE-RELEASE, TRYOUT,PRODUCT SAMPLER, OR NOT FOR RESALE (NFR) COPIES OF PRODUCT. This limited warrantyis void and your support right terminate if the defect has resulted from accident, abuse, ormisapplication or any modification, whether or not such modification is permitted hereunder. Nowarranty is made as to the integrity, protection or safekeeping of any modification to the Products

    made by you upon installation of any of the Updates. To make a warranty claim, you must return theProduct to the location where you obtained it along with proof of purchase within such sixty (60) dayperiod of the license fee you paid for the Product. THE LIMITED WARRANTY SET FORTH IN THISSECTION GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE ADDITIONAL RIGHTS WHICHVARY FROM JURISDICTION TO JURISDICTION.

    5.2. Customer Remedies. The Licensor and its suppliers entire liability and your exclusive remedy forany breach of the foregoing warranty shall be at the Licensors option: (i) return of the purchase pricepaid for the license, if any, (ii) replacement of the defective media in which the Product is contained, or(iii) correction of the defects, bugs or errors within reasonable period of time. You must return thedefective media to the Licensor at your expense with a copy of your receipt. Any replacement mediawill be warranted for the remainder of the original warranty period.

    5.3. NO OTHER WARRANTIES. EXCEPT FOR THE FOREGOING LIMITED WARRANTY, ANDFOR ANY WARRANTY, CONDITION, REPRESENTATION OR TERM TO THE EXTENT TO WHICHTHE SAME CANNOT OR MAY NOT BE EXCLUDED OR LIMITED BY LAW APPLICABLE TO YOU INYOUR JURISDICTION, THE PRODUCT IS PROVIDED AS-IS WITHOUT ANY WARRANTYWHATSOEVER AND THE LICENSOR MAKES NO PROMISES, REPRESENTATIONS ORWARRANTIES, WHETHER EXPRESSED OR IMPLIED, WHETHER BY STATUTE, COMMON LAW,

    CUSTOM, USAGE OR OTHERWISE, REGARDING OR RELATING TO THE PRODUCT ORCONTENT THEREIN OR TO ANY OTHER MATERIAL FURNISHED OR PROVIDED TO YOUPURSUANT TO THIS AGREEMENT OR OTHERWISE. YOU ASSUME ALL RISKS ANDRESPONSIBILITIES FOR SELECTION OF THE PRODUCT TO ACHIEVE YOUR INTENDEDRESULTS, AND FOR THE INSTALLATION OF, USE OF, AND RESULTS OBTAINED FROM THEPRODUCT. THE LICENSOR MAKES NO WARRANTY THAT THE PRODUCT WILL BE ERRORFREE OR FREE FROM INTERRUPTION OR FAILURE, OR THAT IT IS COMPATIBLE WITH ANYPARTICULAR HARDWARE OR SOFTWARE. TO THE MAXIMUM EXTENT PERMITTED BYAPPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED,INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY,NON-INFRINGEMENT OF THIRD PARTY RIGHTS, INTEGRATION, SATISFACTORY QUALITY ORFITNESS FOR ANY PARTICULAR PURPOSE WITH RESPECT TO THE PRODUCT AND THEACCOMPANYING WRITTEN MATERIALS OR THE USE THEREOF. SOME JURISDICTIONS DONOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATION MAY NOT

    APPLY TO YOU. YOU HEREBY ACKNOWLEDGE THAT THE PRODUCT MAY NOT BE ORBECOME AVAILABLE DUE TO ANY NUMBER OF FACTORS INCLUDING WITHOUT LIMITATIONPERIODIC SYSTEM MAINTENANCE, SCHEDULED OR UNSCHEDULED, ACTS OF GOD,TECHNICAL FAILURE OF THE SOFTWARE, TELECOMMUNICATIONS INFRASTRUCTURE, ORDELAY OR DISRUPTION ATTRIBUTABLE TO VIRUSES, DENIAL OF SERVICE ATTACKS,INCREASED OR FLUCTUATING DEMAND, AND ACTIONS AND OMISSIONS OF THIRD PARTIES.THEREFORE, THE LICENSOR EXPRESSLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTYREGARDING SYSTEM AND/OR SOFTWARE AVAILABILITY, ACCESSIBILITY, ORPERFORMANCE. THE LICENSOR DISCLAIMS ANY AND ALL LIABILITY FOR THE LOSS OFDATA DURING ANY COMMUNICATIONS AND ANY LIABILITY ARISING FROM OR RELATED TOANY FAILURE BY THE LICENSOR TO TRANSMIT ACCURATE OR COMPLETE INFORMATION TOYOU.

    5.4. LIMITED LIABILITY; NO LIABILITY FOR CONSEQUENTIAL DAMAGES. YOU ASSUME THE

    ENTIRE COST OF ANY DAMAGE RESULTING FROM YOUR USE OF THE PRODUCT AND THEINFORMATION CONTAINED IN OR COMPILED BY THE PRODUCT, AND THE INTERACTION (ORFAILURE TO INTERACT PROPERLY) WITH ANY OTHER HARDWARE OR SOFTWAREWHETHER PROVIDED BY THE LICENSOR OR A THIRD PARTY. TO THE MAXIMUM EXTENTPERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE LICENSOR OR ITS SUPPLIERS ORLICENSORS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUTLIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSSOF BUSINESS INFORMATION, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE,HARDWARE OR SOFTWARE DISRUPTION IMPAIRMENT OR FAILURE, REPAIR COSTS, TIMEVALUE OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THEPRODUCT, OR THE INCOMPATIBILITY OF THE PRODUCT WITH ANY HARDWARE SOFTWARE

    OR USAGE, EVEN IF SUCH PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCHDAMAGES. IN NO EVENT WILL LICENSORS TOTAL LIABILITY TO YOU FOR ALL DAMAGES INANY ONE OR MORE CAUSE OF ACTION, WHETHER IN CONTRACT, TORT OR OTHERWISEEXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT. THIS LIMITATION OF LIABILITYSHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT THATAPPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE, BECAUSE SOMEJURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FORCONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TOYOU.

    6. Indemnification

    6.1. Indemnification for Violations. Your Operating of the Product, your accessing your account withLicensor and your entering into this Agreement constitutes your consent and agreement to defend,indemnify and hold harmless Licensor and its affiliated companies, employees, contractors, officersand directors from any claim or demand, including reasonable attorneys fees arising out of your use ofthe Product in violation of this Agreement.

    SPECIAL PROVISION APPLICABLE TO U.S. PERSONS AND ENTITIES.

    7. U.S. Government-Restricted Rights.

    7.1. Notice to U.S. Government End Users. The Product and accompanying Documentation aredeemed to be Commercial Items, as that term is defined at 48 C.F.R. par. 2.101, consisting ofCommercial Computer Software and Commercial Computer Software Documentation, respectively,as such terms are used in 48 C.F.R. par. 12.212 or 48 C.F.R. par. 227.7202, as applicable.Consistent with 48 C.F.R. par. 12.212 or 48 C.F.R. par. 227.7202-1 through 227.7202-4, as applicable,the Commercial Computer Software and Commercial Computer Software Documentation are beinglicensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights,including any use, modification, reproduction, release, performance, display or disclosure of theProduct and accompanying Documentation, as are granted to all other end users pursuant to theterms and conditions herein. Unpublished-rights reserved under the copyright laws of the UnitedStates.

    7.2. Export Restrictions. You acknowledge and agree that the Product may be subject to restrictionsand controls imposed by the Export Administration Act and the Export Administration Regulations ofthe United States (the Acts). You agree and certify that neither the Product nor any direct productthereof is being or will be used for any purpose prohibited by the Acts. You may not Operate,download, export, or re-export the Product (a) into, or to a national or resident of, any country to whichthe United States has embargoed goods, or (b) to anyone on the United States Treasury Departmentslist of Specially Designated Nationals or the U.S. Commerce Departments Table of Deny Orders. Bydownloading or using the Product, you are representing and warranting that you are not located in,under the control of, or a national or resident of any such country or on any such list. You acknowledgethat it is your sole responsibility to comply with any and all government export and other applicablelaws and that the Licensor has no further responsibility for such after the initial license to you. Youwarrant and represent that neither the U.S. Commerce Department, Bureau of Export Administrationnor any other U.S. federal agency has suspended, revoked or denied your export privileges.

    8. Your Information and the Licensors Privacy Policy

    8.1. Privacy Policy. You acknowledge receipt of and agree to the Licensors privacy statement which ismade available to you in connection with installation and is set forth in full athttp://www.elcomsoft.com/privacy.html. You hereby expressly consent to the Licensors processing ofyour personal data (which may be collected by the Licensor or its distributors) according to theLicensors current privacy policy as of the date of the effectiveness hereof which is incorporated intothis Agreement by reference. By entering into this Agreement, you agree that the Licensor may collectand retain information about you, including your name and email address. The Licensor employs othercompanies and individuals to perform certain functions on its behalf. Examples include fulfilling

    orders, delivering packages, sending postal mail and e-mail, removing repetitive information fromcustomer lists, analyzing data, providing marketing assistance, processing credit card payments, andproviding customer service. They have access only to personal information needed to perform theirfunctions, but may not use it for other purposes. The Licensor publishes a privacy policy on its website and may amend such policy from time to time in its sole discretion. You should refer to theLicensors privacy policy prior to agreeing to this Agreement for a more detailed explanation of howyour information will be stored and used by the Licensor. If you are an organization, you will ensurethat each member of your organization (including employees and contractors) about whom personaldata may be provided to the Licensor has given his or her express consent to the Licensorsprocessing of such personal data. Personal data will be processed by the Licensor or its distributors inthe country where it was collected.

    8.2. Public Announcements. The Licensor may identify you to the public as a customer of the Licensorand describe in a customer case study the services and solutions delivered by the Licensor to you.The Licensor may also issue one or more press releases, containing an announcement of theexecution and delivery of this Agreement and/or the implementation of the Product by you. Nothingcontained in this Section shall be construed as an obligation by you to disclose any of your proprietaryor confidential information to any third party. In addition, you may opt-out from this Section by writingan opt-out request to the Licensor at [email protected].

    9. Miscellaneous.

    9.1. Governing Law; Jurisdiction and Venue. This Agreement shall be governed by and construed andenforced in accordance with the laws of the Russian Federation without reference to conflicts of lawrules and principles. To the extent permitted by law, the provisions of this Agreement shall supersedeany provisions of the Uniform Commercial Code as adopted or made applicable to the Products in anycompetent jurisdiction. This Agreement shall not be governed by the United Nations Convention onContracts for the International Sale of Goods, the application of which is expressly disclaimed andexcluded. The courts within the Russian Federation shall have exclusive jurisdiction to adjudicate anydispute arising out of this Agreement. You agree that this Agreement is to be performed in theRussian Federation and that any action, dispute, controversy, or claim that may be instituted based onthis Agreement, or arising out of or related to this Agreement or any alleged breach thereof, shall beprosecuted exclusively in the courts in of the Russian Federation and you, to the extent permitted by

    applicable law, hereby waive the right to change venue to any other state, county, district orjurisdiction; provided, however, that the Licensor as claimant shall be entitled to initiate proceedings inany court of competent jurisdiction.

    9.2. Period for Bringing Actions. No action, regardless of form, arising out of the transactions underthis Agreement, may be brought by either party hereto more than one (1) year after the cause of actionhas occurred, or was discovered to have occurred, except that an action for infringement of intellectualproperty rights may be brought within the maximum applicable statutory period.

    9.3. Entire Agreement; Severability; No Waiver. This Agreement is the entire agreement betweenyou and Licensor and supersedes any other prior agreements, proposals, communications oradvertising, oral or written, with respect to the Product or to subject matter of this Agreement. Youacknowledge that you have read this Agreement, understand it and agree to be bound by its terms. Ifany provision of this Agreement is found by a court of competent jurisdiction to be invalid, void, or

    unenforceable for any reason, in whole or in part, such provision will be more narrowly construed sothat it becomes legal and enforceable, and the entire Agreement will not fail on account thereof andthe balance of the Agreement will continue in full force and effect to the maximum extent permitted bylaw or equity while preserving, to the fullest extent possible, its original intent. No waiver of anyprovision or condition herein shall be valid unless in writing and signed by you and an authorizedrepresentative of Licensor provided that no waiver of any breach of any provisions of this Agreementwill constitute a waiver of any prior, concurrent or subsequent breach. Licensors failure to insist uponor enforce strict performance of any provision of this Agreement or any right shall not be construed asa waiver of any such provision or right.
