Active Broadband Networks (ABN) specializes indeveloping

Operations Support Systems (OSS) solutions for

Communication Service Providers (CSP). Its OSS solutions

assist CSPs in the analysis of subscriber-based broadband

data usage, enabling operators and end users to understand

and manage their data plans.

In 2014, ABN was faced with an opportunity to develop a

new solution using software-defined–networking (SDN).

This new technology was early in its development, however

with significant interest from its existing customers and the

prospect of creating a new market, ABN elected to pursue the

option. This strategic decision would require significant capital

and time to execute properly, leaving the OSS business in a

critical position.

ABN and Volaris Group had been in discussions for several years

about potential partnerships and strategic alternatives. ABN

was particularly interested in the Volaris Group’s expertise in

developing and growing software businesses and believed that

there was a possibility for Volaris to take over the core OSS side

of ABN’s business to provide the support and scale necessary to

continue to develop this product line and support their growing

OSS customer base allowing ABN to pursue their SDN initiative.

Volaris Group was able to structure a transaction where the OSS

side of the business would spin-out from the core business.

Finding a Solution

After joining Volaris Group’s portfolio of software businesses

ABN’s OSS business was placed under the portfolio management

of Incognito, a larger OSS business with a global 250+ customer

base. Since then, the ABN product suite has been strengthened

in terms of global customer service and project delivery capacity,

which in turn has increased the stability and longevity of this

solution in the marketplace.

Today, ABN’s key OSS customers continue to enjoy the flexibility

and responsiveness of a dynamic small organization with the

stability and support of a global corporation to back them up.

This partnership has helped position and prepare the ABN OSS

product line for future strategic and organic growth.

Post-Transaction Success

The acquisition of ABN’s OSS business

put Volaris in position to transition their

growing customer base into Incognito’s

global customer support organization,

and provide a strong platform for sustained

investment in the product suite. This helped

to solve a major continuity issue for ABN,

which gave the business peace of mind to

focus on their SDN initiative.”
