SECTION 1 INTRODUCTION 1.1 PROJECT BACKGROUND

The Adani Group’s venture into Australia commenced in 2010 with the purchase of EPC 1690, the underlying tenement for the development of the Greenfield Carmichael Coal Mine in the Galilee Basin, Central Queensland, and entering into a 99 year lease of the Port of Abbot Point near Bowen in North Queensland. Adani’s vision is to operate a vertically integrated model - with the extraction of coal from the Carmichael Mine, transport by rail to Abbots Point, and export to meet the consumer and business demands in offshore markets.

Adani Group is proposing to develop a 40 million tonne (product) per annum (Mtpa) thermal coal mine in the North Galilee Basin, approximately 160 kilometres (km) north-west of the town of Clermont, Central Queensland. All coal will be railed via a privately owned rail line connecting directly to the Abbot Point Terminal and shipped through coal terminal facilities at the Port of Abbot Point. Export coal from this project will predominantly service the Indian market.

The Project comprises four major components:

1. Open Cut and Underground Mine along with related Infrastructure (On-site & Off-site);

2. Coal Handling and Preparation Plant (CHPP) & Power Distribution;

3. Railway line from Mine to Port; and

4. Abbot Point Coal Terminal 0 Port Project.

Adani is proposing to develop and own the Abbot Point Coal Terminal 0, with associated infrastructure to receive, handle, stockpile, convey and load coal for export at a planned location adjacent to the existing Terminal T1.

Phase 1 of the Abbot Point Coal Terminal 0 project comprises an export capacity of 40 Mtpa, and the construction of the following infrastructure:

a rail unloading facility;

coal handling and stockpile areas;

a conveyor system that connects the coal handling areas to shiploaders, located on the wharf at the end of a jetty,

a 2.75km trestle jetty; and

a marine offloading facility.

POSCO E&C (The Company) is a main subsidiary of POSCO, which is one of the leading steel-making companies in the world. The Company has been accumulating engineering and construction experiences in mines, rail and port infrastructure, iron and steel works, energy, environmental plants, new city development and architecture, social overhead capital (SOC) and skyscrapers including provision of EPC Services.

The Company entered into a legally binding MOU Agreement with Adani dated as of December 15, 2014, and was appointed by Adani as a preferred EPC Contractor for the construction and development of the Port Project.

1.2 EOI Scope

This Invitation for EOI seeks submissions from the interested parties to supply services for Abbot Point Coal Terminal 0 Project to POSCO E&C.

The scope includes, but not limited to following:

The CCTV system shall provide visual monitoring of key process locations across the site. These shall include but not necessarily limited to coal unloader, feed points onto conveyors, transfer stations, stacker/reclaimer, shiploader. The CCTV system shall be a fully IP based system formed by the connection of IP cameras, CCTV control servers, video recorders, operator console, network.

Operator control consoles connected to the CCTV network shall be provided access to the various CCTV camera video streams for viewing on the local displays. The operator control consoles shall be capable of controlling the pan, tilt and zoom of the connected CCTV cameras.

The CCTV system supplied shall comply with the mandatory requirements of the Mines Health and Safety act and regulations.

All field mounted cameras and devices provided which are located outdoors shall be protected from the environment to prevent corrosion.

All components of the CCTV shall be compatible with PAL video format.

The cameras shall be capable of clear vision during both day and night. Cameras shall operate clearly with a lighting level of 20Lux.

The camera enclosure shall have an ingress protection of IP67 and weatherproof as a minimum and shall be constructed of stainless steel 316 or aluminium.

1.4 Project Requirements

Detailed project requirements are not provided as part of this Invitation for EOI, but will be issued to the Shortlisted Proponents with the RFP (Request for Proposal).

1.5 Invitation for EOI

This Invitation for EOI is a key part of the EOI Phase, and is the first of three (3) phases of the tender process of appointing Subcontractors for delivery of the Project. The two (2) subsequent phases are the Request for Proposal (RFP) Phase and the Negotiation and Award Phase.

The purpose of this Invitation for EOI is to describe the Project and seek EOI from the interested parties for the Abbot Point Coal Terminal O.

Organisations with the required experience, capacity and capability for all/or specific services as listed in Clause 1.2 above, may express their interest by submitting their response to EOI in accordance with the Terms and Conditions set out in this Invitation for EOI.

1.6 Contracting Structure

The Company intends to award Preferred Proponent(s), subject to the Company being awarded as EPC Contractor by Adani. It is acknowledged that the Preferred Proponent(s) may be using Subcontractors. Proponents need to provide details of their proposed Subcontractors/Consultants they wish to engage for this project.

POSCO E&C will issue a full draft Commercial Agreement with the RFP package and in order to achieve a satisfactory allocation of risk between POSCO E&C and the Preferred Proponent(s), engagement is likely to focus on a number of key areas within the Agreement. In formulating the draft Agreement, the Company will draw on current best practices.

1.7 Principal’s Commitment to Australian Jobs Act and Enhanced Project Bylaw Scheme

The Principal is committed to meet its Australian Industry Participation (AIP) Plan obligations under Australian Jobs Act and the Enhanced Project By-law scheme.

1.8 Obligations on the shortlisted Respondents

The shortlisted Respondents will be required to ensure that full, fair and reasonable opportunity is provided to the Australian Suppliers in line with the Principal’s obligations under the Australian Industry Participation Plan(s). The shortlisted Respondents will be also required to demonstrate the compliance regarding full, fair and reasonable opportunity is provided to the Australian Suppliers.

SECTION 2 EXPRESSION OF INTEREST (EOI) REQUIREMENTS 2.1 FORMAT AND STRUCTURE OF THE EOI

Unless otherwise approved by POSCO E&C, the EOI must be submitted in accordance with the Terms and Conditions of this invitation for EOI and in accordance to the Response Structure represented in APPENDIX 1. Respondent is required to use the Submission Cover Letter Example provided in APPENDIX 2.

The cover letter will not form the part of the assessment and any appended, unreferenced corporate brochures, marketing material and the like, which are included with the EOI and not conforming to the Response Structure Format, will not be considered by the Evaluation Team.

The EOI response should strictly address the information requested in Section 5 for each criteria and to be provided in the Response Structure format, under the criteria headings only, and not relied upon by being placed elsewhere in the EOI.

Any EOI’s addressing only part of the requirements set out in this Invitation for EOI may or may not be considered, at POSCO E&C absolute, sole and unfettered discretion.

The page limits are single-sided A4 pages. The font type and size must be Arial Narrow 11 with single line spacing and minimum 6 point spacing between paragraphs. The page limit includes all diagrams, charts, pictures, and the like. Material in excess of the page limits identified may or may not, at Company’s absolute, sole and unfettered discretion, be read or taken into account for the evaluation.

Project data sheets for recent and relevant projects can be included under appropriate section within the response structure document (no appendices included) and the relevance to the project made clear.

2.2 TIME FOR LODGEMENT

Respondents requested to ensure that their EOI submission is lodged by no later than 27/02/2015, 5pm AEST.

2.4 INTERVIEWS

The Company reserves the right to invite certain Respondents to attend an interview. The invited Respondents will be required to provide a presentation of a summary of their EOI and then engage in a questions and answers session.

The Company also reserves the right to consider Respondents for further RFP and tendering process at its sole discretion without having any obligation to provide any justification or explanation.

2.5 COST FOR LODGMENT OF EOI

Cost of preparation and lodgement of EOI with all supporting documents and subsequent clarifications shall be borne by Respondents.

SECTION 3 ASSESSMENT, SELECTION AND NOTIFICATION PROCESS

3.1 PROCUREMENT PROCESS

The Procurement Process for the Project will involve the following phases:

a) EOI Phase;

b) RFP Phase; and

c) Negotiation and Award Phase,

as further described below.

3.2 EOI PHASE

Respondents will be assessed on the information provided in their EOI response against the Selection Criteria.

The focus of the EOI evaluation process is to assess each EOI submission to determine those Respondents demonstrating the required capacity, capability, experience and commitment to proceed to the RFP Phase.

3.3 RFP PHASE

The second phase of the Procurement Process will involve the release of an RFP to the Shortlisted Respondents. The RFP will require these Shortlisted Respondents to submit fully costed Proposals based on the requirements outlined in the RFP document. As a condition of proceeding to the RFP Phase, proposed Shortlisted Respondents will be required to enter into a Confidentiality Deed.

The RFP will contain the Company’s detailed requirements in relation to the services and will include:

a) General information and instructions to the Shortlisted Respondents;

b) A commercial framework summary;

c) Site reports, engineering data and other information;

d) Proponents Selection Criteria and proposal returnable schedules; and

e) The draft of the Commercial Agreement comprising of the deeds and agreements.

During the RFP Phase, the Company will conduct, if required, an interactive tendering process (ITP) following the release of the RFP and in accordance with the probity framework established for the Project.

It is intended that Respondents will have three principal means of obtaining feedback and clarifications from POSCO E&C (the Company) during the preparation of their Proposals at the RFP Phase, as follows:

1. Questions & Answers - process of rising clarification questions by Respondents to the Company in writing, and the Company providing written responses to those questions;

2. ITP workshops - proposed structured workshops to be held between Respondents and the Company; and

3. Site inspections by the Respondents.

The process will be further defined at the time of RFP phase.

3.4 NEGOTIATIONS AND AWARD PHASE

Following detailed evaluation of Proposals, the Company, in its sole discretion, expects to select number of Respondents to proceed through the negotiation and award phase of the procurement process.

3.5 MODIFICATIONS TO PROCUREMENT PROCESS

The Company may in its absolute, sole and unfettered discretion modify or terminate the Procurement Process at any time.

SECTION 4

EVALUATION PROCESS 4.1 EVALUATION METHODOLOGY

Evaluation of the EOI will be conducted by the Evaluation Team to identify Respondents that have capability, capacity and commitment to deliver the Project. The criteria set out below are not necessarily exhaustive, or in any order of significance or equally weighted.

4.2 EVALUATION CRITERIA

The Evaluation Criteria consist of the Selection Criteria and other information to be provided in the EOI, as detailed below.

4.3 SELECTION CRITERIA

The Selection Criteria that will be rated by the Evaluation Team include the following:

2. Relevant project experience

Details of demonstrated capability and experience in delivery of the services nominated by the Respondent

Provide evidence of experience in the manufacturing and supply similar goods including details on the project name, job location, client, year, contract supply value, brief scope of work/services, achievements and lessons learnt comments.

Demonstrate the experience on the Port infrastructure projects with the focus on the experience in regional Queensland and Australia.

3. Resources availability

Demonstrate availability of key staff, major plant and facilities (production and testing)

Outline the details of the key staff, including their relevant project experience, qualifications, licences and their availability (no resumes required).

Provide details on the plant and equipment and its availability.

Provide details on the workshop facilities, production capacity and locations. Provide details on the testing facilities.

Provide information on the proposed subcontractors, suppliers and consultants.

4. Current work commitments

Provide details on the current work commitments and ability to meet timelines

List of the current projects including project name, location, client, expected contract completion date, approx. contract value, brief scope of works/services.

Provide anticipated lead times for delivery of each component of the scope of works. Provide details on your production capacity and ability to meet the current work orders requirements and cover anticipated works.

Details on the Respondent’s approach to the compliance with the Local Industry Participation (LIP) Policy. Outline the Respondent’s commitment to achieving local content, employment, training and innovation outcomes through delivery of the services to the project.

9. Health and Safety Demonstrate sound understanding and capability with regards to the managing of health and safety

The Respondent to provide an overview of their health and safety policies and management systems.

SECTION 5 CONFIDENTIALITY

5.1 NO LEGAL RELATIONSHIP

By lodging an EOI, the Respondent acknowledges that:

1) This Invitation for EOI is not an offer or an invitation to treat;

2) No contract exists or will arise between Company and any entity in respect of the Project by reason of this Invitation for EOI, an EOI or any part or phase of the Procurement Process unless and until the Project Agreement is executed between the Company and the Successful Respondents;

3) The rights, powers and discretions given to Company in this Invitation for EOI are not pursuant to any contract between Company and the Respondent but rather are rights, powers and discretions which Company has, as part of the Invitation for EOI;

4) Despite the previous paragraph, by lodging an EOI, the Respondent is bound by the terms of this and its Lodgement of EOI form; and

5) Company has no contractual or other legal obligation to the Respondent arising out of this Invitation for EOI with respect to the consideration, the evaluation, the acceptance or the rejection of any EOI or the failure to consider, evaluate or accept any EOI. In particular, Company is under no obligation to receive, consider or evaluate any EOI at all or in any particular way or within a particular time period or to give any reasons for any decision it makes in respect of the Invitation for EOI.

5.2 CONFIDENTIALITY AND PROPRIETARY INFORMATION

This Invitation for EOI is subject to copyright vested in Company. A Respondent may copy, save electronically, or otherwise reproduce this Invitation for EOI for the purposes of preparing and lodging an EOI.

The EOI becomes the property of Company upon lodgement by the Respondent and will not be returned to the Respondent.

Company will hold each EOI in confidence so far as the law and Executive and Parliamentary convention permit, although responses by Respondents on commercial principles, risk allocation and any additional information provided in response may be taken into consideration by Company in the development of the Project Agreement for release with the RFP.

Without limitation, each Respondent authorises Company to use and reproduce the whole or any portion of an EOI for the purposes of evaluation.

Any intellectual property rights that may exist in an EOI will remain the property of the Respondent.

Any element of an EOI considered carrying any intellectual property rights should be clearly identified by the Respondent. Where Company, in its absolute, sole and unfettered discretion, determines that such elements are subject to such a right, then Company will treat that element of the EOI accordingly.

By lodging an EOI, the Respondent licenses Company to copy, adapt, modify, disclose or do anything else necessary in Company's absolute, sole and unfettered discretion to all material (including material which contains any intellectual property of the Respondent or any other person) contained in the EOI, for the purposes of evaluating and clarifying the EOI and in relation to the commercial principles risk allocation and, for the purposes of developing the Project documentation for release with the RFP.

Company will treat, in strict commercial confidence, all information submitted by a Respondent in its EOI or otherwise provided to Company as part of this Invitation for EOI.

Respondents must recognise the confidential nature of the EOI and undertake to keep this material confidential.

Except if required by law or by the rules of a stock exchange on which the Respondent is listed (in which case the Respondent must advise Company of the need to do so as soon as reasonably practical before making or authorising a release), Respondents must not make or authorise, and must procure an undertaking that its Related Bodies do not make or authorise, a press release or other public statement relating to:

a) The content of its EOI;

b) Any information provided or made available by or on behalf of Company ;

c) Whether or not the Respondent has ceased to participate in the Procurement Process; and

d) Any decision of Company or any other communication between the Respondent and Company relating to the EOI process, without the prior written consent of Company.

5.3 RELATED BODIES

In selecting the Respondents to be shortlisted to undertake the RFP Phase, Company may take into account the relationship between Respondents (including the existence of Related Bodies and common directorships).

The Respondent should note that:

a) Those Respondents that include an unrelated Respondent that is or may become involved in another Respondent's EOI, will only satisfy this criterion if the Evaluation Team considers that:

- The processes and procedures put in place or to be put in place by the Respondent or the Related Body to address probity and competitiveness issues will preserve effective competition and probity within and between Respondents; and

- The participation of the Related Body is unlikely to have an adverse effect on achieving VFM for Company.

b) Depending upon the information provided by the Respondent, Company may require the Respondent to:

- Clarify the information provided and / or provide further information;

- Implement internal governance procedures and arrangements to address the probity and competitiveness concerns; and

- Provide verification that all such arrangements and procedures have been complied with.

5.4 ANTI-COMPETITIVE CONDUCT

Respondents and their officers, employees, consultants, advisers or agents must not engage in collusion, anti-competitive conduct or any other conduct which contravenes the Competition and Consumer Act 2010 (Cth) with any persons in relation to their preparation and submission of their EOI or their participation in the Procurement Process.

5.5 CONFLICT OF INTEREST

During the Procurement Process, Respondents and their officers, employees, consultants, advisers or agents must not place themselves in a position that may, or will, create an actual, potential or perceived conflict of interest between the interests of the Respondent and the interests of the Company or any of its Related Body Corporates.

If the Respondent is aware of such a conflict of interest or a potential conflict of interest during the Procurement Process, the Respondent must notify the Company immediately in writing and take any steps, as Company may reasonably request, to resolve or otherwise deal with the conflict. If the Respondent fails to notify the Company or is unable or not willing to resolve or otherwise deal with the conflict as request by the Company, the Company may exclude the Respondent’s EOI from further consideration under the Procurement Process.

Respondents and their officers, employees, consultants, advisers or agents must at all times during the Procurement Process, comply with any applicable laws regarding the offering of unlawful inducements in connection with the preparation and submission of the EOI. The Company may, at is sole and absolute discretion, reject any EOI submitted by a Respondent if the Company reasonably believes that the Respondent is in breach of any such laws.

5.6 GOVERNING LAW

This Invitation for Expression of Interest is governed by the laws of Queensland and the parties irrevocably submit to that jurisdiction.
