The acquisition strengthened JNJ’s science-based dermo-cosmeticbeauty products portfolio and market presence in Japan. Ci:z shareholders received $52.3 per share at a 55% premium, or approximately $2B. The acquisition completed on January 17, 2019.
There were 20,004,934 shares of the Company tendered in the tender offer, representing 41% of the outstanding shares of the Company. Johnson & Johnson will acquire all tendered shares for ¥5,900 per share and willpurchase additional shares of the Company through the acquisition of CIC Corporation ("CIC"), the ownershipvehicle of the Company's founder, Dr. Yoshinori Shirono.
CIC Corp., the founder’s ownership vehicle, is the biggest shareholder of the dermo-cosmetics specialist with a 27.96 percent interest, showed Refinitiv data.
