Orders have been issued in the Proceeding read above that the Departmental tests which were conducted by Tamil Nadu Public Service Commission, be conducted in the months of May and November internally by TANGEDCO for the employees of TANGEDCO/TANTRANSCO from November 2013. Accordingly, the results in respect of the candidates who have successfully passed the Departmental Tests held on 19th and 20th of May 2018 are hereby published as detailed below:

The orders for implementation of EPF & Miscellaneous Provisions Act, 1952 & ESI Act 1948 has been issued vide references cited above, to extend the benefits to the contract workers engaged by the Contractors for a specific work through the respective Contractors in TANGEDCO/TANTRANSCO.

All Chief Engineers, Superintending Engineers and all other officers are instructed to ensure that, all the workers engaged by the contractors for the works of TANGEDCO & TANTRANSCO are covered under the provisions of the EPF and ESI, so that they would be eligible to obtain compensation, pension and other provisions.

It is hereby instructed that, all the officers should ensure and permit only the workers (engaged by the contractors) who have EPF – UAN number (Universal Account Number) and ESI number with ESI temporary/permanent ID card for any works in TANGEDCO & TANTRANSCO and to claim the works bill only after ensuring the remittance of both the employer’s and employee’s EPF and ESI contributions made by the contractors for the workers engaged by them for the works.

The Chief Engineer/Mechanical Thermal Stations/Chennai has stated that the R&M (Renovation & Modernization) circle comprising of one No. Superintending Engineer/Mechanical and supporting staff was formed, to carry out the R&M works in TTPS Units, I II & III and MTPS Units I & II, which have completed/nearing completion of their design life. The Normal expected life of a Thermal Plant varies from 25 to 30 years. The life of these Units can be further extended to another 15 to 20 years by carrying out necessary Residual Life assessment (RLA) and Life Extension (LE) studies and thereafter carrying out the Renovation & Modernisation works, so as to make the operating units well equipped/augmented with latest Technology equipments/system, to improve the performance of the units in terms of Efficiency, Reliability, Availability and life extension with lesser maintenance.

2. Meanwhile, the Ministry of Environment Forest & Climatic Changes (MoEF &CC) in their Gazette Notification dated 8th December 2015 has revised theEnvironmental Norms for all Thermal Power Stations into three categories (i.e.),installed before 31st December 2003, installed after 1st January 2004 and installedafter January 2017. In order to achieve the revised Environmental norms, theCentral Electricity Authority/New Delhi has insisted for installation of variousequipments (viz) ESP (Electrostatic Precipitators), FDG (Flue Gas De-sulphurisation), SCE (Selective Catalytic Reduction) and SCNR (Selective Non-Catalytic Reduction), which involves huge capital outlay, availability of space andshutdown of units for a minimum period of 6 to 9 months etc. Since, the old unitscannot install the FGD, the SRPC/CEA has emphasized for a phasing out plan for allthe units in TTPS, MTPS and NCTPS of TANGEDCO.

3. As, the work load of R&M Division has increased manifold due to ageing ofall the units in Thermal Stations, it finds difficult to follow-up the above said additional works with the existing available staff. Hence, the Chief Engineer/ Mechanical Thermal Stations/Chennai has proposed for creation of one post of

REC’s latest loan policy circular. The interest rate applicable at present is 10%.

Tenure : 18 years including 3 years moratorium for repayment of principal.

Repayment : 15 years after the moratorium period of 3 years in fifteen annual equal installments.

Validity of sanction : Within 6 months from the date of sanction.

Security(TANTRANSCO OPTION)

: Mortgage/Hypothecation of future assets so created out of loan amount sanctioned for the project subject to the value being 110% of the loan amount so sanctioned. The security by way of creation of charges on FUTURE ASSETS ONLY shall be accepted subject to the loan amount being restricted to 90% of the project cost.

3. After careful consideration, the Tamil Nadu Transmission Corporation Ltd.,have approved and accept Rs.2661.41 lakhs (Rupees twenty six crores sixty one lakhs and forty one thousand only) for Erection of additional power transformers in various 110 KV existing substations taken up/proposed to be taken up during FY 2017-2018 in GCC of Madurai Region of Tamil Nadu sanctioned by the Rural Electrification Corporation Limited (REC Ltd.,) New Delhi and accepting all terms and conditions mentioned in REC sanction letter dated 31.03.2018

4.The following resolutions are also passed as requested by RuralElectrification Corporation Limited, New Delhi.

One hundred sixty one crores and thirty three lakhs only) (28.31+ 19.99+29.93+32.35+44.31+6.44) for 06 Nos. as mentioned in their sanction letter dated 20.06.2018 as in para-1 with same Terms and Conditions and the following Special Terms & Conditions. 3.Pre-COMMITMENT CONDITIONS:

1. TANTRANSCO shall submit an undertaking to obtain in principle approval fromTNERC for the schemes covered in the project; (Loan Nos.36203085,36203086,36203087,36203088,36203089 & 36203090)

2. TANTRANSCO shall submit an undertaking that the approval of TNERC to theproposed investment would be obtained and the same shall be submitted toPFC during the course of implementation of the project; (Loan Nos.36203085, 36203086, 36203087, 36203088,36203089 & 36203090)

3. TANTRANSCO shall submit an undertaking that the case investment in theprojects covered in this loan is not approved by TNERC, TANTRANSCO shallrefund the entire amount disbursed in the project to PFC with interest withinsix months from TNERC’s intimation regarding the same to TANTRANSCO;(Loan Nos.36203085,36203086,36203087,36203088,36203089 & 36203090)

7. TANTRANSCO shall submit an undertaking that TANTRANSCO shall not createcharge on the immovable assets of the project in favour of any third partyand not dispose off the project assets during the currency of the PFC loan;

8. TANTRANSCO shall submit an undertaking to implement and adhere to thenorms and any other additional terms and conditions mandated by statutoryand/or regulatory agencies and obtained all applicable permits/clearances/approvals including forest clearance, if applicable as and whenrequired during implementation, commissioning and operation of the project;

OTHER CONDITIONS: 1. TANTRANSCO shall acquire the land for scheme (Loan No.36203085 –

Establishment of 110/11 kv Sub-station at Valavanthankottai, LoanNo.36203088 – Establishment of Uppur 110/33-11 Sub-Station & 36203090 – Establishment of 110/22 KV substation at Keezhkavarapattu) under theproposed project in the name of TANTRANSCO twelve (12) months prior tocommissioning of the schemes; (Loan No.36203085,36203088 &36203090)

2. TANTRANSCO shall complete the reconciliation of receivables and payablesinter-se between TANGEDCO & TANTRANSCO and give effect to in itsaccounts for FY 2017-2018.

4. CHARGE ON ASSETS:The loan together with all interest (including additional interest), costs,

expenses, losses, applicable taxes, statutory duties and other money shall be secured with the prescribed coverage ratio (presently 1.1 times) of the portion loan amount applicable in case of TANTRANSCO by a first charge by way of hypothecation in favour of the Corporation of all the movable assets of the project (save and except book debts), including movable machinery, machinery spares, tools and accessories, spares and material at project site, present and future and/or other movable assets identified TANTRANSCO (as per list of movable assets enclosed as Annexure-A). In the instant proposal, other movable assets of the TANTRANSCO to the extent of Rs.3.82 crore are to be hypothecated in favour of PFC.

The Hypothecation of movable assets (present and future assets) of the proposed scheme shall be created in favour of PFC prior to the first disbursement. The disbursement shall be allowed up to Rs.24.83 crore (87.71% of the loan amount) without levy of additional interest in absence of creation of entire security (i.e. pending hypothecation of other movable assets of the TANTRANSCO to the extent of Rs.3.82 crore) in favour of PFC. In the instant proposal, other movable assets of the TANTRANSCO to the extent of Rs.7.30 crore are to be hypothecated in favour of PFC. In the instant proposal, other movable assets of the TANTRANSCO to the extent of Rs.1.33 crore are to be hypothecated in favour of PFC.

The Hypothecation of movable assets (present and future assets) of the proposed scheme shall be created in favour of PFC prior to the first disbursement. The disbursement shall be allowed up to Rs.5.23 crore (81.21% of the loan amount) without levy of additional interest in absence of creation of entire security (i.e. pending hypothecation of other movable assets of the TANTRANSCO to the extent of Rs.1.33 crore) in favour of PFC.

The Borrower shall make out good marketable title to its properties to the satisfaction of the Corporation and comply with all such formalities as may be necessary or required for the said purpose. 5.Rate of Interest:

A floor rate of 9.75% p.a. (net effective of timely repayment rebate) # with 3 year reset i.e. a rebate of 125 bps at notified rate by Corporation (presently it is 11.00% per annum with 3 year reset rate as state sector Category “A” borrower). The interest rates as prevailing on each disbursement shall be fixed till reset. At the time of Reset

a. If PFC’s notified rate of TANTRANSCO falls below 9.75% p.a., theapplicable interest rate shall be PFC’s notified rate forTANTRANSCO, without any rebate;

b. If PFC’s notified rate for TANTRANSCO is between 9.75% p.a., and11.00% p.a., the applicable interest rate shall be 9.75% p.a.,

c. If PFC’s notified rate for TANTRANSCO goes above 11.00% p.a., arebate of 125 bps shall be applicable on PFC’s notified rate forTANTRANSCO.

# Effective interest rate after rebate/incentive of 0.25% (presently applicable) for timely payment of dues. The Corporation shall recover interest from the Borrower considering the rates with rebate. The rebate, wherever applicable, shall

6.REPAYMENT OF LOAN:Loan No.36203085,36203087,36203088 & 36203089

The loan shall be repaid by the TANTRANSCO in 60 (Sixty) equal quarterly installments on 15th day of April, 15th day July, 15th day of October & 15th day of January (each a “repayment date”) of each year commencing on the first repayment date falling 6 months after scheduled Date of Commencement of Commercial Operation (DCCO) of April 30,2021”. The loan shall be repaid by the TANTRANSCO in 60 (Sixty) equal quarterly installments on 15th day of April, 15th day July, 15th day of October & 15th day of January (each a “repayment date”) of each year immediately falling after the loan closing date*. 2.Therefore the proposal to raise funds to the tune of Rs.150.00 crores(Rupees one hundred and fifty crores only) through private placement of bonds – TANGEDCO RMU Bond Series -1/2018-2019 was placed before the Board of Directors through Circulation Board Note. After careful consideration the proposal was approved by the Board of Directors of TANGEDCO Ltd on 18.07.2018 and has also passed the following resolutions.

RESOLUTIONS a) Resolved further that TANGEDCO is hereby authorized to mobilize

funds through Private Placement of Bonds 1st tranche, TANGEDCO RMUBond Series-1/2018-2019, to the tune of Rs.150.00 crore at the coupon rate of 6.00% per annum payable annually; plus payment of ‘Performance Coupon’ at the rate of 6% (six percent) of the Proposed Issue or 70% of the Balance Incremental Revenues, whichever is lower, to the Eligible Investors; plus payment of ‘Periodic Bonus’ in the ratio of 30:70 to TANGEDCO and Eligible Investors from the accumulations in the Reserve Fund in Bonus Payout Years; plus at the end of the Term and after the redemption of the Revenue Bonds, any balances remaining in the Sinking Fund, shall be shared in the ratio of 30:70 (for TANGEDCO and the Eligible Investors, respectively).

b) Resolved further that TANGEDCO is hereby authorized to open twoEscrow Accounts – one for the ‘TNIFMC Project Funding Account’ todeposit bond proceeds and expenditure therefrom and the other for meeting the bond obligations in respect of ‘TANGEDCO RMU Bond Serives-1/2018-2019’, which are to be exclusively operated by TNIFMC in their capacity as Bond managers. The Chief Executive Officer/TNIFMC, Chief Operating Officer/TNIFMC and the Company Secretary/TNIFMC, be and is hereby authorized to operate the Escrow Account: and any two of the three Authorized Signatories is jointly authenticated to operate the Escrow Account.

c) Resolved further that TANGEDCO is hereby authorized to transfer anamount of Rs.50.00 crore from the Identified SBI TRA Account toEscrow Account on 1st March every year to meet the bond obligations and the balance after meeting the bond obligations shall be transferred to TANGEDCO account.

2.1. TANTRANSCO shall pay interest on the said Loan at the floor rate of interest of 10.75% per annum payable quarterly (net of timely payment rebate) with 3 year reset option, along with tax, if any (present notified interest rate as applicable under Transmission Scheme to category ”A” borrower is 11.25% per annum payable quarterly) by offering an interest rebate of 50 bps from the applicable notified rate with following conditions:

a) If PFC’s notified rate under Transmission Scheme is between 10.75% and 11.25%, the applicable interest rate for TANTRANSCO shall be 10.75%.

b) If PFC’s notified rate under Transmission Scheme Falls below 10.75%,the applicable interest rate for TANTRANSCO shall be PFC’s notified rate.

c) If PFC’s notified rate under Transmission Scheme goes above 11.25%(presently applicable for category ‘A’ borrower under Transmission Scheme), a rebate of 50 bps shall be applicable on PFC’s notified rate for TANTRANSCO.

The interest in favour of the Corporation shall being to accrue from the date of payment/cheque issued by the Corporation. The installment of interest and tax, if any, will be payable quarterly on the last working day of the quarter, after commencement of disbursement. The amount of interest and tax, if any, payable will be calculated at the above rate up to the date immediately preceding the due date of payment on the amount disbursed/outstanding up to the said date. Computation of interest shall be made on a daily basis using 365 days factor.

# Effective interest rate after rebate of 0.25% (presently applicable) for timely payment of dues. The Corporation shall recover interest from TANTRANSCO

The loan shall be repaid by TANTRANSCO in 20 (Twenty) equal quarterly installments after 24 months (moratorium period) from the date of each disbursement. In case of quarterly installments, the 1st installments will become due for payment on the last working day of January/April/July/ October of the year, and the subsequent installments will become due for payment on the last working day of January/April/July/October, every year after 1st repayment due date. 4.OTHER TERMS AND CONDITIONS:

1. Loan Amount Rs.1000 crore 2. Nature of Loan Term Loan 3. Purpose To be utilised for meeting its repayment commitment of

inherited bonds of TNEB to the extent of Rs.500 crore and also to meet the balance operational cash gap for FY 2018- 2019 other than debt repayment to the extent of Rs.500 crore.

4. Moratorium 2 Years for each tranche of disbursement. 5. Security 1. State Government Guarantee of Charge on Assets for

the entire loan amount at applicable coverage ratio, and2. Escrow Cover for the entire loan amount at applicable

coverage factor as per PFC,s norm (1.1 times).(A time of 4 months from the date of first disbursement is allowed for submission of State Government Guarantee/ creation of charge on assets on the loan and the entire disbursement of the loan within the approved timeline and also in case of disbursement exceeding 75% of the loan amount is allowed before creation of entire security without charging any additional interest).

6. Door to Door Tenor 7 years including the moratorium period of 2 years from the date of disbursement of each tranche.

7. Repayment Schedule

Repayable in 20 Quarterly Installments after moratorium period of 2 years. The due date of principal repayment (after 2 years moratorium) and interest payment shall be the last working day of the quarter.

8. Rate of Interest As per Clause 3 of the Terms & Conditions 9. a) Pre-commitment conditions:

i) TANTRANSCO shall provide the following undertakings to PFC:a) That they shall inform for any future non-capex loans from other Banks/

FIs before obtaining prior approval of PFC.b) The assistance under this loan will not be available for items already

financed by PFC/Banks/NBFCs/other FIs under any scheme.b) Pre-Disbursement Conditions:i) Creation of Entire Security within approved timeline.ii) No outstanding overdues to PFC.c) Other Conditions:a) TANTRANSCO shall submit utilsation certificate within 60 days from the

date of each disbursement.

PROCEEDINGS: The proposal submitted by the Chief Engineer/IT was examined carefully and

Need for the proposal: As implemented in R-APDRP, the works under IPDS are also categorised into

two parts i.e., the Distribution Strengthening Works (DSW) and IT Enablement. Under IPDS DSW, the work such as line strengthening, DT enhancement, erection of new DTs, etc., are under progress in TANGEDCO. As a part of DSW, AMR meters are to be installed at DTs, Ring Fencing points and Feeders.

For calculation of AT&C losses, hardware such as Modems/DCUs (Data Concentrator Units) and related software Meter Data Acquisition System (MDAS), Meter Data Management System (MDMS) & Energy Accounting (EA) application are to be procured and connectivity established under the IPDS Phase II.

The Detailed Project Report (DPR) for IT enablement in 521 towns in Tamil Nadu has been prepared for an estimated cost of Rs.149.03 Crore with Rs.110.08 Crore for Town IT Infrastructure and Rs.38.94 Crore for Incremental hardware/software at DC/DRC and the soft copy sent to M/s.PFC. Awaiting for Sanction.

Also, as per MoP/GoI, 100% DT metering should be achieved under IPDS before 31.03.2019. Since, the IPDS IT enablement DPR is yet to be sanctioned by M/s.PFC, it is proposed to procure the hardware and software only to achieve 100% DT/feeder/Ring fencing metering under IPDS and to arrive at AT&C losses and also to meet out the expenditure for the same from the TANGEDCO funds. Once, if the DPR sanctioned by M/s.PFC, the expenditure incurred by the TANGEDCO can be adjusted. Tentative Estimate:

Ifthere is any deviation in the details mentioned in the list, notice need notbe issued and the concerned District Manager/TAHDCO may be addressedfor clarification. Only after getting clearance from DistrictManager/TAHDCO for change of beneficiary (or) change of SF. No., thenotice has to be issued.

2. Readiness entered details shall be informed to Head Quarters as on 30th

of every month, as balance Rs.65,000/- per service has to be paid byTAHDCO Head office to TANGEDCO Head office. Action may be taken toeffect Service connection pending receipt of balance Rs.65,000/- perservice as discussed during Review meeting held on 18.07.2018.(Instruction will be issued separately).

3. It is informed that maximum of 180 days as accepted by TAHDCO is onlypermitted for entering readiness under this scheme and time extensionafter expiry of 90 days notice period has to be got approved from theChief Engineers/Distribution concerned by the SuperintendingEngineer/EDC. It shall be specifically noted that 5 years and 90 daysperiod is not applicable to this TAHDCO Fast Track Scheme. After expiryof 180 days, the applications have to be transferred to normal category.

4. Supply shall be effected to the above 1025 beneficiaries in separatepriority and the same shall be accounted under normal category based onthe seniority of the readiness reported by the applicants.
