DESCRIPTION: Effective November 1, 2015, this contract is extended to October 31, 2016 per the attachments of this change notifications. All other terms, conditions, pricing and specifications remain the same. Per DTMB Telecommunication Services request and DTMB Procurement approval and the approval of the State Administrative Board on October 20, 2015.

Amendment No. ____, to the Master Services Agreement (“MSC”) #071B2200138 between the State of Michigan,

Department of Technology, Management and Budget Procurement (the ‘State”) and AT&T Corp. (f/k/as SBC Global

Services, Inc.) (“AT&T”). The State and AT&T shall sometimes be collectively referred to herein as (the “Parties”).

The effective date (the “Effective Date”) of this Amendment shall be the date of the signature of the last signatory

hereto.

WITNESSETH

WHEREAS, the MSC, as amended, expires on October 31, 2015, and the Parties desire to extend the term of the MSC for the additional periods of time as more fully described herein;

NOW, THEREFORE, in consideration of the mutual promises set forth herein and for other valuable consideration, the

receipt and sufficiency are hereby acknowledged, the Parties agree as follows:

1. One Year Extended Services. The following services shall be extended for a period of one (1) year,

commencing November 1, 2015 and extending through October 31, 2016 (the “One Year Extension

Term”):

4. SONET . The rates will remain as currently established in Link Michigan until migrations to AT&T IP

Flex (SIP) for PRI’s at Cadillac Place occurs (not to exceed one year).

5. IP Flex (SIP)

The State agrees to purchase AT&T IP Flex/SIP Trunking Service at the prices and in accordance with the

terms of the Pricing Schedule attached hereto and incorporated herein as Exhibit A. The IP Flex/SIP Trunking Service

shall have a term equal to one year from the date of installation of a particular circuit. The terms and conditions of

the MSC and the Pricing Schedule shall apply with respect to such IP Flex/SIP Trunking Service for the one year period

from the date of installation regardless whether the MSC has expired with respect to other services.

6. Managed Internet Service, Basic Customer Provided Access, AT&T Distributed Denial of Service

(DDOS) with AT&T Internet Protect

The rates will remain as currently established in Link Michigan until migrations are completed using the

WAN contract, not to exceed one year.

7. Six Month Extension Services. The following services shall be extended for a period of six (6)

months, commencing November 1, 2015 and extending through April 30, 2016 (the “Six Month

Extension Term” ):

Note: The State may terminate any of the services identified above prior to the end of the Six Month

Extension Term, upon written notice to AT&T. In addition, AT&T will only accept disconnect orders for Frame

Relay service, AT&T Switched Ethernet Service, Opt‐E‐Man; no Moves, Adds, or Change Orders will be

processed for these services.

8. Services Extended until 12/31/ 15.The following services shall be extended until December 31, 2015:

Drop shipment of purchased customer premises equipment (products and services).

AT&T will not be extending any Cisco products/services with this extension under Link Michigan. All other

CPE can be purchased under Link Michigan until December 31, 2015.

9. MiDEAL Members

AT&T and the State agrees that any products or services available under Link Michigan are not available to

the MiDEAL membership.

10. MSC Ratified and Approved. Except to the extent modified hereby, the MSC is in all respects ratified

and approved, with respect to the services identified in Sections 1, 7 and 8 hereof..

11. General. This Amendment will be governed by the laws of the State of Michigan, without regard to its

conflict of laws principles, unless a regulatory agency with jurisdiction over the applicable service applies a different

law. This Amendment, the MSC (as amended hereby) and the Pricing Schedule attached hereto and incorporated

herein, constitute the entire agreement with respect to the subject matter hereof and supersede all other

agreements, proposals statements and understandings, whether written or oral, concerning the subject matter of

this Amendment.

Customer (not AT&T) is solely responsible for complying with (1) and (2). If Customer supplies information to AT&T that, according to the Business Directory Publisher or Directory Assistance provider or otherwise, violates (1) or does or may violate (2), Customer understands that its listing information may, without advance notice, be rejected or removed from White Pages, Yellow Pages and Directory Assistance databases, and Customer will indemnify and hold AT&T and its Affiliates harmless from any and all losses, liability, damages, fines, claims, costs or expenses (including attorneys’ fees) of any kind, suffered by AT&T, by any AT&T Affiliate, by Customer or by any third party as a result of Customer’s breach of its obligation.
