STANDARD TERMS AND CONDITIONS
NOTICE: ALL SALES BY THORDON BEARINGS INC. ('TBI'') ARE SUBJECT TO AND CONDITIONED UPON PURCHASOR'S ACCEPTANCE OF THE TERMS CONTAINED IN THIS DOCUMENT Payment
(a) Standard Terms. The terms of payment are net sixty (60) days from the date of TBI's invoice(s) as delivered by TBI to the Buyer pursuant to this Contract. TBI reserves the right to restrict the terms of payment or to require paymentprior to the time of shipment, if, in the opinion of TBI, acting reasonably, the Buyer's financial condition or other circumstances do not warrant shipment on the terms originally specified in this Contract.(b) Address. All payments to be made by the Buyer pursuant to TBI's invoice shall be delivered to TBI at TBI's address for service as set forth herein (or to such other place as TBI may, from time to time, direct in writing). (c) Deductions and Partial Payments. The Buyer acknowledges and agrees that any and all payments shall be made without any deductions for any reason whatsoever unless expressly provided herein, and no partial payment by theBuyer which is accepted by TBI shall be considered as anything other than a partial payment on account of the balance owing and shall not prejudice TBI's right to otherwise recover any amounts owing thereafter.(d) Overdue Account. If the Buyer fails to make payment pursuant to the terms as specified in Subsection 1(a), above, the Buyer shall pay interest at the rate of 1-1/2% per month (18% per annum) on all overdue invoices. In addition toall other remedies afforded by law, TBI may cancel this Buyer's purchase order or sell all or any part of the undelivered goods without notice at public or private sale, holding the Buyer responsible for any deficiency or bill all or any part of theundelivered goods to the Buyer as of the contractual dates of delivery.
Delivery (a) Designated Location and Risk of Loss. Unless expressly agreed otherwise in writing between TBI and the Buyer, the Goods to be sold by TBI to the Buyer as provided under this Contract, shall be Air Shipments: CPT named place ofdestination; Sea Freight: CFR named place of destination in respect of the delivery of such Goods to the Buyer's plant (or to such other place as the Buyer may, from time to time, direct in writing). The Buyer agrees that title for the Goodsshall automatically be deemed to pass from TBI to the Buyer immediately when such Goods are handed over to the first carrier for air shipments or once goods are loaded on the vessel for sea freight shipments, without notice. The Buyeragrees to pay all costs of transportation, or to reimburse TBI for any expenses incurred in transporting the Goods to the Buyer's place of business or other location as directed by the Buyer. (b) Part Shipments. The Buyer agrees that TBI may, in its sole discretion, part ship quantities of the Goods, unless specifically requested otherwise in writing by the Buyer prior to the commencement of any work to be performed by TBIunder Buyer's purchase order. Each part shipment will be invoiced individually and must be paid pursuant to the terms as specified in Subsection 1(a), above. (c) Force Majeure. TBI shall not be responsible or liable for any delay, non-delivery and/or default directly or indirectly resulting from and/or contributed to, in whole or in part, by any foreign or domestic embargos, seizures, acts of God,insurrections, war an/or continuance of war, or the adoption or enactment of any law, ordinance, regulation, ruling or order directly or indirectly interfering with or rendering more burdensome the production, delivery or payment hereunder, alsolack of the usual means of transportation, fires, floods, explosions, strikes or other accidents or contingencies beyond TBI's control, either of the foregoing nature or of any other kind, nature or description considered as "Force Majeure" inTBI's or its suppliers' plants or elsewhere otherwise affecting transportation or production of the Goods or any parts used in or in connection with its production. In the event that any one or more deliveries hereunder is suspended or delayedby reason of any one or more of the occurrences or contingencies, as aforesaid, other than TBI's own negligence, any and all deliveries so suspended or delayed shall be made after such disabilities have ceased to exist and nothing hereincontained shall be construed as lessening in any event the full amount of the Goods herein purchased and sold, but only as deferring delivery and payment in the events and to the extent herein provided for.(d) Inspection. Upon the arrival of the Goods at the Buyer's plant (or elsewhere as specified in Subsection 2(a), above), the Buyer shall have the privilege of examining and inspecting the same before accepting delivery pursuant toSubsection 2(e), below. Such inspection shall be made within forty-eight (48) hours after the arrival of such Goods at their destination.(e) Acceptance. Notwithstanding anything to the contrary herein, the Buyer agrees that if it retains the Goods in its possession or control for a period in excess of two (2) days after delivery of them at its place of business or elsewhere asspecified in Subsection 2(a), above, this shall automatically constitute and be deemed an irrevocable acceptance by the Buyer of the Goods and the delivery thereof, and a waiver by it of any and all claims that the Goods do not conform tothis Contract, unless the Buyer notifies TBI in writing of any defect or non-conformity pursuant to the provisions of Subsection 3(a), below. The Buyer agrees that if it purchases the Goods subject to these terms and conditions, such accept-ance satisfies all of TBI's obligations and after acceptance the Buyer shall have no remedy against TBI whatsoever, nor may the Buyer revoke its acceptance for any reason whatsoever.
Return Policy(a) Notification. Pursuant to the provisions of Subsection 2(e) above, if the Buyer notifies TBI that any of the Goods delivered to it under this Contract are defective in material or do not comply with the requirements of this Contract withinthe stated time period therein, the Buyer shall make a claim therein, in sufficient detail, either for a return of such Goods or for a reduction in the agreed price of the Goods.. In the event that the Buyer shall fail to make such claim within thetime specified, it shall thereupon be liable for the payment of the full amount of the agreed price for the Goods so delivered to it. The return shipment, if any, is to be made by the Buyer to TBI at the address of TBI's plant (or to such otherplace as TBI may direct in writing), freight charges prepaid and only after the Buyer receives written authorization along with a RGA (Return Goods Authorization) number from TBI.
Limited Warranty(a) Basic Terms. TBI provides a limited warranty on the Goods of its own manufacture sold by it to the Buyer thereof, against defects of material and workmanship (the "Limited Warranty").(b) Coverage. This Limited Warranty covers the repair or replacement or the refund of the purchase price, as TBI may elect, of any defective products regarding which, upon discovery of the defect, the Buyer has given immediate writtennotice. TBI does NOT warrant the merchantability of its product and does NOT make any warranty express or implied other than the warranty contained herein.(c) Third Party Products. Accessories, equipment and parts not manufactured by TBI are warranted or otherwise guaranteed only to the extent and in the manner warranted or guaranteed to TBI by the actual manufacturer, and then only tothe extent TBI is able to enforce such warranty or guarantee.(d) Limited Liability. TBI's liability for any and all claims, damages, losses and injuries arising out of or relating to its performance or breach of any contract of sale of goods and the manufacture, sale delivery, re-sale, repair, or use of anygoods, shall NOT exceed the agreed price of such Goods. The Buyer's remedy shall be at TBI's option, the replacement or repair of the Goods. This shall be the Buyer's sole, exclusive and only remedy against TBI. IN NO EVENT SHALLTBI BE LIABLE FOR INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS, GOODWILL, INCURRING OF MACHINERY DOWNTIME, DESTRUCTION OR LOSSOF ANY CAPITAL GOODS, LIABILITY FOR PERSONAL INJURY, DEATH, PROPERTY DAMAGE AND ANY OTHER TYPE OF DAMAGES WHETHER SIMILAR TO OR DIFFERENT FROM THIS LISTING.(e) Latent Defects. In cases of defects in materials or workmanship or defects arising from the selection of material or processes of manufacturer, such defects must be apparent in the Goods within three (3) months, after delivery andacceptance of the Goods to the Buyer.(f) Exclusions. TBI shall, as to each aforesaid defect, be relieved of all obligations and liability under this Limited Warranty if:1. The Goods are operated with any accessory, equipment or part not specifically approved by TBI and not manufactured by TBI or to TBI's design and specifications, unless the Buyer furnishes reasonable evidence that such installation wasnot a cause of the defect; provided, that this provision shall not apply to any accessory, equipment or part, the use of which does not effect the safety of the Goods;2. The Goods shall not be operated or maintained in accordance with TBI's written instructions as delivered to the Buyer, at any time or from time to time, unless the Buyer furnishes reasonable evidence that such operation or maintenancewas not a cause of the defect;3. The Goods shall not be operated or maintained under normal industry use, unless the Buyer furnishes reasonable evidence that such operation was not a cause of the defect;4. The Goods shall have been repaired, altered or modified without TBI's written approval or, if the Goods shall have been operated subsequent to its involvement in an accident or breakdown, unless the Buyer furnishes reasonable evidencethat such repair, alteration, modification, operation, accident or breakdown was not a cause of the defect; provided, however, that this limitation insofar as it relates to repairs, accidents and breakdowns, shall NOT be applicable to routinerepairs or replacements or minor accidents or minor breakdowns which normally occur in the operation of a machine, if such repairs or replacements are made with suitable materials and according to standard practice and engineering;5. The Buyer does not submit reasonable proof to TBI that the defect is due to a material embraced within TBI's Limited Warranty hereunder.(g) Warranty Term. This Limited Warranty made by TBI contained in these Terms and Conditions, or contained in any document given in order to carry out the transactions contemplated hereby, shall continue in full force and effect for thebenefit of the Buyer, save and except, no warranty claim may be made or brought by the Buyer after the date which is twelve (12) months following delivery and acceptance of the Goods pursuant to this Contract.(h) Expiration and Release. After the expiration of this Limited Warranty's period of time, as aforesaid, TBI shall be released from all obligations and liabilities in respect of such warranty made by TBI and contained in this Contract or in anydocument given in order to carry out the transactions contemplated hereby.
Buyer-Distributor Commission SharingIf the Buyer is also designated by TBI as an "Authorized Thordon Distributor/Agent", the applicable TBI commission sharing policy forms an integral and binding part of the terms and conditions of this Contract.
Restrictive Covenants (a) Confidentiality. At any time during the term of completion of Buyer's purchase order, or thereafter, the Buyer shall keep private and shall not disclose, divulge or communicate, in any manner whatsoever, to any person, corporation orentity, any and all confidential information obtained by it relating to TBI, its affiliates, subsidiaries, associated companies, except such information which:(i) prior to the date hereof was already in the possession of the Buyer, as demonstrated by written records;(ii) is generally available to the public, other than as a result of a disclosure by the Buyer; (iii) is disclosed with the written consent of TBI;(iv) is made available to the Buyer on a non-confidential basis from a source other than TBI, or its designated representatives; or(v) is disclosed pursuant to court order, other legal compulsion or as required by law.For the purposes of this Section, "confidential information" means all data and information, including information relating to trade secrets, skill, technical information, know-how, processes, techniques, drawings, pictures, books, brochures, catalogues, records, schematics and schedules whatsoever of every nature and information regarding the businesses of the parties, which, when disclosed by TBI, is designated as confidential.(b) Non-Disclosure. The Buyer further agrees that confidential information, as aforesaid, will be disclosed only to those of its employees and designated representatives and its advisors who need to know such information for the purposesof evaluating and implementing the transaction contemplated hereby. Notwithstanding the foregoing provisions of this Section 6, the obligation to maintain the confidentiality of such information will not apply to the extent that disclosure ofsuch information is required in connection with governmental or other applicable filings relating to the transactions hereunder, provided that, in such case, unless TBI otherwise agrees, the Buyer will, if possible, request confidentiality inrespect of such governmental or other filings. If the transactions contemplated hereby are not consummated for any reason, the Buyer will return forthwith, without retaining any copies thereof, all information and documents obtained fromTBI.
Conflict with other Documents(a) Superceding Agreement. The Buyer and TBI agree that the provisions of these standard terms and conditions and Schedule "A" (if attached hereto as specified in Section 5, above), shall constitute the entire agreement between theBuyer and TBI pertaining to the subject matter of Buyer's purchase order and it supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written.
Applicable Laws and JurisdictionOntario Contract This Contract shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, and each of the parties hereto irrevocable attorns to the jurisdictions ofthe courts of the Province of Ontario.
Dispute Resolution(a) Arbitration. In the event that any dispute arises between the Buyer and TBI with regard to any of the provisions, including but not limited to any disputes arising under the provisions of Subsection 3(a), above, or the performance of the
terms and conditions hereof by either of them (the "Dispute'), such Dispute shall be settled by arbitration to be conducted in the City of Toronto, Ontario, Canada and shall be conducted pursuant to the provisions of The Arbitrations Act ofOntario. Either the Buyer or TBI may submit a Dispute to arbitration; provided that the party desiring to initiate such arbitration (the "Claiming Party") gives the other party (the "Responding Party") written notice of its election to commencearbitration (the "Arbitration Notice"). The arbitrator shall be selected following the receipt by the Responding Party of the Arbitration Notice, as follows: (i) The Claiming Party and the Responding Party shall endeavour to agree upon a single arbitrator; provided that if the Claiming Party and the Responding Party cannot agree on a single arbitrator within 15 days of receipt by the RespondingParty of the Arbitration Notice, the Claiming Party and the Responding Party shall each provide a list of two arbitrators who have knowledge and experience in the matter in dispute to each other and to a Judge of the Supreme Court ofOntario in the said province who shall name the single arbitrator; and if any party fails to submit its list of two names as provided in this paragraph within thirty (30) days of receipt by the Responding Party of the Arbitration Notice, the partywho submitted a list pursuant to this paragraph, may request the Judge to appoint an arbitrator from the names on the list submitted by it herein.
Insurance(a) Coverage. During the continuance of Buyer's purchase order and until full payment for all the Goods therein mentioned have been made by the Buyer, the Buyer shall keep the Goods insured against loss by fire, or loss during shipping,with loss, if any, payable to TBI as its interest may appear. Such insurance shall be in the sum of not less than one million dollars in U.S. funds (US$1,000,000.00)and the Buyer shall promptly pay all premiums due or to become due on suchinsurance within such periods of time as are necessary to keep the said insurance in full force and effect. In the event of failure of the Buyer to obtain and to keep such insurance in full force e and effect, TBI may take out such insurance andpay any premium due or to become due thereon that may remain unpaid and such amount so paid shall be repaid to TBI by the Buyer.
General (a) Binding. This Contract binds the parties and their respective successors and permitted assigns.(b) Invalidity. The invalidity of any portion of this Contract shall not affect the validity or enforceability of any other portion of it. (c) Assignment. This Contract is not assignable by the Buyer or TBI without the other party's prior consent in writing. (d) Mutual Consent. No subsequent variation or amendment of the provisions herein shall have any effect, unless made in writing and signed by the Buyer and TBI (or by their duly authorized agents).(e) Counterparts. This Contract may be executed in any number of counterparts and by the Buyer and TBI in separate counterparts, each of which when so executed shall be deemed to be an original and all of which taken shall constituteone and the same instrument.(f) Facsimile Transmission. The Buyer and TBI agree that this Contract may be transmitted by facsimile (or such similar device) and that the reproduction of signatures by facsimile or such similar device will be treated as binding as if origi-nals, and each of the Buyer and TBI hereto undertakes to provide to the other party hereto with a copy of this Contract bearing original signatures forthwith by courier.
