RESOLUTION A D AMENDMENT TO BY-LAWS re: STUDENT LOAN FUND PLAN
Whereas: The Rotary Club of South End now has a surplus fund, additions to which may be made from time to time; and
Whereas: It is the desire of the membership of the Rotary Club of South End that such fund be used and effectively administered for a worthy purpose;
NOW, THEREFORE, BE IT RESOLVED:
1. That there be and h ereby is created a fund to be designated as the "South End Rotary Club Student Loan Fund."
Z. That said Fund shall consist of such monies and securities as shall from time to time be assigned or appropriated to it by the authority of the Board of Directors of said Club, together with any gifts or bequests that may be made to it from time to time with the acquiescence of the Board of Directors, together with any increment from income.
3. That the purpose of said Fund shall be to provide funds to be used for the benefit of deserving, needy students in affording them financial assistance in pursuing their education.
4. That the administration of said Fund be in the hands of a Board of six trustees elected by the members of the Rotary Club of South End. After at least five days advance notice of such election, the members of the original Board of Trustees shall be elected for varying terms of office, to-wit: Two trustees shall be elected for three-year terms; two trustees shall be elected or two-year terms; and two trustees shall be elected for one-year terms. Vacancies on said Board caused by the expiration of the elective term shall be filled by election by the membership of the Club for a term of three years. Unexpired terms shall be filled by the remaining members of the Board, proceeding as in other matters.
5. That said Board of Trustees shall conduct its first meeting at a time designated by the president of the Club and shall then elect from its members a chairman and a secretary. The chairman shall preside at its subsequent meetings and the secretary, in addition to his other duties, shall act as chairman in the latter's absence.
6. That a majority of the Board of Trustees shall constitute a quorum and a decision of a majority of those present shall be necessary to determine matters coming before the Board of Trustees.
7. That the depository of said Fund shall be authorized to honor checks drawn thereon issued in connection with the making of loans when signed by the chairman and secretary of the said Board of Trustees.
8. That said Board of Trustees shall have unrestrained authority to administer said Fund, including the power to determine to whom loans shall be made (pursuant to Paragraph 3 above), subject to such limitations or restrictions as may be imposed from time to time by the Club or its Board of Directors.
9. That the said Board of Trustees consider the following suggestions in granting loans: (a ) justifiable need; (b ) inability to negotiate a commercial loan; (c) character and stability; (cl ) preference to student nurses taking their training within the corporate limits of the City of Houston. If at any time the Board of Trustees deems it impracticable to follow all or

any one of suggestions made, it may disregard such suggestion or suggestions, except that loans are to be made only to some type of student.
10. That a fidelity bond shall be required, in such sums as the Board of Directors may indicate, of the chairman and secretary and any other member of the Board of Trustees having authority to sign checks or other negotiable instruments on behalf of said Fund; that otherwise, no bond shall be required of the trustees and no liability to the Club exist except for wilful mishandling of funds.
11. That the president of the Club shall be an ex-officio member of said Board of Trustees, with full power to vote on any issue submitted for decision. Said president shall serve with said Board only during the term of his office as president and shall be automatically succeeded on the Board of Trustees by his successor as president.
1Z. That the chairman of said Board of Trustees shall cause a financial statement to be rendered to the Board of Director showing a complete and accurate account of the operations of said Fund; said statement shall be rendered semi-annually, January 1st and July 1st of each year, and shall be subject to such audit as the Board of Directors may indicate.
13. That the severance from membership in the Club by any trustee shall automatically sever such trustee's membership on the Board of Trustees.
14. That the By-Laws of the Rotary Club of South End, to the extent that they are inconsistent herewith, be and are hereby amended for the purpose of the administration of this Fund only.
