2 - PROCEDURE

I – NEGOTIATION

Negotiate the intervention details with theconsultant:

– Start and finish dates;– Intervention location;– Fees;– Expenses;– Term of payment;– Etc...

II – SERVICE PROVISION CONTRACT

The consultant will get you to sign aservice provision contract which he/she willhave already created on our extranet.

The contract is signed between you, "thecustomer", and Ventoris, "the serviceprovider".

The contract should reach us at least 48hours before the assignment begins, for ourvalidation.

III - EMPLOYMENT CONTRACT

Before the start of the first assignment, wewill make a DPAE (Declaration prior toemployment) with URSSAF and we will sign aemployment contract with the consultant.

For every new assignment, we will digitallysign an amendment to the initial employmentcontract.

Ventoris undertakes to transfer all wagesindependently of customer payments.

IV - INVOICING REQUEST

At the end of his/her assignment (for shortassignments) or at the end of each month (forlong assignments), the consultant will sendus an activity report which you will haveco-signed beforehand, an invoicing request,his/her statement of expenses, as well ashis/her original supporting documentation,where necessary.

These various elements will enable us toissue your invoice.

3 - PROFESSIONAL CIVIL LIABILITY INSURANCE

The services carried out by the consultants are covered by our professional civil

liability insurance for up to €7,500,000.

4 - WAGE GUARANTEE

We contribute to an AXA wage guaranteefund which covers all types of wages owedto salaried employees, after FNGS (NationalFund for Wage Guarantee) payments haveended.

THE MAIN PAYMENTS COVERED ARE:– all wages owed to salaried employees

and trainees;– compensation resulting from

termination of work contracts;– payments linked to redeployment

agreements;

– mandatory and optional profit-sharing payments when funds aredue for payment;

– pre-retirement allowances, inaccordance with a companyagreement, collective agreement,professional or inter-professionalagreement;

– compensation awarded to victims ofaccidents at work or occupationaldiseases;

– payments relating to retirement.

5 - REPATRIATION INSURANCE

We offer repatriation insurance to consultants wishing to work abroad, without any additional cost.

6 - LEGISLATION

ARTICLE L1251-64 OF THE FRENCH ONLABOUR CODEThe umbrella company is a set ofcontractual relationships organisedbetween an umbrella company, anindividual and a customer businessincluding the workforce regime for theindividual and the payment for his/herservices to the customer by the umbrellacompany. It guarantees the individual'srights in terms of his/her customercontribution.

ARTICLE L8241-1 OF THE FRENCH LABOURCODEAny profit-making operations, the solepurpose of which is the supply ofemployees, is forbidden.

However, this provision does not apply tooperations carried out in the framework of:provisions of this code concerningtemporary work, timesharing companies,and modelling agencies when this is carriedout by a party holding a modelling agencylicence;
