TO: PRAMER PRASAD C.A., PROFESSIONAL CORPORATION (the “Sublandlord”)

WE, RETENTION MEDIA (the “Subtenant”) hereby offer to sublease from the Sublandlord, through Colliers Macaulay Nicolls

(Ontario) Inc. (the “Agent”) and Lennard Commercial realty (the “Sublisting Agent”)

upon the following terms and conditions, approximately 3,100 square feet of Rentable

Area (hereafter referred to as the "Subleased Premises") in the Building located on the

14th floor.

The area of the Subleased Premises is shown on the plan attached hereto as

Schedule "A".

1. Term

The Term of the sublease shall be from September 15, 2010 (the

"Commencement Date") and ending on April 30, 2012 (the "Termination Date").

2. Gross Rent

The Subtenant shall pay to the Sublandlord the following rent (the "Gross Rent") payable

in advance on the first day of each and every month during the Term in accordance with

the following schedule:

3. Deposit

A cheque for the first and last months Basic and Additional Rent (the "Deposit")

payable to the Sublisting Broker shall be tendered upon the unconditional

acceptance of this Offer to Sublease to apply as a deposit and further to be

applied in payment of the first and last month’s Basic Rent and Additional Rent

4. Sublease Agreement

This Offer to Sublease shall attach to the Head Lease and together with the

written approval of GWL Realty (the “Head Landlord”) shall form the Head

Landlord’s Consent and Sublease Agreement.

5. Use

The Subleased Premises shall be used “as is” for the purpose of a general

business office.

6. Signage

The Subtenant shall be entitled to Building standard signage at the entrance to

the Subleased Premises and on all the Building’s directory boards at the sole

cost of the Subtenant.

7. Parking

The Subtenant shall be entitled to four (4) parking spaces, two (2) reserved and

two (2) unreserved, in the Building parking area during the Term of the Sublease.

Rental for such spaces shall be the building standard rate per month payable in

advance on the first day of each and every month and shall be subject to change

from time to time.

8. Assignment/Sublet

The Subtenant shall not assign this Offer to Sublease or the Sublease resulting

herefrom or sublet or part with possession of all or part of the Subleased

Premises or mortgage or encumber the Sublease without the prior written

consent of the Sublandlord and Head Landlord, which consent shall not be

unreasonably or arbitrarily withheld or delayed. Assignment shall be completed

in accordance with the Assignment/Sublet provisions contained in the Head

Lease.

9. Head Landlord Approval

If required, the Sublandlord and Subtenant agree to execute the Head Landlord’s

Sublease consent document, subject to review and reasonable approval thereof

by the Subtenant and Sublandlord.

If the Head Landlord does not approve this Offer in writing within ten (10)

business days from acceptance of this Offer, then this Offer to Sublease shall be

considered null and void and all deposit monies shall be immediately returned to

the Subtenant, in full, without interest or penalty.

10. Sublandlord to Determine Financial Strength of Subtenant

Acceptance of this Offer by the Sublandlord is conditional upon the Subtenant

providing the Sublandlord with such information regarding the financial status of

the Subtenant as the Sublandlord may reasonably require for the purposes of

determining the financial strength of the Subtenant. Within two (2) business days

of the date of execution of this Offer by the Sublandlord, the Sublandlord shall

notify the Subtenant of the information it requires and the Subtenant shall then

supply the said information to the Sublandlord. The Sublandlord shall have three

(3) business days from the date of receipt of the aforesaid information to

determine in its sole discretion, whether or not the Subtenant is of sufficient

financial strength. If the Sublandlord does not advise the Subtenant in writing

that it is or is not satisfied with the Subtenant's financial strength, within the time

frame set out above, this Offer shall become null and void.

11. Subtenant’s Conditions

This Offer is subject to the following conditions precedent:

A. The Subtenant being satisfied with its review of the Head Lease within

four (4) business days of conditional acceptance of this Offer.

The Sublandlord shall within 24 hours of conditional acceptance, provide a fully

executed copy of the Head Lease with all amendments to the Subtenant.

The conditions precedent in this clause are inserted solely for the benefit of the

Subtenant and may be waived by the Subtenant by notice to the Sublandlord. If

any condition precedent is not satisfied or waived within the time limit provided

therefore, this Offer shall be null and void.

12. Sublandlord’s Warranty

The Sublandlord hereby warrants that as tenant under the Head Lease, it is in

good standing under the Lease and is not in default of any covenant or obligation

on its part to be performed, not has it received notice of default from the Head

Landlord which has not as of this date been cured. This warranty shall continue

and be in full force and effect until the Commencement Date, and any breach

thereof shall entitle the Subtenant to terminate this offer and any Sublease

pursuant thereto.

13. Time of the Essence

Time shall be of the essence of this agreement and the transactions

contemplated herein, provided that the time for doing or completing any matter

herein may be amended by an agreement in writing signed by both parties.

14. GST and Taxes

All amounts referred to in this Offer are quoted without the Goods and Services

Tax and all other applicable tax, such tax shall be in addition to costs quoted.

15. Waiver to Agent

The parties to this agreement acknowledge that the Agent has recommended

that they obtain advice from their legal Counsel prior to signing this document.

The parties further acknowledge that the information provided by the Agent is not

legal, accounting, environmental or tax advice, and the parties are cautioned not

to rely on any such information without seeking specific legal, accounting,

environmental or tax advice with respect to their unique circumstances.

16. Acknowledgement and Waiver

The parties to this transaction acknowledge that the Agent, acting for and

representing the interests of the Sublandlord, and the Agent, acting for and

representing the interests of the Subtenant, are the same Firm and as such a

dual agency situation exists. Before entering into any Offer negotiations, we

acknowledge that we were advised of the dual agency relationship and the fact

that confidentiality could not be maintained and therefore we agreed to release

our broker of any duties of confidentiality that could compromise our bargaining

position.

17. Time for Acceptance

This Offer shall be irrevocable and open for acceptance until 4 p.m. on Monday,

August 23rd, 2010, after which time, if not accepted, this Offer shall be null and

void.

Acceptance of this Offer may be communicated by facsimile transmission of an

accepted Offer or by delivery of such facsimile without limiting other methods of

communicating acceptance available to the parties.
