    1 INTRODUCTION

    Whereas, BP IRAQ NV  (hereinafter referred to as “COMPANY”) has requested toSAIPEM  (hereinafter referred to as “CONTRACTOR”) to perform a bid for integratedexecution of engineering, procurement, supply, construction, pre-commissioning,commissioning of RUMAILA 150 MW EARLY POWER PLANT.

    The works of the 150 MW Early Power Plant comprises three packages, as follow:

    - 150 MW Power Plant and associated BoP- 132 kV Interconnecting Overhead Transmission Lines

    - Gas Transfer Pipelines from Degassing stations to Power Plant

    Facilities description and scope of work are summarized in Exhibit A.

    3 WORK DESCRIPTION

    The scope of the work here-below listed is described in the hereto attached documentsand in all others documents therein mentioned and/or referred. SUBCONTRACTORshall provide all resources, services and whatever necessary to carry out the realizationof the scope of work.Without any obligation and expenses to CONTRACTOR and/or COMPANY,SUBCONTRACTOR is requested to submit the best commercial and technical proposalfor:

    4 SITE CONDITIONS AND SPECIAL REQUIREMENTS

    4.1 Site Utili ties/Site Access

    SUBCONTRACTOR shall provide, install, distribute and maintain all necessary HVAC,electrical, telephone, communications, gas, compressed air, potable water, raw water,fire water, fuels, sewage and any other utilities as required to perform the work.

    Such utilities shall be fit for this purpose and meet the appropriate COMPANYspecifications and standards as for the permanent system.

    SUBCONTRACTOR shall plan and supply all utilities required for its site constructionworks including power, water, communications and waste water collection andtransport to the COMPANY sewage treatment plant and/or other approved treatmentand disposal facilities. SUBCONTRACTOR shall dispose of sewage water and anyexcess construction water using approved and certified means.

    - Water: SUBCONTRACTOR shall determine its construction water needs and qualityfor work areas, temporary facilities and construction camp and shall source andsupply the water including transport, storage and distribution.

    - Electrical power: SUBCONTRACTOR shall determine its temporary powerrequirements and shall source methods for supplying temporary power to its workareas, temporary facilities and construction camp.

    - Drainage: SUBCONTRACTOR shall dispose construction water and sanitary water.

    - Telecommunications: SUBCONTRACTOR shall determine its communication needsand shall provide data and voice communication systems and facilities, such ustelephone, area network, etc. at work areas, temporary facilities and constructioncamp.

    - SUBCONTRACTOR shall provide temporary fence around its temporaryconstruction facilities.

    - SUBCONTRACTOR shall be responsible for security services inside its constructionarea and temporary facilities offices.

    - SUBCONTRACTOR shall provide all first-aid and medical services required for itsmanpower.

    - Land within the Rumaila Oil Field shall be provided by COMPANY for allocation ofLaydown areas, workshops and other temporary facilities. SUBCONTRACTORshall provide any earth works, grading, levelling and fencing at its care andexpenses.

    - Any dumping area for soil shall be provided by SUBCONTRACTOR.

    - Solid and domestic waste management shall be provided by SUBCONTRACTOR at

    its care and expenses, in accordance with all local authorities and CONTRACTORregulation.

    - Demobilization: at the end of the works SUBCONTRACTOR shall remove anddispose all the materials and return the areas to the CONTRACTOR at the sameconditions of delivery.

    SUBCONTRACTOR shall strictly control access into its work areas.SUBCONTRACTOR shall provide a detailed plan for approval by CONTRACTOR onits methods of transporting its staff and work force to and from the work Site,temporary facilities area and the camp accommodation. This plan, Control of Trafficand Labour, shall fully describe and detail SUBCONTRACTOR management,supervisory and administration controls on all workforce personnel within theconstruction area and supporting temporary facilities. Site contract administration shallbe in accordance with SPC.00-ZA-E-02202.

    4.2 Site Construct ion Facilities Requirements

    SUBCONTRACTOR shall prepare, for CONTRACTOR’s review and approval, acomprehensive Temporary Site Facility Plan that details all SUBCONTRACTORtemporary facilities and procedures to be used to maintain and administer them.

    This plan shall address, as a minimum, the following:

      Plot plans and building layouts;

      Power distribution system;

      Communications and data cabling and equipment;

      Raw and drinking water supply and handling requirements;

      Fire protection provisions;

      Security provisions;

      First aid, medical services and evacuation plan;

      Sewage and sanitation plan;

      Refuse handling requirements.

    SUBCONTRACTOR is requested to specify his own needs as per SPC.00-ZA-E-02203, for the supplies mentioned at the aforesaid paragraph:

      Water consumption;

      Power consumption;

      Area for temporary facilities (square meters) to be minimised in considerationthat the areas allocated by COMPANY are specified for all disciplineSUBCONTRACTORs.

    SUBCONTRACTOR temporary site facilities shall include, but be not limited to, thefollowing:

      SUBCONTRACTOR yards, hard standings, parking and lay-up provisions,transport, all vehicle repairs, service and maintenance capability;

      SUBCONTRACTOR warehouse;

      SUBCONTRACTOR materials management, storage and lay down areas;

      SUBCONTRACTOR site lunch shelters;

      SUBCONTRACTOR First Aid, Ambulance and medical services as perCOMPANY Construction Safety Manual;

      SUBCONTRACTOR temporary site facilities fencing/area lighting;

      SUBCONTRACTOR fire prevention and fire fighting services;

      SUBCONTRACTOR site sanitary and hygiene arrangements.

    SUBCONTRACTOR shall also provide temporary-smoking facilities withinSUBCONTRACTOR provided temporary site facilities for use by SUBCONTRACTORand other personnel at location designated by CONTRACTOR Representative.Smoking will not be allowed in any other areas than those so designated and provided.

     At the completion of the work SUBCONTRACTOR shall remove all temporary facilitiesand utilities including underground installations and all areas used shall be restored totheir original condition. SUBCONTRACTOR shall provide offices for its fieldsupervision team local to work areas to ensure and fully facilitate proper and practicalcontrol of progress, quality of work and safety of work forces, equipment usage andoperations. SUBCONTRACTOR field offices shall be of sound construction and

    provide adequate standard of facilities for accommodation of staff.Offices shall be installed properly maintained by SUBCONTRACTOR.

    SUBCONTRACTOR shall be responsible for the design, supply, installation andoperation of work site toilet and hand washing facilities in adequate proportion to theSUBCONTRACTOR staff and workforce and those of its SUBCONTRACTORs. Thesefacilities shall be daily serviced, cleaned and maintained by SUBCONTRACTORdedicated staff who shall ensure the highest standard of hygiene. The toilet facilitiesshall be of sound durable and hygienic construction consistent with their purpose andshall have adequate lighting, ventilation and continuous supply of water. Sewage shallbe collected via holding tanks and disposed of it to a approved treatment facility.

    SUBCONTRACTOR shall be responsible for preparing a waste management plan to

    manage and arrange disposal of wastes on a daily basis to a landfill site and/or otherCOMPANY approved facilities. Disposal of all classes of waste shall be in accordancewith the requirements of COMPANY procedures and Local Municipality Regulations.

    4.3 Camp accommodation facili ties

    SUBCONTRACTOR will build its own dedicated Camp facilities within the Rumaila OilField (land shall be provided by COMPANY for allocation of Accommodation Camp)and it will provide all the required facilities generally associated with camps incompliance with COMPANY’s requirements.

    SUBCONTRACTOR shall provide accommodation for all its own personnel at its own

    charge including catering and housekeeping.

    4.5 Working conditions

    The SUBCONTRACTOR shall adhere to the COMPANY/CONTRACTOR and Local Authorities’ regulations of all the working conditions.

    4.6 First Aid facilities

    First aid facilities such as infirmary, ambulances and doctors will be provided by the

    SUBCONTRACTOR in accordance with the COMPANY’s standards.

    4.7 Safety requirements

    SUBCONTRACTOR shall comply at all times with all applicable Local MunicipalitySafety Regulations, health and environmental regulations and all COMPANY GeneralInstructions, and other related rules and regulations.

    Particularly, the SUBCONTRACTOR, performing his job in all involved areas, shalladhere to CONTRACTOR and local authorities’ safety procedure and to all safetyregulations contained on the safety programme and to good construction safetypractice.

    Should SUBCONTRACTOR fail to comply with any of the COMPANY andCONTRACTOR requirements, SUBCONTRACTOR shall immediately take allnecessary corrective actions. Any corrective action shall be taken atSUBCONTRACTOR expense. If SUBCONTRACTOR fails to take prompt correctiveaction, the CONTRACTOR Representative may direct SUBCONTRACTOR to suspendall or part of the work until satisfactory corrective action has been taken. Costsincurred by SUBCONTRACTOR, as a result of such work suspension, shall be solelySUBCONTRACTOR responsibility, and any resultant SUBCONTRACTORperformance delays shall not be deemed excusable hereunder .

    4.8 Working time

    Normal construction contractor work hours are sixty (60) hours per week, ten (10)hours per day, six (6) days per week, Saturday through Thursday, including work in themonth of Ramadan. Normal contractor holidays are observed in accordance with acalendar issued annually by COMPANY (“Contractor Operational Calendar”).However, SUBCONTRACTOR shall work whatever hours are necessary to maintainthe WORK Schedule and/ or meet special requirements including, but not limited to,road crossing, shutdowns, tie-ins, testing and Pre-commissioning at no additional costto CONTRACTOR. All WORK shall be in accordance with Iraq Labor Law.

    4.9 Staff, facilities, transportation facilities and services

    SUBCONTRACTOR shall provide all staff, facilities, transportation facilities and

    services required to support the health and well-being of its workforce.

    4.10 Interface

    SUBCONTRACTOR acknowledges that other CONTRACTORs/SUBCONTRACTORswill be working on and around the site at the same time, and it will cooperate tomaintain a harmonious work situation.

    4.11 Quality

    Quality personnel employed by SUBCONTRACTOR to perform the work shall meet,as a minimum, the qualification and experience requirements indicated in COMPANY

    and CONTRACTOR documents. SUBCONTRACTOR shall provide Quality Assuranceand Quality Control personnel to the work, as per COMPANY and CONTRACTORapproval.

    5 TENDER PROCESS

    CONTRACTOR hereby invite SUBCONTRACTORs to submit a tender in accordancewith the SPC.00-ZA-E-02203.

    The final selection of the successful SUBCONTRACTOR will be at CONTRACTOR’ssole discretion. CONTRACTOR shall be under no obligation whatsoever to accept thelowest of any tender or to give any reason for the rejection of any or all tenders.

    These works described are an indication and not a limitation. SUBCONTRACTOR’sproposal shall be made strictly in accordance with the terms and conditions of the

    tender documents. For tendering purpose and bid evaluation, the tender documentsenclosed herewith reflect the contract, which will be ultimately entered into with thesuccessful SUBCONTRACTOR, along with all technical specifications and commercialterms in the order and format as ultimately envisaged. Design requirements,standards, codes and specifications are detailed in the tender documents.

    5.1 Documents Examination

    In submitting the bid, SUBCONTRACTOR assumes all responsibility for examining thecomplete tender package attached hereto and for gathering all useful information inorder to establish the cost and the conditions for the execution of the work. Any error inthe evaluation due to an improper or superficial examination of the attached

    documents shall be at SUBCONTRACTOR’s sole risk with no recourse open towardCOMPANY or CONTRACTOR. The successful SUBCONTRACTOR shall have theobligation to report any error, inconsistency or omission to the tender documents priorto contract award, and failure to do so shall not entitle the SUBCONTRACTOR to anyclaim after award of the contract. Any variation, modification and/or deviation withrespect to the requirements, terms and conditions of the tender documents, made bySUBCONTRACTOR at the bidding stage, shall be clearly expressed and listedseparately. SUBCONTRACTOR shall outline the items of documents to which eachvariation refers.

    It is understood that otherwise the documents of this inquiry shall be consideredful ly accepted by SUBCONTRACTOR.

    Shall CONTRACTOR documents be in conflict with COMPANY documents, it isunderstood that COMPANY documents prevail.

    5.2 Gathering of Information

    SUBCONTRACTOR shall be responsible for gathering and checking all theinformation and data connected with the environmental data, the terms and conditionsfor carrying out the work, the laws and regulations of the country where theconstruction works will be carried out, applicable to the works involved.SUBCONTRACTOR shall check the foregoing even if some information is contained inthe attached documents. Any error in or incorrect evaluation of the difficulties relatingto the work which SUBCONTRACTOR may make in the evaluation of the above shallby no means relieve SUBCONTRACTOR of any contractual obligation.

    5.3 Confidentiality of Documents

    Tender documents, including all attachments, are strictly confidential and shall not bereleased to any third party. In case of declination to submit a bid for this inquiry,SUBCONTRACTOR shall also undertake to return to CONTRACTOR or destroy theabove documents on request and in accordance with CONTRACTOR instruction.SUBCONTRACTOR shall comply with the security and confidentiality requirements ofCOMPANY, which covers handling, control, transmission, confidentiality, security,storage, protection against unauthorized disclosure, modification, reproduction andeventual destruction of COMPANY engineering data.

    5.4 Bid Clarification Meeting

    Upon examination of proposal, SUBCONTRACTOR may be called to bid clarificationmeeting to be held at Saipem offices in San Donato Milanese – Italy or inDubai/Sharjah UAE. SUBCONTRACTOR shall provide in advance for entry visas forhis personnel as necessary. Formal invitation for any meeting will be confirmed inwriting, and all the expenses incurred by SUBCONTRACTOR to attend such meetingshall be on SUBCONTRACTOR’s account.

    6 SPECIAL TERMS AND CONDITIONS

    Scope of this paragraph is to outline to SUBCONTRACTOR:

    - The site requirements to be observed, in connection/addition with the general termsand conditions for the executions of the works related to construction site.

    - The things that are necessary to be provided and the costs that SUBCONTRACTOR

    has to bear in order to accomplish the contract

    6.1 Site Work Area

    The site is included into the boundary limits of the enclosed preliminary drawings andtechnical documents.

    For the execution of the Construction Site activities, the construction area is dividedinto two areas:

    - CONSTRUCTION AREA (CA)

    - TEMPORARY SITE FACILITIES AREAS utilized by SUBCONTRACTOR to installoffices, warehouses and workshops.

    6.2 Access to site personnel

     Access to site for all personnel and for equipment is from the gate of the Plantcontrolled by the security personnel.

    6.3 Goods supplied by SUBCONTRACTOR

    "Goods supplied by SUBCONTRACTOR" means all the materials, not supplied by

    CONTRACTOR as "free issue", that are required for the complete execution of thework in strict compliance with the Specifications and/or Standards supplied by theCONTRACTOR and/or referred to in the tender documents and in the goodconstruction practice.

    6.4 SUBCONTRACTOR's compounds & plant area

    COMPANY will make available the area in "as it is" conditions forSUBCONTRACTOR's site temporary facilities. COMPANY and/or CONTRACTORhave no responsibility over the all SUBCONTRACTOR's working areas or over thematerials and equipment owned by SUBCONTRACTOR or in SUBCONTRACTOR'scustody. Site preparation including SUBCONTRACTOR's lay down area,

    SUBCONTRACTOR's temporary facilities area, access road from/to temporaryfacilities area and any other site preparation necessary for SUBCONTRACTOR'sactivities, are at total SUBCONTRACTOR's charge and care. The SUBCONTRACTOR

    shall prepare and submit to CONTRACTOR, for approval, a layout of the service areashowing the set-up, the water and electric power distribution and the sanitary facilities.SUBCONTRACTOR shall indicate foreseen consumption, monthly wise, of water,electricity and steam. SUBCONTRACTOR shall provide connections and temporarydistribution, at total SUBCONTRACTOR's charge and care. SUBCONTRACTOR shallprovide telephones, sewer system and whatever necessary for temporary facilities forthe execution of work, at total SUBCONTRACTOR's charge and care.SUBCONTRACTOR will observe all site safety and security regulations and equip withextinguishers and whatever necessary (in adequate numbers) all his workingareas/facilities, at total SUBCONTRACTOR's charge and care.

    6.5 Meals

    Daily meals can be consumed only in those areas prepared for the purpose. No mealcan be consumed on the job site.SUBCONTRACTOR shall arrange lunch provision for its workforce.Local Construction Site Area allocations are intended to allow SUBCONTRACTOR toestablish local canteen facilities for preparing, storing and otherwise providing suitablemeals to the workforce thereby avoiding personnel transfer to and from camps. Allarrangements must be approved by COMPANY.

    6.6 Smoking shelters - Urinals

    Smoking shelters and portable urinals shall be provided by SUBCONTRACTOR, indesignated places, for their personnel at total SUBCONTRACTOR's charge and care.Plan for above shall be submitted by SUBCONTRACTOR to CONTRACTOR, forapproval.

    6.7 SUBCONTRACTOR's services and supplies

     All services and supplies required for the execution of the work shall be at theSUBCONTRACTOR's care and expense, with the only exception of those explicitlystated to be at CONTRACTOR’s charge. As an example but not limited thereto, inaddition to the obligations stated in other Annexure or in the contract documents, thefollowing shall be at the SUBCONTRACTOR's care and expense:

    a. Supply of goods required for the complete execution of the work.b. Any necessary packing for the transport of supplied goods from external/internal

    SUBCONTRACTOR's workshops to the site, including relevant transport insurance,material transportation and handling and proper goods storage in theSUBCONTRACTOR's stores at site.

    c. Supply of weld material as required for the works (electrodes, welding rods, fluxes,etc.).

    d. Handling of goods within the site.e. Collection and loading at CONTRACTOR’s material warehouse located in an area

    within the boundaries of the Industrial area, of all "free issue" materials (cranes andother equipment are at SUBCONTRACTOR’s charge).

    f. Transportation to and handling at worksite of all "free issue" materials and preservationof them until handing over.

    g. Supply of chemical analysis and mechanical test certificates for all goods used.

    h. Supply of all fuels and lubricants required for the complete execution of theSUBCONTRACTOR’s work.

    i. Supply of compressed air (where required), gases, oxygen, acetylene, graphitic oil forbolts, tie rods and nuts, and of Teflon for coupling, where required for the completeexecution of the SUBCONTRACTOR’s work.

     j. Clear-up and cleaning of worksite and service areas upon completion ofSUBCONTRACTOR’s work.

    k. Dimensional checks required for the complete execution of the SUBCONTRACTOR’swork. Direct and indirect personnel, equipment necessary to execute all tests inaccordance to drawings, specifications and local laws, applicable for the completeexecution of the SUBCONTRACTOR’s work.

    l. Mobilization, provisions for keeping the worksite in full working conditions, anddemobilization of the worksite after completion of the SUBCONTRACTOR’s work,leaving the areas in the original conditions.

    m. Preparation and issue of all certificates and reports, in full compliance to drawings,specifications and local laws, applicable for the complete execution of theSUBCONTRACTOR’s work.

    n. SUBCONTRACTOR Personnel's individual equipment necessary to carry out the entireSUBCONTRACTOR’s work required by contract documents and annexure.

    o. Necessary supervision and adequate various staff during the execution of theSUBCONTRACTOR’s work, in full compliance to drawings, specifications and locallaws, applicable for the complete execution of SUBCONTRACTOR’s work.

    p. Any necessary scaffolding  as per schedule requirement and in accordance with the

    drawings, specifications and local laws, applicable for the complete execution of theSUBCONTRACTOR’s work.

    q. Board and lodging expenses for both local and expatriated personnel required for thecomplete execution of SUBCONTRACTOR’s work.

    r. Sanitary facilities, in full compliance to drawings, specifications and local laws,applicable for the complete execution of the SUBCONTRACTOR’s work.

    s. Temporary site facilities such as workshop, storehouses, furnished office, etc. as wellas their transport and transport costs from the SUBCONTRACTOR's facilities area tothe worksite and back, including loading and unloading, in accordance with thedrawings, specifications and local laws, applicable for the complete execution of theSUBCONTRACTOR’s work.

    t. Transport of the SUBCONTRACTOR's personnel from the lodgings to the site andback, travelling time included, for all the time necessary to the complete execution ofSUBCONTRACTOR’s work, including any necessary escort.

    u. Round trip expenses for SUBCONTRACTOR's personnel from SUBCONTRACTOR'sheadquarters to the worksite and back.

    v. Possible partial suspensions of the work entailing idle times that might be necessaryduring the execution of SUBCONTRACTOR's work for safety reasons.

    w. The charges that might result from the need for an increase of SUBCONTRACTOR'spersonnel and construction plants and/or overtime on working days, on nights and onSunday necessary to complete SUBCONTRACTOR's work in accordance with thework schedule.

    x. The charges that might result from re-works caused by SUBCONTRACTOR’s works

    and/or change works not performed in full compliance to drawings, specifications andlocal laws, applicable for the complete execution of SUBCONTRACTOR’s work.

    y. All personal site equipment, vehicles and all construction equipment tools, with therelevant charges from SUBCONTRACTOR's factory to the site and vice versa,including the various loading and unloading operations of the same, required for thecomplete execution of SUBCONTRACTOR’s work.

    z. Any other charge necessary in connection with any measures to prevent pollution ofsoil, water courses during the execution of SUBCONTRACTOR's work.

    aa. All temporary vents to the atmosphere to prevent air pollution during the execution ofthe SUBCONTRACTOR's work.

    bb. The installation of a first-aid station in the site for SUBCONTRACTOR's personnelaccording to the drawings, specifications and local laws, applicable for the completeexecution of the SUBCONTRACTOR’s work.

    cc. The expenses for medical care and hospitalisation for SUBCONTRACTOR's personnelin case of disease or accident on worksite during the execution of theSUBCONTRACTOR's work.

    dd. Provisions for safety at worksite during the execution of SUBCONTRACTOR's work.ee. Provision for the security of the SUBCONTRACTOR's working areas and for the

    goods, during all the time necessary to the complete execution ofSUBCONTRACTOR’s work.

    ff. The request for work permits, necessary for the execution of SUBCONTRACTOR'swork, and standstill for their obtaining and for safety reasons.

    gg. Flood lighting and lighting system, wherever necessary and for all the time necessaryto the complete execution of SUBCONTRACTOR’s work.

    hh. SUBCONTRACTOR's garbage collection during the execution of the

    SUBCONTRACTOR's work.ii. The protection, with adequate means, of machinery, special equipment,

    instrumentation valves and all items that can get damaged during the execution of theSUBCONTRACTOR's work.

     jj. The execution of detailed construction sketches for minor items in connection withdrawings and standards supplied by CONTRACTOR, necessary to the completeexecution of the SUBCONTRACTOR’s work.

    kk. The execution of "As-Built" drawings, according to SPT.GC.QUA.02010, for all theminor modifications done directly at site (blue print master copy). These master copieswill be submitted to CONTRACTOR at the complete execution ofSUBCONTRACTOR’s work.

    ll. Regular SUBCONTRACTOR's waste water disposal at designated area during theexecution of the SUBCONTRACTOR's work.

    mm. Prevention measures, working clothes and individual safety equipment in accordancewith the applicable COMPANY and/or CONTRACTOR regulations and Local Authorities rules.

    nn. Visa for SUBCONTRACTOR’s personnel.oo. Insulation materials as per COMPANY specifications and requirementspp. Painting materials as per COMPANY specifications and requirements

    6.8 Field diary

    SUBCONTRACTOR shall comply with SPT.GC.QUA.02006. SUBCONTRACTOR has

    to fill a field diary where daily important site events, pertaining to work execution, shallbe described and which shall include, but not limited to, main events, work performedduring the day, personnel and equipment present at site, weather conditions, etc. Theday book shall be updated daily by SUBCONTRACTOR's representative and reviewed

    g) Monthly progress report including bar-charts, manpower histograms and progresscurves comparing schedules against actual achieved and forecasted. Physicalprogress, calculated according to SPT.GC.QUA.02101 and SPT.GC.QUA.E.2102,shall be reported as requested by CONTRACTOR, by discipline and/or work area,by unit and overall contract, all based upon agreed man-hour weightings.SUBCONTRACTOR's progress monitoring system shall monitor field productivityby category of work in exact area.

    h) Comparison actual/planned manpower, monthly.i) Updates of SUBCONTRACTOR's organization charts and detailed Construction

    schedule. j) Final investment account report in accordance with CONTRACTOR instructions,

    thirty (30) days before final payment certificate.k) Two (2) weeks look ahead detailed construction programme, weekly.

    SUBCONTRACTOR shall inform CONTRACTOR prior to commencing any activity ifthe information received is not sufficient to execute the work in accordance with thecontract and with normal construction practice.SUBCONTRACTOR who has not so informed CONTRACTOR will be deemed to havereceived sufficient information. SUBCONTRACTOR shall supply CONTRACTOR with"as-built" information by mean of marked-up drawings to enable CONTRACTOR toprepare "as-built" drawings. These mark-up shall be handed over to CONTRACTORas soon as they are complete, by unit, area, etc.SUBCONTRACTOR shall, within reasonable time, provide CONTRACTOR with any

    information requested by CONTRACTOR.

    6.11 Organization chart of site personnel

    The SUBCONTRACTOR's representative at the site shall be qualified, shall have goodexperience in the same position for similar work and shall be full powered fortechnical/economical decision to be taken within the frame of contract. The staff thatwill be employed shall be qualified and with good experience for similar works.The SUBCONTRACTOR's organization chart shall clearly indicate the followinginformation:

    a) Extent of autonomy of the SUBCONTRACTOR’ site management for the managing

    of the contract in relation to:

      Employment of manpower.  Purchase of construction materials and consumable materials.  Programming of works.  Taking technical and economical decision.  Connection between SUBCONTRACTOR's site organization and

    SUBCONTRACTOR's head office.

    b) Origin of SUBCONTRACTOR’s personnel on site in general and in particularconcerning:

      Technical and administrative staff.  Junior and senior supervisors.  Foremen.

      Operators of equipments (barge, tug, rig operator).  Skilled workman (masons, carpenters, welders, steel-bars benders, pipe-fitters,

    electricians, instrument specialists, etc.).  Semi-skilled workman.  Labourers and helpers.  Others.

    c) Number of total working man-hours for the performance of the works, divided intothe above listed categories, and the maximum number of individuals foreseenduring peak period of the SUBCONTRACTOR’s work, the total man-months andthe relevant break down.

    Constructional data provided by the SUBCONTRACTOR is accepted as indicative onlyas a basic plan for the execution of the contract works. SUBCONTRACTOR shallwithout exception be responsible to provide all resources at the required time to fulfilhis responsibilities and obligations under the terms and conditions of the contract andits annex.

    6.12 Subcontracting

    SUBCONTRACTOR shall submit, prior to award, the SUBCONTRACTORs andSupplier/Vendors names to CONTRACTOR for approval. Stipulation of all contractual

    specifications shall apply also for SUBCONTRACTOR's SUBCONTRACTORs.However, SUBCONTRACTOR shall be always responsible of the works carried out byhis SUBCONTRACTORs.
