This matter, having come before the Court for hearing on June 2, 2014, on the

motions for summary judgment, and 1he Court, having reviewed thc written submissions
of the patties and having heard oral argument of counsel, and for good cause shown, hereby
ORDERS:
l. Plaintiffs* Complaint and Defendant's Counterchdm both request that this Comt,
pmsusnt to Virginia Code tj 801-184,declare their respective rights under the May 27, 1938,deed
("Deed") attached to Plaintiffs'omplaint as Exhibit "A."
2. The Deed includes a conveyance by T. G, Rogers and Mrutba F. Rogers, bis wife
(the "Talmage Rogers Group" ), and Lloyd Rogers and Anne F. Rogers, his wife (the "Lloyd
Rogers Group" ),oftheir interest in certain parcels ofproperty in Buchanan County, Virginia, (the
"Property" ) and IvfcDoweil County, West Virtp'nia, to Lon B. Rogers. The Deed specifically
recites: "But there is excepted Rom the above-described property sn undivided one-half interest in
the oil and gas under said property and the same is reserved to T. G. Rogers and Lloyd Rogers,

parties of the fust part, their heirs and assigns, toy%her with the usual and necessary rights of
ingress and egress and drilling rights to explore, get and remove said oil and gss."

4. Phrintiflh seek a declaration that tbe Deed's reservation of gas under the Property
includes, inter rrlla, coalbed methum gss, and thrrt they axe, therefore, the awners of 25'Ye of the
coalbed methane gas under the Property snd errtitled to the associated royalties, LBR, an the other
hand, seeks a declaration that the Deed's reservation of gas under the Property does nat include
coalbed methane gss, that the Deed, therefore, conveyed cmdbed methane gas to Lan B.Rogers,
aud that LBR, ss Lon B,Rogers'uccessorein-ju~ is the ow'ner of an the coalbed methane gas
under the~and entitled to the~royalties.
5. Having ~the reservrsion language and the "four cornrxs" of the Deed, the
Court Qnds that the Deed is unambiguous snd that the Deed's reservation of "the oil and gas under
said property" includes s reservahon of coalbed methane gas under the Property. Plaintiffs are,
therefore, entitled to prevail as a matter oflaw.

ar issue is unhmited, plain, and unambiguous.
7 LBR argru:s that "the oil apd gas" does not mean "all" but only "some" gas. The
Court agrees with Plaintiffs, however, that the reservation of "the" gas is not a limited reservrman
of" only some types of gas, but an unambiguous aud unlimited reservation of all gas. Such an

int rpretation of "the" is in acconhnce with the ordinary, plain and common scuse meaning ofthc
8, LBR also argues that tbe parties to the Deed wouM not have intended to include
coalbed methane gas in the reservation because, ~to LBR, the councrcial value of
coslbed methane was not known in 1938,LBRpresented no evidence in support of this argument
snd Plsintiffs ~undispuicd evidence to the contrary. Regardless, this Court is bound to
uphold thc unambiguous ~on language, which reins to gss without qualificatio or
limitation, and which, ss written, encompasses sll types of gas,~conunercially exploitable
at the time of the Deed's execution or noL
9. The Court concludes that the arguments and authorities presented by Plaintiff's in
then motion and reply brief sre weil-founded aud correcL A ruling in LBR's favor would require
the Court to rewrite the Deed, which it will not do. Nor wiH the Court torture wmds snd phrases
or engage in speculation to crests an ambiguity where the ordinary meaning of the words leaves
no mom for ambiguity.u
10. There are no issues of material fact in dispute regarding Plaintiffs'wnership of
25% of the coslbed methane gss under the Property. The Comt grants Plaintiffs'otion for
summary judgment in fuH snd denies LBR's motion for summsry ~~t in fulh
11. This Order constitutes a judicial dteernnination of coalbed methane gas ownership
as between Plaintiffs and LBR pursuant to Virginia Code Ii 45.1-36LZZ(5') and resolves in
Plaintiff'avor sli conflicting claims of coalbed methane gss o~p between PLaintifts snd
LBR relating to the Property.
12. Plaintiffs are entitled to receive all coslbcd methane gas royalties attributable to
their 25% gas estate interest in the Property that sre bdng held in the Virginia Gas and Oil Board's

escrow account or otherwise being ~from Plaintiffs due to the conflicting claims ofcoalbed
methane ownershp ~Plaintiffs and LBR. Piaintiffs are also entitled to receive all future

in the Property. All such royalties and~sbaII be divided among the individual Plaintifls in
