Corporate / Institutional Shareholders intending to depute their authorized representative(s) to attend the respective Meetings are requested to forward at the Registered Office of the Company, certified copy of the Board Resolution/Power of Attorney, together with specimen signature(s) of the representative(s), authorizing the said person to attend and vote on their behalf at the respective Meetings, not later than 48 hours before the meeting.

NCLT has appointed Shri Dhritiman Bhattacharyya, Advocate, as the Chairperson and failing him, Shri Girish Gupta, Chartered Accountant, as the Alternate Chairperson of the aforesaid Meetings, including for any adjournment or adjournments thereof.

The Scheme, if approved in the aforesaid meetings, will be subject to subsequent approval of ihe NCLT.

Further Notice is hereby given to the Equity Shareholders of HTML (which inclupes the Public Shareholders of HTML as referred to in SEBI Circular No. CFD/OIL3/CIR/2017/21 dated March 10, 2017) that:

1. The Equity Shareholders have been provided with ·the facility to cast their vote on the resolution(s) to consider and approve the Scheme, through a-voting. The Company has engaged the services of l(arvy Computershare Private Limited (Karvy) to provide the e-voting facility.

2. In accordance with the provisions of Sections 230 to 232 of the Companies Act, 2013, the Scheme shall be acted upon only if a majority of persons representing three-fourth in value of the Equity Shareholders of HTML, voting in person or by proxy or by e-voting, agree to the Scheme.

3. Any person, whose name appears in the Register of Equity Shareholders / list of Beneficial Owners as on Thursday, May 3, 2018 ("Cut-off date") shall only be entitled to vote. The voting rights shall be reckoned on the paid-up value of the shares registered in the names of Equity Shareholders / Beneficial Owners as on the Cut-off date. Persons who are not Equity Shareholders of HTML as on the Cut-off date should treat this notice for information purposes only.

4. The e-voting facility will be available during the following period:

Commencement of e-votlng From 9.00 a.m. (Server time) on May 10, 2018 (Thursday)

End of e-votlng Up to 5.00 P:m. (Server time) on June 8, 2018 (Friday)

The e-voting module will not be allowed beyond the aforesaid date and time, and the e-voting module shall be disabled. Equity Shareholders are requested to carefully read the "Procedure and lnstructlon:5 for e-votlng" outlined In the Notice.

5. HTML has completed the physical dispatch / electronic transmission of the Notice together with . accompanying documents to the Equity Shareholders holding equity shares in either physical form or in dematerialized form as on the Cut-off date, on May 5, 2018. Accordingly, the Notice sent to the Equity Shareholders would also be deemed to be the Notice sent to the Public Shareholders of HTML.

6. Equity Shareholders can opt for only one mode of voting i.e. through e-voting or voting at the venue of the Meeting through ballot paper. If an Equity Shareholder casts votes by both modes, then voting done through a-voting shall prevail 'and voting at the· Meeting shall be treated as invalid. Further, the Equity Shareholders who have cast their vote through e-yoting, may attend the Meeting but shall not be allowed to vote again thereat.

7. The Notice is available on the website of HTML viz. www.htmedia.in and on the website of Karvy viz. https://evoting. karvy.com.

8. The results of the voting on the resolution(s) set out in the Notice, will be announced on or before June 11, 2018. The results, together with the Scrutinizer's report, will be displayed on the Notice Board of HTML at its Registered Office, on the website of HTML viz. www.htmedia.in and on Karvy's website viz. tittps:/fevoting.karvy.com, besides being communicated to SSE Limited and National Stock Exchange of India Limited.
